The Florida Department of Environmental Protection (FDEP) requires that hazardous materials collected from residents and businesses by Monroe County's Hazardous Waste Program be stored indoors, in a properly ventilated building or shed, until disposal contractor picks up the hazardous materials for proper disposal and or recycling. The CONTRACTOR's final invoice must be received within sixty days ater the termination date of this CONTRACT as shown in Article 1. Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the County to the Contractor when (1) the Contract has been fully performed by the Contractor except for the Contractor's responsibility to correct nonconforming work, and to satisfy other requirements, if any, which necessarily survive final payment, and (2) a final approval for payment has been issued by the Solid Waste Contract Administrator. The CONTRACTOR covenants and agrees to indemnify and hold harmless COUNTY/Monroe County and Monroe County Board of County Commissioners, its officers and employees from liabilities, damages, losses and costs, including but not limited to, reasonable attorneys' fees, for any and all losses and damages, including claims for bodily injury, including death, personal injury, and property damage, including property owned by Monroe County, to the extent caused by the negligence, recklessness, or 3 intentional wrong conduct of the CONTRACTOR, subcontractor(s) and other persons employed or utilized by the CONTRACTOR in the performance of the contract. The first ten dollars ($10.00) of remuneration paid to the CONTRACTOR is for the indemnification provided for above. The extent of liability is in no way limited to, reduced, or lessened by the insurance requirements contained elsewhere within this CONTRACT. Section headings have been inserted in this CONTRACT as a matter of convenience of reference only, and that it is agreed that such section headings are not a part of this CONTRACT and will not be used in the interpretation of any provisions of this CONTRACT. The CONTRACTOR shall not assign or subcontract its obligations under this CONTRACT except in writing and with the prior written approval of the Board of County Commissioners for Monroe County and the CONTRACTOR, which approval shall be subject to such conditions and provisions as the Board may deem necessary. This CONTRACT shall be governed by and construed in accordance with the laws of the State of Florida applicable to contracts made and to be performed entirely in the State. In the event that any cause of action or administrative proceeding is instituted for the enforcement or interpretation of this CONTRACT, COUNTY and CONTRACTOR agree that venue will lie in the 16 th Judicial Circuit, Monroe County, Florida. This CONTRACT shall not be subject to arbitration. The COUNTY and CONTRACTOR agree that, in the event of conflicting interpretations of the terms or a term of this CONTRACT by or •' any •: them the issue shall be submitted to mediation prior to the institution • any other administrative or legal proceeding. I. PUBLIC ACCESS The CONTRACTOR and COUNTY shall allow and permit reasonable access to, and inspection of, ?Y �ntrol �suWect to the provisions of Chapter 119, Florida Statutes, and made or received by the CONTRACTOR and COUNTY in conjunction with this Contract; and the COUNTY shall have the right to unilaterally IMM-MIN MO., Pursuant to F.S. 119.0701, Contractor and its subcontractors shall comply with all public records laws of the State of Florida, including but not limited to: (a) Keep and maintain public records that ordinarily and necessarily would be required by MonrA'- County in order to perform the service. I (b) Provide the public with access to public records on the terms and conditions that Monroe County would provide the records and at a cost that does not exceed the cost provided in Florida Statutes, Chapter 119 or as otherwise provided by law. (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. (d) Meet all requirements for retaining public records and transfer, at no cost, to Monroe County all public records in possession of the contractor upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to Monroe County in a format that is compatible with the information technology systems of Monroe County. provisions providing exemption from disclosure. 9 The passing, approval, and/or acceptance by the COUNTY of any defect in the services furnished by the CONTRACTOR, shall not operate as a waiver by the COUNTY of strict compliance with the terms of this CONTRACT, and specifications covering the services. COUNTY may immediately terminate the CONTRACT due to any violations by CONTRACTOR of criminal statutes. Any other CONTRACTOR breach of this CONTRACT shall be governed by the article below on termination for cause. The COUNTY may terminate this agreement without cause by providing the CONTRACTOR with written notice of termination at least sixty (60) days prior to the date of termination. The COUNTY shall pay for any such work in progress that is completed by the CONTRACTOR and accepted by the COUNTY prior to the date of termination stated in the notice. The COUNTY and the CONTRACTOR may terminate this agreement for cause if there is a default in the performance of any of its obligations under this agreement. Default shall include the occurrence of any one of the following events and same is not corrected to the satisfaction of the COUNTY or CONTRACTOR within fifteen (15) days after written notice of said default for either of the following: A. Failure to perform inspections. B. Breach of any other term, condition or requirement of this agreemel A. The CONTRACTOR represents that it, its directors, principles and employees, presently have no interest and shall acquire no interest, either direct or indirect, which would conflict in any manner with the performance of services required by this contract, as provided in Sect. 112.311, et. seq., Florida Statutes. B. Upon execution of this contract, and thereafter as changes may require, the CONTRACTOR shall notify the COUNTY of any financial interest it may have in any and all contracts with Monroe County. Notwithstanding the provisions of Sec. 768.28, Florida Statutes, the participation of the CONTRACTOR and the COUNTY in this CONTRACT and the acquisition of any commercial liability insurance coverage, self-insurance coverage, or local government liability insurance pool coverage shall not be deemed a waiver of immunity to the extent of liability coverage, nor shall any contract entered into by the COUNTY be required to contain any provision for waiver. All of the privileges and immunities from liability, exemptions from laws, ordinances, and rules and pensions and relief, disability, workers' compensation, and other benefits which apply to the activity of officers, agents, or employees of any public agents or employees of the COUNTY, when performing their 0 respective functions under this CONTRACT within the territorial limits of the COUNTY shall apply to the same degree and extent to the performance of such functions and duties of such officers, agents, volunteers, or employees outside the territorial limits of the COUNTY. any contract, debt, obligation, judgment, lien, or any form of indebtedness. The CONTRACTOR further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this contract. INSURED ON ALL POLICIES EXCEPT WORKER'S COMPENSATION. Prior to execution of this agreement, CONTRACTOR shall furnish the COUNTY Certificates of Insurance indicating the minimum coverage limitations in the following amounts: WORKER'S COMPENSATION AND EMPLOYER'S LIABILITY INSURANCE: Where applicable, worker's compensation coverage to apply for all employees at a minimum statutory limit as required by Florida Law, and Employer's Liability coverage in the amount of $100,000.00 bodily injury by accident, $500,000.00 bodily injury by disease, policy limits, and $100,000.00 bodily injury by disease, each employee. COMPREHENSIVE AUTOMOBILE VEHICLE LIABILITY INSURANCE: Motor vehicle liability insurance, including applicable no-fault coverage, with limits of liability of not less than $300,000.00 per occurrence, combined single limit for Bodily Injury Liability and Property Damage Liability. If single limits are provided, the minimum acceptable limits are $50,000.00 per person, $100,000.00 per occurrence, and $25,000.00 property damage. Coverage shall include all owned vehicles, all non -owned vehicles, and all hired vehicles. Mediation proceedings initiated and conducted pursuant to this CONTRACT shall be in accordance with the Florida Rules of Civil Procedure and usual and customary procedures required by the circuit court of Monroe County. The terms, covenants, conditions, and provisions of this CONTRACT shall bind and inure to the benefit of the COUNTY and CONTRACTOR and their respective legal representatives, successors, and assigns. Each party represents and warrants to the other that the execution, delivery and performance of this CONTRACT have been duly authorized by all necessary COUNTY and corporate action, as required by law. COUNTY and CONTRACTOR agree that all disputes and disagreements shall be attempted to be resolved by meet and confer sessions between representatives of each of the parties. If no resolution can be agreed upon within 30 days after the first meet and confer session, the issue or issues shall be discussed at a public meeting of the Board of County Commissioners. If the issue or issues are still not resolved to the satisfaction of the parties, then any party shall have the right to seek such relief or remedy as may be provided by this CONTRACT or by Florida law. COUNTY agrees that officers and employees of the COUNTY recognize and will be required to comply with the standards of conduct for public officers and employees as delineated in Section 112.313, Florida Statutes, regarding, but not limited to, solicitation or acceptance of gifts, doing business with one's agency; unauthorized compensation; misuse of public position, conflicting employment or contractual relationship; and disclosure or use of certain information. ■ A person or affiliate who has been place on the convicted vendor list following a conviction for public entity crime may not submit a bid on contracts to provide any goods or services to a public entity, may not submit a bid on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids on leases of real property to public entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with any public 9 entity, and may not transact business with any public entity in excess of the threshold amount provided in Section 287.017 of the Florida Statutes, for CATEGORY TWO for a period of 36 months From the date of being placed on the convicted vendor list. By signing this CONTRACT, CONTRACTOR represents that the execution of this CONTRACT will not violate the Public Entity Crimes Act (Section 287.133, Florida Statutes), violation of this section shall result in termination of this CONTRACT and recovery of all moneys paid hereto, and may result in debarment from CIO UNTY'S competitive procurement activities - in addition to the foregoing, CONTRACTOR further represents that there has been no -determination, based on an audit that it or any sub -consultant has committed an act defined by Section 287.133, as "Public entity crime", and that it has not been formally charged with committing an act defined as a "Public entity crime" regardless of the amount of money involved or whether CONTRACTOR has been placed on the convicted vendor list. ENTIRE AGREEMENT: This CONTRACT constitutes the entire agreement between the COUNTY and the CONTRACTOR for the services contemplated herein. Any amendments or revisions to this CONTRACT must be in writing and be executed in the same manner as this CONTRACT. Sea Tech was the design contractor for this project, and it coordinated all phases of design and construction among the end user and NAVEAC team. The Joint InterAgency Task Force (HATE) is a critical facility that requires continuous cooling, around the clock. Demolition and new equipment installation phases were coordinated in such a manner as to not disturb continuous cooling requirements to the critical facility. Sea Tech coordinated phase-in/phase-out of equipment with JIATF and Contracting Officer. The HATF compound is a top secret facility and our top secret cleared personnel provided access and escort to construction personnel tote compound, thus providing total satisfaction tothe customer. Our original design/build contract required us to place the new cooling tower in the same location where existing towers were located. Our design and construction teams determined that this would cause disruption to the facility, and therefore it was not feasible. Our design team came up with a new design of relocating the new cooling towers much closer to the chiller room thus increasing the efficiency of the system and making maintenance much easier. Our new design did not interrupt the mission of the facility. The overall result was total customer satisfaction. All work complied with U.S. Building Code, U.S. Department of Defense Building Criteria and the IBC. This project required sustainable design and construction considerations be employed into the project. Our sustainability objective for this project was to reduce the overall impact of the built environment on human health and the natural environment by efficiently using energy, water, and other resources and reducing waste, pollution and environmental degradation. Our design incorporated the following sustainable features: (1) new high efficiency motors on the cooling towers, (2) new variable frequency drives on the cooling towers to reduce energy consumption, (3) we reduced the piping length between the cooling towers and chillers, thereby reducing pressure drop and condenser pump's energy consumption, and (4) we reduced the amount of chemical and water in the system due to decrease in water volume. This project originally had a base bid and two bid options which were not exercised at time of award. At the time the government exercised these two options, it was passed the allotted time. Sea Tech still held its original price and successfully completed the project within the allotted time and budget. We received an excellent evaluation by the government.
