Box 330906 • Atlantic Beach, FL 32233 • 904 -536 -8102 • doug@adkexecutivesearch.com PROFESSIONAL SERVICES AGREEMENT between Monroe County, FL and ADK Consulting, Inc Services This Executive Search Se ices Agreement (hereinafter referred to as "Agreement "), is made and entered into this ay of May 2018 between Monroe County FL (hereinafter referred to as "Client "), and ADK Consulting, Inc., a Florida corporation, (hereinafter referred to as "Consultant "), and collectively hereinafter referred to as the "Parties ". Consultant agrees to provide recruitment services to Client in accordance with this Agreement and the attached proposal for Executive Search Services dated May 9, 2018 (Exhibit A), as amended by this Agreement, and any other services that may be requested from time to time and agreed upon by the Parties. To the extent that there is an inconsistency between the Agreement and Exhibit A, the language of this Agreement shall control. Compensation The professional fee for this full- service search is $34,900.00. Any additional staff placements by Client that occurs within 12 months of this placement from a candidate that was identified in this specific recruitment shall incur a referral fee of $10,000 each. Additional work may be requested by the Client, which can either be bid or alternately billed at a rate of $125.00 per hour. Installments for compensation for executive searches will be as follows: Installment 1: 33% due within 30 days after Notice to Proceed or Executed Agreement. Installment 2: 33% due 60 days after Notice to Proceed or Executed Agreement. Installment 3: 34% due after contract completion: • We do not add any overhead fees to the fees described above. • ADK's fees are non - contingent and consistent with the standards of the retained search profession. • Out -of- pocket expenses for Consultant travel, lodging, and other expenses for attendance in Monroe County at search committee meetings where the attendance was requested by the Client are not included in the fee above. Travel expenses requested by Client will be billed separately at cost per Client's travel guidelines. 1 • There is no charge for video recordings. • We do not charge an additional fee for administrative and clerical support, teleconferencing, office copies, and computer /telephone usage. • We will, however, charge at cost for reproduction, binding, and courier services if said services requested by Client. All deliverables that are provided to Client electronically are at no cost. • Reimbursement of candidate travel expenses is at the sole election and sole responsibility of Client. • Other than as stated above, the fee quoted above is all inclusive and there are no additional fees, costs or expenses. This Agreement is subject to annual appropriation by the Monroe County Board of County Commissioners. Contract Completion For purposes of this Agreement, contract completion means a job offer has been communicated to and accepted by the selected finalist. Placement Guarantee We always stand behind our full - service searches with a powerful, but remarkably simple, guarantee. Should a candidate leave or be terminated for cause within the first year after they begin their new position (excluding health related issues), we will conduct another search to replace the individual at: • No charge if departure is within the first 4 months; • 30% of the professional fee paid for the initial search within 5 -8 months of start date; or • 60% of the professional fee paid for the initial search within 9 -12 months of start date. • Any travel related expenses approved by Client under the guarantee would be additional. Insurance Consultant hereby certifies that it possesses a vehicle liability policy including hired and non -owned vehicles in the minimum amount of $50,000 per person, $100,000 per occurrence and $25,000 property damage; commercial general liability policy in the minimum amount of $300,000 combined single limit; worker's compensation insurance with The Hartford in the minimum of statutory amounts; and a professional services liability policy with the Philadelphia Insurance Companies in the amount of $300,000 per occurrence and 5500,000 aggregate. Consultant will provide certificates with evidence of insurance for each policy to Client within fourteen (14) days following execution of this Agreement by both Parties, showing the County as an additional insured on the liability policies (only) Principal Consultant Consultant has designated Mr. Doug Kuelpman, President, as both Client and Principal Search Manager. Non - Discrimination Consultant shall refer qualified candidates based solely upon their qualifications for the position requested, without regard to other factors such as qualified candidate's sex, age, marital status, religion, race, color, creed, national origin, citizenship, handicap status, Vietnam Era or disabled veteran status, or any other protected category. 2 Conflicts of Interest Consultant shall solicit information regarding any contractual restrictions (e.g., noncompetition, nondisclosure, nonsolicitation obligations) and any conflicts of interest, actual and potential, a possible qualified candidate might have and shall not refer any qualified candidate to Client that could subject Client to liability or create a conflict of interest. For purposes of this Agreement, a conflict of interest shall include professional or personal interests of an Independent Contractor that may compete with employment or an assignment. This obligation shall be continuing with respect to Independent Contractors assigned to Consultant. Termination Both Parties retain the right to terminate this Agreement at any time. Upon termination notice, Consultant will cease work and provide documentation of work completed to date of termination. Consultant will be compensated for all activity (professional fees) that has been performed at the date of termination per the terms of this Agreement, on a pro -rata basis. Indemnification Consultant shall indemnify and hold harmless Client and their respective officials, board members, employees, associates, and representatives from all liabilities, costs or damages (including reasonable attorneys' fees) that may arise from any action or inaction of Consultant's officials, employees, associates, and representatives in connection with the performance of the services outlined herein. Applicable Law and Venue This Agreement will be construed in accordance with the laws of the State of Florida. Venue for any action brought pursuant to this Agreement will be in Monroe County, FL. PUBLIC RECORDS Pursuant to F.S. 119.0701, Contractor and its subcontractors shall comply with all public records laws of the State of Florida, including but not limited to: a. Keep and maintain public records required by Monroe County in order to perform the service. b. Upon request from the public agency's custodian of public records, provide the public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Florida Statutes, Chapter 119 or as otherwise provided by law. c. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the contractor does not transfer the records to the public agency. d. Upon completion of the contract, transfer, at no cost, to Monroe County all public records in possession of the contractor or keep and maintain public records required by the public agency to perform the service. If the contractor transfers all public records to the public agency upon completion of the 3 contract, the contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the contractor keeps and maintains public records upon completion of the contract, the contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to Monroe County, upon request from the public agency's custodian of records, in a format that is compatible with the information technology systems of Monroe County. Holidays, vacations, and industry conference schedules need to be considered as well. Overall, a typical selection process would run from 2.5 - 3 months to have someone selected and under contract. Installment 3: 34% due after contract completion: • We do not add any overhead fees to the fees described above. • ADK's fees are non - contingent and consistent with the standards of the retained search profession. • Out -of- pocket expenses, as approved and requested by Client, for consultant travel, lodging, and search committee meeting expenses are billed separately at cost per Client's travel guidelines. Travel to Client's location will be made at Client's request and billed for expenses only. • There is no charge for video recordings. • We do not charge an additional fee for administrative and clerical support, teleconferencing, office copies, and computer /telephone usage. • We will, however, charge at cost for reproduction, binding, and courier services if requested by Client. All deliverables are provided to Client at no cost electronically. • Reimbursement of candidate travel expenses is the responsibility of Client. Contract Completion For purposes of this Proposal, contract completion means a job offer has been communicated to and accepted by the selected finalist for executive searches. For the compensation survey, contract completion means final copies of the study, per Agreement, have been delivered to the Client. Notice to Proceed ADK can supply a simple Services Agreement for execution, accept a Purchase Order referencing this proposal, or can sign a Professional Services Agreement supplied by Client.
