(the " KWBTS Association "). WITNESSETH: WHEREAS, the KWBTS Association is the property manager of the KWBTS Condominium Complex located in the City of Key West, County of Monroe, State of Florida; and WHEREAS, the County is the owner and operator of the Key West International Airport (the "Airport"), situated in the City of Key West, County of Monroe, State of Florida, and in close proximity to the KWBTS Condominium Complex; and WHEREAS, the KWBTS Association manages the KWBTS Condominium Complex, where several of the condominium owners (the "Property Owners ") have elected to participate in the Key West International Airport's Noise Insulation Program (the "Program ") and, as part of the Program, have elected to obtain acoustical treatments and improvements to their KWBTS condominium (the "Property "); said Program Improvements to be paid for by the County at no cost to the Property Owners in exchange for the granting to the County of an avigation easement over, across and through the Property; and WHEREAS, the Program is a voluntary project, and the Property Owners have fully agreed to the Program; and WHEREAS, the County is not under any obligation to install the Program Improvements; and WHEREAS, the County will enter into a construction contract with a general contractor (the "Contractor') to provide the installation of the Program Improvements to the participating Properties; and WHEREAS, as part of the Program, the Contractor will utilize pre - approved parts of the Association property not included within the unit condominium boundaries (the "Common Grounds ") for storage and equipment staging requirements; and WHEREAS, the County or Contractor, not the Property Owners, will obtain the requisite permits necessary for construction of the Program; however, the Property Owners may be required to sign certain application or permission forms in order for the contractor to use the Property, and KJVBTS Association Noise Insulation Agreement Page I of 10 01 I% WHEREAS, the KWBTS Association is aware of the potential danger to the Common Grounds, in particular, the existing paved and landscaped areas, and other collateral damage, which may not be readily apparent, or which may not manifest itself until long after the Program is completed; and WHEREAS, in spite of the inherent risks, the KWBTS Association has requested the Program go forward. The KWBTS Association, in exchange for the County's agreement to install Program Improvements, agrees to hold the County harmless, now and forever, from any liability related to the Program performed at KWBTS; and WHEREAS, the Program is managed by the consultant team consisting of a team manager and assistant manager, architect, mechanical / electrical engineer, acoustician and construction manager selected by the County (the "Program Manager'); and WHEREAS, the KWBTS Association and the County mutually desire to agree to the terms upon which the Key West by the Sea Property Owners will participate in the Program and receive the "Program Improvements" upon the terms and conditions provided in their Noise Insulation Agreement, NOW, THEREFORE, in consideration of the terms, covenants and conditions set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the KWBTS Association and the County hereby agree as follows: 1. Program Partnership Requirements Simultaneously with the execution of this Agreement, the KWBTS Association shall provide and establish a partnership with the Program Manager and Contractor to ensure that the Property Owners receive the Program Improvements per the designated Program project schedule, to maximize Program success and overall cost efficiency. 2. Program Communication Requirements Simultaneously with the execution of this Agreement, the KWBTS Association shall provide and establish a full line of communication with the Program Manager to ensure compliance with all Program needs, schedules and site access requirements to maximize Program success and overall cost efficiency. Furthermore, if required, the KWBTS Association shall agree to assist the Program Manager in the communication to participating Property Owners to ensure contact information is correct and current. 3. Impeding Competitive Bid Process The KWBTS Association shall not impede or interfere with the Contractor's ability to select between approved product manufacturers and subcontractors in the preparation of bid submittals. To insure a competitive bid environment, the KWBTS Association is prohibited from having any discussion or communication with the Contractor in relation to the Program, the contractor's bid, or this Agreement until after award of the construction contract by the County. Program Construction Requirements Simultaneously with the execution of this Agreement, the KWBTS Association agrees to make every effort to meet all Program and Contractor requirements during the Program construction process in an effort to maximize Program success and overall cost efficiency. The KWBTS Association agrees to: a. provide on -site space for Contractor storage and equipment staging requirements, as shown on Attachment 1, Site Mobilization Plan, which may be updated from time to time. b. allow the Contractor to erect a temporary power pole, which includes a meter to monitor the usage. The power will be supplied by the local utility and the cost will be covered by the Contractor, which will not impact the usage of KWBTS. C. allow the Contractor to use a hose bib. The Contractor will provide a flow monitoring device to document the usage and the cost will be covered by the Contractor, which will not impact the usage of KWBTS. d. allow the Contractor to erect scaffolding on the Courtyard elevation of Buildings A, B, and C (and building ends) to meet strict "high rise" construction safety requirements. Scaffolding will be limited to only one (1) building quadrant, of the Building under construction, at a time, as shown on Attachment 2, Construction Phasing Plan, which may be updated from time to time. e. allow the Contractor to utilize an Hydraulic Hoist on the Building A, B, and C Parking Lot Elevation as the primary method of delivering construction materials and products to floors above the ground floor, as shown on Attachment 1, Site Mobilization Plan, which may be updated from time to time. 5. Cleaning of Project Site. It is the responsibility of the Contractor to keep the active construction area of the site clean on a daily basis. The active construction area and immediate adjacent areas will be policed at the end of the day to minimize the accidental distribution of construction debris. Prior to requesting inspection for certification of Substantial Completion at each condominium unit, the Contractor will clean the Project site, yard, and grounds, in areas disturbed by construction activities, of rubbish, waste material and other foreign substances; sweep exterior paved areas broom clean; remove all spills, stains, and other foreign deposits; remove tools, construction equipment, machinery, and surplus material from Project site; clean exposed exterior and interior hard - surfaced finishes to a dirt-free condition, free of stains, films, and similar foreign substances. The Contractor will avoid disturbing natural weathering of exterior surfaces and will restore reflective surfaces to their original condition. 6. Security. The Contractor is to maintain security at all times during construction. 7. Site Restoration. Once the Program is complete, the Contractor will return the property to its original or better condition which includes filling, grading, seeding, fertilizing, watering and other maintenance. Restored areas shall be the responsibility of the Contractor until the area has been brought back to `original condition." The KWBTS Association, in consideration of the mutual covenants previously acknowledged, hereby grants and conveys to the County, a Right of Entry over the Common Grounds, for the purpose set forth in this Agreement, said Right of Entry given to the County and their assigns from the date the Notice to Proceed is issued to the contractor. 9. Safe Working Environment In order to ensure a safe working environment the KWBTS Association shall agree to postpone all other KWBTS major construction and /or improvement projects, scheduled to occur in the same building as Program construction, that may impede the Contractor's schedule, site area and site access, or which would place the Program Manager, Contractor, subcontractors, suppliers, and City, County, State and federal inspectors in a hazardous working environment. Normal routine maintenance activities are not subject to this restriction. In the event the KWBTS Association fails to meet any of the foregoing conditions, the Program Manager shall notify the KWBTS Association in writing, stating the corrective action(s) and /or condition(s) required to be completed or performed by the KWBTS Association prior to the County resuming the Program process. 10. Force Maieure For the purpose of this Agreement, an "Event of Force Majeure" means any circumstance not within the reasonable control of the Party affected, but only if and to the extent that such circumstance materially and adversely affects the ability of the Party to perform its obligations under this Agreement, and such Party has taken all reasonable precautions, due care and reasonable alternative measures in order to avoid the effect of such event on the Party's ability to perform its obligations under this Agreement and to mitigate the consequences thereof. Events of Force Majeure shall include, but not be limited to: hurricanes, floods, lightning, tornadoes, fire, or such other extreme weather or environmental conditions, unanticipated geological or ground conditions, or other natural calamities and acts of God. Either Party shall be excused from performance and shall not be in default in respect of any obligation hereunder to the extent that the failure to perform such obligation is due to a Force Majeure Event. If a Party wishes to claim protection in respect of an Event of Force Majeure, it shall, as soon as possible following the occurrence or date of commencement of such Event of Force Majeure, notify the other Party of the nature and expected duration of such Event of Force Majeure and shall thereafter keep the other Party informed until such time as it is able to perform its obligations. The Parties shall use their reasonable endeavors to: (i) overcome the effects of the Event of Force Majeure; (ii) mitigate the effect of any delay occasioned by any Event of Force Majeure; and (iii) ensure resumption of normal performance of this Agreement as soon as reasonably practicable and shall perform their obligations to the maximum extent practicable. 11. Failure to Meet Requirements. Failure of the KWBTS Association to comply with all of the above provisions shall, at the option of the County in its sole discretion, result in disqualification from the Program and cancellation of this Agreement. Furthermore, in the event that any failure results in additional Program costs, the KWBTS Association shall be liable to the County and /or Contractor for any and all resulting damages and all direct and indirect costs related thereto. k H BTSAssociation Noise Insulation Agreement Page 4 of 10 ,� 1 12. Termination of Agreement The KWBTS Association understands that the signing of this Agreement initiates the Program and Program Improvements to the Properties and Property Owners. Therefore, if the KWBTS Association attempts to terminate this Agreement or otherwise impedes the progress of the performance of the Program and/or Program Improvements, the KWBTS Association will be liable to the County for any and all damages and all direct and indirect costs caused thereby. 13. General Conditions a. Governing Law, Venue, Interpretation, Costs, and Fees. (1) This Agreement shall be governed by and construed in accordance with the Laws of the State of Florida applicable to contracts made and to be performed entirely in the State. (2) In the event that any cause of action or administrative proceeding is instituted for the enforcement or interpretation of this Agreement, the County and KWBTS Association agree that venue will lie in the appropriate court or before the appropriate administrative body in Monroe County, Florida. (3) The County and KWBTS Association agree that, in the event of conflicting interpretations of the terms or a term of this Agreement by or between any of them, the issue shall be submitted to mediation prior to the institution of any other administrative or legal proceeding. (4) The County and Key West by the Sea Condominium Complex Building Management agree that in the event any cause of action or administrative proceeding is initiated or defended by any party relative to the enforcement or interpretation of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, court costs, investigative, and out -of- pocket expenses, as an award against the non - prevailing party. Mediation proceedings initiated and conducted pursuant to this Agreement shall be in accordance with the Florida Rules of Civil Procedure and usual and customary procedures required by the circuit court of Monroe County. b. Binding Effect. The terms, covenants, conditions, and provisions of this Agreement shall bind and inure to the benefit of the County and KWBTS Association and their respective legal representatives, successors, and assigns. C. Severability. If any term, covenant, condition or provision of this Agreement (or the application thereof to any circumstance or person) shall be declared invalid or unenforceable to any extent by a court of competent jurisdiction, the remaining terms, covenants, conditions and provisions of this Agreement shall not be affected thereby; and each remaining term, covenant, condition and provision of this Agreement shall be valid and shall be enforceable to the fullest extent permitted by law unless the enforcement of the remaining terms, covenants, conditions and provisions of this Agreement would prevent the accomplishment of the original intent of this Agreement. d. Authority Each party represents and warrants to the other that the execution, delivery and performance of this Agreement have been duly authorized by all necessary County and KWBTS Association action, as may be required by law. Duration of Agreement This Agreement shall commence upon the execution of this Agreement, subsequent to execution by the KWBTS Association and by the County and shall remain in effect for a period reasonably required to affect the Program Improvements (the "Term "), except as may be sooner terminated in accordance with the provisions of this Agreement. f. Acceptance of Gifts, Grants, Assistance Funds, or Bequests The County and KWBTS Association agree that each shall be, and is, empowered to accept for the benefit of any or all of them, gifts, grants, assistance funds, or bequests to be used for the purposes of this Agreement. g. Claims for Federal or State Aid. The County and KWBTS Association agree that each shall be, and is, empowered to apply for, seek, and obtain federal and state funds to further the purpose of this Agreement; provided that all applications, requests, grant proposals, and funding solicitations by the KWBTS Complex Building Management shall be approved by the County prior to submission. h. Adjudication of Disputes or Disagreements. The County and KWBTS Association agree that all disputes and disagreements shall be attempted to be resolved by meet and confer sessions between representatives of each of the parties. If the issue or issues are still not resolved to the satisfaction of the parties, then any party shall have the right to seek such relief or remedy as may be provided by this Agreement or by Florida law. i. Nondiscrimination. The County and KWBTS Association agree that there will be no discrimination against any person, and it is expressly understood that upon a determination by a court of competent jurisdiction that discrimination has occurred, this Agreement automatically terminates without any further action on the part of any party, effective the date of the court order. The County and KWBTS Association agree to comply with all Federal and Florida statutes, and all local ordinances, as applicable, relating to nondiscri mination. These include but are not limited to: (1) Title VII of the Civil Rights Act of 1964 (PL 88 -352) which prohibits discrimination on the basis of race, color or national origin; 2) Title IX of the Education Amendment of 1972, as amended (20 USC ss. 1681 -1683, and 1685 - 1686), which prohibits discrimination on the basis of sex; 3) Section 504 of the Rehabilitation Act of 1973, as amended (20 USC s.794), which prohibits discrimination on the basis of handicaps; 4) The Age Discrimination Act of 1975, as amended (42 USC ss. 6101 -6107) which prohibits discrimination on the basis of age; 5) The Drug Abuse Office and Treatment Act of 1972 (PL 92 -255), as amended, relating to nondiscrimination on the basis of drug abuse; 6) The Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation Act of 1970 (PL 91 -616), as amended, relating to nondiscri mination on the basis of alcohol abuse or alcoholism; 7) The Public Health Service Act of 1912, ss. 523 and 527 (42 USC ss. 690dd -3 and 290ee -3), as amended, relating to confidentiality of alcohol and drug abuse patient records; 8) Title VIII of the Civil Rights Act of 1968 (42 USC s. et seq.), as amended, relating to nondiscrimination in the sale, rental or financing of housing; 9) The Americans with Disabilities Act of 1990 (42 USC s. 1201 Note), as maybe amended from time to time, relating to nondiscrimination on the basis of disability; 10) Monroe County Code Chapter 14, Article II, which prohibits discrimination on the basis of race, color, sex, religion, national origin, ancestry, sexual orientation, gender identity or expression, familial status or age; and 11) Any other KTVB TS Association Noise Insulation Agreement Page 6 of 10 nondiscrimination provisions in any Federal or state statutes which may apply to the parties to, or the subject matter of, this Agreement. j. Cooperation In the event any administrative or legal proceeding is instituted against either party relating to the formation, execution, performance, or breach of this Agreement, the County and KWBTS Association agree to participate, to the extent required by the other party, in all proceedings, hearings, processes, meetings, and other activities related to the substance of this Agreement or provision of the services under this Agreement. The County and KWBTS Association specifically agree that no party to this Agreement shall be required to enter into any arbitration proceedings related to this Agreement or any Attachment or Addendum to this Agreement. k. Books, Records, and Documents. The County and KWBTS Association shall maintain books, records, and documents directly pertinent to performance under this Agreement in accordance with generally accepted accounting principles consistently applied. Each party to this Agreement or their authorized representatives shall have reasonable and timely access to such records of each other party to this Agreement for audit purposes during the term of the Agreement and for four years following the termination of this Agreement. I. Covenant of No Interest. The County and KWBTS Association covenant that neither presently has any interest, and shall not acquire any interest, which would conflict in any manner or degree with its performance under this Agreement, and that only interest of each is to perform and receive benefits as recited in this Agreement. M. Code of Ethics The County agrees that the officers and employees of the County recognize and will be required to comply with the standards of conduct relating to public officers and employees as delineated in Section 112.313, Florida Statutes, regarding, but not limited to, solicitation or acceptance of gifts; doing business with one's agency; unauthorized compensation; misuse of public position, conflicting employment or contractual relationship; and disclosure or use of certain information. n. No Solicitation /Payment. The County and KWBTS Association warrant that, in respect to itself, it has neither employed nor retained any company or person, other than a bona fide employee working solely for it, to solicit or secure this Agreement and that it has not paid or agreed to pay any person, company, corporation, individual, or firm, other than a bona fide employee working solely for it, any fee, commission, percentage, gift, or other consideration contingent upon or resulting from the award or making of this Agreement. For the breach or violation of this provision, the KWBTS Association agrees that the County shall have the right to terminate this Agreement without liability and, at its discretion, to offset from monies owed, or otherwise recover, the full amount of such fee, commission, percentage, gift, or consideration. o. Public Access. The County and KWBTS Association shall allow and permit reasonable access to, and inspection of, all documents, papers, letters, or other materials subject to the provisions of Chapter 119, Florida Statutes, and made or received by the County and KWBTS Association in conjunction with this Agreement; KTVB TS Association Noise Insulation Agreement Page 7 of 1 0 Iq and the County shall have the right to unilaterally cancel this Agreement upon violation of this provision by the KWBTS Association . p. Non - Waiver of Immunity. Notwithstanding the provisions of Sec. 768.28, Florida Statutes, the participation of the County and KWBTS Association in this Agreement and the acquisition of any commercial liability insurance coverage, self - insurance coverage, or local government liability insurance pool coverage shall not be deemed a waiver of immunity by the County to the extent of liability coverage, nor shall any contract entered into by the County be required to contain any provision for waiver. q. Privileges and Immunities All of the privileges and immunities from liability; exemptions from laws, ordinances, and rules; and pensions and relief, disability, workers' compensation, and other benefits which apply to the activity of officers, agents, volunteers, or employees of the County, when performing their respective functions under this Agreement within the territorial limits of the County shall apply to the same degree and extent to the performance of such functions and duties of such officers, agents, volunteers, or employees outside the territorial limits of the County. r. Legal Obligations and Responsibilities; Non - Delegation of Constitutional or Statutory Duties. This Agreement is not intended to, nor shall it be construed as, relieving any participating entity from any obligation or responsibility imposed upon the entity by law except to the extent of actual and timely performance thereof by any other participating entity, in which case the performance may be offered in satisfaction of the obligation or responsibility. Further, this Agreement is not intended to, nor shall it be construed as, authorizing the delegation of the constitutional or statutory duties of the County, except to the extent permitted by the Florida constitution, state statutes, case law, and, specifically, the provisions of Chapters 125 and 163, Florida Statutes. S. Non - Reliance by Non - Parties. No person or entity shall be entitled to rely upon the terms, or any of them, of this Agreement to enforce or attempt to enforce any third -party claim or entitlement to or benefit of any service or program contemplated hereunder, and the County and KWBTS Association agree that neither the County nor KWBTS Association or any agent, officer, or employee of each shall have the authority to inform, counsel, or otherwise indicate that any particular individual or group of individuals, entity or entities, have entitlements or benefits under this Agreement separate and apart, inferior to, or superior to the community in general or for the purposes contemplated in this Agreement. t. Attestations. The KWBTS Association agrees to execute such documents as the County may reasonably require in the performance of the obligations and duties of the County or KWBTS Association under this Agreement. U. No Personal Liability No covenant or agreement contained herein shall be deemed to be a covenant or agreement of any member, officer, agent or employee of Monroe County in his or her individual capacity, and no member, officer, agent or employee of Monroe County shall be liable personally on this Agreement or be subject to any personal liability or accountability by reason of the execution of this Agreement. Execution in Counterparts This Agreement may be executed in any number of counterparts, each of which shall be regarded as an original, all of which taken together shall constitute one and the same instrument and any of the parties hereto may execute this Agreement by signing any such counterpart. W. Section Headings Section headings have been inserted in this Agreement as a matter of convenience of reference only, and it is agreed that such section headings are not a part of this Agreement and will not be used in the interpretation of any provision of this Agreement.
