AGENDA ITEM WORDING: Approval of Amendment 1 to the Agreement for Consulting

ITEM BACKGROUND: Estimated cost for services were anticipated to be $49,999.99, the
County tasked the Consultant to perform additional work beyond the end date of December 12, 2017
and therefore the agreement must be amended to extend the end date to March 30, 2018 and to
increase the total not to exceed amount by $5,000.00.

AMENDMENT 1
TO THE AGREEMENT FOR CONSULTING SERVICES FOR COMMUNICATIONS AND
PUBLIC RELATIONS DURING AND AFTER HURRICANE IRMA
THIS AMENDMENT is made and entered into this 16 day of May, 2018 by and between Monroe
County, a political subdivision of the State of Florida, whose address is 1100 Simonton Street, Key
West, Florida, 33040, its successors and assigns, hereinafter referred to as "COUNTY," through the
Monroe County Board of County Commissioners ( "BOCC "),
AND
Stuart Newman Associates, Inc., a State of Florida Corporation, whose address is 2140 South
Dixie Highway, Suite 203, Miami, FL 33133 its successors and assigns, hereinafter referred to as
"CONTRACTOR" or "CONSULTANT ",
WITNESSETH:
WHEREAS, COUNTY and the CONSULTANT entered into an Agreement for communication
and public relation services as a result of Hurricane Irma dated October 5, 2018 ( "AGREEMENT "),
with an effective date of September 12, 2017 and for a term of no more than 90 days as needed to
perform the services, and
WHEREAS, the AGREEMENT was executed by the County Administrator and was for a not to
exceed amount of $49,999.99; and
WHEREAS, while the estimated cost for services were anticipated to be $49,999.99, the County
tasked the CONSULTANT to perform additional work beyond the end date of December 12, 2017 and
therefore the agreement must be amended to extend the end date to March 30, 2018 and to increase
the total not to exceed amount by $5,000.00; and
WHEREAS, all invoices have been provided and the total amount exceeds the original
agreement amount by $5,000.00 which brings the total not to exceed amount to $54,999.99 and thus
this amendment is entered into to allow for payment to be made for services rendered;
NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements stated
herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged,
COUNTY and CONSULTANT agree as follows:
1. Paragraph 7.1.1 of Article VII Compensation, shall be amended to reflect a not to exceed lump
sum amount of $54,999.99.
2. Attachment A, Scope of Work and Pricing, is amended to reflect a total lump sum for the services
of $54,999.99.
3. Paragraph 1.1.8 shall be amended to extend the term date to March 30 2018.
4. In all other respects the Agreement between COUNTY and CONSULTANT, dated October 5,
2017, remains in full force and effect.
