WHEREAS, there was an Agreement entered into on July 15, 2015 between the parties, for Contractor to provide profession website services which include consulting and technological advice relating to the Tourist Development Council (TDC) website; and WHEREAS, there was an Amendment to Agreement on November 22, 2016 to amend Exhibit A of the Agreement which outlines Website Provider Sales Guidelines and to include revised Public Records Compliance language; and WHEREAS, there was an Amendment to Agreement on August 15, 2018 to exercise the option to extend Agreement for one additional two (2) year period; and WHEREAS, the Agreement and subsequent Amendments need to be revised to clarify that the name of the corporation in which the County is contracting with is Cooke Communications, Inc.; NOW, THEREFORE, in consideration of the mutual covenants contained herein the parties agree to the amend Agreement and Amendment One and Amendment Two as follows: 1. The Contractor's name shall be amended to reflect the corporation name of Cooke Communications, Inc. d /b /a Two Oceans Digital and FloridaKeys.com 2. The remaining provisions of the Agreement dated July 15, 2015, as amended, shall remain in full force and effect.
