Prior to going into closed session. A closed attorney-client session pursuant to Section 286.011(8), Florida Statutes, will nowbe held. It is estimated that this meeting will take approximately thirty (30) minutes. For the record, this meeting is being held upon the request of the County Attorney Bob Shillinger who announced at a prior BOCC Meeting held on 12/19/2018 that he needed advice in the matter of AshBritt, Inc. v. Monroe County, FL and Florida Department of Transportation, Case No. CA-K- 17-802. At that meeting, the Board approved holding a closed session and public notice was giventhrough public announcement of the meeting at the 12/19/18 BOCC meeting and through publicationofthe1/23/19 BOCC meeting agenda on the County website. At the 1/23/19 meeting, the Board continued the closed session to 2/20/2019 and public notice was given through public announcement at the 1/23/19 BOCC meeting and through publication of the 2/20/19 BOCC meeting agenda on the County website. So, this is the Ashbritt 22 case, and Chris has a spreadsheet and that spreadsheet 23 details the amounts that we have been billed to date 24 as well as paid today as well as what' s still in 25 dispute . To summarize it , as you' ll see, it' s still in U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 7 1 dispute; it is $1, 091, 610 . 15 . That ' s based on three 2 invoices that they have supplied. Two for putrefied 3 waste, and one for additional haul out costs because 4 they had to take the waste beyond the 130 miles up to- 5 they took it , basically, 147 miles to the waste 6 disposal site . So, as you' ll see on the spreadsheet, 7 so far to date they' ve billed us $17 , 529 , 296 . 97 of 8 which we have processed for payment or actually paid 9 $16 , 269 , 177 . 37 or 92 . 8% of what they've billed us . So, 10 we' re down to the last little bit . Chris has been 11 engaged in settlement negotiations with Ashbritt ; 12 there was settlement conference held back in December 13 21st right after the commission meeting. That didn' t 14 get everything done but, in the meantime, additional 15 information has been exchanged, we've paid some of the 16 invoices , and now we' re down to these three invoices ; 17 amounts which we dispute entirely. We believe we have 18 valid defenses that they were adequately already 19 covered in the contract . Nevertheless, we have a 20 settlement proposal , they' ve offered to take fifty 21 cents on the dollar. So, $545 , 805 . 07 . Chris can give 22 you some background, our recommendation is not to take 23 the $545 , 805 . 07 but we want to get a comfort level for 24 our counter offer so that as a business decision we 25 can figure out a way to wrap this case up without U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 8 1 further litigation expenses, that we can make a 2 counter-proposal . So, I ' ll turn it over to Chris to 3 kind of give you a few more details, but I wanted to 4 set the context . 5 MR . KOLHAGE : Are we saying that the 6 disputed amount never took place or that they are 7 duplicated or what ' s the argument? 8 MR . AMBROSIO : The argument is that the 9 disputed amount consists of work that Ashbritt 10 performed but that they are not entitled to, pursuant 11 to the contract, to be reimbursed for. 12 MR . SHILLINGER : The reimbursement is 13 covered in other parts of the contract . The contract 14 party contemplates how they would be paid for those . 15 MR . KOLHAGE : That we have paid those parts? 16 MR . AMBROSIO : We have . Absolutely. 17 MS . CARRUTHERS : Give me an example because 18 I ' m not familiar . 19 MR . AMBROSIO : Some of the management costs 20 that we already paid for, the putrefied waste 21 according to Judy in the lot , that was part of the 22 contract . 23 MS . CARRUTHERS : So, they weren' t supposed 24 to bill us for the putrefied waste . 25 MR . GASTESI : Right . So, they' re billing us U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 9 1 separate for putrefied waste . But she thinks , 2 strongly, that that was part of what they' ve already 3 been paid for. Did I say that right? 4 MR . AMBROSIO : That sounds right . In 5 addition to that , Ashbritt , as a proposer to the 6 request for proposals, had submitted many questions 7 with respect to requests for information and 8 clarifications with respect to our solicitation; and 9 they never requested that item at all . And it was all 10 contained. The putrefied waste, for example, as Roman 11 was saying, the putrefied waste was contained within 12 the fees that they were paid for handling white goods . 13 That ' s the example for putrefied waste . Also, for 14 additional haul-out, there is an explosive contract 15 provision that lays out haul-out of waste or debris 16 from 130 miles or more . For claims for additional 17 haul-out , Ashbritt ' s claiming 147 miles . Well , the 18 term in the contract provides for greater than 130 19 miles . So, that' s the example for additional haul-out . 20 MR . SHILLINGER : But we've paid them for a 21 haul-out at the 130 rate or are we disputing that 22 amount? 23 MR . AMBROSIO : No . We've paid them up to the 24 130 . 25 MR . SHILLINGER : They' re looking for U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 10 1 additional money beyond that . 2 MR . AMBROSIO : Right . 3 MR . KOLHAGE : Can I skip to the bottom of 4 your chart . Do you have any idea about what you are 5 categorizing as risk of fees and costs? 6 MR . AMBROSIO : I don' t have a great idea of 7 it , but I can tell you that they, at one point , 8 Ashbritt had three different law firms handling this 9 matter . There were many proceedings I attended where 10 they had attorneys from every one of the firms . They 11 had sometimes multiple attorneys from one or two of 12 the firms attend. With respect to an- 13 MR . KOLHAGE : Our risk . What is our risk? 14 MR . AMBROSIO : Well , our risk to fees and 15 costs would be those reasonable fees , and costs that 16 Ashbritt would be able to prove to the court were 17 necessary and reasonable incurred to prosecute their 18 claim. 19 MR . SHILLINGER : If we lost . But with 20 comparison we have paid Johnson and Silno, our outside 21 firm, $85 , 000 in fees . They bill at $175 an hour . It ' s 22 not the rate that I believe that the Moscowitz Firm or 23 Mark Smith would be charging Randy Perkins . For the 24 record, Commissioner Rice is stepping out of the room. 25 MR . AMBROSIO : So, let me just add one more U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 11 1 item to the additional haul-out portion. What they are 2 attempting to do by submitting their additional haul- 3 out invoice, which is 013 , is they' re trying to add on 4 an extra dollar amount to the haul-out mileage . So, 5 there increasing the amount of distance that they had 6 already traveled. They' re trying to add dollar value 7 to the mileage that they were paid for if that 8 explains it . Just as Bob said, we' ve already paid them 9 for that . But they' re trying to add on to a portion of 10 that . For example, the difference between 130 miles 11 and 147 miles ; they are hoping to add on for the 12 additional 17 miles . And like we said, the term is 13 already included in the contract as 130 or greater . 14 MR . KOLHAGE : Is this the only outstanding 15 dispute that we have with Ashbritt , this case? 16 MR . SHILLINGER : Yeah. This is the only 17 pending dispute . And the reason I say pending, they 18 have filed a notice that they have a claim against 19 Adventure Environmental on something with debris . But 20 they haven' t brought us into it because- their dispute 21 with Adventure is they, apparently, had a business 22 arrangement and they believe they' re owed some of 23 Adventure Environmentals profits . We' re not a party to 24 that dispute . Our payments could be subject to a 25 garnishment if they got that far, but we' re not in U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 12 1 that at that point . So, I don' t, in my mind, consider 2 that to be the dispute between us and Ashbritt right 3 now, but I wanted to make sure that you understood. 4 MR . KOLHAGE : Okay. 5 MR . AMBROSIO : And, just to follow up a 6 little bit with Bob' s introduction about the 7 settlement conference that Ashbritt requested in 8 December of last year- 9 MR . SHILLINGER : For the record, 10 Commissioner Rice just came back in the room. 11 MR . AMBROSIO : So, we met at that settlement 12 conference, it was an informal conference requested by 13 Ashbritt ; it wasn' t attended by a mediator . And, we 14 addressed all of the concerns and questions and 15 disputes that existed at that point, December 2018 . We 16 prepared all the materials that were needed for 17 Ashbritt , and we were reiterating exactly what Judy 18 has been informing them of for a year. And, 19 ultimately, we were able to resolve- 20 MR . SHILLINGER : Just for the record, we are 21 working through lunch because of a tight schedule 22 today. 23 MR . AMBROSIO : So, we were able to resolve 24 most of the items and invoices that were in dispute 25 after Ashbritt supplemented and amended and corrected U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 13 1 the invoices which we asked them to do over a year ago 2 but subsequent to the meeting they then provided Judy 3 with the necessary materials . And, as Bob said, we 4 have paid out and paid on all of those invoices that 5 were not in dispute . The only remaining ones are those 6 three, 003 , 011, and 013 . 7 MR . KOLHAGE : Madame Mayor, I , by a head 8 not, I would like to see you go forward with the 9 counter offer that you've expressed. 10 MR . GASTESI : I understand the business 11 decision but , you know, Soufa still haunts me every 12 now and then when I hear that we settled with them or 13 we gave them money because we made a business 14 decision . Is there any way to express it or to make 15 this counter offer but it' s not, and say that it ' s a 16 business ; it ' s not that we' re giving in? It just seems 17 like- I don' t know about you guys but that Soufa thing 18 bothers me every time I read it, that we gave in to 19 them. And it was the same thing because I think the 20 number was in the 300 , 000 range and we gave them 21 45 , 000 or 48 , 000 . So, is there any way to express it 22 when we do give them counter-offer that it ' s not- 23 MR . SHILLINGER : Sure . It ' s not an admission 24 of any wrongdoing or liability. It ' s done to resolve 25 how they contested- U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 14 1 MR . GASTESI : To save us legal fees . 2 MR . SHILLINGER : Correct . That language is 3 in all agreements so you' re going to have that risk. 4 But we can certainly work towards that . And, in this 5 regard, I believe Ashbritt , based on what Chris' s 6 conversations he' s relayed with their general counsel , 7 they' re looking to settle . As opposed to Soufa, they 8 were looking to make a public relations case . You know 9 Randy Perkins better than I , whether he' s going to 10 make a public relations issue out of this or not . 11 MR . GASTESI : The other lawsuit ; we can' t 12 mention it in this? 13 MR . SHILLINGER : No, they' re separate . 14 MR . KOLHAGE : I don' t know, you all can work 15 that out . I will say this ; I understand your concern 16 Roman, but I will also say I think, from what I ' ve 17 heard over the years , the public doesn' t like the 18 county being involved in litigation, it goes on and on 19 and on . They don' t like that , either . It is a 20 balancing act and looking at the proposal , it seems 21 reasonable to me, and that ' s how I feel . 22 MR . SHILLINGER : Chris, tell us a little 23 about the conversations with Mr. Moscowitz , the 24 outside counsel for Mr . Moscowitz Senior . 25 MR . AMBROSIO : Sure . The most recent U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 15 1 conversations, I would say starting from the 2 settlement conference, was indicated that- first of 3 all , leading up to it, Mr. Moscowitz asked for us to 4 hurriedly please have a settlement conference prior to 5 Christmas ; there are changes that are occurring so, 6 please hurry. So, we did. Judy, Jeff Hawkman and 7 myself , we hurried for them. At the settlement 8 conference, his discussions were geared towards 9 resolving the invoices that were in dispute, and he 10 definitely attempted to avoid any of the arguments 11 that we have that Jeff and I believe are very 12 favorable for us to continue to defend these disputed 13 items . Mr. Moscowitz wasn' t interested in trying to 14 make those arguments against us because the law, I 15 can' t give any guarantees for results, but the law is 16 so favorable for us on these disputed items that 17 aren' t express terms in the contract . Mr . Moscowitz 18 didn' t want to confront that situation; he steered the 19 course of conversation right back to hoping to resolve 20 and settle . It seemed that in the way that he was 21 expressing himself at that conference, it appeared 22 that he and his firm were not going to be serving as 23 Ashbritt ' s counsel much longer . A lot of conversation 24 in past tense, as if he had been representing 25 Ashbritt . Then after the conference, he' s reached out U. S . LEGAL SUPPORT www.uslegalsupport . com Closed Session Meeting February 20 , 2019 16 1 to us several times to ask what the likelihood is of 2 Ashbritt obtaining this $545 , 000 some odd dollars from 3 the county. He' s reached out several times to find out 4 where the county is at in terms of approving some sort 5 of continuing settlement negotiations, how much longer 6 do they have to wait . And, also on occasion, Mr. Bart 7 Smith would step in and begin to communicate with Jeff 8 and I , rather than Mr. Moscowitz . So, it ' s kind of 9 indicating that Mr . Moscowitz isn' t going to be 10 onboard as counsel much longer, but he' s still the 11 main contact for us in terms of settlement 12 discussions . In addition to that , he certainly 13 approved a continuation of the scheduling order. And 14 in litigation, as you know, that ' s the critical court 15 order that sets all due dates where we have to comply 16 with discovery deadlines and filing deadlines and 17 marching towards a trial docket date . I would even 15 recommend that we wait until that hearing is concluded 16 and we get a scheduling order, which then applies more 17 pressure to Ashbritt that this case could take you 18 longer to have to prosecute and get the trial . And 19 still , we haven' t communicated The Board' s counter- 20 offer to them yet . One thing that might do is, have 21 them bid against themselves . Which is that Ashbritt is 22 getting antsy to resolve and settle the case, they' re 23 not getting an immediate response from the county; 24 they' re basically hovering at $545 , 000 as their offer. 25 They may reduce that number if we do not immediately U. AMBROSIO : It ' s an old tactic I 've used 14 in the past in which you see all the indications that 15 a plaintiff is really trying to get their case 16 settled. It' s an indication; the plaintiff doesn' t 17 want to go to trial , they don' t like the arguments 18 that they have, they don' t feel the law is on their 19 side, they' re not eager to try to get this in front of 20 a jury or a judge, and you wait them out . It ' s the old 21 wait game, and there is some risk that applies to it . 22 Especially with certain personalities .
