USA Parking System, Inc. for parking lot management services at the Key West International
Airport pending receipt of sealed proposals and a new contract being awarded.
Attached is an electronic copy of Item C11, 3rd Amendment to Contract with Cliffhanger
Janitorial, Inc., for janitorial services at the Key West International Airport, renewing the
agreement for one year and increasing total contract from $411,764.11 a year to $419,587.63 a
year for annual CPI adjustment of 1.9%.

1ST AMENDMENT TO MANAGEMENT AGREEMENT FOR PARKING
LOT MANAGEMENT SERVICES AGREEMENT
USA PARKING SYSTEM
KEY WEST INTERNATIONAL AIRPORT
THIS 1sT AMENDMENT agreement is entered into this 20th day of
February 2019, by and between Monroe County, a political subdivision of the State
of Florida, (hereafter "County" or "Owner"), whose address is 1100 Simonton Street, Key
West, Florida, 33040 and USA Parking System, Inc., a Tennessee Corporation registered to
do business in Florida (hereafter "Contractor" or "Operator), whose address is 2401 21st
Avenue, Nashville, Tn. 37212.
WHEREAS, on the 1st day of March 2016, the parties entered into a contract to operate
and manage certain parking facilities at Key West International Airport (Airport), hereafter
original agreement; and
WHEREAS, under the terms of the original agreement if the Contractor desired to
renew the original agreement the Contractor was required to submit a request to renew to the
Owner by providing written notice to Owner not less than one hundred eighty (180) days prior
to the scheduled termination date of the initial term; and
WHEREAS, no such notice was received by the Owner; and
WHEREAS, in the absence of said renewal notice Owner shall be issuing a bid
solicitation in accordance with the county's purchasing and procurement policy for operation
and management of the Airport parking facilities currently performed by Contractor; and
WHEREAS, the County will not have enough time to issue the solicitation, select,
award and execute a new contract prior to the expiration of the current contract; now, therefore,
IN CONSIDERATION of the mutual promises and covenants set forth below, the
parties agree as follows:
Section 1. Paragraph 1.01 of the original agreement is amended to read:
1.01. Term. This Agreement shall be on a month to month basis commencing on
March 1, 2019. The County may terminate this contract upon 30 days written
notice
Section 2. Paragraph 1.02 of the original agreement is deleted in its entirety.
Section 3. Except as set forth in Section one and two of this 1st Amendment Agreement, in
all other respects, the terms and conditions of the original agreement remain in full force and
effeet
