FUNDING AGREEMENT
between
QUARRY BIG COPPITT, LTD. and QUARRY BIG COPPITT II, LTD.,
and
MONROE COUNTY BOARD OF COUNTY COMMISSIONERS
This Agreement ("Agreement") is made this I t/`J day of ityn I , 2019, by and
between Quarry Big Coppitt, Ltd., a Florida limited partnership ("Quarry I") and Quarry Big
Coppitt II, Ltd., a Florida limited partnership ("Quarry II"), as successors in interest to Quarry
Partners, LLC, a Florida limited liability company ("Quarry") (collectively, "Developers") each
having its principal place of business at 3030 Hartley Road, Suite 310, Jacksonville, Florida
32257 and the Monroe County Board of County Commissioners, a political subdivision of the
State of Florida, whose address is 1100 Simonton Street, Key West, Florida 33040
(hereinafter referred to as the "County").
Recitals
WHEREAS, on February 21, 2018, the County entered into a Development Agreement
with Quarry, attached hereto as Exhibit "A," ("Development Agreement"), whereby the
County agreed to contribute up to $950,000 toward Quarry's actual construction costs
towards (a) roadway and bridge improvements on an easement area identified in the
Development Agreement, (b) Turn Lane work, as that term was defined in the Development
Agreement, (c) road work necessary to access/connect to the Calle Uno/Dos Access, as that
term was defined in the Development Agreement, and (d) if applicable, a US 1 Easement,
also as defined in the Development Agreement.). The subject roadway (Road) travels from
Big Coppitt Key to Rockland Key over a newly constructed bridge, and is to 1) connect
directly from the Housing Project to US 1 ("US 1 Direct Connection"), or if not possible, (2)
connect to Calle Dos and then enter onto US 1 through Calle Uno ("Calle Uno
Improvements"); and
WHEREAS, as part of obtaining Low Income Housing Tax Credit (LIHTC) financing,
Quarry conveyed the Housing Project property and all development rights to Quarry I and
Quarry II; and
WHEREAS, the County has requested additional roadway improvements on the Road
(the "Additional Improvements") consisting of approximately 1,500 linear feet of bike lanes
and approximately 1,400 linear feet of landscaping. The improvements requested by the
County, in addition to some unforeseen costs associated with constructing the road are
estimated to cost Six Hundred Thirty Two Thousand, Eight Hundred Seventy Two dollars
and Eighty Cents $632,872.80). The revised plans for the Additional Improvements are
attached hereto as Exhibit B; and
WHEREAS, the Development Agreement contains an erroneous calculation of the
wastewater system development fee. The contemplated amount of $4,500 per Equivalent
Dwelling Unit for Two Hundred Eight (208) affordable dwelling units has increased, based
on the consumer price index adjustment, to $5,382.86 per EDU. In addition, the developer

has added (1) EDU for a common area that was not included in the original estimate, for a
total of Two Hundred Nine (209) EDUs. As a result, as of February 1, 2019, the total cost of
the wastewater system development fee equals $1,125,017.74, an increase of $189,017.74
from that set forth in the development agreement.
NOW THEREFORE, in consideration of the mutual promises contained herein, and
other good and valuable consideration, the parties agree as follows:
1. ROADWAY IMPROVEMENTS.
County agrees to pay to Quarry I and Quarry II, for the Roadway Improvements and
Additional Improvements, One Million Five Hundred Eighty Two Thousand Eight
Hundred Seventy Two Dollars and Eighty Cents ($1,582,872.80) ("Roadway and
Additional Improvement Payment") for the Road improvements and Additional
Improvements but to exclude the Calle Uno Improvement. The Roadway and
Additional Improvement Payment are based on the most recently submitted plans
dated March 14, 2019 ("3/14/19 Plans") attached hereto as Exhibit "B", which have
been submitted to the County prior to execution of this Agreement.
A. Quarry I and Quarry II further agrees to provide a set of as-built plans within
ninety (90) days following completion of the Roadway and Additional Improvements.
B. Monroe County does hereby agree to the Roadway and Additional
Improvement Payment as follows:
(i) $527,624.26 prior to the commencement of the construction of the Roadway
and Additional Improvement Construction, provided that all applicable permits
and approvals have been obtained;
(ii) $527,624.27 upon Monroe County's receipt of reasonable certification from the
engineer of record that the Road Improvement is fifty percent (50%) complete; and
(iii) The amount remaining to complete the Road Improvement, up to $527,624.27
upon Monroe County's receipt of certification from the engineer of record that (i) the
Road Work is complete in accordance with the 3/14/19 Plans, (ii) meets Monroe
County standards and (iii) is ready for operation and dedication to Monroe County as
a public road and acceptance by Monroe County. Upon such certification, Monroe
County agrees to accept conveyance of the Road Improvement from the southern end
of the approach to the bridge as shown on the 3/14/19 Plans until the U.S. 1 Direct
Connection, or if the Developer is unable to complete the U.S. 1 Direct Connection,
to Calle Dos. The County shall not pay any costs for construction of any portion of
the roadway, including the bridge, north of the southern end of the approach to the
bridge as shown on 3/14/19 Plans as that will remain in private ownership.
2. WASTEWATER SYSTEM DEVELOPMENT FEE PAYMENT
Monroe County agrees to pay $5,382.86 per Equivalent Dwelling Unit for the Quarry
I and Quarry ll's Two Hundred Eight Affordable Residential Dwelling Units plus one

(1) additional EDU for a common area for a total of Two Hundred Nine (209) EDUs,
equal to One Million One Hundred Twenty Five Thousand, Seventeen Dollars and
Seventy four Cents ($1,125,017.74) towards the wastewater system development
fees for the Big Coppitt Wastewater Treatment Plant. Said payments may be made
from any lawfully available funds and will be paid only if the Two Hundred and Eight
Affordable Residential Units are actually constructed, receive their certificates of
occupancy; and all other terms and conditions required of the Developers have been
satisfied. Said payments may be made in installments in proportion to the number of
the 208 dwelling units that receive certificates of occupancy; the payment for the 209th
EDU for the common area shall be made with the final installment payment. If all of
the certificates of occupancy have not been granted by January 31, 2020, the
developer will be responsible for any additional costs associated with an increase due
to the CPI for the Wastewater System Development Fees.
3. Payment.
Payment will be made pursuant to Section 218.70, Florida Statutes, the Florida Local
Government Prompt Payment Act.
4. Appropriation.
A. This contract is subject to annual appropriation by the Monroe County Board of
County Commissioners.
5. Termination.
A. This Agreement may be terminated by the County for breach of any provision
of this Agreement, if, after written notice of the breach is delivered, the'
Developers, or any of the individual entities, not cure the breach within seven
(7) calendar days following delivery of notice of the breach.
6. Warranties. The Quarry warrants and represents that:
A. Its existing facilities, and all facilities to be constructed as outlined in this
Agreement, are and will be in compliance with all applicable existing
environmental permits, laws, rules, and orders.
B. The Quarry holds and at all times relevant and necessary will hold all
necessary permits, certificates, licenses, and authorizations from the Florida
Department of Environmental Protection, the Florida Public Service
Commission, and any and all other licensing or regulatory agencies with
jurisdiction over the Quarry and the work to be performed under this
Agreement.
7. Indemnification and Hold Harmless.

A. To the extent allowed by law, the Developers , and each of tern jointly and
severally, agree to fully defend, release, discharge, indemnify and hold
harmless the County, the members of the County Commission, County officers
and employees, from and against any and all claims, demands, causes of
action, losses, costs and expenses of whatever type - including investigation
and witness costs and expenses and attorneys' fees and costs - that arise out
of or are attributable to the Developer's operations in connection with this
Agreement except for those claims, demands, damages, liabilities, actions,
causes of action, losses, costs and expenses that are the result of the sole
negligence of the County.
B. This indemnification and hold harmless provision shall survive the expiration or
early termination of this Agreement.

9. Joint Preparation.
A. This Agreement has been drafted with the participation of the Parties and their
counsel and shall not be construed against any party on account of

draftsmanship. The captions of each article, section and subsection contained
in this Agreement are for ease of reference only and shall not affect the
interpretational meaning of this Agreement.
10. Miscellaneous Provisions.
A. This agreement constitutes the full and final agreement between the Parties
and can never be amended except in a duly authorized writing signed by both
parties. Any prior agreements, promises, negotiations or representations,
either verbal or written, relating to the subject matter of this Agreement and not
expressly set forth in this Agreement are of no force and effect.
B. The parties agree that nothing in this agreement shall be construed as a
development approval for any subsequent phase of the Quarry project. The
parties further agree that any such approvals would have to be sought and
approved through the development agreement process.
C. This Agreement may not be assigned, without the prior written consent of the
other party to the Agreement.
D. This Agreement is subject to and shall be governed by the laws of the State of
Florida. Any action brought by either party to enforce the terms of the
Agreement shall be brought in the Sixtheen Judicial Circuit in and for Monroe
County.
E. ,Any notice required to be given pursuant to this Agreement shall be in writing,
postage pre-paid, and shall be sent by certified or registered mail, return receipt
requested, or by Federal Express or other overnight mail delivery at the
address indicated on the first page of this Agreement, or such other address
that a party may hereafter designate in writing. The notice shall be effective
on the date the notice was received.
F. If any term, covenant, condition or provision of this Agreement (or the
application thereof to any circumstance or person) shall be declared invalid or
unenforceable to any extent by a court or regulatory body of competent
jurisdiction, the remaining terms, covenants, conditions and provisions of this
Agreement shall not be affected thereby; and each remaining term, covenant,
condition and provision of this Agreement shall be valid and shall be
enforceable to the fullest extent permitted by law unless the enforcement of
the remaining terms, covenants, conditions and provisions of this Agreement
would prevent the accomplishment of the original intent of this Agreement. The
Parties agree to reform the Agreement to replace any stricken provision with a
valid provision that comes as close as possible to the intent of the stricken
provision.
G. The Agreement shall be binding upon and inure to the benefit of the parties,
their agents, servants, employees, successors, and assigns unless otherwise
set forth herein or agreed to by the parties.

H. The Quarry understands and agrees that officers and employees of the County
are required to comply with the standards of conduct for public officers and
employees as delineated in Section 112.313, Florida Statutes, regarding, but
not limited to, solicitation or acceptance of gifts; doing business with one's
agency; unauthorized compensation; misuse of public position, conflicting
employment or contractual relationship; and disclosure or use of certain
information. The Quarry warrants that it will take no action that would cause
an officer of employee of the County to violate the Florida Code of Ethics
contained in that statutory provision.
The Quarry shall not discriminate against any person on the basis of race,
color, religion, national original, sex, age, pregnancy, sexual orientation,
gender expression, disability in its recruiting, hiring, promoting, terminating,
awarding of contracts, or any other area affecting employment, or the provision
of goods and services covered by this Agreement.
J. The Quarry warrants that it has not employed, retained or otherwise had act
on its behalf any former County officer or employee subject to the prohibition
of Section 2 of Ordinance No. 010-1990 or any County officer or employee in
violation of Section 3 of Ordinance No. 020-1990. For breach or violation of
this provision the County may, in its discretion, terminate this Agreement
without liability and may also, in its discretion, recover the full amount of any
fee, commission, percentage, gift, or consideration paid to the former County
officer or employee.
K. The County and Quarry agree that in the event any cause of action or
administrative proceeding is initiated or defended by any party relative to the
enforcement or interpretation of this Agreement, the prevailing party shall be
entitled to reasonable attorneys' fees, court costs, investigative, and out of
pocket expenses, as an award against the non-prevailing party, which shall
include attorneys' fees, court costs, investigative and out of pocket expenses
at appellate stages as well as at the trial court stage.
L. The terms, covenant, conditions and provisions of this Agreement shall bind
and inure to the benefit of the County and the Quarry, their legal
representatives, successors and assigns.
M. Each party warrants to the other that the execution, delivery and performance
of this Agreement has been duly authorized by all necessary County and
corporate action, as required by law.
N. This Agreement may be executed in any number of counterparts, each of which
shall be deemed an original, and such counterparts shall constitute one and
the same instrument. An electronic signature or facsimile signature shall be as
binding as an original.
