07/18/2008 Agreement - EMPLOYMENT CONTRACT AGREEMENT made as of this 18th day of July 2008, by and between the Mel Fisher Maritime Heritage Society, Inc., also known as and doing business under the name of the Mel Fisher Maritime Museum (the "Museum"), and Melissa Kendrick (the "Director"). WITNESSETH: WHEREAS, the Museum desires to employ the Director and to enter into an Agreement embodying the terms of such employment (hereinafter the "Agreement"); and WHEREAS, the Director desires to accept such employment; and WHEREAS, the Museum and the Director desire to set forth the terms and conditions of such employment; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, it is hereby agreed by and between the Museum and the Director as follows: 1. EMPLOYMENT TERM. The Museum hereby employs the Director for a term beginning July 18, 2008, and ending July 17, 2011 (the "Employment Term"), except as terminated earlier as provided in paragraphs 6 through 10 hereof. 2. DUTIES AND RESPONSIBILITIES. (a) During the Employment Term, the Director shall serve as the Chief Executive Officer of the Museum, performing the duties and responsibilities of this position in accordance with the Museum's bylaws, its rules, and regulations, and subject to the direction and authority of the Board of Directors (the "Board"). The Director shall have full responsibility for the day-to-day operations of the Museum, including supervision and control of all artistic, educational, scientific, and administrative personnel and programs. 1 The Director, as part of her responsibilities and consistent with this Agreement shall, subject to the authority and direction of the Board: (i) have authority to hire, compensate, and terminate the Museum staff, within the approved budget of the Museum, and to establish the job descriptions, duties, and responsibilities of all staff, in accordance with such policies as may be established by the Board; (ii) oversee the preparation of the Museum's budget; (iii) in consultation with the Finance Committee of the Board, recommend to the Board, for its approval, the selection of outside certified public accountants for the Museum; (iv) retain legal counsel, public relations counsel, and other consultants for the Museum; (v) upon request of the Board, serve as an officer or director of any subsidiary or other affiliate of the Museum with no additional compensation. Any compensation paid to the Director by any such subsidiary or other affiliate shall reduce the Museum's obligation hereunder; (vi) keep the Board of Directors, Chairperson and the Executive Committee of the Board of Directors informed on the conditions and operations of the Museum; (vii) carry into effect all decisions of the Board of Directors, Chairperson of the Board of Directors and Executive Committee of the Museum; C(vi i)-execute_alldocuments as required for the continued--- Foperation of.ithe Museum,• (ix) work with all Museum Board of Directors committees providing proper liaison and staff support, and assisting them to submit proposals to the Board of Directors and its Executive Committee; 2 - B (j) Entire Agreement. This Agreement contains all of the terms agreed upon by the parties with respect to the subject matter of this Agreement and supersedes all other agreements, arrangements and communications between the parties concerning such subject matter, whether oral or written.
