WHEREAS, the parties hereto did on December 13, 2017, enter into an agreement for complete Fire and Panic Alarm Maintenance, Monitoring, and Certification ("Original Agreement") at Monroe County facilities;and WHEREAS, on January 23, 2019, the BOCC approved the First Amendment to Agreement to revise certain clauses and to update and/or-add current revisions pursuant to County ordiannces and/or Federal Required Contract Provisions;and WHEREAS,it serves a legitimate public purpose for CONTRACTOR to incorporate security camera systems into its Original Agreement to provide further protection for employees,visitors,and Monroe County for safety, security,and general liability precautions; and WHEREAS, the Original Agreement approved fire and panic upgrades of unmonitored existing systems to be monitorable and currently monitored existing systems, including any proprietary upgrades,to facilitate monitoring and adding locations;and WHEREAS, the parties have found the Original Agreement, as amended, to be mutually _ beneficial and; WHEREAS,the parties hereto amend the Original Agreement to add services, and locations; and WHEREAS, the parties find that it would be mutually beneficial to enter into this Second Amendment to Agreement; NOW THEREFORE, IN CONSIDERATION of the mutual promises and covenants contained herein, it is agreed as follows: 1. MAJOR COMPONENT FAILURE OR SYSTEM BREAKDOWN In the event of a major component failure or system breakdown, the COUNTY, shall have the option to request from the CONTRACTOR only, a proposal/quote for new installation,and/or repair/replacement equipment in an amount that could exceed Five Thousand and 00/100 Dollars ($5,000.00). Any proposal over Five Thousand and 00/100 Dollars ($5,000.00), up to and including Nineteen Thousand Nine Hundred Ninety-nine and 99/100 Dollars ($19,999.99), must be approved and signed by the Department Head. Any proposal over Twenty Thousand and 00/100 Dollars ($20,000.00),up to and including Forty-nine Thousand Nine Hundred Ninety-nine and 99/100 Dollars ($49,999.99), must be approved and signed by the Department Head and the County Administrator. 4. Paragraph 2 I., ADDITIONAL SECURITY SYSTEM SERVICES, shall be added to the Original Agreement as follows: I. ADDITIONAL SECURITY SYSTEM SERVICES Additional services include, but are not limited to, electronic door lock system installation and/or repair, horn/strobe installation and/or repair, CCTV installation and/or repair service, or any other equipment necessary for safety-related issues. AIso when requested by the COUNTY, the CONTRACTOR shall advise and recommend, in writing to the COUNTY, any needed improvements, and shall invoice the COUNTY at the fee schedule rates for labor and material markup as specified in the Original Agreement. In all other respects,except as set forth in paragraphs l through 4 of this Second Amendment to Agreement, the terms and conditions set forth in the Original Agreement, as amended, not inconsistent herewith, shall remain in full force and effect.
