Deady, P.A., a Florida Corporation duly qualified to do business in the State of Florida (hereinafter, "Contractor"). WHEREAS, the Parties wish to enter into an Agreement to memorialize the terms and conditions by which the services of the Contractor will be utilized. NOW THEREFORE, for good and valuable consideration, the receipt of which is acknowledged through the execution of this Agreement, the Parties agree as follows: 1.0 CONTRACT This Agreement shall consist of the DEP Grant Work Plan Agreement No. R1915. In the event of a conflict between the terms of this Agreement and the DEP Grant Work Plan Agreement No. R1915, the terms in this Agreement shall control. 2.0 SCOPE OF WORK The primary tasks to be completed by the Contractor shall consist of the following related to the Comprehensive Plan and the Scope of Services contained within DEP Grant Work Plan Agreement No. R1915: 1) Gap Analysis- "Gap Memorandum" identifying current and needed data to support existing and new Comprehensive Plan Amendments, again, focused on the Conservation and Coastal Management Element. 2) Draft Amendments- "package" of amendments is developed to comprehensively address these issues through the Comprehensive Plan. 3) Internal and External Engagement with Regional Collaboration- internal, external and regional engagement components that will ensure internal vetting as well as strong public involvement. Quarterly internal work sessions and bi- monthly project management calls/meetings will ensure timelines and deliverables will be met for completion and submittal to the Grants Office. Page 1 of 9 3.0 PROJECT DELIVERABLES Deliverables shall consist of the following: Task 1.0: 1) Research existing and needed data sources correlated to existing Comprehensive Plan Goals, Objectives and Policies. 2) Submit a copy of the Gap Memorandum identifying current and needed data to support existing and new Comprehensive Plan Amendments. Task 2.0: 1) Review existing elements to determine strategy for Peril of Flood Amendment compliance. 2) Draft 1 of Peril of Flood Amendments for Conservation and Coastal Management (with internal review). 3) Draft 2 of Peril of Flood Amendments for Conservation and Coastal Management (with internal review). 4) Develop recommendations for Amendments and reorganization of related Comprehensive Plan Elements. 5) Final Draft of Peril of Flood Amendments for Conservation and Coastal Management (with internal review). Task 3.0: 1) Quarterly internal work sessions (4 mtgs total) with agendas and minutes. 2) Bi-monthly project management calls/meetings (24 total). 3) 1st Draft public mtgs (3 mtgs total) with sign-in sheets, agendas and minutes. 4) Board of County Commissioners Briefing with agendas and minutes. 5) Final Draft public mtgs (3 mtgs total) with sign-in sheets, agendas and minutes. 6) "Implementation Workshop" offered to the Compact Communities with materials and agendas. 7) Briefing for the quarterly "Informational Webinar" of the DEP Florida Resiliency Coastlines Program with materials and agendas. 8) Social media content for public meetings. Page 2 of 9 4.0 TERM The term of this Agreement shall begin on the Effective Date shown above and shall continue until completion of the Scope of Work identified in paragraph 2.0 and until delivery of the deliverables identified in paragraph 3.0, unless terminated earlier as shown below. All work shall be performed in accordance with the Project Schedule shown in paragraph DEP Grant Work Plan Agreement No. R1915 unless the schedule is amended in writing by mutual agreement of the Parties. Time is of the essence in this Agreement. Tasks can be partially billed as a percentage of time with the invoice clearly indicating the portion of the task billed and portion of the task remaining. Total compensation listed above is an all-inclusive price, i.e., there will be no additional compensation for any expenses, including but not limited to travel, per diems, postage, or other expenses. All invoices must be submitted no later than ninety (90) days after completion of the Task including delivery of all deliverables under that Task. This Agreement is subject to annual appropriation by the Monroe County Board of County Commissioners. Total compensation for this Agreement, even if amended, shall never exceed forty-nine thousand nine hundred ninety-nine dollars and ninety-nine cents ($49,999.99). 6.0 INSURANCE Throughout the term of this Agreement the Contractor shall ensure that the following insurance coverages are in force, and shall supply current certificates of insurance to demonstrate proof of insurance for the following or shall submit and obtain approval from the County's Risk Management for a waiver of the insurance requirements. Page 3 of 9 Workers' compensation Statutory limits Employer's liability $500K bodily injury by accident $500K bodily injury by disease, policy limits $500K bodily injury by employee General liability $500K combined single limit Business auto liability $50K per person $100K per occurrence $50K property damage --or— $100K combined single limit 7.0 INDEMNIFICATION/LIMITATION OF LIABILITY Each party agrees to indemnify, defend and hold harmless the other party and its affiliates, and their directors, officers and employees (each, an "Indemnified Party"), from and against any and all third party claims, demands, liabilities, suits, damages, expenses and costs (including reasonable attorneys', experts' and investigators' fees and expenses) arising solely out of the indemnifying party's acts under this Agreement. Each party shall be responsible for any acts of negligence, acts or omissions or wrongful conduct on the part of its own employees, agents, contractors, and subcontractors and shall defend, indemnify and hold the other party harmless from all claims arising out of such negligence, acts or omissions or wrongful conduct, and agrees to be liable to the statutory limits for any damages proximately caused by said acts or omissions, or intentional tortious acts. 8.0 MISCELLANEOUS 8.1 Entire Agreement. This Agreement, which includes all schedules attached hereto and/or entered into after the execution hereof, comprises the entire Agreement between the parties, which supersedes all prior proposals, purchase orders, understandings and agreements with respect to the subject matter hereof. 8.2 Force Majeure. Neither party shall be responsible for any failure or delay in the performance of any obligations (excepting obligations to pay money) to the extent that failure is caused by acts of God, acts of terror, flood, fire, labor disputes, acts or omissions of the other party, non-delivery or delays in delivery by any other supplier of goods or services deliverable under this Agreement, or other causes beyond such party's reasonable control. 8.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable under applicable law in any jurisdiction, the validity or enforceability of the remaining provisions thereof shall be unaffected as to such jurisdiction and such holding shall not affect the validity or enforceability of such provision in any other jurisdiction. To the extent that any provision of Page 4 of 9 this Agreement is held to be invalid or unenforceable because it is overbroad, that provision shall not be void but rather shall be limited only to the extent required by applicable law and enforced as so limited. 8.4 Assignment/Modification. Client shall not transfer, assign or otherwise dispose of (through operation of law or otherwise) any of its rights or obligations under this Agreement to any other person or entity, without the express written consent of The Contractor. The Contractor may assign this Agreement(and any corresponding schedules or attachments)to its affiliates, successors, or assigns, whether by way of business reorganization/reassignment, merger, sale of equity or assets, or otherwise, without the consent of Client. This Agreement will be binding upon, inure to the benefit of and be enforceable by the parties hereto and their respective affiliates, successors, and assigns in accordance with this subsection 9.4. 8.5 Notices. Every notice required under this Agreement shall be in writing and effective three (3) days after being mailed first class postage prepaid, or upon delivery by an overnight or other courier or delivery service, in either case addressed as follows: County: Contractor: Erin L. This Agreement, together with all appendices, exhibits, schedules, attachments and addenda attached hereto, constitutes the entire agreement between the parties with respect to its subject matter, and, with respect to that subject matter, supersedes all previous agreements, promises, representations, understandings and negotiations, whether written or oral, between the parties. This Agreement shall control over any other agreement or any contrary terms contained in any other agreement (including, but not limited to, master agreement(s), service agreement(s), subscription agreement(s), business associate agreement(s), or similar agreement(s)). 8.7Authority. Each of the signatories to this Agreement warrants that he is duly authorized by all requisite corporate action to execute the Agreement and to bind his respective entity to the terms and conditions of this Agreement. 8.8Counterparts/Execution by Electronic Signature. For the convenience of the parties, copies of this Agreement, including Schedules hereto, may be executed in two or more counterparts. This Agreement may be signed Page 5 of 9 electronically, with electronic signatures equally as binding as original or hard copy signatures. 8.9SALES AND USE TAXES Notwithstanding any other terms or conditions contained in the Agreement the County is not liable for any sales or use taxes. 8.10 PUBLIC RECORDS Pursuant to Fla. Stat. § 119.0701, the Contractor and its subcontractors shall comply with all public records laws of the State of Florida, including but not limited to the obligation to: a. Keep and maintain public records required by Monroe County BOCC in order to perform the service. b. Upon request from the public agency's custodian of public records, provide the public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Florida Statutes, Chapter 119 or as otherwise provided by law. c. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the Contractor does not transfer the records to the public agency. d. Upon completion of the contract, transfer, at no cost, to Monroe County BOCC all public records in possession of the Contractor or keep and maintain public records required by the public agency to perform the service. If the Contractor transfers all public records to the public agency upon completion of the contract, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the contract, The Contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to Monroe County BOCC, upon request from the public agency's custodian of records, in a format that is compatible with the information technology systems of Monroe County BOCC. Page 6 of 9 8.11 AUDITS The Contractor shall maintain all books, records, and documents directly pertinent to performance under this Agreement in accordance with generally accepted accounting principles consistently applied. Each party to this Agreement or its authorized representatives shall have reasonable and timely access to such records of each other party to this Agreement for public records purposes during the term of the Agreement and for four years following the termination of this Agreement. If an auditor employed by Monroe County or the Clerk determines that monies paid to Contractor pursuant to this Agreement were spent for purposes not authorized by this Agreement, the Contractor shall repay the monies together with interest calculated pursuant to Sec. 55.03, FS, running from the date the monies were paid to Contractor.
