All terms and conditions of the Agreement apply to this Task Order, unless this Task Order amends, adds, or modifies a provision or an Article of the Agreement of which will be specifically referenced in this Task Order and the amendment, addition, or modification shall be precisely described. These additions apply only to the project referenced in this Task Order. This Task Order is effective on August 21, 2019. Design of the work is anticipated to be completed within 104 days of issuance of the Notice to Proceed. NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the parties agree as follows: In accordance with Article II Scope of Basic Services, Paragraph 2.1,the Scope of this Task Order is as follows: The scope of services will include Design Services/Additional Services and Post Design Services for the Stock Island Detention Center Main Electrical Upgrades project, which are specified in the Consultant's proposal dated June 19, 2019 that is made a part of this Task Order and attached hereto as Attachment A. In accordance with Article VII, Paragraph 7.1 Payment Sum, the Payment Sum of this Task Order is as follows: The Consultant shall be paid monthly for work performed and deliverables as follows: Design Services/Additional Studies $78,500.00 Post Design Services $12,000.00 Total (Lump Sum) $90,500.00 Article IX Miscellaneous, Paragraph 9.29 Federal Contract Requirements do not apply to this project. All other Terms and Conditions of the Task Order shall remain in accordance with the Agreement and as amended. After reviewing the provided electrical study by Schneider Electric and our initial investigation, TYLI is pleased to submit a lump sum proposal for the Design Services of$78,500 with an additional $12,000 for Post- Design Services, as outlined to address the issues listed in the Schneider Electric study. • Design Services/Additional Studies($78,500): o Arc Flash - Panel housing modifications for future infrared studies o Short Circuit — Replacement of obsolete and damaged circuit breakers in main electrical switchboard o Circuit Breaker Settings—Provide new settings based on Schneider Electric's study o Inrush Issues—Provide upgrades to resolve issues o Emergency System — Provide upgrades to enhance system coordination with between non- emergency and emergency modes o Emergency Generation- Provide quick connect branch and connection methods o Damaged Surge Suppression Devices — Provide replacement details, review/design surge suppression system,as needed. o NEC Issues/Damaged Equipment—Update riser diagrams based on the in-house modifications to the panel(s). o Additional Studies • Ground Fault Protection of Equipment (GFPE) — Determine recommendations for future design modifications with budget cost estimate ■ Generator Paralleling Gear- Evaluation of new generator paralleling gear with budget cost estimate • Post Design Services ($12,000) o Respond to RFIs o Review submittals and shop drawings Deliverables • 60% design submittal — Two hard copy sets of full size plans and corresponding preliminary specifications,along with preliminary additional study reports,and corresponding electronic PDF files. • 100%design submittal—Two hard copy sets of full size plans, corresponding specifications,applicable calculations and additional study reports, and corresponding electronic PDF files. • Final document acceptance - Two hard copy signed/sealed sets of full size plans, corresponding specifications, applicable calculations, additional study reports and electronic files, in AutoCAD and PDF formats. Proposed Payment Schedule: • 60%-at submission of 60%documents. • 30%-at submission and acceptance of final documents • 10% -at acceptance of final documents • Exclusions: 1) Pre-construction activities, such as procurement assistance and re-designs due to bidder RFI's. 2) Post design services during construction are limited to one on-site meeting, responses to RFIs, review of submittals and review of shop drawings. Other items, such as pre bid meetings, field • supervision and inspection of the installations for compliance,are not included the basic scope of • work and will be considered additional services. 3) Only those designs and description of services noted in the previous sections are included and no other work is intended or inferred. 4) Any additional services required from TYLI will be on a negotiated basis, at the time of service request, and a supplemental work task order will be issued to authorize the work and payment. General Requirements/Assumptions: 1) Allowance for two on -site meetings during the design phase and one one-site meeting during the post design phase,with additional meetings as additional services, as needed. 2) Any modifications to the general scope described in this proposal will be considered additional services.
