Release & Acknowledgment 03/28/2019 LESSOR'S RELEASE AND ACKNOWLEDGMENT OF MASTER KEY CHECKS, AND POSSESSION OF THE PREMISES DUE TO LESSEE'S NOTICE OF VACATING PREMISES AND PAYMENT OF SEPT-EMBER RENT,AND ALLEGED DAMAGES RE: 161 Pearl Avenue Tavernier, Florida 33070-2404 Lessee, MONROE COUNTY, provided Lessor, KEYS CHURCHES, LLC, with a Notice of Lease Termination dated March 28,2019,in which Lessee had elected to terminate its Lease dated September 19, 2018. Lessee was to vacate the property located at 161 Pearl Avenue, Tavernier, Florida 33070-2404 ("Premises") no later than close of business on September 30, 2019. Lessee has now early vacated the Premises in its entirety, arranged for utilities to be turned off, hereby returns the Master Key, which is the only key in Lessee's possession, and surrenders possession of the Premises to Lessor as of August 30, 2019. Lessor hereby tenders with this Notice a check in the amount of$2,500.00 as the last rental payment for the month of September 2019. Lessor and Lessee conducted an inspection of the Premises on August 22, 2019, and agreed on a final checklist of items resolved to the satisfaction of both Lessor and Lessee. Lessor and Lessee additionally agreed that Lessee would compensate Lessor for certain alleged damages to the dining hall floor and Lessor's rugs. The quote of Inspiramar Construction, LLC, in the amount of S7,250.00 for the floor damage, is attached hereto. The quote of Al's Carpet, in the amount of $845.00 for the rugs, is attached hereto. Lessee hereby tenders a check made payable to Lessor in the total amount of$8,095.00 in full and complete settlement of the above alleged damages. Lessor hereby acknowledges receipt of the September rental check in the amount of$2,500.00 and the Master Key to the Premises. Lessor further acknowledges receipt of a check from Monroe County in the amount of$8,095.00,and other good and valuable consideration, for compensation for certain damages to the floor and rugs located within said Premises, which occurred during Lessee's possession. Lessor hereby, irrevocably remises, releases, acquits, satisfies, and forever discharges the Lessee, and its departments, officials, agents, and employees of and from all, and all manner of action and actions,cause or causes of action, suits,attorney's fees and costs, specialties,covenants,contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, executions, claims and demands whatsoever, in law or in equity, which said Lessor ever had, now has, or which any personal representative, successor, heir or assign of said Lessor, hereafter can, shall or may have, against said Lessee, for, upon or by reason of any matter, cause or thing whatsoever, from the beginning of the world to the day of these presents. 1 K6eJ The Lease is now terminated, Lessor accepts possession of the Premises, and both parties are hereby relieved of any and all responsibilities pursuant to the terms and conditions of the Lease and all matters are hereby settled to the satisfaction of both Lessor and Lessee.
