TASK ORDER FOR ON CALL PROFESSIONAL DESIGN AND PERMITTING
SERVICES BETWEEN MONROE COUNTY AND BAXTER & WOODMAN, INC.

KOEHN AND BIG PINE SHORES ROADWAY AND DRAINAGE
IMPROVEMENTS PROJECT
In accordance with the Continuing Contract for On Call Professional Engineering
Services made and entered on the 17th day of January 2018 between Monroe County
hereinafter referred to as the "County" and Baxter & Woodman, Inc. hereinafter
referred to as "Consultant" where design services are allowed if construction costs do
not exceed $2,000,000.
All terms and conditions of the referenced Contract for On Call Professional Engineering
Services apply to the Task Order, unless the Task Order modifies an Article of the
Agreement of which will be specifically referenced in this Task Order and the
modification shall be precisely described.
This Task Order is effective on the 18T" Day of September 2019 and shall expire 60
days after construction is complete. Design is anticipated to be completed within 365
calendar days of issuance of the Notice to Proceed.
Article II Scope of Basic Services, Paragraph 2.1 is amended to add 2.1.1 as
follows:
The scope of services for the Koehn and Big Pine Shores Roadway and Drainage
Improvements project (specified roads in Attachment A) will include: completion of
design for construction and any required SFWMD permitting for the asphalt overlay,
milling and resurfacing, roadway reconstruction as required based on current conditions,
and establishing roadway crowns. Road elevations will be evaluated and adjusted for
sea level rise if necessary. The scope also includes the installation of french drainage
systems and design shall meet Florida Department of Transportation (FDOT) design
guidelines.
The Design for Construction shall include, but shall not necessarily be limited to, plans
and specifications which describe all systems, elements, details, components, materials,
equipment, and other information necessary for construction. The Design for
Construction shall be accurate, coordinated and in all respects adequate for construction
and shall be in conformity, and comply, with all applicable law, codes, permits, and
regulations. Products, equipment and materials specified for use shall be readily
available unless written authorization to the contrary is given by the County.
Details of the scope of services are outlined below and in Attachment A:
1.0 DESIGN DEVELOPMENT
The Consultant will evaluate existing adjacent environment and habitat and provide a
design that eliminates or minimizes impacts to the surrounding environment and habitat.

2.0 CONSTRUCTION DOCUMENTS PHASE
2.1 The Consultant shall prepare, for approval by the County, Construction
Documents consisting of Drawings and Specifications setting forth in detail the
requirements for the construction of the project. Construction documents shall conform
to the standards contained in the following:

2.2. The Consultant shall provide Drawings and applicable Technical Specifications
for the County's review.
2.3 Upon completion of the Construction Documents Phase, the Consultant shall
provide Construction Documents for the County's approval. Upon approval by the
County the Consultant shall provide the County up to 3 sets of Construction Documents
that have been signed and sealed by the Consultant. The Consultant shall also provide
an electronic version of the construction documents. The Consultant shall provide an
estimate of anticipated construction cost in accordance with the construction
development phase.
2.4 The Consultant shall assist the County in the preparation of the necessary
bidding information for the production of bidding forms, the Conditions of the Contracts,
and the forms of Agreements between the County and the Contractors by providing
supporting information as to the projects scope, bid items, estimated quantities and

construction duration. The County shall prepare all Bidding Forms, Conditions of the
Contract, and Forms of Agreement.
2.5 The Consultant's construction documents (plans, specifications, etc) will conform
to all codes and regulations of the federal government, county, state, municipalities,
agencies and state departments, in effect at the date of this Agreement, and shall be of
such completion as to be acceptable for review and ruling by said agencies when
permits are applied for. The Consultant shall use due care in determining permit
requirements and shall meet with regulatory agencies as necessary to coordinate
specific permit requirements. The Consultant shall document all meetings and
conversations with said regulatory agencies. If permits are denied for incompleteness or
for lack of following said codes or regulations, or permit requirements, then the Engineer
will conform the construction documents in such manner to receive permits upon such
plans. Work required by the Consultant to conform documents to federal, state, city,
county, or agency specifications to allow them to be approved shall be completed at no
charge or cost to the County, unless said requirements are changed during the course of
the project.
2.6 The County shall be responsible for the timely submittal of all permit application
fees.
2.7 At the 90% and 100% design phases the Consultant shall provide drawings and
other documents which depict the current status of design for the County's review and
information. At 90% design the Consultant shall submit the drawings for FDOT ERC
(electronic review comment) and provide accepted responses to FDOT within 30 days.
The Consultant shall provide an estimate of anticipated construction costs and
construction schedule.
2.8 As needed, the Consultant will provide clarification and answers to questions
from prospective bidders during the construction bid process. Answers will be provided
in a timely manner in order to facilitate bidding.
3.0 CONSTRUCTION DOCUMENTS PHASE REQUIREMENTS
To satisfactorily perform the Construction Documents phase requirement, the
Engineer must complete the tasks set forth in items 3.1 through 3.4.
3.1 Construction Plans — This consists of, at a minimum, Key Sheet, Summary of
Pay Items and Quantities, Drainage Structures Map, Project Layout, Plan and Profile
sheets, Typical Sections, Detail sheets, General Notes, Traffic Control Plan.
Construction plans shall be in accordance with FDOT Plans Preparation Manual.
3.2 Specifications — For general specifications, FDOT Specifications will be used.
Comprehensive, abbreviated methods, materials and systems descriptions in tune with
the drawings will be developed as necessary with Technical Special Provisions.
3.3 Schedules — Prepare an estimate of the Construction Time.
3.4 Estimate of Construction Cost — Estimate of anticipated cost in accordance
with the Construction Documents.

4.0 CONSTRUCTION COST
Contemporaneously with the submission of the Design, the Consultant shall submit to
the County in writing its final Opinion of Probable Construction Cost (OPCC) for
constructing the Project. Once submitted, the final anticipated price estimate shall be
adjusted by the Consultant to reflect any increase or decrease in anticipated price
resulting from a change in Design.
4.1 The Construction Cost shall be the total estimated bid cost to the County of all
elements of the Project designed or specified by the Consultant.
4.2 The Construction Cost shall include the cost at current market rates of labor and
materials and Equipment designed, specified, selected or specially provided for by the
Consultant, plus a reasonable allowance for Contractor's overhead and profit.
4.3 Construction cost does not include the compensation of the Consultant and the
sub-consultants, the costs of land, rights-of-way, financing or other costs which are the
responsibility of the County.
5.0 CONSTRUCTION PHASE
5.1 The Consultant shall review and approve or take other appropriate action upon
Contractor submittals and requests for information. The Consultant's action shall be
taken with such reasonable promptness as to cause no delay in the Contractor's Work or
in construction by the County's own forces, while allowing sufficient time in the
Consultant's professional judgment to permit adequate review. In general, said review
and action shall be completed in 10 working days from receipt of a shop drawing
submittal, excluding resubmittals. Review of such submittals is not conducted for the
purpose of determining the accuracy and completeness of other details such as
dimensions and quantities or for substantiating instructions for installation or
performance of equipment or systems designed by the Contractors, all of which remain
the responsibility of the Contractors to the extent required by the Contract Documents.
The Consultant's review shall not constitute approval of safety precautions or, unless
otherwise specifically stated by the Consultant, of construction means, methods,
techniques, sequences, or procedures.
5.2 The Consultant will provide answers to Requests for Information (RFIs) from the
Contractor, as needed during construction and will implement any required plan
revisions.
5.3 The Consultant shall, without additional compensation, promptly correct any
errors, omissions, deficiencies, or conflicts in the work product of the Consultant or its
consultants or both.
5.4 The Consultant must reimburse the County for any "added costs" paid by the
County for additional construction cost that were incurred as a direct result of any error,
omission, deficiency, or conflict in the work product of the Consultant, its consultants, or
both. "Added costs" is defined as the cost incurred from any additional work required on
the project that was necessitated solely by the error, omission, deficiency or conflict in
the work product. The added cost is limited to the increase to the construction cost for
additional work and does not include costs that are normally incurred as part of the

project or would have been incurred had no error, omission or deficiency occurred, and
addressed by a change order of already established unit costs. The Consultant shall not
be held responsible for additional deficiencies found due to a delay in the construction of
the project or for those hidden deficiencies that could not reasonably be determined
through a review of current field conditions by the Consultant or subconsultants.
5.5 The Consultant shall furnish to the County, upon project completion, the
following:
• 2 sets of 11" X 17" signed and sealed Record Drawings
• 2 sets of final documentation
• 1 set of final as built CADD and pdf files on CD including a table of
drainage structures with GPS coordinates labeled for each
structure
The Consultant's Engineer of Record in responsible charge of the project's design
shall professionally endorse/certify the record prints, the special provisions and all
reference and support documents.
5.6 The Consultant will attend the pre-construction meeting and as needed, attend
the periodic construction progress meetings.
Article VII, Paragraph 7.1 is amended to include the following:
The Consultant shall be paid monthly for time and expenses based on hourly
rates/timesheets and lump sum amounts (as noted below), in accordance with the On
Call Agreement rates, in the following Maximum Not to Exceed amount of
$332,866.00.

Roadway and Drainage Improvements Engineering Design and Construction Administration
Services
This Authorization,when executed,shall be incorporated in and become part of the Agreement
for On-Call Professional Services between the Monroe County (COUNTY), and Baxter &
Woodman Inc. (CONSULTANT),dated January 17,2018,hereafter referred to as the Agreement.
PROJECT BACKGROUND
COUNTY has requested that CONSULTANT provides engineering design, permitting, bidding,
and construction administration services for paving,drainage and associated improvements to
COUNTY roadways located in Big Pine Key, Florida. As shown on Attachment A, page 13,
attached, the roads are approximately 18,761 FT in length. Included in this study are Big Pine
Street, Canal Street, Central Ave, Driftwood Street, Geraldine Street, Koehn Ave, Louise Street,
Lucrecia Street, McClean Street, Mulberry Street, Pine Avenue,and Ridge Avenue.
SCOPE OF WORK
The following is a description of the services to be provided under this Task Authorization:
• Evaluatethe listed roadsto determine the appropriate rehabilitation method
(resurfacing, widening, andreconstruction).
• Design of appropriate rehabilitation method and associated drainage
improvements.
• The project is partially funded by Small County Outreach Program (SCOP) grant
funds. A review of construction documents by Florida Department of
Transportation(FDOT) District 6 at the 90%submittal phase is required.
• Results of Design Development phase will be submitted to County staffin a report.
• Prepare materials and attend a public meeting to present the proposed design and
to address questions from the Public.
• Preparation of contract documents and technical specifications in coordination
with standard COUNTY specifications and bid requirements.
• Apply for Permits from the South Florida Water Management District.
• Identify environmental permits that are required,prepare and submit the
applications to the permitting agencies and obtain the required permits or
exemptions.
• Provide support during construction in responding to contractor needs for
information and submittal review during the construction phase.
• Provide assistance to the CEI COUNTY and CEI Engineer with project close-out related to
the record drawings and other final documents.
The list of the roads proposed for improvements was based on the Pavement Condition
Index report provided by the COUNTY and review of the report and recommendations by
Baxter &Woodman Engineers.

TASK 1.0 - SURVEY, DATA COLLECTION & PRELIMINARY DESIGN EVALUATION
SUB TASK 1.1 & 1.1A SURVEY.
Upon Notice-to-Proceed (NTP) CONSULTANT will perform survey services consisting of field
topography and horizontal locations of visible conditions within the project roadways,from Right-of-
Way to Right-of-Way,within the project limits along with visible existing facilities and utilities.
Topographic information will be provided at 50 foot intervals for cross-sections and may include the
roadway pavement, driveways,sidewalks,curb,trees,signs, fences,power poles,buildings, and other
features.Visible utilities will be located and may include Sanitary Sewer (pipe diameter,manhole
inverts and direction,rim elevations,laterals, and clean-outs), Storm Sewers (pipe diameter,manhole
inverts and direction,catch basins,and rim/grate elevations),and other visible utilities.
The Right-of-Way will be platted according to recorded plats. Property research shall be limited to
records available on the County Records website. This survey is not a Boundary Survey,nor will it
depict any property ownership. Control points will be provided at an approximate 500 foot interval
for future used during construction. The topographical survey data will be used to prepare drawings
in AutoCAD (Version 2013 or newer) format at a scale of 1"=20',as one continuous file.
TASK 1.1A
The CONSULTANT will include all the living expenses hotel stays,food, and vehicles mileage charges
for the survey crew during their work.
DATA COLLECTION&FIELD INVESTIGATION.
A site reconnaissance to familiarize itself with existing conditions. The CONSULTANT will
request and Design Ticket from Sunshine 811 and coordinate with utility agency owners to
obtain records of existing utilities within the project limits. Upon NTP and concurrently with
these activities,BAXTER&WOODMAN's Sub consultants will perform geotechnicalengineering,
environmental review,and other associated permitting for the project.
The CONSULTANT will review documents provided by the COUNTY, such as Geographic
Information Systems (GIS) data,Pavement Assessment(PCI)Reports,and LIDAR data.
The CONSULTANT's roadway designer will perform a field investigation with County Public
Works (roads and utility) staff on the same day as the kick-off meeting to gather data and
identify potential problem areas that will require additional pavement cores to be
performed by the geotechnical consultant. The CONSULTANT will take notes and
photographs during the field investigation to document observations, discussions, and
recommendations.
The CONSULTANT'S drainage designer will also attend the field investigation to assess
existing drainage patterns and identify potential locations for drainage improvements.
Baxter and Woodman will provide (2) Drone Flights: (1) flight to document existing
conditions of the roadways and another (1) flight after the construction phase is completed:
The following deliverables are anticipated for this task:
• One(1)PDF and one(1)hard copy of topographic survey.

• (2)Videos of the Drone flights-data stored on a USB drive.
SUBTASK 1.2 PAVEMENT ANALYSIS
The CONSULTANT will evaluate the data obtained to determine the appropriate method of
rehabilitation for the listed roads included in this study and as shown on Attachment A.
Rehabilitation methods include milling and resurfacing of streets in good condition or
reconstruction of streets showing evidence of pavement failure or significant flooding. The
CONSULTANT will recommend a rehabilitation method for each street or logical segments of
each street for review and approval by the COUNTY. For purposes of this scope of services, it is
assumed that thirty-nine (39) road segments, as indicated on Attachment A, page 13 will be
improved:
• Six(6)road segments(2013/2014 PCI greater than 45)will be further
evaluated for possible resurfacing or reconstruction depending on the
observed conditions and geotechnical information received for the
roadways and their subgrade composition.
• It is anticipated that thirty three (33) road segments will require
reconstruction with 2013/2014 PCI scores below 45 we will confirm this
after observing the roadway conditions and geotechnical information
received for the roadways and subgrade composition.
TASK 2. - DESIGN AND PLANS PRODUCTION
SUTAS2.1 ROADWAYDESIGN
The CONSULTANT will design the following roadway elements in accordance with governing
standards (AASHTO - 2011 A Policy on Geometric Design of Highways and Streets and/or 2011
FDOT Greenbook - Florida Manual of Uniform Minimum Standards Design, Construction and
Maintenance for Streets and Highways), as practical:
• Milling and resurfacing of roads in fair and/or good condition.
• Reconstruction of roads with evidence of structural failure.
In addition,follow the Monroe County adopted an interim standard methodology for adapting
transportation infrastructure for sea level rise. It is anticipate that the specified roadways may be
designed to 11 inches of elevation NAVD88.The County will verify this prior to the start of our design
work.
SUB TASK 2.2 DRAINAGEDESIGN
The plan will be based on drainage needs determined during the field review and evaluation
of the drainage patterns from the obtained ground survey for the project.The drainage design
tasks will include the following elements:
• Drainage improvements will be evaluated for all roadways based on a 5-year 1-day
storm as outlined in the Monroe County 2010 Comprehensive Plan and South
FloridaWaterManagementDistrict(SFWMD)guidelines.Inaddition,utilizingthe
information and recommendations from the Geotechnical Report soil percolation tests
and soil borings regarding existing soil types.
• Drainage improvements will be provided throughout the project as needed to
facilitate positive drainage in areas of significant ponding within the roadway

and/or right-of-way. The drainage improvements will be detailed in the plans.
CONSULTANT will determine the horizontal extent of underground utilities
including water and sewers. The vertical extent of the underground utilitieswill not
be obtained for this project.
• A detailed drainage approach with the locations of the proposed drainage
improvementswillbe includedinthe Conceptual Design submittal.The final proposed
drainage improvements will be included in the construction plans.

Upon approval of the 60%and 90% Design Plans from COUNTY, CONSULTANT will prepare and
submit plans and supporting documentation to the permitting agencies for review. Once
approval of plans from the permitting agencies is obtained, BAXTER &WOODMAN will prepare
and submit Bid Documents to the County.
TASK 3. - ENVIRONMENTAL RESOURCE PERMITTING:

The CONSULTANT will schedule and conduct a pre-application meeting with (SFWMD) to
determine the permitting requirements for the project. It is anticipated that water quality
treatment will not be required for the mill and resurface and reconstruction improvements.
CONSULTANT will prepare and submit an Environmental Resource Permit application for the
proposed roadway drainage improvements. In discussions with our Sub-consultant SWC
we do not anticipate any permitting issues that will require applications and
recommendations for mitigation or other information for potential impacts to protected
plants and/or species.

TASK 5. - MEETINGS, PROJECT MANAGEMENT AND QUALITY CONTROL
Activities performed under this task consist ofth os e general functions required to maintain the
project on schedule,within budget,and that the quality of the work products defined within
this scope is consistent with CONSULTANT's standards and the COUNTY's requirements.
Specific activities included are identified below:
SUBTASK 5.1 PROJECT MEETINGS

and administration,subconsultant coordination,and document control as follows:
• Coordination with the COUNTY staff and Project Manager.
• Complete setup and maintenance of project contract,subconsultant agreements and

CONSULTANT maintains a QC program on all of its projects. Quality Assurance/Quality
Control (QA/QC) meetings are budgeted for and will be performed before submitting the
deliverables.

DELIVERABLES
CONSULTANT will provide the following deliverables to COUNTY:
• Meeting minutes to all attendees (e-mailed in PDF format).
• Conceptual design sketch to be included on 11x17 sheets with aerial background. The
design sketch will include proposed limits of reconstruction, milling & resurfacing,
as well as the proposed drainage improvements.
• Electronic delivery of the 60 %, and 90% design documents including opinion of
probable costs,draft specifications,and plans.
• Three(3)hard copies(signed and sealed)and one(1)electronic copy of the 100%
design package to include the updated 100%cost estimate.
• Shop drawing review transmittals and responses in an electronic format.
• Responses to RFIs(e-mailed in PDF format).
• CONSULTANT project documentation for close-out.
• FINAL record drawings produced from information providedbythe Contractor.
TIME OF COMPLETION/SCHEDULE
CONSULTANT shall commence work within seven (7) calendar days after issuance of a written
notice-to-proceed from the COUNTY and the kick-off meeting will be scheduled within seven (7)
calendar days of notice to proceed. A project schedule will be submitted to the COUNTY at the
kick-off meeting. The total time allowed for completing the CONSULTANT's design services
required under this Task Assignment is anticipated to be eleven(11)months.Procurement is not

under CONSULTANT'S control but is expected to last four (4) months from advertisement to
Notice of Award. Construction administrative services are expected to be completed within one
(1) month of the FINAL completion of the project which is estimated at this time to be twelve
(12) months in duration from the contractors notice to proceed.See page 12 for Project Schedule.
COMPENSATION AND PAYMENT
For the Basic Services performed under this Scope of Work,the COUNTY agrees to pay the
CONSULTANT a Not-To-Exceed(NTE)fee of$332,866.00 as shown on the next page,and on Design
Engineering Fee (Exhibit A), page 14. The fee includes direct costs and subconsultant services.
Partial payments to be made on a monthly basis for time and expenses based on hourly rates
in accordance with the 2018 Professional Services Agreement Hourly Rates shown on (Exhibit
B),page 11.
For invoice purposes, only the value of each task is shown on a Table 1 on the next page.
COUNTY agrees to pay CONSULTANT the(NTE)fee of$2,881.00 for other direct costs. The
subconsultant's lump-sum fees are $27,335.00 which includes a 10% administrative mark-up.
CONSULTANT will submit invoices on a monthly basis along with written monthly status reports
of work completed. Submission of manager signed staff timesheets is required with all invoices.

SWC is pleased to participate as a member of your team to accomplish the above-referenced
project for Monroe County. We are quite familiar with the area, having conducted wetland and
species assessments for the Florida Keys Aqueduct Authority (FKAA) wastewater design project
throughout Big Pine Key, conducted stormwater design for the parking lot at the Blue Hole for the
U.S. Fish and Wildlife Service (USFWS), and participated for various private clients throughout
development of the County's Habitat Conservation Plan for the Big Pine area. In addition, SWC
has conducted habitat assessments and mapping for similar County stormwater projects to assist
project design to implement necessary avoidance and minimization of wetland and protected
habitat impacts required as part of South Florida Water Management District (SFWMD)
permitting. We also conducted environmental permitting for a County culvert project on No Name
Key.
Due to our knowledge of the project area we anticipate being able to design this work to avoid all
wetlands and habitat impacts. The following is the scope of work included in our proposal, which
includes addressing Ms. London's questions is her August 26, 2019 email.
Task 1: Wetland and protected habitat delineation/flagging and mapping
SWC staff will work with team surveyors in the field to delineate wetland and protected habitat
along the corridor and to photograph existing conditions.
Task 2: Coordinate with USFWS
SWC staff will contact Key Deer Refuge staff and coordinate the project as necessary, including
documenting any construction best management practices required by the Refuge and providing
to engineering design team.
Task 3: Prepare report and figures providing results of field work
Receive CAD file of wetland and protected habitat mapping from surveyor and prepare report and
figures presenting data and findings. This report, along with including survey data on design
drawings, will be sufficient for documenting avoidance of impacts in the SFWMD application if
impacts can be fully avoided during project design.
Task 4: Design and permitting coordination
Assist design engineers with avoidance process and coordinate with SFWMD environmental
review staff to assist with any review questions regarding avoidance of impacts to resources.

Task 5: QA review, task management, and environmental construction notes for bid
documents
SWC principal will ensure all deliverables meet full professional standards, tasks are conducted
efficiently and completely, and will provide project engineers with final environmental
construction notes which will include any best management practices specified by USFWS.
Please note that this scope of work assumes full avoidance of impacts from project design, which
SWC believes is the most likely project scenario. If that provides impracticable, then SWC will
develop a project addendum to provide for documenting minimization of impacts and development
of a mitigation plan for remaining impacts sufficient for SFWMD and U.S. Army Corps of

Per our conversation on July 25, 2019 and review of the documents and aerial photograph provided, we
understand that plans for this project include rehabilitating or reconstructing the following streets at the

SCOPE OF WORK
Prior to the on-site work, NE's project engineer will attend onsite meeting to visually inspect roadways and
perform test layouts. We then propose to perform 36 pavement cores with basecourse measurements.
The pavement core locations will be patched with cold patch. If a more permanent patch is desired, a
licensed asphalt contractor should be retained.
We also propose to perform 10 SPT borings to a depth of 10 feet each at selected core locations that
represent the most deteriorated areas of the roadways which will be identified during the visual inspection.
Additionally, we also propose to perform one Standard Penetration Test (SPT) boring to a depth of 20 feet
and two SPT borings to a depth of 15 feet each at locations to be identified at a later date. Upon
completion of the borings, each bore hole will be closed permanently with a neat grout mixture.
Furthermore, we propose to perform two South Florida Water Management District (SFWMD) usual type
open-hole exfiltration tests to a depth of 10 - 15 feet each in an effort to measure the hydraulic
conductivity of the existing soils at specific test locations for site drainage evaluation by others.
At the completion of the on-site work, the soil samples will be returned to our laboratory. We will provide
an engineering report including a description of our findings and foundation design recommendations for
support of the proposed pavement. In order to provide information concerning the engineering properties
of the soils encountered, it is anticipated that tests may be performed to determine natural water content,
organic content, and sieve analysis on representative soil samples collected from the site. The engineering
report will include graphic logs of the test borings and a test boring location plan. We assume the site is
accessible to truck mounted drilling equipment and that underground utilities will be cleared by others
prior to our performing the on-site work.

Additional requested and authorized services beyond those described above will be provided at customary
unit rates with expenses at cost+20%.
Once we receive the executed/ signed proposal and a deposit in the amount of $9,425.00, project
scheduling will commence. The on-site work should take approximately five business days to complete.
The geotechnical report should be available within approximately 12 - 15 business days after the on-site
work is completed.

certified to perform geotechnical engineering and materials testing services for the Florida Department of
Transportation (FDOT).
Our sister company, Nutting Environmental of Florida, Inc. (NEF), can assist in your environmental needs.
For thirty years, NEF has performed a wide variety of environmental consulting services throughout Florida
including Phase I and II environmental site assessments, storage tank removal and tank closure
assessments, contamination assessments, design and implementation of remedial action plans (RAP),
groundwater monitoring for solid waste and Hazmat permit requirements, assistance with dewatering

writing with this executed proposal. The undersigned, as an authorized representative of the entity listed
below, approves this proposal and agrees to be bound by the terms and conditions contained in this
proposal. Deposit amounts are collected at time of written authorization to proceed. If you are a first-time
client, we request that the balance due for these services be paid at the time of report completion. Once
your account is established, our terms are net 30 days. Any invoices over 30 days will be assessed a 1 1/2
percent service charge per month until paid in full.

General Terms and Conditions
For the purpose of this project,the addressee of this proposal will be known as the Client.The client is expected to furnish NUTTING ENGINEERS OF FLORIDA,INC.("NE"),with accurate
information including sketch of survey and/or site plan,construction drawings/specifications as appropriate,details of proposed construction including the proposed structural system
and loads or existing construction problem information and site accessibility information as appropriate. Other information requirements may be detailed in the enclosed proposal. IF
ANY CONDITIONS CHANGE such as building layout,loading,project specifications/design,or unusual site conditions are observed,NE should be notified immediately in writing about the
changed condition for possible review and comment. Should the Client wish to impose other conditions and requirements beyond those contained in this proposal such as in a
separate contract,we reserve the option to modify contract language,fee amounts,to remove our proposal from consideration or other measures as may be indicated.
Delivery—Scheduled upon receipt of written authorization to proceed and deposit unless other arrangements are agreed to in writing.Additional report copies can be provided for a
nominal fee to the Client. NE will exercise appropriate measures to ensure project completion within a reasonable time frame subject to existing workloads.However,NE will not be held
responsible for unavailability of necessary project data and site access within the time frame agreed upon for the investigation.Project delivery may be delayed if the ENTIRE signed
proposal and deposit are not received in a timely manner. The ENTIRE signed quotation should be returned along with the requested project information.This unsigned proposal is valid
for 60 days.
Payment-$9,425.00 deposit required with signed agreement.Balance due upon completion of report. Directing NE to proceed with the work shall constitute acceptance of the terms of
NE's proposal and these General Terms and Conditions. Interest at the rate of 18%per annum or the highest rate allowable by law whichever is less,will be added to all amounts not paid
within 30 days after date of invoice.All attorney fees and expenses associated with collection of past due invoices will be paid by Client.
Insurance—NE maintains Workers'Compensation and Employer's Liability Insurance in conformance with state law. In addition,we maintain Comprehensive General Liability Insurance
and Automobile Liability Insurance with bodily injury limits of$1,000,000.00 and property damage limits of$1,000,000.00. A certificate of insurance can be supplied evidencing such
coverage which contains a clause providing that fifteen days written notice be given prior to cancellation.
Right-of-Entry-Unless otherwise agreed,Client will furnish right-of-entry on the property for NE to make the planned borings,surveys,and/or explorations. NE will not be responsible for
removing fences,earth berms,vegetation or other obstructions for purposes of our investigation. NE will take reasonable precautions to minimize damage to the property caused by its
equipment and sampling procedures,but the cost of restoration or damage which may result from the planned operations is not included in the contracted amount. If Client desires to
restore the property to its former condition,NE will accomplish this and add the cost to its fee. Client agrees to waive all claims arising from or related to the failure to provide NE with
proper access to conduct its work.
Damage to Existing Man-made Objects-It shall be the responsibility of the Owner or his duly authorized representative to disclose the presence and accurate location of all hidden or
obscure man-made objects relative to routes of access,field tests,sampling,or boring locations. When cautioned,advised or given data in writing that reveal the presence or potential
presence of underground or over-ground obstructions,such as utilities,septic tanks,etc.,NE will give special instructions to its field personnel. In addition,Client waives any claim against
NE arising from damage to existing man-made objects.
Warranty and Limitation of Liability-NE shall perform services for Client in a professional manner,using that degree of care and skill ordinarily exercised by and consistent with the
standards of competent consultants practicing in the same or a similar locality as the project. In the event any portion of the services fails to comply with this warranty obligation and NE
is promptly notified in writing prior to one year after completion of such portion of the services,NE will re-perform such portion of the services,or if re-performance is impracticable,NE
will refund the amount of compensation paid to N E for such portion of the services. This warranty is in lieu of all other warranties. No other warranty,expressed or implied,including
warranties of merchantability and fitness for a particular purpose is made or intended by the proposal for consulting services,by furnishing an oral response of the findings made or by any
representations made regarding the services included in this agreement. In no event shall NE or any of its professional employees be liable for any special,indirect,incidental or
consequential loss or damages,including but not limited to impact and delay claims. The remedies set forth herein are exclusive and the total liability of consultant whether in contract,
tort(including negligence whether sole or concurrent),or otherwise arising out of,connected with or resulting from the services provided pursuant to this Agreement shall not exceed the
total fees paid by Client or$50,000.00,whichever is greater.At additional cost,Client may obtain a higher limit prior to commencement of services.
PURSUANT TO §558.0035, FLORIDA STATUTES, NE'S INDIVIDUAL EMPLOYEES AND/OR AGENTS MAY
NOT BE HELD INDIVIDUALLY LIABLE FOR NEGLIGENCE ARISING OUT OF, CONNECTED WITH, OR
RESULTING FROM THEIR SERVICES PROVIDED PURSUANT TO THIS AGREEMENT.
Indemnification—Client agrees to defend,indemnify and save harmless NE from all claims,including negligence claims,suits,losses,personal injuries,death and property liability resulting
from NE's performance of the proposed work,whether such claims or damages are caused in part by NE,and agrees to reimburse NE for expenses in connection with any such claims or
suits,including reasonable attorney's fees. Client's obligation to indemnify is limited to$2 million per occurrence,which Client agrees bears a reasonable commercial relationship to the
Work undertaken by NE. Client further agrees that these general conditions are a part of the Work's specifications or bid documents,if any.
Sampling or Testing Location-Unless specifically stated to the contrary,the unit fees included in this proposal do not include costs associated with professional land surveying of the site
or the accurate horizontal and vertical locations of tests. Field tests or boring locations described in our report or shown on our sketches are based on specific information furnished to us

by others and/or estimates made in the field by our technicians. Such dimensions,depths or elevations should be considered as approximations unless otherwise stated in the report.It is
understood that all drilling locations are accessible to conventional truck mounted drilling equipment unless otherwise specified by the client.If unscheduled remobilizations or use of
portable or all terrain equipment is required additional charges will apply. NE will attempt to clear utilities at our excavation/test locations by manual drilling to 3'below land surface
(BLS). Any utilities/obstructions present at client specified test locations or below 3'BLS will be the responsibility of the client.
Sample Handling and Retention—Generally soil test samples are retained for approximately three months after which time they will be discarded unless written instructions to the
contrary are received from the client.
Legal Jurisdiction-The parties agree that any actions brought to enforce any provision of this Agreement shall only be brought in a court of competentjurisdiction located in Palm Beach
County,Florida. Any and all causes of action arising out of NE's performance of the Work,including but not limited to claims for indemnity,contribution and equitable subrogation,shall
be deemed to have accrued and the applicable statutes of limitations shall commence to run not later than the date of N E's last invoice for the Work performed hereunder.
Force Majeure-NE shall not be held responsible for any delay or failure in performance of any part of this Agreement to the extent such delay or failure is caused by fire,flood,explosion,
war,strike,embargo,government requirement,civil or military authority,acts of God,act or omission of subcontractors,carriers,client or other similar causes beyond its control.
Documents-NE shall be entitled to rely upon the accuracy and completeness of all surveys,reports and information furnished by the client. If conditions different from those described in
our report are found at the site,NE should be notified in writing immediately upon discovery. NE reserves the right to revise conclusions and recommendations presented in the final
report should additional information regarding the project become available. All permits will be obtained by others unless otherwise specified in this proposal or in writing to NE. NE has
no liability for consequences of information not provided or unavailable or otherwise not reviewed or known from the normal sources customarily examined by NE in such investigations
within the time frame allowed for this investigation under this agreement.The client,entities identified in writing on the address portion of our report,design team professionals engaged
by our client and building official staff are entitled to use and rely upon NE'S reports for purposes of the current project. Other parties are not authorized to use or rely upon NE'S reports
unless NE so states in writing.
