E�LLk ........ / Il ly" Comments: Page 67 f 70 MONROE COUNTY SURPLUS AUCTION SERVICES AGREEMENT This Surplus Action Services Agreement ("Agreement") is entered into and shall be binding upon the parties as of December _ , _, 2019 (the "Effective Date"), by and between Bidera LLC, a Florida Limited Liability Company registered and authorized to do business within and under the laws of the State of Florida, having its principal place of business at 4995 MW 72 nd Ave., Miami, Florida 33166 ("Vend&'), and Monroe County Board of County Commissioners ("County"), a local government entity in the State of Florida ("County") (collectively, the County and the Vendor shall be referred to herein as the "Parties"). RECITALS WHEREAS, the County wishes to procure the services of experienced and qualified auctioneers to provide online auction services for surplus items for the County, to include, but not be limited to, vehicles, office equipment, furniture, and other items ("Services"); and WHEREAS, the Vendor has represented that it has the requisite skill and capabilities to handle online auction services and that it has experience in handling auction services for numerous other South Florida local government entities; and WHEREAS, the parties wish to enter into an Agreement to memorialize the terms and conditions by which the services of the Vendor will be utilized if needed; and NOW THEREFORE, in consideration of the mutual terms and conditions set forth herein and other good and valuable consideration, the Parties agree as follows: ARTICLE I — RECITALa 1.1 The recitals are true and correct and are hereby incorporated into and made a part of this Agreement, ARTICLE 2 — CQNTRACT DOCUMENTS 2.1 The following documents are incorporated into and made a part of this Agreement ("Contract Documents")- • This Agreement, including: o Exhibit A— Scope of Services • Exhibit B — County Forms • Exhibit C- County Release • Any additional documents that are required to be submitted by the Vendor under this Agreement. ARTICLE 3 -- TERM 3.1 The term of this Agreement shall begin on the Effective Date shown above and shall continue for a maximum of three (3) years ("Initial Term"), unless terminated earlier Page 1 of 18 as shown beI ow. The agreement can be renewed with a written extension signed by both parties. 3.2 Following the Initial Term, the County shall have two (2) options to renew this Agreement for additional periods of one (1) year each, under the same terms and conditions set forth in this Agreement. 33 When, in the opinion of the County, reasonable grounds for uncertainty exist with respect to the Vendor's ability to timely perform Services or any portion thereof, the County may request that the Vendor provide adequate assurances to the County in writing, within a reasonable period of time, of Vendor's ability to perform in accordance with terms of this Agreement. In the event that the Vendor fails to provide the County with the requested assurances with the prescribed time frame, the County may treat such failure as a repudiation or breach for this Agreement and may resort to any remedy for breach provided for in this Agreement or at law. ARTICLE 4 -- C!2MPENSAIDN 4.1 Vendor shall provide Services at no cost to the County, and instead shall charge the highest bidder (i.e., the purchaser) of the auctioned property the amount of ten percent (10%) of the bid price. 4.2 The County does not guarantee any minimum quantity of vehicles to be sold under this Agreement. 4.3 This Agreement is subject to annual appropriation by the Monroe County Board of County Commissioners. ARTICLE,.5 —, 2CQPE QF SE 5.1 The Vendor shall provide the Services described in Exhibit A for the benefit of the County under the terms and conditions set forth herein. Vendor shall perform the Services in accordance with that degree of care and skill ordinarily exercised by reputable members of its profession. 5.2 Vendor represents and warrants to the County that: (i) Vendor possesses all qualifications, licenses and expertise required for the provision of Services, with personnel fully licensed by the State of Florida; (ii) Vendor is not delinquent in the payment of any sums due the County, including payment of permit fees, local business taxes, or in the performance of any obligation to the County; (ii!) all personnel assigned to perform work shall be, at all times during the term hereof, fully qualified and trained to perform the tasks assigned to each; (1v) the Services will be performed in the manner as described in the Contract Documents for the budgeted amounts, rates and schedules; and (v) the person executing this Agreement on behalf of Vendor is duly authorized to execute same and fully bind Vendor as a Party to this Agreement. 5.3 Vendor agrees and understands that: (i) any and all subcontractors used by Vendor shall be paid by Vendor and not paid by the County, and (ii) any and all liabilities regarding payments to or use of subcontractors for any of the work related to this Agreement shall be borne solely by Vendor. Any work performed for Vendor by a Page 2 of 18 subcontractor shall be pursuant to an appropriate agreement between Vendor and subcontractor that specifically binds the subcontractor all applicable terms and conditions of this Agreement. 5.4 Vendor warrants that any and all work, materials, services or equipment that may reasonabI y be inferred from the Contract Documents as being required to produce the intended result, will be supplied by the Vendor at its own cost, whether or not specifically called for. ARTICLE 6— 6.1 The County shall have the right to terminate this Agreement, in its sole discretion at any time, with or without cause, upon ten (10) days' written note to Vendor. In such event, the County shall pay Vendor compensation for Services rendered prior to the effective date of termination. The County shall not be liable to Vendor for any additional compensation, or for any consequential or incidental damages. 6.2 For Contracts of any amount, if the County determines that the Vendor has submitted a false certification under Section 287.135(5), Florida Statutes or has been pI aced on the Scrutinized Companies that Boycott Israel List, or is engaged in a boycott of Israel, the County shall have the option of (1) terminating the Agreement after it has given the Contractor/Consultant written notice and an opportunity to demonstrate the agency's determination of false certification was in error pursuant to Section 287.135(5)(a), Florida Statutes, or (2) maintaining the Agreement if the conditions of Section 287.135(4), Florida Statutes, are met. ARTICLE 7 — INQEPENREKIg��� 7.1 Vendor, its employees and agents shall be deemed to be independent contractors and not agents or employees of the County and shall not attain any rights or benefits generally afforded to employees. The Vendors shall not be deemed entitled to the Florida workers' compensation benefits as an employee of the County. ARTICLE 8— DEFAULT 8.1 In the event the Vendor fails to comply with any provision of this Agreement, the County may declare the Vendor in default by written notification. The County shall have the right to terminate this Agreement if the Vendor it to cure the default within ten (10) days after receiving notice of default from the County. If the Vendor it to cure the default, the Vendor will only be compensated for completed Services. The Vendor agrees that all documents generated hereto shall be subject to the applicable provisions of the Public Records Law, under Chapter 119, Florida Statutes. 12.2 RECORDS- ACCESS AND AUDITS: Pursuant to F.S. 119.0701, Vendor and its subcontractors shall comply with all public records laws of the State of Florida, including but not limited to: a. Keep and maintain public records required by Monroe County in order to perform the service. b. Upon request from the public agency's custodian of public records, provide the public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Florida Statutes, Chapter 119 or as otherwise provided by law. c. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the contractor does not transfer the records to the public agency. d. Upon completion of the contract, transfer, at no cost, to Monroe County all public records in possession of the contractor or keep and maintain public records required by the public agency to perform the service.
