VIVA FLORIDA AWARD AGREEMENT
THIS AGREEMENT IS entered into between the Florida Wildflower Foundation, Inc., hereinafter referred
to as the "Foundation," and Gato Government Building, Monroe County, hereinafter referred to as the
"Provider."
THE PARTIES AGREE:
I. THE PROVIDER AGREES:
A. To provide services in accordance with the conditions specified in the scope of services
attached hereto as Attachment I.
B. To provide units of deliverables, including reports, findings and drafts as specified in
Attachment I as per the application from Provider, to be received and accepted by the
Contract Manager during the course of the Agreement;To comply with the criteria for this
agreement before the final date by which such criteria must be met for completion of this
Agreement as specified in Section III, Paragraph A. of this Agreement;To maintain records in
sufficient detail for a proper audit thereof.
C. To the Following Governing Law
1. This Agreement is executed and entered into in the State of Florida, and shall be
construed, performed and enforced in all respects in accordance with the laws of the
State of Florida. Each party shall perform its obligations herein in accordance with the
terms and conditions of the Agreement.
2. The Provider agrees that in the event of a disagreement or dispute over the terms of
this Agreement or compliance with this Agreement, venue and jurisdiction shall lie
exclusively in Orange County, Florida.
D. Audits, Records and Records Retention
1. To establish and maintain books, records and documents (including electronic storage
media), which sufficiently and properly reflect all revenues and expenditures of funds
provided by the Foundation under this Agreement. This section shall not be construed
to require an independent audit or the hiring of a certified public accountant or other
similar professional to assist with recordkeeping.

2. To retain all financial records, supporting documents, statistical records, and any other
documents (including electronic storage media) pertinent to this Agreement for a period
of seven (7)years after termination of the Agreement, or if an audit has been initiated
and audit findings have not been resolved at the end of seven (7)years, the records
shall be retained until resolution of the audit findings or any litigation that may be based
on the terms of this Agreement.
3. To assure that these records shall be subject at all reasonable times to inspection,
review or audit by Federal, State or other personnel duly authorized by the Foundation.
4. Persons duly authorized by the Foundation shall have full access to and the right to
examine any of Provider's Agreement and related records and documents, regardless of
the form in which kept, at all reasonable times for as long as records are retained.
E. Monitoring by the Foundation
To permit persons duly authorized by the Foundation to inspect any records, papers,
documents, facilities, goods and services of the Provider that are relevant to this
Agreement, and to interview any persons receiving services under the Agreement or
employees of the Provider to assure the Foundation of satisfactory performance of the
terms and conditions of this Agreement.
F. Indemnification
1. The Provider shall be liable for and shall indemnify, defend and hold harmless the
Foundation and all of its officers, agents and employees from all claims, suits,judgments
or damages, consequential or otherwise and including attorneys'fees and costs, arising
out of any act, actions, neglect or omissions by the Provider its agents, or employees
during the performance or operation of this Agreement or any subsequent
modifications thereof, whether direct or indirect, and whether to any person or tangible
or intangible property to the extent permitted by Florida law.
2. The Provider's inability to evaluate liability or its evaluation of liability shall not excuse
the Provider's duty to defend and indemnify within seven (7) days after such notice by
the Foundation is given by certified mail. Only adjudication or judgment after highest
appeal is exhausted specifically finding the Provider not liable shall excuse performance
of this provision.The Provider shall pay all costs and fees related to this obligation and
its enforcement by the Foundation.The Foundation's failure to notify the Provider of a
claim shall not release the Provider of the above duty to defend. In the event of a
breach of the Provider's obligation to defend the person provided for under this section
I.F., the Foundation shall have the right to undertake such defense at its own or the
Provider's expense.
G. Insurance
To provide adequate liability insurance coverage on a comprehensive basis and to hold such
liability insurance at all times during the existence of this Agreement and any renewal(s) and
extension(s) of it. Upon execution of this Agreement, the Provider accepts full responsibility

for identifying and determining the type(s) and extent of liability insurance necessary to
provide reasonable financial protections for the Provider and the clients to be served under
this Agreement. At the request of the Foundation, the Provider shall furnish the Foundation
written verification supporting both the determination and existence of such insurance
coverage. Such coverage may be provided by a self-insurance program established and
operating under the laws of the State of Florida.The Foundation reserves the right to
require additional or alternate insurance where specified in Attachment I.
H. Assignments and Subcontracts
1. Except as provided in Attachment I, to neither assign the responsibility of this
Agreement to another party nor subcontract for any of the work contemplated under
this Agreement without prior written approval of the Foundation, which shall not be
unreasonably withheld. Any sub-license, assignment, or transfer otherwise occurring
shall be null and void.
2. The Provider shall be responsible for all work performed and all expenses incurred with
the project. If the Foundation permits the Provider to subcontract all or part of the work
contemplated under this Agreement, including entering into subcontracts with vendors
for services and commodities, it is understood by the Provider that the Foundation shall
not be liable to the subcontractor for any expenses or liabilities incurred under the
subcontract and the Provider shall be solely liable to the subcontractor for all expenses
and liabilities incurred under the subcontract.The Provider, at its expense, will defend
the Foundation against such claims.
3. The Foundation shall at all times be entitled to assign or transfer its rights, duties or
obligations under this Agreement to another agency, person or entity upon giving prior
written notice to the Provider. In the event the Foundation approves transfer of the
Provider's obligations,the Provider remains responsible for all work performed and all
expenses incurred in connection with the Agreement. In addition, this Agreement shall
bind the successors, assigns and legal representatives of the Provider and of any legal
entity that succeeds to the obligations of the Foundation.
I. Return of Funds
To return to the Foundation any overpayments or payments disallowed pursuant to the
terms of this Agreement that were disbursed to the Provider by the Foundation. In the
event that the Provider or its independent auditor discovers that overpayment has been
made, the Provider shall repay said overpayment within 40 calendar days without prior
notification from the Foundation. In the event that the Foundation first discovers an
overpayment has been made,the Foundation will notify the Provider by letter of such a
finding. Should repayment not be made in a timely manner, the Foundation will charge
interest of one (1) percent per month compounded on the outstanding balance after 40
calendar days after the date of notification or discovery.
J. Incident Reporting; Risk Prevention

If any event occurs which could result in legal liability in tort or Agreement to the Provider
or to the Foundation based on the existence of this Agreement or provision of services
under this Agreement the Provider will immediately notify the Foundation's Agreement
administrator.
K. Civil Rights Requirements
The Provider will not discriminate against any employee in the performance of this
Agreement, or against any applicant for employment, because of age, race, creed, color,
disability, national origin or sex, or any other trait or category protected by law.
L. Independent Capacity of the Provider
1. In the performance of this Agreement, it is agreed between the parties that the Provider
is an independent contractor and that the Provider is solely liable for the performance
of all tasks contemplated by this Agreement, which are not the exclusive responsibility
of the Foundation.
2. The Provider, its officers, agents, employees, subcontractors or assignees, in
performance of this Agreement, shall act in the capacity of an independent contractor
and not as an officer, employee or agent of the Foundation. Nor shall the Provider
represent to others that it has the authority to bind the Foundation unless specifically
authorized in writing to do so.
3. Neither the Provider, its officers, agents, employees, subcontractors, nor assignees are
entitled to retirement or leave benefits, or to any other compensation of employment
from the Foundation as a result of performing the duties and obligations of this
Agreement.
4. The Provider agrees to take such actions as may be necessary to ensure that each
subcontractor of the Provider will be deemed to be an independent contractor and will
not be considered or permitted to be an agent, servant,joint venturer, or partner of the
Foundation.
5. All deductions for social security, withholding taxes, income taxes, contributions to
unemployment compensation funds, and all necessary insurance for the Provider, the
Provider's officers, employees, agents, subcontractor or assignees shall be the
responsibility of the Provider.
M. Sponsorship
If the Provider is a non-governmental organization that sponsors a program financed wholly
or in part by state funds, including any funds obtained through this Agreement, it shall, in
publicizing, advertising or describing the sponsorship of the program, state: "sponsored by
(Provider's name) and the State of Florida and the Florida Wildflower Foundation." If the
sponsorship reference is in written material,the words "State of Florida and the Florida
Wildflower Foundation" shall appear in the same size letters or type as the name of the
organization.

N. Invoices
Any payment due under the terms of this Agreement may be withheld until all reports due
from the Provider and necessary adjustments thereto have been approved by the
Foundation.
O. Patents, Copyrights, and Royalties
1. If any discovery or invention arises or is developed in the course or as a result of work or
services performed under this Agreement, or in anyway connected herewith, the
Provider shall refer the discovery or invention to the Foundation to determine whether
patent protection will be sought and in whose name the patent should appear if a
patent is sought.The Foundation shall have the exclusive right to determine such patent
rights and the decision of the Foundation with regard to patent rights shall be final
2. In the event that any books, manuals, films or other copyrightable materials are
produced, the Provider shall notify the Foundation to determine whether copyright
protection will be sought and in whose name the copyright should appear if a copyright
is sought.The Foundation shall have the exclusive right to determine such copyrights
and the decision of the Foundation with regard to copyrights shall be final.
3. The Provider, without exception, shall indemnify and save harmless the Foundation and
its employees, officers and directors from liability of any nature or kind, including cost
and expenses for or on account of any copyrighted, patented or unpatented invention,
process or article manufactured or used by the Provider to the extent permitted by
Florida law.The Foundation will provide prompt written notification of claim of
copyright or patent infringement. Further, if such claim is made or is pending, the
Provider may, at its option and expense, procure for the Foundation, the right to
continue to use, replace or modify the article to render it non-infringing. If the Provider
uses any design, device or materials covered by letters, patent or copyright, it is
mutually agreed and understood without exception that the bid prices shall include all
royalties or cost arising from the use of such design, device or materials in anyway
involved in the work.
II. THE FOUNDATION AGREES:
A. Contract Amount
To pay for contracted services according to the conditions of Attachment I in an amount not
to exceed $3,000, subject to availability of funds.The "availability of funds" shall be
determined in the complete discretion of the Foundation.The Foundation's performance
and obligation to pay under this Agreement are contingent upon sufficient revenues from
the sale of State Wildflower license plates during the term of this agreement, the payment
of adequate funds by the State of Florida to the Foundation for the purpose of making
payments under this Agreement.This agreement shall not encumber any funds held in the
Wildflower Foundation accounts not accruing during the term of this agreement and the
Foundation shall not be obligated to make payments from any such funds. Foundation funds

derived from other sources shall not be used as source of payment or reimbursement under
this Agreement. In the event actual plate revenues fall below the Foundation's projections,
the Foundation may, in its discretion, reduce the amount of this and other awards on a pro
rata basis, reduce this award or reduce other awards. In the event that the Foundation does
not provide funding,the Provider is relieved of any further duty to perform under this
Agreement.
B. Payment
See Attachment I. Unless otherwise agreed in Attachment I, the Foundation has thirty(30)
working days from completion of each phase of performance under the agreement to
inspect and approve goods and services, unless the bid specifications, Purchase Order or this
Agreement specifies otherwise.
III. THE PROVIDER AND THE FOUNDATION MUTUALLY AGREE:
A. Effective and Ending Dates
This contact shall begin on Oct. 1, 2019, or on the date on which the Agreement has been
signed by both parties, whichever is later. It shall end on Dec. 31, 2020, or upon final
rendering of services as provided in Attachment I.
B. Termination
1. Termination Because of Lack of Funds.
In the event funds to finance this Agreement become unavailable, the Foundation may
terminate the Agreement upon no less than 24 hours notice in writing to the Provider.
Said notice shall be delivered by certified mail, return receipt requested, or in person
with proof of delivery.The Foundation shall be the final decision-making authority as to
the availability and adequacy of funds. In the event of termination of this Agreement,
the Provider will be compensated for any work satisfactorily completed prior to
notification of termination.
2. Termination for Breach.
This contact may be terminated for the Provider's non-performance upon no less than
24 hours notice in writing to the Provider. If applicable, the Foundation may employ the
default provisions in Chapter 60A-1.006(3). FAC (Attachment III). Waiver of breach of
any provisions of this Agreement shall not be deemed to be waivers of any other breach
and shall not be construed to be a modification of the terms of this Agreement.The
provisions herein do not limit the Foundation's right to remedies at law or in equity.
3. Termination for Failure to Satisfactorily Perform Prior Agreement.
Failure to have performed any contractual obligations with the Foundation in a manner
satisfactory to the Foundation will be a sufficient cause for termination. To be

terminated as a Provider under this provision, the Provider must have: (1) previously
failed to satisfactorily perform in a Agreement with the Foundation, been notified by the
Foundation of the unsatisfactory performance, and failed to correct the unsatisfactory
performance to the satisfaction of the Foundation; or(2) had a Agreement terminated
by the Foundation for cause.
C. Renegotiation or Modification
Modifications of provisions of this Agreement shall only be valid when they have been
reduced to writing and duly signed by both parties.The rate of payment and dollar amount
may be adjusted retroactively to reflect price level increases and changes in the rate of
payment when these have been established through the appropriations process and
subsequently identified in the Foundation's operating budget.

This Agreement and its attachments as referenced,Attachment I contain all the terms and
conditions agreed upon by the parties.There are no provisions,terms,conditions or
obligations other than those contained herein, and this Agreement shall supersede all
previous communications, representations or agreements,either verbal or written betwe'en
the parties. If any term or provision of the Agreement is found to be illegal or
unenforceable,the remainder of the Agreement shall remain in full force and effect and
such term or provision shall be stricken.

b. Monitoring and Evaluation Methodology:
The Foundation shall review and evaluate the Provider's performance under the terms of
this contract. Monitoring shall be conducted through direct contact with the provider either
by phone and/or email, scheduled reporting and on-site visits conducted by a Foundation
representative per the following schedule:
- Initial site visit within 60 days of installation
- Final site visit within 60 days of grant closing date
- Initial progress report due Jan. 31, 2020(covering initial planting date through Dec. 30,
2019)
- Interim progress report#1 due May 31, 2020 (covering Jan. 1 through Apr. 30, 2020)
- Interim progress report#2 due Sep. 30, 2020(covering May 1 through Aug. 31, 2020)
- Final report due Jan. 31, 2021 (covering Sep. 1 through Dec. 31, 2020)

Report templates will be provided by the Foundation 30 days prior to due date (or upon
request from the Provider).The Foundation's determination of acceptable performance
shall be conclusive.
c. By execution of this contract, the Provider hereby acknowledges and agrees that its
performance under the contract must meet the terms, deliverables and conditions set forth
above. If the Provider fails to meet these terms, deliverables and conditions, the
Foundation, at its exclusive option, may allow up to three months for the Provider to
achieve compliance with the standards. If the Foundation affords the Provider an
opportunity to achieve compliance, and the Provider fails to achieve compliance within the
specified time frame, the Foundation will terminate the contract in the absence of any
extenuating or mitigating circumstances.The determination of the extenuating or mitigating
circumstances is the exclusive determination of the Foundation.
E. Method of Payment
This is a fixed fee payment contract with a payment of$3,000. Payment shall be made to the
Provider in two equal installments.The first installment payment will be made no later than 30
days after the submission of an invoice after the execution of the contract the execution of the
contract.The final payment will be made no later than 30 days after the Foundation receives
and accepts the Provider's submission of satisfactory proof of completion of the project as
described in the Provider's proposal, and a final invoice.The Foundation and its representatives
shall have right to determine what constitutes project completion. All payments are to be
requested by the Provider by invoice.
All individual payments and all funding under this Agreement shall be contingent upon sufficient
revenues from the sale of State Wildflower license plates being paid to the Foundation during
the term of this Agreement. If actual revenues from tag sales fall below projected revenues for
the grant award period (Oct. 1, 2019 through Dec. 31, 2020),this award may be reduced on a
pro-rata basis with other grant awards, or in the discretion of the Foundation may be reduced to
a greater or lesser extent than other grant awards made by the Foundation.

60A-1.006 Vendors and Contractors.
(1)The integrity, reliability and qualifications of a bidder or offeror,with regard to the capability in all respects to perform fully
the contract requirements, shall be determined by the agency prior to the award of the contract and shall be monitored by the
agency throughout the contract term.
(2) Removal of Vendors by the Department — The Department is authorized to remove any vendor from the vendor list
maintained pursuant to Section 287.042(1)(a), F.S.,for failing to fulfill any of its duties specified in a contract with the State.
(3) Default—If a vendor is in default on any contract with an agency,the agency shall follow the procedures contained herein:
(a)The agency shall notify, in writing, any vendor who fails to adhere to contract terms and conditions.This notice shall state
the nature of the failure to perform and provide a time certain for correcting the failure (such reasonable time should not
generally be less than 10 days after receipt of such notice).The notification will also provide that, should it fail to perform within
the time provided,the vendor will be found in default and removed from the agency's approved vendor list.
(b) Unless the vendor corrects its failure to perform within the time provided, or unless the agency determines on its own
investigation that the vendor's failure is legally excusable, the agency shall find the vendor in default and shall issue a second
notice stating (i) the reasons the vendor is considered in default, (ii) that the agency will reprocure or has reprocured the
commodities or services, and (iii)and the amount of the reprocurement if known.
(c)The defaulting vendor will not be eligible for award of a contract by the agency until such time as the agency is reimbursed
by the defaulting vendor for all reprocurement costs. Reprocurement costs may include both administrative costs and costs or
price increases incurred or to be incurred as a result of the reprocurement. Reprocurement of substitute commodities or
contractual services may be accomplished by first attempting to contract with the next eligible awardee under the original
solicitation, when applicable. If the agency fails to contract with the next eligible awardee, it may continue in this manner
sequentially through all eligible awardees until a vendor willing to perform at acceptable pricing under the solicitation's terms and
conditions is found. Alternatively, an agency may elect to disregard previous solicitations, if any, and reprocure the commodity or
contractual service pursuant to all applicable requirements of Chapter 287, F.S.
(d) Pursuant to Section 120.57, F.S., the defaulting vendor will be advised of the right to petition for an administrative hearing
on the intended decision to remove the vendor from the list and shall be given a time certain within which to submit the petition.
(e) Until such time as it reimburses the agency for all reprocurement costs and the agency is satisfied that further instances of
default will not occur,the defaulting vendor shall not be eligible for award of a contract by the agency.To satisfy the agency that
further instances will not occur, the defaulting vendor shall provide a written corrective action plan addressing the original
grounds for default.
(f)The foregoing provisions do not limit, waive or exclude the State's remedies against the defaulting contractor at law or in
equity.
(4)A copy of all agency default actions shall be provided to the Department. Pursuant to subsection (2), the Department may
remove the vendor from its vendor list.
(5) Convicted Vendor List—The Department shall maintain a convicted vendor list, consisting of the names and addresses of
those who have been disqualified from the public contracting and purchasing process under Section 287.133, F.S.The Department
shall publish an updated version of the list quarterly.The revised quarterly lists shall be published on the Department's website at
http://www.myflorida.com.
