The following should be read at the appropriate point during the day of the closed session.

Case No. CA-K-17-802. At that meeting, the Board approved holding a closed session and public notice was
given through public announcement of the meeting at the 4/30/20 BOCC meeting and through publication a.
of the 5/8/20 BOCC meeting agenda on the County's website.

1 This is the Ashbritt case . It was our debris
2 contractor who we discharged during the aftermath
3 of Irma because they failed to perform some work,
4 and this is the resulting litigation. Mr. Hochman
5 has some recent updates to provide us, so I ' ll
6 turn it over to Jeff .
7 MR. HOCHMAN: Good morning, Commissioners .
8 The Ashbritt case used to be a little more
9 complicated than it is now. It ' s now reduced to
10 only two issues .
11 The plaintiff in the case, Ashbritt , they
12 filed a complaint and basically, the only issues
13 that remain are the issues regarding what you had
14 put in the contract that ' s called white goods , and
15 that involved what are called putrefied waste; and
16 the second issue is the issue of taking a final
17 disposition site and determining where it should
18 be .
19 COMMISSIONER RICE : I don ' t understand what
20 that means .
21 MR. HOCHMAN: I ' ll explain both of them. I
22 just want to give you the A and the B.
23 The putrefied waste issue means this . The
24 contract required the plaintiff in this case to
25 take all of the debris , stage it , and then remove

1 it . There was dispute as to whether, when they
2 take things that are white goods like
3 refrigerators and freezers for example, what to do
4 with the things inside those refrigerators . They
5 created what they thought was a category of waste
6 called putrefied waste .
7 MAYOR CARRUTHERS : When you say things that
8 are inside, like, people left food inside it?
9 MR. HOCHMAN: Correct .
10 COMMISSIONER RICE : Very common. Very
11 common.
12 MR. HOCHMAN: Just so the Commissioners
13 understand, when a hurricane comes , you know, a
14 lot of people didn ' t empty out their refrigerators
15 or freezers - -
16 MAYOR CARRUTHERS : Yeah, I guess not,
17 nauseous .
18 MR. HOCHMAN: So what happened was a
19 refrigerator would be put by the roadside, the
20 refrigerator would be picked up and be placed in a
21 center that processed it . And then the question
22 is , well , what do you do with the things inside
23 the actual refrigerators .
24 COMMISSIONER RICE : Very nasty.
25 MAYOR CARRUTHERS : Oh, I can imagine .

1 MR. HOCHMAN: The County' s position under the
2 contract was that the contract covers everything.
3 MAYOR CARRUTHERS : Yes .
4 MR. HOCHMAN: And that there was a line item
5 in the contract as to what should be done and what
6 the price would be . And then, the contractor
7 would then bill the County specifically under each
8 item. Because the contractor was paid for all of
9 that, the County believed full payment had been
10 made .
11 Ashbritt took a different position. They
12 said, no, the actual items inside the white goods ,
13 what they are now calling putrefied waste, is
14 something that was not contemplated by the
15 contract . So they, in fact , sent you a request to
16 amend the contract to add a new item of waste
17 called putrefied waste; and then, to add a
18 separate price item to pay for the removal of that
19 and the transport of that to a final disposition
20 site .
21 This Commission said, no, we ' re not going to
22 amend the contract . We believe that service is
23 already provided for in the contract . So, with
24 respect to this case, the County moved for summary
25 judgment and asked the judge to say, look at the

1 contract , as a pure matter of law it ' s not in
2 there, and therefore there cannot be a claim for
3 breach of contract for something that ' s not in
4 there .
5 Conversely, if , for example, they wanted to
6 amend the contract and put it in, but the County
7 said, no, it ' s already in there, it ' s already
8 taken care of so you ' ve been fully paid.
9 The judge entered an order back in February
10 saying, I can ' t determine this decision as a
11 matter of law. I want to have a trial on what
12 contract required, what the amended process
13 involved, whether the County was supposed to maybe
14 amend the contract , what is putrefied waste . So
15 the judge adopted a position that he could not
16 make that decision as a pure matter of law.
17 We disagree with that , so that is why I ' m
18 here today. Before I get to that position, I want
19 to get to the next position which is this haul-
20 out .
21 COMMISSIONER RICE : Do you want to get
22 questions as we talk about a point or after you ' re
23 finished?
24 MR. HOCHMAN: After I ' m finished, please .
25 COMMISSIONER RICE : Okay.

1 MR. HOCHMAN: The other issue is in the
2 contract , the contractor takes the items from the
3 processing area to a place of final disposition,
4 usually a dump or a processing facility. In the
5 contract it says that the contractor will identify
6 what those sites are . The County had a preference
7 and said, we want you to take it to a particular
8 place .
9 The plaintiff in the case says, by telling us
10 that you wanted a place different than where we
11 wanted to take it, meaning where the contractor
12 wanted to take it, we ' re going to charge you extra
13 for that . Again, the contract already provided
14 what the rates were, if it were between A or B or
15 C, based upon distance . The County paid for the
16 top level of distance for those items .
17 Ashbritt said, because you made us take it
18 farther away than we wanted to, we ' re going to
19 bill you separately for that , and they issued you
20 an invoice . That is called the additional haul-
21 out element of the claim.
22 So you have two elements which is the
23 putrefied waste element and the additional haul-
24 out element . Again, we went to the judge and said
25 we can determine this as a matter of law. Look at

1 the contract , look at their effort to amend the
2 contract , and just as they did with putrefied
3 waste, they also asked to amend the contract with
4 respect to the haul-out location. Again, the
5 County said, no, we believe that the contract
6 speaks to these things and we fully paid for those
7 things .
8 The court recently entered an order, I say
9 recently, in February, denying the County' s motion
10 for summary judgment . It ' s a motion that says you
11 don ' t need a jury trial . You can just look at the
12 contract and make your determination.
13 What I would like to do now is I would like
14 to appeal that decision to the appellate court .
15 And before I - - right now, we have the ability to
16 do that . The right to appeal has been preserved
17 but I want to proceed with it .
18 It ' s a risky proposition. Typically, an
19 appellate court would defer to what the trial
20 court did. Typically, a court in Florida would
21 rather have a jury trial , make the jury decide
22 rather than have the court take it away from the
23 jury. But we believe that we have good areas of
24 law and that there ' s a good chance of succeeding,
25 at least on one of the issues , and probably both.

1 But , again, it is a risky proposition for various
2 substantive reasons and procedural reasons .
3 If we succeed on the appeal , each element of
4 the claim is worth approximately $500 , 000 . The
5 bill that was submitted by Ashbritt , the invoice I
6 should say, for the putrefied waste is in the area
7 of that $500 , 000 . There ' s two separate invoices
8 that make that up. The bill or invoice they
9 submitted to you for the final disposition of the
10 additional haul-out is for approximately the same
11 amount .
12 If the County would prevail on either one of
13 those issues on appeal , you would spend the money
14 for the appeal and potentially reduce the case by
15 half . It used to be a lot bigger case, but now
16 we ' ve reduced it to a case of approximately a
17 million dollars .
18 COMMISSIONER CATES : I want to - - can I - -
19 MAYOR CARRUTHERS : Are you taking questions
20 now?
21 MR. HOCHMAN: I will . And I apologize for
22 not before but I think it ' s a great time to do it
23 now where everyone can discuss it .
24 MAYOR CARRUTHERS : This thing about putrefied
25 waste, I mean, saying that when you pick something

1 up you ' re not responsible for what ' s inside of it ,
2 I don ' t understand that logic . I mean, does that
3 mean if you ' re picking up a cooler or just a box,
4 you ' re only responsible for the exterior of it?
5 MR. SHILLINGER: These goods were so nasty
6 inside it required the workers to don, basically,
7 haz-mat suits . It was pretty substantial . So
8 that ' s why they' re thinking that they that they
9 can carve - - that ' s , if I could speak for them,
10 but I ' m not advocating for them, they are - - it
11 required such additional work they' re looking to
12 carve that out as an additional contract term. We
13 think it ' s already included in the contract .
14 COMMISSIONER RICE : There ' s a comment that --
15 MAYOR CARRUTHERS : Yes . You and Roman, yeah.
16 COMMISSIONER RICE : My impression was this
17 was not Ashbritt ' s first rodeo. They are a very
18 highly-experienced firm that has been engaged in
19 work like this for many years . I don ' t think that
20 this is the first time they have seen putrefied
21 waste . I don ' t believe that our citizens are any
22 less responsible, and obviously were responsible,
23 than people in general . And they signed the
24 contract . And they had to know that they were
25 going to run into putrefied waste because I 'm sure

1 they' ve run into it many times before .
2 And as a matter of interest , which of the two
3 items do you think you will win?
4 MR. HOCHMAN: The issue is about sovereign
5 immunity. So, a contract , to be properly enforced
6 against a governmental agency, has to have a
7 provision in it that obligates the governmental
8 agency in that way. The reason that the putrefied
9 waste claim seems like it has a good chance of
10 success on appeal is that Mr. Perkins himself
11 filed an affidavit in the case saying that the
12 contract does not have any obligation upon them,
13 meaning Ashbritt , to haul putrefied waste, which
14 is not the position the County is taking.
15 But , as a legal matter, our appeal , the
16 argument is if the plaintiff who is seeking to
17 enforce the contract - - meaning that ' s their
18 avenue to recovery, here ' s my contract - - says , I
19 want to be paid for this item, which I am telling
20 you is not in the contract , that is an issue which
21 I believe triggers sovereign immunity and allows
22 the appellate court to say, wait a second,
23 plaintiff , you ' re suing on a contract that you are
24 agreeing the provision is not in there .
25 Therefore, sovereign immunity would apply to that

1 because there is no contractual obligation.
2 The judge in the lower court said, yes , that
3 is their claim. But you, County, are saying that
4 it is in the contract . And because I cannot
5 decide whether it is or is not and the two parties
6 are taking opposite positions , I believe it ' s for
7 the jury to decide .
8 But , again, on appeal , my argument is a
9 little more narrow than that which is, it doesn ' t
10 matter what position the County takes . It matters
11 what the plaintiff ' s claim is . And their claim
12 is , I want to be paid on a contract , on a
13 provision that is not in the contract . I believe
14 it ' s that simple and I believe the Third DCA may
15 adopt my reasoning and say, wait a second, you
16 can ' t sue on a contract that you, as you submitted
17 to someone, says , by the way, you ' re not obligated
18 to do that .
19 And I think that simple argument , although
20 there ' s a lot of law on it and there are very
21 capable lawyers on the other side, but the summary
22 judgment order itself is, like, twenty-five pages .
23 So the trial court judge definitely recognized
24 that he was wrestling with these issues . But ,
25 nonetheless , I believe that there is a reasonable

1 chance that the Third District Court of Appeals
2 will agree that you are not entitled to sue on a
3 contract when going into that claim, you agree
4 it ' s not in the contract . And if we were to
5 prevail on that part of the claim, the claim in
6 terms of what ' s presented back to the trial court ,
7 would be reduced by half, would go from a million
8 down to approximately $500 , 000 .
9 MAYOR CARRUTHERS : Roman, do you want to try
10 to --
11 MR. GASTESI : Yes . Commissioner Rice teed up
12 my question and that is - - and I ' ve got others and
13 then I also have a recommendation.
14 If Ashbritt was so successful in other places
15 and here in the Keys after Irma, and I ' ve talked
16 to their managers here in Key West , I think Mayor
17 Cates was there at the time, they were very happy
18 with Ashbritt ' s services . And Islamorada, they
19 were very happy with Ashbritt ' s services . In
20 Islamorada, these white goods were lined up in
21 front of my house on the old road, and I saw thatl
22 what they do . It was quite an operation.
23 So, how did they handle it? Have we looked
24 at their contracts? Did their contracts have that
25 putrefied waste piece or did they pay it or do we

2 MR. HOCHMAN: So, as it goes right now, we
3 have not conducted that much discovery in the
4 substance of the case . What we did is we took
5 what their claim was . It was paper discovery that
6 was conducted. But once we had their claim and we
7 knew what their claim was - - by the way, there was
8 a preliminary motion and then that summary
9 judgment motion. Once we had that we said, purely
10 as a matter of law, it doesn ' t matter what their
11 practice was . Their argument is it ' s not in there
12 so we didn' t get to the actual practices and the
13 idea of what was intended an what ' s not intended.
14 Although, if you look at the opinion itself ,
15 the judge does recognize this idea of it seems odd
16 that you would have a contract to do this and not
17 put it in there and kind of , in some ways , you
18 could read the opinion and determine the judge is
19 tracking on our fact pattern but we ' re not really
20 there on the determination of comparing this
21 contract with other municipal contracts or
22 governmental contracts .
23 MAYOR CARRUTHERS : Yeah, and I was going to
24 also, to Commissioner Rice, I was going to ask if
25 we had any evidence of how they dealt with this in

1 other jurisdictions . I mean, if this is not the
2 first time they' ve dealt with putrefied waste, how
3 have they dealt with it and what did those other
4 contracts look like . Not just even those within
5 the County but they, you know, they present
6 themselves as being the premier agency that does
7 this all over the country, so .
8 MR. HOCHMAN: Yeah. But we are focused today
9 on this idea of whether we should go on appeal .
10 MAYOR CARRUTHERS : So let me ask you this .
11 If we go on appeal and we lose the appeal , would
12 you give us the -- because, to me, if this goes
13 before a jury, it seems like anybody with any
14 common sense would find in favor of the County.
15 But if we lose on appeal does that eliminate our
16 ability to do that?
17 MR. HOCHMAN: No .
18 MAYOR CARRUTHERS : Okay.
19 COMMISSIONER CATES : I think that ' s what I
20 was - - before that , talk about that , because if we
21 lose the appeal , we ' re going to trial , so .
22 MR. HOCHMAN: True . And the issue at trial
23 is you would like to try a case on a very narrow
24 issue that most people can understand and will pay
25 attention to . Most jurors , quite frankly, if they

1 don ' t want to be a juror, sometimes they' re not
2 very interested in the dispute . Sometimes they
3 have a grievance with people that you don ' t know
4 about , and sometimes their decision making is very
5 unpredictable .
6 So, to the extent that a big organization can
7 get a judge to say, I agree with your position and
8 I ' m going to eliminate a claim, that ' s typically
9 how a defense posture would recommend. You would
10 say, let ' s only go to trial on the most narrow and
11 specific claims than a variety of claims .
12 MAYOR CARRUTHERS : Commissioner Rice .
13 COMMISSIONER CATES : If I could just make one
14 more comment before I go.
15 MAYOR CARRUTHERS : Oh, okay.
16 COMMISSIONER CATES : I know we dealt with
17 Ashbritt in Key West and they asked for a lot , you
18 know, to get what they can, which everybody does .
19 But , I mean, this is hurricane debris . To say it
20 needs to be cleaner to haul that out in my
21 contract is just , I think when that goes to a
22 jury, they' re going to -- this is trash, this is
23 debris . Because they separate it and sell it .
24 The white goods are worth a lot of money, right ,
25 but they' ve got to be clean white goods to be

1 worth a lot of money to sell . They want us to pay
2 to clean them, too, so they can sell them. I
3 don ' t think that was in the contract when they
4 hauled it out . So I don ' t believe we should go
5 with that .
6 MR. SHILLINGER: The other thing just to
7 mention, when dealing with juries in this
8 community, I ' ve been with the County for close to
9 twenty years now, including through the gang of
10 three period. There are times when the County has
11 been looked on with favor and disfavor.
12 MAYOR CARRUTHERS : You don ' t have to say
13 anything else . I think I know where you' re going.
14 MR. SHILLINGER: Let me just relay a story.
15 About fifteen years ago, we had a construction
16 trial and we had out-of-town counsel for the
17 plaintiff and an out-of-town firm who came in and
18 asked the jurors , and just that particular set of
19 jurors , but anyway, I ' m going to be questioning
20 and challenging some of your people that you might
21 know that work for the County. Basically, am I
22 going to get home-towned here? Are you going to
23 give - - and the question was , are you going to
24 give your local representative, your local
25 officials and your local County employees , will

1 you give them more credibility than my guy' s .
2 Again, this was in the middle of the gang of three
3 effort , you know the era. And the jury broke up
4 laughing at that question. I mean, laughing hard.
5 So there are times when we get the home-town
6 advantage, and there are times when we don ' t .
7 This one, I think we would based on the facts and
8 circumstances of this one . But you don ' t know
9 what the public ' s mind and those six jurors ' minds
10 are going to be when get ultimately into a
11 courtroom. So avoiding - - that speaks to the need
12 to, if there ' s a way to resolve it , challenge it ,
13 take it away from a jury, keep it from getting to
14 a jury, that ' s an appropriate course of action to
15 do .
16 MR. HOCHMAN: And another issue would be
17 whether or not you want to offer anything to
18 Ashbritt at this stage or at some subsequent stage
19 to resolve the case . They believe the case has a
20 value in excess of a million dollars , and right
21 now they avoided the summary judgment motion. I
22 can tell you they worked very hard to avoid it .
23 Judge Koenig spent twenty-five pages addressing
24 all the issues . And so, an executive session is
25 the time where the temperature, I guess , would be

1 the appropriate kind of analogy, to say, is
2 anybody inclined to offer money to resolve the
3 case rather than to face the risk to a jury, if it
4 goes that far.

8 COMMISSIONER CATES : Are we talking about the
9 shipping of the -- I mean, the distance - -
10 MAYOR CARRUTHERS : No, no . No .

14 MR. SHILLINGER: Same case, two claims .

15 regulations . Sorry to put you on the spot .
16 MS . LIMBERT-BARROWS : So maybe it could be
17 FEMA reimbursed but the concern that I have is the
18 timing of it because things are being closed out
19 and we ' re kind of towards the end of it , and there
20 are deadlines with those things . Those may be
21 extended given the pandemic and situation going on
22 right now, but that is the only problem.
23 I think that , yes, for example, if the judge
24 would have said, no, you have to pay it , or a jury
25 says you have to pay it , then we could seek

8 category for debris removal in general . So I
9 don ' t think it breaks it down that specifically.
10 COMMISSIONER COLDIRON: And then, I wonder,
11 wouldn ' t that help us in our case here to say,
12 look, FEMA doesn ' t even have it listed as a
13 specific category, and it should always be
14 included in whatever cost . Doesn ' t that lend
15 credence to the fact that that ' s - - that our
16 contract --
17 MS . LIMBERT-BARROWS : It may. I mean, part
18 of this is that when we put it out for bid, there
19 were addendums , there were questions that came to
20 the County that we answered, and never from any of
21 the vendors did we get , hey, where ' s the line item
22 for putrefied waste . So I think that ' s compelling
23 as well , that that never came up until after we
24 already had awarded the contract and were into the
25 process . And our other contractor that we have

2 that, and they performed that work without seeking
3 an amount for putrefied waste .
4 COMMISSIONER CATES : Can I ask - -

6 COMMISSIONER CATES : I just wanted to ask a
7 question about the haul , the distance of the haul ,
8 because if it ' s all together, we may be more - -
9 you know, if we asked them to haul it further than
10 the contract said, we might be liable there,
11 maybe . Then maybe we could make some deal on one
12 part of it and forget the other. But that ' s why I
13 wanted to ask the question, did we ask them to
14 haul it to a further location than the locations
15 that they had previously identified?
16 MR. HOCHMAN: Yes .
17 MAYOR CARRUTHERS : So you said there were,
18 like, A, B and C distances , and ours would have
19 been D?
20 MR. HOCHMAN: It was the farthest location
21 because that location offered recycling and was
22 not merely a dump. It was consistent with Florida
23 policy and County policy to make sure the
24 materials are appropriately hauled out and stored
25 at a final disposition site rather than just

1 taking the closest place and dumped in a landfill .
2 MAYOR CARRUTHERS : But my question is - -
3 because you said there were sort of three
4 distances that were under consideration. Is the
5 actual location where we asked them to dump it
6 beyond the farthest distance in the contract?
7 MR. HOCHMAN: The contract says beyond a
8 certain mileage, beyond 130 miles .
9 MAYOR CARRUTHERS : And it was?
10 MR. HOCHMAN: And it was just beyond that .
11 MAYOR CARRUTHERS : Okay. Okay.
12 MR. HOCHMAN: But a lot of waste was dumped
13 in that category, and the contractor got the
14 highest price for doing so and accepted all of
15 that money, and then said, by the way, we want the
16 difference between where we took it from and where
17 we wanted to go, as a different - - as an
18 additional line item of cost , which is not
19 contemplated by the contract .
20 And so the issue is , well , then you could
21 have dumped it where you wanted to and then you
22 would be paid for the distance that you dumped it
23 at . And the question is whether that would have
24 been a breach. The judge covers this whole area
25 in his order saying I ' m not sure what I should do

1 about this in terms of a judicial decision so I ' m
2 going to let the jury determine it .
3 COMMISSIONER COLDIRON: I have a question.
4 MAYOR CARRUTHERS : So the judge can ' t decide
5 that item.
6 COMMISSIONER COLDIRON: If we were requiring
7 it to go to a certain dump that recycled and
8 separated it out , why wasn ' t that part of the
9 original contract and why didn' t they understand
10 from the get-go that this is specifically where it
11 had to go?
12 MR. HOCHMAN: The provision in the contract
13 says that the contractor can identify and will
14 identify the sites of final disposition. The idea
15 that the word "identify" means without - - must go
16 there, is disputed. The County said we prefer
17 that it go to this site .
18 The County and Ashbritt did go back and forth
19 on that issue . We ' d like to go here . Of course,
20 the contractor wants to go to the shortest
21 possible site . The County said, we prefer it go
22 to the farther site because it has these
23 advantages in terms of final disposition. It was
24 not really fought that strongly. There ' s some
25 e-mails and correspondence that go back and forth.

1 And then, Ashbritt acquiesces and does what the
2 County wants .
3 After that occurred, then they bill you for
4 it .
5 MAYOR CARRUTHERS : So when they acquiesced to
6 it , they didn ' t say, sure, we ' ll do it , but it ' s
7 going to cost you?
8 MR. HOCHMAN: Well , they - - that part of the
9 record is not fully developed yet , but the issue
10 is they do come to you and ask you for an
11 amendment to the contract and that request is
12 denied.
13 MAYOR CARRUTHERS : They ask that after they
14 acquiesce to taking it to - - or, was it
15 simultaneous , after saying - -
16 MR. HOCHMAN: My understanding was - -
17 MAYOR CARRUTHERS : - - we ' ll take it to this
18 farther site provided you give me this extra
19 money, or was it we ' ll take it to the farther site
20 and then, a couple weeks go by, hey, here ' s the
21 bill?
22 MR. HOCHMAN: My understanding of those facts
23 is that the plaintiff comes to you, asks for an
24 amendment . The County says , no, it ' s already in
25 the contract the way it goes . We will pay you for

1 the extra distance . That ' s in the contract as
2 well . Please follow the contract .
3 Ashbritt says we didn ' t meet -- interpret the
4 contract differently and we ' ll do what you want ,
5 but we ' re going to - - we ' re, basically, going to
6 come back with a lawsuit .
7 MAYOR CARRUTHERS : But we say we ' ll pay them
8 for the extra distance . This is what I ' m not
9 understanding.
10 MR. HOCHMAN: I understand.
11 COMMISSIONER COLDIRON: Me, too . I ' m not ,
12 either.
13 MR. HOCHMAN: The contract , the contract
14 provides that if anything is hauled to a distance
15 more than 130 miles , there ' s a rate associated
16 with that . The County said, take these items to
17 that distance and we ' ll pay you that rate .
18 Ashbritt said, no, we would like to take
19 these items to a closer location.
20 And the County said, you don ' t get to choose
21 which location, you just get to designate the
22 identity of those sites . This is one of those,
23 and we would like you to take it there .
24 MAYOR CARRUTHERS : And we were willing to pay
25 that extra rate?

3 MAYOR CARRUTHERS : Then what are they suing
4 us for?

7 MR. HOCHMAN: They' re suing you for the
8 preference . They wanted to take it to the closer
9 location.
10 MAYOR CARRUTHERS : But the contract says that
11 you can take it to - -
12 MS . LIMBERT-BARROWS : I think it was a
13 hundred - - so, the contract said, you know, if
14 it ' s more than a hundred, up to 130 or more than
15 130 miles , I think this was 147 miles . So they
16 are saying we should get more because it ' s more
17 than 130 , is my recollection.
18 MAYOR CARRUTHERS : So we paid for 130 and not
19 at 147 , and they' re looking for seventeen dollars
20 or seventeen miles worth of payment?
21 MR. HOCHMAN: No .
22 MAYOR CARRUTHERS : No?
23 MR. HOCHMAN: To explain the claim more
24 specifically, the contract allows you to pay at a
25 rate above 130 miles , meaning if the distance is

1 more than 130 miles , a certain rate is applied to
2 it .
3 COMMISSIONER COLDIRON: And we applied that?
4 MR. HOCHMAN: Correct . I think it ' s , like,
5 $12 . 50 a yard, something like that .
6 MAYOR CARRUTHERS : Now, do you mean cubic
7 yard of waste or yards in a mile?
8 MR. HOCHMAN: I ' m sorry, cubic yard of waste .
9 MAYOR CARRUTHERS : Okay, thanks .
10 MR. HOCHMAN: The issue was whether Ashbritt
11 or Monroe County gets to decide which item goes to
12 which location, what the distance is . And the
13 contract says they get to identify the site .
14 So the question is , identify sites , meaning
15 does that exclude the County' s right to have a
16 preference as to where they want to go . Ashbritt
17 wanted to haul the waste closer. The County said,
18 no, take it more than 130 miles away. I think it
19 was 147 or something, not that far after that
20 limit , and we ' ll pay that rate for those items .
21 Ashbritt ' s claim now is they want the
22 difference between the location they wanted to
23 take it to and the extra distance, and that is
24 their bill . That extra mileage is their bill .
25 MAYOR CARRUTHERS : Gotcha . Not the 130 to

1 147 , but they wanted to take it to mile marker 100
2 and - - gotcha, so they want 47 miles worth of
3 payment .
4 MR. HOCHMAN: They want an extra $6 . 50 ,
5 approximately, per cubic yard, for all of the
6 extra waste they hauled. And so, they billed at
7 the highest rate, and they sent you another bill
8 saying, oh, you owe us another $6 . 50 for what they
9 call the additional haul-out distance .
10 MAYOR CARRUTHERS : Man, are they clever.
11 COMMISSIONER RICE : Could we hear from Roman?
12 MAYOR CARRUTHERS : Yeah, let ' s hear from
13 Roman and Bob .
14 MR. GASTESI : Well , I think that my sentiment
15 here, and I ' ve discussed it with the attorney, but
16 I think it ' s just to ask for Ashbritt to drop
17 their lawsuit , drop the million-dollar lawsuit ,
18 the two cases , and give them the contract back.
19 This whole thing was caused by this quagmire with
20 the governor sending contractors down here and
21 they cherry-picked the hardest mess area, you
22 know, took it away from Ashbritt , and you remember
23 all the pricing issues that were going on around
24 the country, and this and that . It is what it is .
25 Three years have gone by, almost three years have

1 gone by. We ' re getting ready to go into hurricane
2 season. They did a great job . Mayor, I don ' t
3 know if you can attest to this but they did a
4 great job in Key West , they did a great job in
5 Islamorada. They' re invested here . And give them
6 the contract back, if , if they drop their claim.
7 I mean, we have to get something out of it . And
8 there ' s no - - we don ' t have to pay anything, we
9 don ' t have to worry about FEMA reimbursement, we
10 don ' t have to worry about anything.
11 MR. SHILLINGER: But we won' t get reimbursed
12 next time because we ' ve not competitively bid the
13 contract .
14 MR. GASTESI : But they got it , initially got
15 it .
16 MR. SHILLINGER: It ' s been terminated.
17 That ' s the problem. We ' re setting up for the next
18 one .
19 MS . HALL : And we issued another RFP after
20 that .
21 MR. SHILLINGER: We ' d have to go out to an
22 RFP and they would have to be the winning one in
23 order for us to get reimbursed in the future for
24 their work.
25 MAYOR CARRUTHERS : Well , if they proceed with

2 prohibited from hiring them in the future? Don ' t

6 you - -
7 MAYOR CARRUTHERS : In our procurement policy,
8 right .
9 MR. SHILLINGER: - - have to disclose . That ' s
10 as deep as it gets , though.
11 MS . LIMBERT-BARROWS : It ' s part of
12 determining whether they are responsible .
13 MAYOR CARRUTHERS : Whether they win the RFP,
14 essentially.
15 MS . HALL : It ' s not a blanket prohibition,
16 it ' s just a factor. Obviously, a significant
17 factor that you should take into consideration.
18 MR. SHILLINGER: We ' ve also had staff testify
19 to FEMA auditors about Ashbritt ' s noncompliance
20 with the contract terms . And so, just simply
21 giving up and saying come back and let ' s - - a do-
22 over undercuts the credibility of your staff that
23 has already given sworn testimony to criminal
24 investigators . So it sounds like it ' s , you know,
25 a good solution but it has those unintended

2 MR. GASTESI : Well , that ' s my recommendation.
3 COMMISSIONER RICE : But it sounds like your
4 recommendation would cost us FEMA reimbursement
5 during the next disaster, and that ' s not
6 acceptable .
7 MR. GASTESI : Yeah. Well , if that ' s the
8 case, of course that ' s not acceptable, but I don ' t
9 - - I don ' t agree with that . I just don' t agree
10 with that . I think you ' re a legislative body and
11 you can make decisions and you have that power.
12 I ' ve seen these things happen before, not exactly
13 this, but it ' s your contract . Who would challenge
14 it?
15 COMMISSIONER COLDIRON: My recollection in
16 wearing the hat of Marathon City Councilperson
17 during this , we weren ' t thrilled with Ashbritt .
18 MR. GASTESI : No, you didn ' t use Ashbritt .
19 COMMISSIONER COLDIRON: No, we didn ' t , and we
20 almost had to and we did not want to .
21 MR. SHILLINGER: Ashbritt sued Marathon.
22 COMMISSIONER COLDIRON: Right . We were not
23 satisfied with - - so I for one, sitting here, I
24 wouldn ' t want - - I ' m not sure I would want them.
25 MR. GASTESI : Well , again, it ' s just my

1 recommendation. Obviously, if it ' s not legal ,
2 it ' s not legal . If you don' t want to do it , you
3 don ' t want to do it .
4 COMMISSIONER RICE : Roman, we 've had this
5 conversation before . To give a no-bid contract
6 with the chance that we would be compromising our
7 FEMA reimbursement in the next disaster to an
8 individual who stood up in front of us and lied to
9 us , number one, and that we gave the benefit of
10 the doubt when the question was , has he met his
11 contract requirements , and clearly, in my opinion,
12 probably had not because the requirement was to
13 have a certain number of trucks in the County that
14 he didn ' t have, but we, being nice guys , put him
15 into a decent position there when he said he was
16 in violation of his contract . And in that meeting
17 he promised us that he wouldn ' t come after us .
18 Then he went out very quickly and filed a lawsuit
19 against us .
20 I ' m not - - I don ' t want to take any kind of
21 chance for a person like that . I don ' t want to
22 deal with a person like that , as I told you
23 before . I don ' t like to deal with liars . And I
24 know the reasons you stated at that time when you
25 wanted to do that has to do with last names , but

2 MR. SHILLINGER: So we can approach a
3 settlement after we do the appeal . If we win the
4 appeal , the case is done . If we lose the appeal
5 or if it ' s a split decision, then we can revisit
6 whether there ' s an opportunity to settle or not
7 before we actually go to trial .

12 the potential loss but also, doing the right
13 thing. Because I sort of feel like these guys
14 are, you know, swindlers .
15 MR. HOCHMAN: There is a risk in this case,
16 and the biggest risk in the case is that a jury
17 would determine that Ashbritt , according to the
18 contract language, gets to identify the final
19 disposition site . They told you, with respect to
20 this category of waste, we ' ve identified where
21 we ' re going to put it , and that a jury could find
22 that when you said, we don ' t like that site, we
23 would like you take it to the other one, which is
24 contemplated by the contract , the jury could side
25 with Ashbritt on that . And if that were to occur,

3 COMMISSIONER COLDIRON: And tell me again,
4 clarify why we wanted it to go to the site at mile
5 marker 147 over something closer? What was --
6 MR. HOCHMAN: It ' s not mile marker 147 . It ' s
7 actually --
8 COMMISSIONER COLDIRON: Whatever, yeah.
9 MR. HOCHMAN: Right . The reason is because
10 the State of Florida and Monroe County are
11 interested in observing recycling and pro-
12 environmental policies by - - which is certainly a
13 proper theme to go with a jury.
14 COMMISSIONER COLDIRON: Yes .

16 MR. HOCHMAN: So that ' s why, yes , there is
17 that risk, but the County is well prepared to
18 address the risk. The idea is all of the waste
19 shouldn ' t just be dumped at a certain place . We
20 would like you to take it to an appropriate place
21 and we will pay for it .
22 COMMISSIONER COLDIRON: And we did, but not
23 at the rate they felt .
24 One more question. At that recycle place
25 that we ended up prevailing and taking the trash

2 County receive any money?
3 MAYOR CARRUTHERS : Did we benefit from that?
4 COMMISSIONER COLDIRON: Yes .
5 MR. HOCHMAN: I don ' t know the answer to that

7 MS . LIMBERT-BARROWS : We get reimbursed for,
8 you know, the debris removal cost , but we don ' t
9 get any additional funds for recycling and things
10 like that as far as reimbursement .
11 MR. HOCHMAN: The County was simply abiding
12 by a policy of environmental sensitivity with a
13 contractor who was abiding by their policy of
14 profit margin.
15 COMMISSIONER COLDIRON: And then I would say
16 for as much, Bob, with what you ' re saying, for as
17 much as sometimes County people on a jury might
18 love the County and sometimes they might not, one
19 thing I think we can all agree upon is that our
20 County loves our environment . And I feel like
21 would have a better shot at winning this argument
22 for taking it further to protect our environment .
23 MR. SHILLINGER: Right . That ' s - -
24 MAYOR CARRUTHERS : Especially when we paid
25 them for it and it was in the contract . I mean,

2 those three things? I mean, that ' s to protect
3 them, not to protect us , right? I mean, the

7 involved.
8 COMMISSIONER COLDIRON: In hauling.
9 MR. HOCHMAN: When you haul to a certain
10 distance, it ' s a certain cost . If you travel a
11 lot of miles - -
12 COMMISSIONER COLDIRON: And they had to turn
13 back around and do another haul . Remember, it was
14 day in and day out .
15 MAYOR CARRUTHERS : Yeah. I guess we need to
16 worry about the word "identify" in any future
17 contracts .
18 COMMISSIONER RICE : I ' ve certainly made my
19 decision, if you want to get this - -
20 MAYOR CARRUTHERS : Craig ' s leaning in for a
21 question.
22 COMMISSIONER CATES : Can I make just one
23 comment? I think we owe for the seventeen miles
24 over. I think they' ll win that in their maximum
25 haul .

4 mean, they put a bid on trash. They want cleaner

7 miles and we owe them for that .
8 MR. HOCHMAN: Just so it ' s clear, they
9 submitted an invoice for that and it was paid.

12 invoice saying we were paid for that distance but
13 because it wasn ' t the distance that we preferred,
14 we ' re going to charge you the difference between
15 the area that we wanted to dump it in and the area
16 we ultimately dumped it in as a premium.

18 location because they made more on the recycle
19 part of it?
20 MR. HOCHMAN: It was just the cost involved
21 in going the extra distance .

23 first bill for it, and now they come up with a

8 the very least , narrows the issues for trial . I
9 guess , the worst thing that could happen is the
10 court rules against us and - -

12 then that we are in right now which is to have a
