2 the attorneys . Any decision the Board makes
3 concerning this case must be done in a meeting
4 that ' s open to the public .
5 So this our other case that ' s come out of
6 Hurricane Irma so far. Disaster Solutions is
7 suing us , and I will turn it over to Jeff to brief
8 you on the case and tell you where we are right
9 now.
10 MR. HOCHMAN: Good afternoon. The reason I
11 am here today is because a mediation in this case
12 is scheduled for Friday, May 22nd, and in
13 mediation, the parties are required to consider
14 the possibility of settling their dispute .
15 This dispute involves what the plaintiff
16 claims is a breach of contract claim. That ' s the
17 first claim, the claim for breach of contract .
18 The second claim is a claim under the Florida
19 Local Government Prompt Payment Act .
20 The contract itself is a little hard to
21 describe because it ' s not your typical contract
22 where you have the word at the top of the page,
23 "agreement, " and it identifies the parties and it
24 tells you what they' re going to do with the prices
25 and then people sign it . Instead, the plaintiff

1 in this case, Disaster Solutions , has a bunch of
2 different documents they point to and allege that
3 that makes up this contract .
4 The first document is this piece of paper
5 that they generated and gave to Martin Senterfitt
6 before Hurricane Irma occurred that says , Proposal
7 for Open Blanket Purchase Order, not to exceed
8 fifty-thousand dollars . And the proposal ,
9 basically, if you look at it , indicates that
10 whoever is going to provide the service is going
11 to provide four people at a particular rate of pay
12 for eight hours and possible overtime, and a list
13 of equipment and what they' re going to provide .
14 According to Martin Senterfitt ' s testimony in
15 the case, he was dealing with a man named Scott
16 Lewis who represented that he worked for a not-
17 for-profit organization called Eagles Wings ,
18 Pathfinders . The plaintiff disputes the
19 conversation and disputes the character of the
20 proposed contract, the content of the proposed
21 contract , the rates of pay, and every other
22 element of the claim.
23 According to Mr. Senterfitt , he reached out
24 to what he believed was a not-for-profit entity.
25 He thought he was going to get the volunteers from

1 this not-for-profit entity to do things like hand
2 out water, to do things that a volunteer would do,
3 and that he was getting this Pathfinders , Eagles
4 Wings organization to bring those people in who
5 were trained, and then to, in turn, train
6 unaffiliated volunteers who would be around as to
7 where you go, how you sign your daily time sheet ,
8 who the command center is or where it is , who you
9 talk to, and that there would be a price to pay
10 for that overhead to bring in the volunteers, but
11 he did not believe that he was paying people to
12 show up and act as professionals to deal with the
13 unaffiliated volunteers .
14 So that first piece of paper, the proposal ,
15 if you read it , subjects the County to total
16 charges for eight hours for up to four people and
17 the equipment list for approximately four or five-
18 thousand dollars total . According to Martin
19 Senterfitt ' s testimony, Mr. Lewis showed up the
20 next day or two days later at the Emergency
21 Operation Center before the hurricane starts, this
22 is now before the 10th of September, 2017 , and
23 says, actually, I brought two more people with me .
24 And so, there ' s another document that ' s exactly
25 like the first document except it says , Supplement

1 Number One on it for an open blanket purchase
2 order not to exceed fifty-thousand dollars , and
3 lists two more positions for a total of six
4 positions . Again, if you read that entire
5 document and you pay the people the eight hours
6 that ' s listed on the document as the proposal , the
7 total exposure, again, to the County is somewhere
8 in the neighborhood of seven-thousand dollars .
9 MAYOR CARRUTHERS : Can I ask a question?
10 MR. HOCHMAN: Certainly.
11 MAYOR CARRUTHERS : You ' re calling these
12 things proposals . Were they ever signed by both
13 parties?
14 MR. HOCHMAN: No . What happens is Martin
15 Senterfitt signs both documents . There ' s
16 different versions with Tina Boan ' s signature on
17 them, and what happens is the County generates
18 something they call a purchase order, and the
19 number of the purchase order is printed on both
20 documents . There ' s also, in all the - -
21 MAYOR CARRUTHERS : What ' s the amount on that
22 purchase order?
23 MR. HOCHMAN: There is no amount . It simply
24 has the listed positions, what their rates of pay
25 are, that they' ll work for eight hours plus

1 overtime . And then, there was an equipment list .
2 The equipment list is about thirteen-hundred
3 dollars worth of items . There ' s a lot of
4 information that is , "to be announced. " The
5 document also references something called the GSA
6 contract .
7 Nonetheless , the documents themselves have
8 signatures of Martin Senterfitt , some of them, and
9 some with Tina Boan ' s signature on them. And a
10 purchase order is generated. And a prior letter
11 called a Letter of Authorization was signed by
12 Martin Senterfitt saying, you can let Pathfinders
13 task force in to provide this volunteer support
14 capability. That also has the purchase number on
15 it .
16 MAYOR CARRUTHERS : Okay.
17 MR. HOCHMAN: That ' s what we have .
18 On the day of the storm, on September 10 ,
19 2017 , according to the plaintiff , Martin
20 Senterfitt went to them and said, I need more
21 people . And so, a document was generated which is
22 a document that is not typically used as a
23 contract . It ' s simply used as a resource request
24 that somebody in the Emergency Operation Center
25 would use as part of its standard system to

1 request resources from some entity, usually the
2 State of Florida, and say to the State of Florida,
3 we need school buses , or we need school bus
4 drivers , or we need four-hundred gallons of water.
5 And then it would go through the entire system,
6 each of the individuals at the Emergency Operation
7 Center with logistics and finance would all sign
8 off , and it would go up the chain of command, and
9 then Martin Senterfitt would sign whether or not
10 he wants to actually request these items .
11 That document got generated in this case and
12 it ' s a very ambiguous document . It ' s called a
13 213-RR, Resource Request . It has an item for
14 costs , what are these items going to cost . That
15 area of the document is blank. It also says that
16 you are going to ask for school buses, school bus
17 drivers , and then it says PTF, Pathfinders Task
18 Force volunteer reception area team. It also has
19 other things like that referencing the Pathfinders
20 Task Force again. They now have eighteen in the
21 first category, eighteen in the second category,
22 and then it references six-packs , the first six
23 individuals , according to the plaintiff ' s version
24 of what this document means .
25 MAYOR CARRUTHERS : What ' s the time frame that

1 this was all happening?
2 MR. HOCHMAN: It ' s on the night of October --
3 I ' m sorry, September 10th, 2017 , the night of the
4 hurricane . They' re all hunkered down, not in
5 Marathon --
6 MAYOR CARRUTHERS : In Ocean Reef .
7 MR. HOCHMAN: - - but up in Ocean Reef . There
8 is obviously a dispute about what the document is ,
9 what is intended. The plaintiff claims that this
10 was a critical document because it prompted them,
11 Disaster Solutions , to dramatically increase the
12 personnel that were going to be brought to Monroe
13 County from six to forty-eight
14 What ' s interesting about the document,
15 according to the testimony, it was circulated
16 around, and then Martin Senterfitt looked at it
17 and said, no . And so the document that ' s actually
18 attached to the complaint in this case has ,
19 "Denied per Martin Senterfitt , 9/10 , 2017 , " and Xs
20 through all the signatures that the people in the
21 Emergency Operation Center had placed on the
22 contract .
23 Nonetheless , before that occurred, the
24 representative of Disaster Solutions or
25 Pathfinders or Eagles Wings , we don ' t know yet ,

1 took a cell phone photograph of the document when
2 the operations individual and the planning
3 individual had signed it, before Tina Boan did,
4 the finance chief, and took a photograph of it and
5 then sent it to Scott Lewis through, it looks
6 like, a text message . So there ' s another version
7 of this document .
8 The plaintiff claims that that version of the
9 document before the Xs and the "Denied per Martin
10 Senterfitt" was placed on there minutes later,
11 that that and the first three documents , the
12 proposal number one, the proposal that says
13 Supplement Number One, and that letter of
14 authorization, all combined, create an express
15 written contract that binds Monroe County.
16 After, after these documents are allegedly
17 agreed to - - and, again, the facts associated with
18 what they mean and what they obligated the County
19 to do, are disputed. According to the plaintiff ,
20 they brought forty-eight people here . They did a
21 bunch of things , which they have pages and pages
22 of time sheets . None of the time sheets were
23 placed where they should have been on the day they
24 did the work, usually you would hand in a time
25 sheet every day. They didn ' t do that . They

1 waited until the very, very end. I believe that ' s
2 September 19 , 2020 , so they had been here for a
3 couple of days . And then they left .
4 MAYOR CARRUTHERS : I ' ve got a couple of
5 questions . How can - - how can all these documents
6 be considered a contract if Marty denied it on
7 September 10th, A? B, where were these forty-
8 eight people and what were they doing?
9 MR. HOCHMAN: Well , I ' ll answer those, I ' ll
10 answer those questions in a bit . I ' ll backtrack.
11 They left in the middle, late part of
12 September. And then, on November 16 , you get an
13 e-mail with an invoice attached. The invoice
14 requests payment , if you pay within fifteen days ,
15 around $750 , 000 , and if you don ' t , around
16 $800 , 000 . So an invoice shows up . The invoice is
17 not from Eagles Wings Foundation. It does say
18 Pathfinders on it, but it also says Disaster
19 Solutions , L . L . C .
20 Now, the earlier documents all do that as
21 well . They have this co-branded logo about
22 Pathfinders , Pathfinders Task Force, and Disaster
23 Solutions , L . L . C .
24 Under the Florida Prompt Payment Act , as a
25 theoretical matter, upon receipt of a valid

1 invoice, a governmental agency is supposed to
2 immediately look at it , stamp it as received, and
3 then object to it within ten days if it ' s not a
4 proper invoice . If it ' s not a proper invoice, the
5 governmental entity is supposed to go back to the
6 vendor who sent the invoice and say, this is not a
7 proper invoice . This is what you need to convert
8 this improper invoice into a proper invoice .
9 Once they submit a proper invoice, the next
10 part of the statute says, here is what you need to
11 do . You need to resolve it and if not , you have
12 to have a procedure in place to resolve it . And
13 if they don ' t do that , then you have to actually
14 go through an entire process to resolve this
15 dispute over an improper invoice .
16 The plaintiff claims in this case that we
17 didn' t do any of those things . There ' s a big
18 fight about , wait a second, who is submitting the
19 invoice? We thought we had Pathfinders and Eagles
20 Wings , and now we ' re getting an invoice from Scott
21 Lewis . By the way, the invoice itself, that
22 e-mail we talked about , that didn ' t come from
23 Lewis at Pathfinders dot cc, like all of the prior
24 communications . This e-mail comes from Scott
25 Lewis at his Disaster Solutions e-mail address .

1 So there ' s initial misunderstanding of who it is ,
2 and then what amount should be paid and what ' s
3 going on here .
4 Basically, the County looked at all of this
5 information and it was a matter of dispute as to
6 what was going on for a number of months in a row.
7 When the invoice was received it went to your
8 independent contractor who was handling invoices
9 for FEMA. It got submitted to FEMA for
10 reimbursement of the amount of the invoice .
11 Ultimately, Monroe County recognized that , wait a
12 second, this is that Pathfinders proposal for an
13 open blanket purchase order, and wrote a check for
14 $49 , 999 , below or at Marty Senterfitt ' s purchasing
15 authority without approval by the Commission.
16 They accepted it and issued a new invoice for
17 eight-hundred-some-odd-thousand dollars minus the
18 forty-nine, nine-nine-nine .
19 Monroe County then recognized, wait a second,
20 we have this request for reimbursement from FEMA
21 for the wrong amount . Monroe County then went
22 back to FEMA and submitted an amended request for
23 the proper amount that had been billed.
24 The package that Monroe County submitted to
25 FEMA talks in terms of a contract with

1 Pathfinders , Disaster Solutions , because that is
2 the information which the invoice suggests is
3 true, and the information provided by Disaster
4 Solutions when Monroe County was communicating
5 with them, trying to understand what the invoice
6 was and figure out all the people who worked, like
7 you just mentioned. Well , where ' s the documents ,
8 how do we know? Well , here are our time sheets
9 that show that we were there . Well , what was
10 provided? They have all this backup information.
11 They also have a large spreadsheet about when
12 people showed up, how many hours they bill . And
13 by the way, they billed not eight-hour days . I
14 think Scott Lewis bills no less than a seventeen-
15 hour day from the day he spoke with Martin
16 Senterfitt to the day he left two days after that .
17 So he bills , he bills at not just eight-hour days
18 but time and-a-half for another ten hours usually.
19 So we have all that paperwork and we go back to
20 FEMA, we say - - we revise it .
21 The plaintiff then engages in a dispute
22 resolution effort . There ' s a pre-suit mediation
23 that occurs , and the County' s position is there is
24 no contract . There is simply your request for
25 proposal . We issued a purchase order. Frankly,

1 we don ' t know what we owe under this because it
2 looks like we owe about seven or eight or nine-
3 thousand dollars , but we issue a check for the
4 maximum amount that we could be subjected to under
5 Marty Senterfitt ' s purchasing authority was forty-
6 nine, nine-ninety-nine .
7 The plaintiff has now filed suit claiming you
8 violated the Prompt Payment Act by not responding
9 to the invoice within the ten days as you were
10 supposed to, and you breached the contract because
11 you didn ' t pay the eight-hundred-plus-thousand
12 dollars . The most recent invoice suggests it ' s,
13 you know, nine-hundred plus , and it will be a
14 million by the time the case proceeds to trial .
15 So that ' s the case right now.
16 The County moved to dismiss the lawsuit and
17 said, in order to subject a municipality or a
18 county or any governmental agency to a contract
19 you have to have an express written contract .
20 Their complaint doesn ' t cite to one . They have a
21 bunch of documents but if you look at each of them
22 together, you can' t add them all together and
23 accumulate them into a contract . The judge said,
24 quite frankly, I don ' t know what this document is .
25 They' ve alleged a contract . They' ve alleged it

1 through all these efforts . And then a second
2 document , and a third document, they all amount to
3 something. And then, you went over the limit
4 because you signed something else . I ' m going to
5 allow it to go to the next phase which is the
6 summary judgment phase .
7 So that ' s where we are right now. The
8 plaintiff did move for summary judgment on their
9 side of the case . They wanted to ask the judge to
10 say, even if there ' s no contract , let ' s put the
11 contract aside, we still gave you an invoice . And
12 the statute says , once you receive an invoice you
13 have to respond in ten days , and you didn ' t do
14 that . And since you didn ' t respond in ten days ,
15 at least you violated one of the sentences in the
16 Florida Local Government Prompt Payment Act . So,
17 at least on that , I want judgment .
18 And the County responded in saying, whoa,
19 whoa, wait a second. The statute contemplates
20 that you first have a contract . You can ' t just
21 give a piece of paper, you owe me X, and then that
22 serves as an invoice under the statute .
23 We had a hearing yesterday about that and the
24 judge said, I ' m not going to have a summary
25 judgment hearing right now. We ' re going to push

1 that off until more discovery occurs in this case
2 and I know the circumstances of it .
3 So, summary judgment on their side on this
4 Local Government Prompt Payment Act is pending.
5 I ' ve asked the judge for an opportunity to have a
6 lot of discovery. The reason for that is right
7 after they left Monroe County in September of
8 2017 , they went to Puerto Rico after Hurricane
9 Maria . There ' s a lawsuit pending between Disaster
10 Solutions and a local government agency there and,
11 guess what, this same set of documents is the
12 subject of that lawsuit . It ' s that proposal for
13 an open blanket purchase order not to exceed
14 fifty-thousand dollars , the same letter of
15 authorization, and the very same, identical , the
16 very same resource request forms that were signed
17 by the people who represented the city in that
18 case .
19 COMMISSIONER RICE : Surprise, surprise .
20 MR. HOCHMAN: So we ' re not surprised that it
21 is a very sophisticated method by which Disaster
22 Solutions , Eagles Wings , Pathfinders , and I 'm,
23 quite frankly, not exactly certain how it all ties
24 together because Scott Lewis is the person in all
25 of those entities . And, by the way, he received

1 an award from the State of Florida in October of
2 2017 for his volunteerism on behalf of Eagles
3 Wings Pathfinders for providing services in the
4 Florida Keys in response to Hurricane Irma . So
5 that ' s just an aside .
6 The question now is they have this claim
7 against Monroe County on this alleged contract .
8 The court has decided, before I determine what the
9 contract is , I need to have some more discovery to
10 figure this all out . And we have a mediation
11 coming up on Friday, May 22 . That ' s why I ' m here .
12 Now, before we get to, do you want to offer
13 any money to resolve the case, there are some
14 problems with our case . One of the problems is ,
15 and this is what the plaintiff has been focusing
16 on the entire time, the County did submit that
17 invoice to FEMA, and the paperwork indicates - -
18 and again, you didn ' t really do it , your
19 contractor did it but , you know, they' re going to
20 show all the information was submitted to FEMA to
21 get a reimbursement , and you keep using the word
22 "contract . " So if you ' re going to use the word
23 "contract" to a third party and act like it was a
24 contract with a third party, why can ' t a jury look
25 at it and say, you treated it as a contract . I

1 don ' t care what the documents say, maybe it ' s
2 ambiguous , but your conduct in treating it as a
3 contract creates contract status of the documents .
4 That really is their theory that we can establish
5 a contract through lots of different behaviors and
6 actions and innuendo, and some documents and
7 signatures, even if any one of them put together
8 - - or, let me say, separately, wouldn' t actually
9 achieve that status .
10 Their other really good argument is the
11 Prompt Payment Act is not really clear what to do
12 in a situation like this . Our arguments are you
13 have to interpret it reasonably to have a
14 contract . That invoice is not really an invoice,
15 because an invoice has to mirror the contract or
16 at least be supported by the contract . And this
17 one, the contract, if all those documents are one,
18 say it ' s not to exceed fifty-thousand dollars . So
19 that provision, we believe, if there is a
20 contract , still is the governing limitation on the
21 contract .
22 And they point to other language saying, no,
23 that was waived or that wasn ' t what the intent of
24 the parties was , and so they want the case to
25 proceed.

1 MAYOR CARRUTHERS : How much have we paid them
2 so far?
3 MR. HOCHMAN: You have paid them - -
4 MAYOR CARRUTHERS : The forty-nine?
5 MR. HOCHMAN: - - forty-nine thousand, nine-
6 hundred-ninety-nine dollars .
7 By the way, here ' s another little argument
8 that they have raised. As a theoretical matter,
9 you would have owed them another dollar.
10 MR. SHILLINGER: Ninety-nine cents .
11 MS . HALL : Ninety-nine cents .
12 MR. HOCHMAN: I ' m sorry, pardon me .
13 Everybody is wrapped in here . Yes , another
14 ninety-nine cents . Again, if you had this open
15 blanket purchase order --
16 MAYOR CARRUTHERS : I have a quarter - - no, I
17 have a buck in pocket .
18 MR. HOCHMAN: Well , but remember, a dollar,
19 in the law, is not a practical thing. It ' s a
20 signifier of rights . And so, what they have said
21 was , even if we ' re wrong on everything else, you
22 did pay, but you paid us a dollar short and you
23 still violated the statute after you paid us by
24 only paying us the ninety-nine but not the
25 ninety-nine cents, the extra ninety-nine cents .

1 MAYOR CARRUTHERS : I have a ton of questions .
2 MR. HOCHMAN: Okay.
3 MAYOR CARRUTHERS : Volunteers . Why are we
4 paying volunteers? I mean, they were here for
5 nine days , September 10th through the 19th. Even
6 if forty-eight people worked twenty-four hours a
7 day, that ' s seventy-seven bucks an hour. I do not
8 understand why we paid them. What did they do?
9 Where were they? Were they - - because I thought
10 that, you know, we kept asking these questions and
11 they weren' t anywhere doing anything.
12 MR. HOCHMAN: There are time sheets for every
13 day that they claim they were here .
14 MAYOR CARRUTHERS : But that ' s - - did you see
15 them? Where were they working? They were not in
16 the EOC . They were not at Ocean Reef . So what is
17 it that they claim that they were doing? That ' s
18 fraud.
19 MR. HOCHMAN: We have alleged as defenses to
20 the claim all of those things . We ' ve also asked
21 the court to allow us to amend. Once I realized
22 the closeness between this case and the one in
23 Puerto Rico, I asked the court to allow us to
24 amend to assert a defense under the Florida Unfair
25 and Deceptive Trade Practices Act , saying the

1 courts can declare that not only was there
2 behavior in terms of contract formation and
3 billing, an unfair and deceptive trade practice,
4 but the submission of the improper invoice was as
5 well . If the invoice itself is subject to be
6 invalidated under the statute, then the Prompt
7 Payment Act doesn' t apply, either. So that ' s all
8 part of the case or will be as we progress .
9 But that ' s where we are right now. They have
10 a very good law firm representing them. My
11 understanding is that the law firm is also either
12 a contributor to the not-for-profit or somehow
13 there ' s a tie-in between the two of them.
14 MAYOR CARRUTHERS : Scott Lewis , is he - -
15 MR. HOCHMAN: Scott Lewis is , I think,
16 personally friends with his - - with the attorneys
17 in the law firm. I don ' t have - - I know that only
18 from things in the air, not from any document that
19 shows the actual contribution or whatever. But ,
20 Scott Lewis is very involved in this case . He
21 appears at every hearing. He ' s with his attorney
22 during every audio hearing. And he knows the FEMA
23 system very, very well . It looks to me like he
24 has used the County and other governmental
25 agencies as a conduit to FEMA money. And he uses

1 that plan that he has to lure people in to say,
2 oh, this is a capped contract , underlies my
3 authority under whatever purchasing policy like
4 the County has one, and then uses these typical
5 documents that occur naturally later on in the
6 process with peoples ' signatures on them as the
7 way to convert that fifty-thousand-dollar limit
8 into an un-limit , no limit . And then, because the
9 rates aren' t spelled out, he then refers back to
10 the alleging in the original purchase order that
11 refers to this federal contract and says , that
12 reference creates the pricing list .
13 COMMISSIONER COLDIRON: Have we spoken to the
14 attorneys in Puerto Rico?
15 MR. HOCHMAN: I have two calls in to them and
16 an e-mail , and they haven ' t yet responded to me .
17 I ' ve spoken to a secretary who says , "Oh, yes ,
18 yes , " and, you know, things there are also in
19 emergency operations mode and so they' re not - -
20 they' re focused on other things right now.
21 But , again, we ' re at kind of the beginning of
22 the lawsuit now. I ' ve done some paper discovery.
23 They' ve objected to basically everything that I ' ve
24 asked for. They' ve provided some responses but
25 the things they don ' t want to respond to is what ' s

1 the relationship between all your entities .
2 There ' s a reporter who has a photograph of
3 Scott Lewis receiving the award and I sent a
4 subpoena to that reporter ' s publisher saying,
5 well , we ' re getting the information about the
6 connection between the two . And they objected to
7 that, but that ' s going to be part of the process .
8 It looks like this also was repeated not just
9 in the two instances that I discussed but there ' s
10 other governmental agencies that may have
11 information. The problem is they' re not in
12 Florida and so it could be an expensive
13 investigation to get people into Florida, to go
14 out there and get depositions to have people
15 explain, yeah, that happened to us as well ,
16 including Puerto Rico . That one, the documents I
17 have are so close and it ' s such an obvious
18 repetition of this technique .
19 And Scott Lewis is a very, I ' d say, well
20 practiced in this . He knows what to say. He does
21 provide a lot of accurate information with enough
22 of a twist on it to - - a jury could figure out ,
23 wait a second, I mean, he did talk to him, he did
24 have a conversation, they did talk about bringing
25 in these people, Pathfinders , whatever they were .

1 The document does list prices so it could be
2 determined that way. I don ' t think that ' s the way
3 it ' s going to go but he is a very practiced
4 witness . He knows what to say. He has his
5 documents and he has an explanation for every
6 little detail in the case, finely rehearsed.
7 So there is always risk. He ' s got a fine law
8 firm working for him. And I would say they are
9 well focused on receiving a big check, plus
10 attorneys fees , under the Local Government Prompt
11 Payment Act . It provides an interest rate which
12 is punishing. It ' s at one percent a month.
13 COMMISSIONER RICE : Well , we know we were not
14 his last victim, and I would predict , as we
15 proceed, we ' ll find we weren ' t his first victim,
16 either. He ' s too slick.
17 MAYOR CARRUTHERS : Yeah.
18 MR. HOCHMAN: So mediation is scheduled for
19 Friday, May 22 . I usually would offer some amount
20 of money because litigation costs in this case are
21 going to be expensive . There is forty-eight
22 people involved on their side . They have listed a
23 couple of experts about FEMA. I would have to go
24 to Puerto Rico or bring somebody here . I believe
25 there ' s another entity out in West Virginia . I

1 believe there ' s a former employee of theirs who
2 may be not friendly to them. I ' m still trying to
3 figure out that . So there may be a settlement
4 value which is , rather than paying me and my law
5 firm to defend, let ' s just pay a certain amount to
6 the other side to be done with it . They got
7 fifty, here ' s fifty more, a hundred more, and we
8 save attorneys fees and good riddance .
9 MAYOR CARRUTHERS : As long as there ' s not a
10 non-disclosure agreement because this is , like,
11 "Sixty Minutes . " Something is going on.
12 MR. SHILLINGER: The other aspect of making
13 an offer, a proposal for settlement is under the
14 law, if you make a proposal for settlement and the
15 jury comes in for less than that or within, what ,
16 twenty-five percent of that , above it?
17 MR. HOCHMAN: Right .
18 MR. SHILLINGER: They can ' t get their
19 attorneys fees , even if they -- you know. So, if
20 we offered them -- I ' m just throwing round numbers
21 here . We offer them fifty-thousand dollars and
22 the jury came in at fifty-five thousand, they
23 can ' t - - they' re not the prevailing party. They
24 can ' t get their attorneys fees on top of what they
25 were awarded. So there ' s a - -

1 COMMISSIONER RICE : Well , that would only
2 happen, I think, if we go in and make an offer
3 that they refuse to accept .
4 MR. SHILLINGER: Right , right .
5 MS . HALL : Correct .
6 MR. SHILLINGER: So, but there ' s a value in
7 making an offer that is at least reasonable to cut
8 off their claim to attorneys fees .
9 COMMISSIONER RICE : Gotcha .
10 MR. SHILLINGER: Even if , you know, it ' s a
11 hold your nose and do it, a business decision type
12 of offer. We think all of this is B-S .
13 MR. HOCHMAN: Right .
14 MR. SHILLINGER: You can put that on the
15 record as B-S .
16 COMMISSIONER RICE : Well , I think it ' s - -
17 MAYOR CARRUTHERS : I think it ' s fraud.
18 COMMISSIONER RICE : - - totally fraud, totally
19 a scam. I think they' re preying on FEMA
20 indirectly through the process . And this
21 gentleman could probably make as much money if he
22 hired himself out to organizations like ours as a
23 representative to FEMA because he knows so much
24 about it , but he ' s chosen to go this way. And I ' m
25 certainly not willing to spend endless money to

1 block him, but we need to do what we can.
2 MR. HOCHMAN: A litigation strategy would be
3 to offer an amount which you do not believe
4 they' re going to accept because they want a large
5 amount of money, but to offer an amount in a
6 proposal for settlement which would make them
7 concerned that that one-dollar claim would be
8 eliminated, that they don ' t have that backup idea .
9 So, right now, as a theoretical matter, they
10 can prove that - - again, there ' s defenses to this .
11 They can prove that - - again, their defense is to
12 this, they can prove that an invoice was submitted
13 for the proper amount , just because the face was
14 wrong, they still ask you for your forty-nine,
15 nine-ninety-nine, and you only paid them
16 everything but that ninety-nine cents, and that ' s
17 a technical violation of the statute that triggers
18 the attorneys fees and interest .
19 The idea would be, well , let ' s offer up on
20 that claim what we think it would be . Right now,
21 you 've paid already forty-nine, nine-ninety-nine .
22 If you were to pay - - offer, again, another
23 hundred-thousand dollars, again, it ' s just to
24 propose what goes out there, if they accept it ,
25 the case is over.

1 If they don ' t accept it , you have this now
2 margin that if a jury comes back and says , yeah,
3 you owe them eighty-thousand dollars - - or, I ' m
4 sorry, seventy-five-thousand dollars , you have
5 that extra margin to take off the seventy-five and
6 then we do that , and they' re like, gotcha .
7 If you want to increase it even more to a
8 hundred-and-fifty thousand, you give yourself this
9 big margin that the jury could even say, you know,
10 they should have looked at the statute properly,
11 they' re a governmental agency, you still give
12 yourself a chance to win attorneys fees against
13 them, even if some exposure is determined by the
14 jury ultimately.
15 Now, this is kind of a halfway strategy. Can
16 the case be won on the merits? Sure . Is it
17 fraud? The jury could probably conclude that this
18 is a deceptive business practice . But , you know,
19 jury trials are unpredictable . So, usually, as a
20 trial lawyer you would want your first strategy,
21 your second strategy, your third strategy, a
22 fourth strategy. This isn ' t in that nature like a
23 fourth or fifth strategy which is if things don ' t
24 go well and the jury does not agree that it ' s a
25 total fraudulent scheme and people did work,

1 maybe, you know, people did come in here and they
2 did hand out water, according to them, they did
3 help the poor, needy folks after the hurricane,
4 they should be compensated in some amount . I
5 would like to give myself a margin, at least some .
6 I can also understand, quite frankly, we ' re
7 not willing to do that at all . But , nonetheless ,
8 mediation is scheduled. I need to engage in a
9 good-faith effort to mediate with them, and I
10 would like to discuss what a limit would be . And
11 I would recommend something in the hundred-
12 thousand dollar range . Thoughts?
13 COMMISSIONER COLDIRON: We ' re looking at you.
14 What are your thoughts .
15 MR. SHILLINGER: It ' s distasteful to try and
16 countenance the business practices that this guy
17 has brought upon us but the second that I saw it ,
18 from a litigation strategy point , it makes sense
19 to make an offer of something or go, go prepared
20 to mediation to offer something. The hundred
21 thousand, how did you get to that number, Jeff?
22 MR. HOCHMAN: Yeah. So, the hundred
23 thousand, basically, does two things . it
24 acknowledges this one dollar and the attorneys
25 fees that are associated, which I believe is - -

1 you paid fifty, you ' ve now paid the extra dollar
2 and you paid them a hundred thousand dollars in
3 attorneys fees for that element of the case .
4 Another way of looking at it is the first
5 proposal for the open blanket purchase order is
6 limited to fifty-thousand dollars . They have a
7 separate document that also says that, and it says
8 Supplement Number One two it . The idea would be,
9 now it was a two-hundred-thousand dollar [sic]
10 purchase order. Well , by paying a hundred plus
11 the forty-nine, I ' m still under that
12 significantly. And so, that number can be used to
13 help a bunch of arguments , depending upon how it
14 shows up later on.
15 Quite frankly, those arguments are better if
16 I have a hundred-and-fifty-thousand dollars when I
17 barter because then I have both contracts covered
18 and a hundred-thousand dollars in attorneys fees .
19 MAYOR CARRUTHERS : Both proposals covered.
20 MR. HOCHMAN: Yes , proposals . So, really,
21 what I would like is a litigation strategy and I ' d
22 like authority up to a hundred-and-fifty-thousand
23 dollars . Now, I ' ll tell you, I can understand
24 someone saying, I think that ' s too high. But in
25 terms of my litigation strategy, that gives me

1 some flexibility in terms of figuring out where I
2 want to go, what arguments I want to raise . And
3 when they fight back, I have an area, an area that
4 - - tools in my toolshed to say, ah, you know, I ' ve
5 got a margin here of a hundred thousand or fifty
6 thousand or whatever else . Obviously, the more,
7 the better.
8 MS . HALL : May I add a couple of things?
9 Just looking at it as a business equation, two
10 things .
11 Number one, the lawyer on the other side, as
12 Jeff said, is extremely well versed. He is - - I ' m
13 sure his billing rate is something he ' s going to
14 claim in the four to five-hundred dollar-an-hour
15 range . And he ' s invested, clearly, a lot of time
16 in this litigation, and there is every indication
17 that he ' s got a whole team of attorneys below him,
18 all of them throwing their efforts against this .
19 So, is it reasonable that we could end up
20 with - - that they could eventually seek more than
21 a hundred-thousand dollars just for attorneys
22 fees? Yes , it is .
23 Second thing, and I ' m sorry to have to put it
24 this way but I need to give you the information so
25 you can make a business decision. Simultaneously,

1 we are paying our attorney, and we ' re paying - -
2 I ' m sorry - - more than twenty-thousand dollars a
3 month in attorneys fees .
4 MR. SHILLINGER: We ' ve crossed the hundred-
s thousand threshold in defense of this case .
6 Jeff ' s firm bills us at one-seventy-five an hour.
7 It ' s part of - - it ' s the firm that represents us
8 through the Florida League of Cities , and it ' s a
9 little insurance trust . So that is a very, very,
10 very reasonable rate for commercial litigators .
11 If we were not proceeding under that agreement
12 we ' d be spending in the three or four-hundred
13 dollar range an hour for this quality of work, but
14 it is costing us money.
15 MS . HALL : And, I agree . Literally, it ' s
16 worth every penny that we have paid. However, it
17 is still a good chunk of money that we are paying
18 out . If we do not settle this case what will be
19 happening is , we will be going to trial .
20 Currently, we do not have a trial date . We had a
21 trial date in June, if I remember correctly, but
22 that was vacated in large part because of the
23 pandemic that we ' re in the middle of .
24 My point being, if we were to settle the
25 case, then we could cut off our attorneys fees as

1 well as theirs . Alternatively, if we throw out a
2 number and it doesn ' t settle, we have to keep on
3 paying but at least we limit our liability for
4 attorneys fees if they eventually recover less
5 than or within twenty-five percent of what we have
6 offered.
7 So, does it stick in my craw to have this
8 vendor be able to get any money from us? Yes , it
9 does . But part of my job is to be the big person
10 and try to look at things from a business decision
11 point of view. And, so those are some factors
12 that you can take into consideration when you ' re
13 deciding how you want to proceed.
14 MR. SHILLINGER: So, the ninety-nine cents ,
15 what would the interest calculation be on that up
16 through May 22nd. And then, the large bulk of it
17 would be the attorneys fees .
18 MR. HOCHMAN: Yes . It ' s all -- and I think
19 there ' s a letter that was sent to the County where
20 I think plaintiff ' s attorney indicated his bill
21 rate was seven-hundred-and-fifty dollars an hour.
22 MR. SHILLINGER: He ' s a - - do I recall you
23 telling me he was one of the firms that
24 successfully sued the tobacco companies?
25 MR. HOCHMAN: I ' m not sure whether he ' s in

1 that category or not , but the law firm is a very
2 well known plaintiff ' s law firm in Palm Beach
3 County. It ' s one of the few law firms up there
4 that is well known in the legal community as big
5 and aggressive plaintiff ' s law firm.
6 MAYOR CARRUTHERS : Commissioner Rice?
7 COMMISSIONER RICE : This reminds me of about
8 four cases that I dealt with in my other career
9 over thirty or forty years where a frivolous
10 lawsuit was filed and the insurance company
11 stepped forward to offer something, which always
12 irritated me but I saw the business reasons for
13 doing that . I personally think it encourages this
14 kind of situation, but it seems to me that we ' re
15 sitting here in a position where this lawsuit
16 could cost us a whole lot of money.
17 This guy is a scam artist , as far as I can
18 tell , and he ' s a very good one, backed up by a
19 very good but perhaps somewhat disreputable law
20 firm. I would be comfortable giving you the
21 hundred-and-fifty-thousand dollar authority
22 because I recognize the potential negative aspects
23 of this case, and it sounds as if it would put you
24 in a better position. There ' s a difference
25 between a hundred and the hundred-and-fifty buys

21 FEMA, all the submissions to FEMA are all done
22 online . Usually, those narrative boxes drafted
23 by, in this case, the contractor, but usually by

4 used the word "contract" because Disaster
5 Solutions , by that time, was using the word
6 "contract . " Nevertheless , there ' s also a good
7 argument that somebody could make that we adopted
8 that word and the way of thinking.
9 MR. HOCHMAN: And also, the general concept ,
10 if you were to ask somebody, do we have a
11 contract , that general use of the word is
12 different when it comes to a Florida governmental
13 agency. A Florida governmental agency doesn ' t
14 have a contract until you have something called an
15 express written contract . It has to be the words ,
16 it has to be in a form, and it has to have the
17 authorization of the entities . But if you ask
18 people, hey, how did you get this? Oh, yeah, this
19 is our contract with them.
20 So the misuse and that imprecise use of the
21 word "contract" is what this plaintiff is using as
22 a way to get around sovereign immunity and to get
23 the judge on his - - their side that it ' s a claim
24 for breach of contract , and therefore it can
25 proceed forward in the process against the

7 if it came to a vote, and you saw I ' m saving money
8 and I ' m going to swallow all the justice and the
9 appropriate concerns that you have, but I just
10 want to say that we are going to go to mediation
11 and I ' m also going to issue a proposal for
12 settlement if that doesn' t settle the case . The
13 number is going to probably be in an area around
14 one-fifty, I would expect , and if I can get even
15 more authority, that ' s up to you to let me know.

7 MR. HOCHMAN: They have filed three separate
8 detailed affidavits in the case all providing what
9 they believe is the fact pattern. If you were to
10 believe their affidavits, if they were to come up
11 here and the jury looks at them and believes that
12 they' re credible, oh, that ' s what happened, and
13 this is what happened, and then that happened.
14 So, what I ' m saying to you is they are
15 intending to present their case to a jury in a way
16 that would lead to a proper verdict against the
17 County.
18 Now, what will the jury do with all that
19 information? And it would be a fairly long trial .
20 It wouldn ' t be, like, a couple of days in a car
21 accident or, you know, how I hurt my back and went
22 to the doctor. This is , you know, many people
23 involved. There ' s a lot of people from the
24 Emergency Operation Center who are right now
25 dealing with Covid-19 and, you know, they' re busy

1 right now dealing with other things , but they
2 would all be brought into the trial as well and
3 they would all go on the stand and provide their
4 testimony for a couple of hours .
5 And the jury would have to take it all in and
6 decide, you know - - and, again, the people making
7 the decisions are not necessarily viewing it from
8 a business perspective or any particular view
9 other than the entertainment of it all , as a
10 possibility.
11 MAYOR CARRUTHERS : Well , you know, you ' re
12 asking us to make the decision here absent an
13 understanding of exactly what their case is . What
14 is in these three affidavits that you think would
15 be so compelling to - - and why do we not have
16 discovery on our side that contradicts whatever
17 they' re saying?
18 MR. HOCHMAN: Well , we do have documents that
19 contradict exactly what they' re saying. For
20 example, there is an e-mail from Scott Lewis on
21 September 14 , after the date of that document that
22 they are relying upon, where he communicates with
23 another individual in Palm Beach County and says ,
24 oh, I need to get a contract because the purchase
25 order I have isn ' t sufficient .

1 So we have good evidence on our side, but
2 what I ' m letting you know is there ' s a conflict in
3 the evidence that they' re going to provide and
4 what we ' re going to provide . And so the jury is
5 going to have to resolve a conflict of testimony
6 and documents . And how a jury resolves
7 conflicting issues is something that ' s hard to
8 predict .
9 COMMISSIONER COLDIRON: Will be allowed to
10 introduce what ' s happening in Puerto Rico and
11 other lawsuits or will that be inadmissible?
12 MR. HOCHMAN: I will attempt to do just that .
13 COMMISSIONER COLDIRON: So, attempt , meaning
14 you might not be able to?
15 MR. HOCHMAN: Correct .
16 MAYOR CARRUTHERS : And they' ll object , of
17 course .
18 MR. SHILLINGER: It ' s called similar fact
19 evidence and there ' s a rule in the evidence code
20 that allows you to do it under certain
21 circumstances such as a common scheme or pattern
22 type, this is what they do everywhere . So there
23 are opportunities to try to do it but it ' s going
24 to be up to the judge to decide whether to admit
25 it into evidence or not , and you ' re not going to

1 know that until you get later into the case when
2 you get to your pre-trial motions in limine, what
3 evidence is coming in and what evidence is going
4 - - won ' t come in.
5 MAYOR CARRUTHERS : In how many cases, how
6 many situations have they actually gone to trial?
7 How many times has Disaster Solutions ever been
8 exposed to the light of day so that people can see
9 what they are being accused of?
10 MS . HALL : We found, we did a search through
11 the federal court system. We found only one case
12 and it was the Puerto Rico case . We know that
13 immediately after our event , they went - - the
14 following year, they went up to the Panhandle and
15 tried to go into one of the counties up there and
16 they were turned away. So we know they tried up
17 there . We don ' t have hard evidence from any other
18 places so we just don ' t have any answers for that
19 question.
20 MAYOR CARRUTHERS : How long have they been
21 around? When were they incorporated?
22 MS . HALL : My recollection is they've only
23 been incorporated probably about three or four
24 years . Prior to that time, Scott Lewis primarily
25 ran a landscaping company up in West Palm Beach

1 and his first getting his foot in the door moment ,
2 to the best of my knowledge, was when roughly
3 during the same period of time as us , Hurricane
4 Irma, he was trying to get a contract with the
5 City of West Palm Beach for debris removal . So we
6 know at the very least he was trying to pivot from
7 landscaping to debris removal at that point .
8 We don ' t know exactly when he started to do
9 some of the rest of the work that he was proposing
10 to do to us or whether he did it anywhere else
11 other than another county in the Panhandle .
12 Just to go back to something that - -
13 MR. SHILLINGER: 2005 .
14 MAYOR CARRUTHERS : 2005 .
15 MS . HALL : My recollection is some of those
16 organizations were started long after that .
17 MAYOR CARRUTHERS : Is that Pathfinders or
18 Disaster Solutions?
19 MR. SHILLINGER: That ' s Disaster Solutions ,
20 L . L . C .
21 MS . HALL : To go back to something that
22 Commissioner Coldiron was saying, one of our big
23 areas of exposure here is the attorneys fee
24 provision with respect to that - - with respect to
25 the Prompt Payment Act . And to go to something

1 that Commissioner Cates said, the jury will decide
2 the first part of that which is , did we violate
3 the Prompt Payment Act either because we paid them
4 short by ninety-nine cents or because we didn ' t
5 dispute the invoice within that ten-day, very
6 narrow ten-day window of time when we didn ' t do
7 anything else .
8 The jury will decide that first part . Please
9 correct me if I ' m wrong. But I believe it ' s not
10 until the tail end of the case where they would
11 then present their claim for attorneys fees and
12 then that decision is not made by the jury. That
13 decision is made by the judge after the, like,
14 little mini hearing that Bob was describing where
15 they' re bringing in the expert, they' re presenting
16 their invoices and they' re bringing in their
17 experts to show or try and argue why their dollar
18 amounts were reasonable .
19 I just did a quick calculation. This case
20 has been going for more than a year and-a-half .
21 We know that Mr. Scarola is not working on this
22 case full time but if he were, at forty hours a
23 week, times a year and-a-half , times seven-hundred
24 dollars , that ' s two-point-one million dollars .
25 Then we would argue, well , you spent all that time

1 on the Prompt Payment Act claim, you spent some of
2 it on the breach of contract . Let ' s hope they
3 don ' t win on that, right, and there ' s no attorneys
4 fee provision on that . They would argue, oh,
5 yeah, everything I did was over on that . But even
6 if they only make a quarter, if they recover a
7 quarter of their attorneys fees , that ' s still in
8 the vicinity of four-hundred-and-something-
9 thousand dollars , just for attorneys fees , just
10 for being ninety-nine cents short and not
11 objecting within the ten days .
12 MR. SHILLINGER: A different way to look at
13 that is the jury won ' t be thinking that it ' s

16 here, we ' re going to assign a little bit of money
17 for that wrong, but it ' s the interest that
18 attaches to that and the attorneys fees if it ' s
19 over - - if ' s under the certain claim for the
20 Prompt Payment Act that swells it . So the jury
21 won ' t have all of the information to know the full
22 magnitude of the decision they make . They won ' t
23 know all the repercussions .
24 MAYOR CARRUTHERS : I ' m still stumped on they
25 didn' t do the work and they' re charging us for

2 MR. SHILLINGER: Right . These are all
3 contested facts .
4 MR. HOCHMAN: There is a provision under the
5 Prompt Payment Act that if you do not comply with
6 it , your objection to the invoice is waived. And
7 that is what they are saying, that if you do not
8 comply with all of the provisions of the Prompt
9 Payment Act , you waive your right to contest the
10 invoice . The statute was designed to force
11 governmental agencies , when they get invoices , to
12 pay them and promptly. It ' s called the Local
13 Government Prompt Payment Act .
14 COMMISSIONER CATES : So we ' re going to lose a
15 million dollars because somebody didn' t pay
16 ninety-nine cents?
17 MR. HOCHMAN: Well , that ' s not - - that ' s not
18 the real fact pattern but the jury will not ,
19 probably will not understand. If it tries to do a
20 fair thing in this case in its mind, again, not
21 knowing all the facts and not being very precise
22 about what it ' s deciding, if it tries to do
23 something in a fair way, well , they' re owed
24 something, then the repercussions could be bad for
25 the County. And that ' s why trying to settle a

1 case is not a bad idea .
2 COMMISSIONER RICE : You know, there is one
3 compelling issue here that I haven ' t mentioned.
4 You ' re a good attorney and you' re an expensive
5 attorney, and what you ' re advising us to give you
6 the ammunition to do is a potential solution to
7 our liability which means you make a lot less
8 money than you would taking this case to court .
9 And what you ' re saying is , a jury is like buying a
10 pig in a poke . A poke, for the uninitiated, is a
11 bag, and you bought a lot of cats back then - -
12 THE COURT REPORTER: I start losing you when
13 you turn away.
14 COMMISSIONER RICE : I ' m sorry. I think we ' ve
15 got to try to settle this case . It is
16 objectionable . It feels horrible, and I ' ve felt
17 that way at least four previous times in my
18 earlier career, not for these kind of stakes, I
19 will admit, but I think we really have to try to
20 settle this case .
21 MAYOR CARRUTHERS : So, here ' s my question.
22 If these guys are saying that they' re two million
23 out in attorneys fees , why would they settle for
24 two-hundred thousand?
25 COMMISSIONER RICE : They may not , but then

1 when he goes to court , he has a range from this
2 much to this little . If the jury determines that
3 anywhere in that range is what they should be

5 MR. SHILLINGER: That would cut off the
6 attorneys fees .
7 COMMISSIONER COLDIRON: Then we ' re covered.
8 COMMISSIONER RICE : - - then we ' re covered.
9 MS . HALL : Mayor, they also - -
10 COMMISSIONER RICE : And that buys us some
11 protection.
12 MAYOR CARRUTHERS : Well , what if the jury --
13 what if the jury sees it the way we do, that this
14 is nothing but fraud and they don ' t deserve a
15 penny?
16 COMMISSIONER COLDIRON: Then we don ' t have to
17 pay.
18 COMMISSIONER RICE : Well , and if that happens
19 then I ' m very happy.
20 MAYOR CARRUTHERS : Then the settlement goes
21 away, right?
22 COMMISSIONER RICE : I also understand the
23 predictability of the jury is approximately the
24 equivalent to calling heads or tails when you flip
25 a coin.

2 issue in the proposal for settlement , if we win,
3 then they pay our attorneys fees .
4 COMMISSIONER RICE : Yeah.
5 MR. HOCHMAN: There ' s also a fee, a separate
6 fee provision under the Prompt Payment Act that
7 also gives us a chance to win attorneys fees as
8 well . My issue is if I - - there ' s a possibility I
9 could lose the claim under the fee provision of
10 the Prompt Payment Act but still win on the fee
11 provision under the proposal for settlement . So,
12 again, this is another tool in the toolbox to have
13 the backstop, if certain facts are disclosed or
14 determined by the jury, that even if you lose one
15 issue, you could potentially win on another issue
16 and it would be a great savings .
17 COMMISSIONER COLDIRON: Well , I ' m going to
18 hold my nose and say I would like you to try to do
19 a settlement agreement , and I think a two-hundred
20 thousand cap . I held my nose while I said that .
21 MR. SHILLINGER: Any other - -
