Please find attached for your review and signature two copies of a contract that effects
the agreed upon Scope of Services for the Section 189.428 review of the Florida Keys
Mosquito District. Consistent with the County's direction, we have proceeded with the
Scope as authorized upon receipt of Notice to Proceed. Since the Scope has already
been approved by the County, the contract serves primarily to provide a legal basis for
payment.
Please sign both copies and remit one original to us.
The work progresses generally as scheduled. We appreciate the assistance and look
forward to additional interviews with your staff within the next several weeks.

CONTRACT FOR SERVICES
This contract for services (the "Contract") is entered into this day of
, 1999, by and between the Monroe County Board of County
Commissioners (the "County"), and Government Services Group, Inc. ("GSG" or the
"Consultant"), a Florida corporation.
WITNESSETH
WHEREAS, the County Commission intends to conduct an oversight review of the
Florida Keys Mosquito District pursuant to section 189.428, Florida Statutes so that a fair
and objective evaluation can be conducted as to the District's operation and delivery of
services; and
WHEREAS, GSG is well qualified to perform such reviews; and
WHEREAS, GSG shall furnish specialized professional services that are not
otherwise available at this time to the County Administrator directly from County staff.
NOW, THEREFORE, it is agreed as follows:
TERMS
1. Recitals. The recitals and all statements contained herein are hereby incorporated
into and made a part of this Contract.
2. Services to be Performed by GSG. GSG shall, provide the professional services
described in the Scope of Services contained in Appendix A, in order to conduct an
oversight review, on behalf of Monroe County, of the Florida Keys Mosquito Control District
("District") consistent with section 189.428, Florida Statutes, the "Special Districts Oversight
Review Process". Any additional services that the County may request of GSG and that
are beyond those articulated in the Scope of Services attached as Appendix A shall be
enumerated in separate work orders under this Contract.
By entering into this Contract, the County shall be deemed to have given notice for
GSG to proceed with only the Scope of Services described in Appendix A hereto. No
further undertaking by GSG shall occur unless and until GSG is subsequently directed by
the County Administrator in writing to further proceed with additional work orders or with
amendments hereto.
3. Additional Consultants. GSG, in providing consulting services or in an authorized
project direction role, shall have the authority to subcontract with additional consultants to
provide professional services as may be required to complete the tasks identified in an
authorized work order. GSG shall be fully responsible for the authorized work product of
any sub-consultant which GSG submits as completed product per provisions of this
Contract.

4. Term of the Contract and Time Requirements. This Contract shall become
effective upon the signature of the County and GSG and will remain in effect until
terminated by the County pursuant to written notice, or until the completion of the primary
objective of this Contract. GSG shall promptly begin and diligently provide the professional
services contemplated herein in accordance with the Project Schedule attached hereto as
Appendix C. Time is of the essence of this Contract.
5. Schedule of Fees. For services to be provided hereunder and through GSG, GSG
shall work under a lump sum professional fee arrangement described in the Scope of
Services in Appendix A on a basis as described in the Deliverables and Payment Schedule
in Appendix C. All other work orders developed within the framework of this Contract shall
enumerate compensation and payment terms within the relevant scope of services.
All compensation paid under this Scope of Services shall be paid directly to GSG,
including any compensation due to additional consultants.
6. Cooperation of County. It shall be the obligation of the County to provide GSG in
a timely manner with all reasonably required information, data and records necessary to
execute the project.
7. Termination. The County reserves the right to terminate this Contract at any time,
by written notice. In which event GSG shall be entitled to recover professional fees on an
hourly basis at the then prevailing GSG hourly consulting rate from the last invoice paid by
the County and for expenses for actual costs incurred for work performed hereunder
through the date GSG is notified of such termination.
8. Default Provision. In the event that GSG fails to comply with the terms and
conditions of this Contract or fails to perform any of the terms and conditions contained
herein, then the County, in addition to all other remedies available by law, at its sole option
and upon written notice to GSG, may cancel and terminate this Contract.
9. Award of Contract. GSG warrants that it has not employed nor retained any
company or person to solicit or secure this Contract and that it has not paid nor agreed to
pay any company or person any fee, commission, percentage, brokerage fee, or gifts or
any other consideration contingent upon or resulting from the award of or making of this
Contract.
GSG also warrants that to the best of its knowledge and belief no elected official or
other officer or employee of the County or the District is interested directly or indirectly in
the profits or emoluments of this Contract.
10. Entire Contract. This Contract represents the entire and integrated agreement
between the County and GSG and supersedes all prior negotiations, representations or
agreements, either written or oral. This Contract may be amended only by written
instrument executed by the County and GSG. The parties hereto agree that this Contract
shall be construed and enforced according to the law of the State of Florida.

11. Successors and Assigns. This Contract shall be binding upon the parties hereto
and their respective successors and assigns.
13. Insurance. Consultant shall maintain during the terms of this Contract professional
liability insurance in a minimum amount of$1,000,000 covering all professional services
liability arising out of the terms of this Contract.
14. Nondiscrimination in Employment. GSG shall not discriminate against any
employee or applicant for employment because of race, color, religion, sex, age, national
origin, handicap or marital status. . GSG shall take affirmative action to ensure that
applicants are employed, without regard to their race, color, religion, sex, age, national
origin, handicap or marital status. Such action shall include, but not be limited to the
following: employment, upgrading, demotion, or transfer, recruitment or recruitment
advertising, layoff or termination, rates of pay or other forms of compensation, and
selection for training, including apprenticeship. GSG agrees to post in conspicuous places,
available to employees and applicants for employment, notices to be provided by their
personnel officer setting forth the provisions of this equal opportunity clause.
15. Independent Contractor. GSG and its employees and agents and any sub-
consultants and its employees and agents, shall be deemed to be independent contractors
and not agents or employees of the County; and shall not attain any rights nor benefits
under the Civil Service or Pension Ordinance of the County, nor any right generally
afforded classified or unclassified employees; further GSG shall not be deemed entitled
toftorida Workers' Compensation benefits as employee of the County.
16. Non-Delegability. It is understood and agreed that the obligations undertaken by
GSG pursuant to this Contract shall not be delegated nor assigned to any other person or
firm without the County's prior written consent, which may be withheld at County's sole
discretion.
17. Notices. All notices or other communications which shall or may be given pursuant
to this Contract shall be in writing and shall be delivered by personal service, or by
registered mail addressed to the other party at the address indicated herein or as the same
may be changed from time-to-time. Such notice shall be deemed given on the day on
which personally served; or, if by mail, on the fifth day after being posted (return receipt
requested) or the date of actual receipt, whichever is earlier.

18. Amendments. No amendments to this Contract shall be binding on either party
unless in writing and signed by both parties.
19. Miscellaneous Provisions.
A. Title and paragraph headings are for convenient reference and are not a part
of this Contract.
B. In the event of conflict between the terms of this Contract and any terms or
conditions contained in any other documents, the terms in this Contract shall
rule.
C. No waiver or breach of any provision of this Contract shall constitute a waiver
of any subsequent breach of the same or any other provision hereof, and no
waiver shall be effective unless made in writing.
IN WITNESS WHEREOF, the parties hereto have, through their proper and duly
authorized officials, executed this Contract, the day and year first above set forth.

APPENDIX A
SCOPE OF WORK
OPERATIONS REVIEW FOR
FLORIDA KEYS MOSQUITO CONTROL DISTRICT
The scope of work outlined in this section represents the minimum level of effort necessary
for Government Services Group, Inc. (GSG) and Nabors, Giblin & Nickerson, P.A. (NG&N)
to conduct an oversight review, on behalf of Monroe County, of the Florida Keys Mosquito
Control District (District) consistent with section 189.428, Florida Statutes, the "Special
Districts Oversight Review Process." This scope of work is intended to accomplish the
following objectives:
• Evaluate less costly alternative methods for the District to deliver services;
• Evaluate governance alternatives that will not hamper or impede the services
currently being provided; and
• Identify any other recommendations that would lead to a more efficient and
effective delivery of the critical services.
It is the Consultant's understanding that the County intends to conduct the oversight review
process so that a fair and objective evaluation can be produced as to the District's
operation and delivery of services. Because of the County's timeframe and budget
constraints, the workplan outlined below represents the minimum level of effort necessary
to provide the County with a initial document from which future decisions would be based.
It is also important to note that in order to meet these constraints within the timeframe, the
Consultant will rely on County staff to help collect and analyze certain data required to
complete this engagement.
WORKPLAN
TASK 1: PROJECT INITIATION
The Consultant will meet with appropriate County staff to ensure a clear understanding of
the goals and objectives of this engagement, the anticipated role of all parties involved, the
timeframe, and the method by which the engagement will be conducted. This task may
include interviews of elected officials and a workshop so that a clear articulation of
observations and concerns can be ascertained and documented.

TASK 2: DATA COLLECTION
The Consultant, working with County staff, will collect all necessary data which will include,
but not be limited to, organizational charts, budgets, salary and wages schedules, job
descriptions, interlocal agreements for shared services and facilities between the District
and the County, and other ordinances or resolutions necessary for this evaluation.
TASK 3: PERSONNEL INTERVIEWS
The Consultant will conduct a number of interviews with District and County personnel so
a thorough familiarization with the operations and process of the District and the County
can be clearly defined. These interviews may include both appointed and elected officials
of each entity.
TASK 4: PROCESS AND PROCEDURE EXAMINATION
Concurrent with Task 3, the Consultant, with the assistance of County staff, will conduct
the necessary review of the District's procedures and methods by which it delivers the
services defined in its enabling legislation. This review will be limited to the business
process of the District and in no way will address the engineering and scientific methods
of mosquito control and abatement.
TASK 5: DRAFT REPORT PREPARATION
Based on the information collected from the analysis conducted in Tasks 2, 3 and 4, the
Consultant will prepare a draft report which will articulate the findings and
recommendations of the review process. Care will be taken to ensure to the County that
section 189.428, Florida Statutes, has been considered by the reviewer for those criteria
pertinent to this evaluation. This draft report will be presented to County staff for its review
and comments as it pertains to the factual presentation of the findings.
TASK 6: REPORT FINALIZATION
Once final comments have been received from the County, the Consultant will finalize the
report to include all findings and recommendations.
- ------ TASK7:- FINAL REPORT PRESENTATION
At the conclusion of this engagement, the Consultant will make a presentation to the Board
of County Commission. An additional presentation in a public hearing setting may be
required in order to comply with section 189.428, Florida Statutes.
