AGENDA ITEM WORDING: Discussion and direction regarding an unsolicited proposal by
SPGL, LLC. to build and manage 20 units of workforce housing on the Trumbo Road Property and
provide and manage an addition 14 rental rental apartments on Stock Island to provide workforce
housing for employees of the Monroe County Sheriff.
ITEM BACKGROUND: On 9/18/19, the Board approved the Overnight Temporary Shelter
(KOTS) and Essential Governmental Employee Housing Interlocal Agreement with the City of Key
West, which was accepted by the Sheriff. Pursuant to that agreement, the City transferred ownership
of approximately 1.1 acres of vacant land located on Trumbo Road in Key West to the County for
the purpose of providing rental housing for employees of the Sheriff s Office. In exchange, the
County agreed to lease and eventually convey additional land where the Monroe County Detention
Center and Monroe County Sheriff s Headquarters Building is located on Stock Island to the City for
the construction and operation of a new KOTS facility.
SPGL, LLC. ("SPGL") is a Florida Limited Liability Company that submitted an Unsolicited
Proposal to build and manage 20 units of affordable rental housing on the Trumbo Road Property
and to provide 14 additional affordable rental apartments on Stock Island for use by employees of
the Monroe County Sheriffs Office. SPGL's principals own the property adjacent to the Trumbo
Road property. SPGL has already acquired a 14-unit apartment complex on Stock Island. Under the
proposal, SPGL would design and build twenty (20) apartments on the Trumbo property at its own
expense. The County would retain ownership of the Trumbo property. SPGL would retain
ownership of the Stock Island property. SPGL would enter into a management agreement with the
County and the Sheriff to manage the rental of apartments located on both properties to MCSO
employees within the City's affordable housing guidelines for the Trumbo property and the County's
affordable housing guidelines for the Stock Island property.
Under F.S. 255.065,the County has the option of reviewing the proposal and determining if it
warrants further consideration or not. If the BOCC is interested in pursuing this proposal further, the
law requires that this proposal be advertised twice locally in a newspaper of general circulation and
in the Florida Administrative Register. The advertisement would essentially state that the County

has received a proposal and will accept other proposals for the same project to see if any other entity
would like to submit a competing proposal for further consideration. The statute requires that the
advertisement run for a period of between 21 and 120 days after the initial date of publication. The
Board would then compare the submitted proposal with the unsolicited proposal submitted by SPGL
and select the winning proposal.
The Board's policy is to advertise solicitations for County initiated projects valued at over $500,000
for a minimum of 45 days. However, that policy does not expressly apply to unsolicited proposals.
The statute vests the Board with the discretion to set the advertisement period within the 21-day to
120-day timeframe established by law.
If the proposal is advertised for 30 days, the Board could consider the competing proposals as soon
as the July 15th meeting in Marathon. If the proposal is advertised for 60 days, the Board could
consider the competing proposals as soon as the August 19th meeting in Key West.

Executive Summary r_
For nearly two decades, there have been ongoing discussions, think tanks, and committee
reports generated about the need to find a solution to the housing challenge facing
essential personnel in Monroe County. The lack of sufficient affordable housing options
in close proximity to local government employees' place of work calls for resolution and y
action. The overwhelming effect of a decreasing housing supply and increasing demand
for homes in the Keys has driven the price for housing to levels that are unattainable for
these critical community employees. The housing crisis in our community requires action
and a sense of urgency.
The managing members of SPGL, LLC (SPGL) have invested in the Key West community
for over five years. They are proud supporters of the community. Having closely followed
the initiative of the Sheriff's Office to overcome the housing challenges that face its
employees, SPGL is proposing a plan to help create a pathway to make 34 affordable
housing units available to the Monroe County Sheriff's Office (MCSO). SPGL will approach
this project as a neighbor and partner to achieve a successful result.
SPGL has already taken the steps to make this plan a reality with the recent purchase of
an existing multifamily property at 5312 Third Avenue on Stock Island. This property
includes 14 market rate units that were originally developed as for-sale condominiums.
Additionally, SPGL has commenced the planning effort to develop 20 affordable units at
250 Trumbo Road in Key West. SPGL intends to offer the units in both properties (34
units total) to employees of MCSO at rental rates (as amended year to year) which follow
the City of Key West Workforce Housing Guidelines for the Trumbo Road property and
the Monroe County Affordable Housing Guidelines at the Third Avenue property.

Working with local officials, MCSO representatives, and using information from Rick
Ramsay's office, SPGL recognizes a void that can be filled with this proposal. Looking at
the big picture, both SPGL and MCSO see this housing plan giving essential employees a
foothold in the community. It will afford critical personnel an opportunity to comfortably
reside, and permanently settle, in the Key West community. Turnover of essential
employees creates many challenges for the community, and this project, if approved, will co
create a greater probability that MCSO employees can and will remain in Monroe County.
This unsolicited proposal presents the unique opportunity for the public and private sector
to come together to resolve this issue. At the present time — as the development ofnew
housing is being challenged with the state of the economy and municipalltles continue to
struggle to find affordable housing solutions— SPGL is committed to come to the table
with the financial resources and human capital to deliver a housing alternative that our
critical employees need and deserve.
The MSCO Mission Statement says, "'We are committed to the Keys!" With this proposal,
the community can show, we are committed to MSCO!

Organizational Background
Local Interest— Community Minded
SPGL, LLC. is a Florida Limited Liability Company that was formed in 2017 to own, manage
and operate property in Monroe County. led Molleston is one of the managing members
and Walter"'Wag" Woodward helps represent the interests of the company.
The managing members have maintained a residence in Monroe County since 2015. They
have acquired additional investment property in Monroe County since that time. They
value the character of Old Town Key West and the time they spend in the community.
Their commitment to supporting the community with this initiative is consistent with how
they have approached other developments — the focus is to deliver a quality product to
fill the demands of the community. New development is most successful when it is
compatible with the neighborhood.
SPGL members and affiliates own a majority of the units at the Steamplant Condominium u
which is located directly next door to the Trumbo Rd property. When purchasing the
Steamplant units, SPGL knew that the Dog Park Parcel and School District Administration
Offices were identified sites for potential workforce housing. Workforce and affordable
housing are part of the fabric that makes up the neighborhood. There are numerous
existing housing options, yet they do not fulfill the total workforce housing need. Railway
Condominiums (38 units), Porter Place (136 units), and Peary Court Workforce Housing
Community(160 units with additional units approved) are located adjacent to Steamplant.
Recognizing and supporting the need for attainable housing options in their backyard

creates the backdrop for this new proposal. Workforce housing is critical to Key West.

Through their various businesses, SPGL members employ professionals in a number of CL
industries. While preferring to keep their philanthropic endeavors private, the managing
members of SPGL have been benefactors of numerous philanthropic initiatives. Whether
supporting education at the collegiate level through Mississippi State University, Southern
Arkansas University and the University of Arkansas to assisting veterans through the

Salvation Army, Helping a Hero, and Veterans Air Lift, the managing members'assistance
towards hospitals and museums and ministries has created an impact that has lifted
communities.

Extensive Real Estate Experience — Quality and Results Driven
The managing members and principals of SPGL have extensive experience developing,
managing, and investing in a truly diverse portfolio of real estate assets across the US.
Their development expertise spans horizontal infrastructure for single family lot
developments to resort projects to mixed-use developments to office, F&B, hospitality,
and multifamily. The list is long, but it is consistent in the caliber of work. For example,

within the last five years, they have developed just under 700 sf of Class A commercial
office space. Their resort experience includes a 38-acre resort property in The Bahamas.
They have over 220 lots delivered in Arkansas and have begun phase five of this six phase
development. In NW Arkansas, they have a mixed-use development across 120 acres in
the Walmart Corridor. They have experience with historic preservation ranging from a 4.5
acre historic development which include the preservation of an iconic Arkansas
Mediterranean revival mansion built in 1929 to the 22-acre redevelopment of the historic y
Pearl Brewery in San Antonio which was originally built in 1880's and has been
redeveloped to include over 500 apartment units, 146 hotel keys, and an additional 550sf
of office and retail/restaurants.
The managing members and principals of SPGL have built relationships with real estate y
professionals in multiple markets, including Florida. They recognize the value of the team
effort required to deliver successful projects. They have in-house real estate professionals
and have partnered with both large institutional developers and small, local operators
depending upon the requirements of the project. They seek the most qualified consultants
and contractors to deliver these projects. In Florida, they have most recently worked
closely with The Ronto Group as well as the development and sales team at Mangrove
Bay in Naples, Florida. W
To create the conceptual plan and this proposal, SPGL has engaged a local land use
attorney, local planner, and local architect. Preliminary discussions with a general
contractor experienced across Florida and in Key West have begun as the team seeks
pricing feedback. SPGL recognizes that an experienced team who understands the goals
of the project and the goals of the community can create a successful end result.
Developing in The Keys comes at a premium, but those with a track record and history
in the market understand what needs to be done to mitigate challenges that a group
without experience in the market would not be able to address as cost effectively.

As touched on in the Executive Summary, affordable housing continues to be a
challenge for the Monroe County Sheriff's Office — and by extension, the Monroe County
community. According to the Monroe County website, "'One of the most challenging
issues that faces Monroe County is the lack of affordable/workforce housing. This

problem is due to the quadruple impact of high land values, land limited by geographic
and environmental features, a tourism economy with a prevalence of lower-paying,
service-sector employment, and a housing supply limited by the controlled Rate of
Growth Ordinance (ROGO)."
Employees of the Sheriff's Office have been faced with a choice between housing
options outside the County to dormitory housing to leaving the Department. MCSO is
not alone in the struggle to find housing for its employees. MCSO is able to hire staff,
but it becomes difficult to retain staff when they must commute from the mainland.
With over 65-70% of MCSO staff commuting from Dade County, a bunk room was
created as a stopgap to allow employees a place to sleep. This is not an ideal situation.
When it's hard for employees to find a place to live, they inevitably are forced with a y
decision whether they stay. The community will benefit from developing quality
affordable housing alternatives. The ripple effect will inevitably allow for retention and
create a better pipeline of prospective officers.
Real estate development is also challenging. Inherent in development is the prospect of
finding affordable land, securing appropriate financing, and overseeing the arduous
process of design and construction. This proposal presents a unique opportunity W
without the added contingencies of a typical developer.

Steps to Complete the Proposed Plan
➢ Acquire 5312 Third Avenue (14 Units) - Complete
SPGL has acquired a 14-unit project at 5312 Third Avenue, Stock Island, Florida.
This property was developed as a for-sale residential condominium complex. y
However, the condominium documents were never recorded, and the property has
been rented at market rates. It includes five one-bedroom units and nine two- 9
bedroom units. The condo quality and amenities of this property create an
attractive rental community.
➢ Convert 5312 Third Avenue to Monroe County Sheriff's Office Housing and
Negotiate Corresponding Agreement
As existing market rate leases come to their expiration, SPGL intends to lease these

14 units to employees of the Monroe County Sheriff's Office in line with Monroe
County Affordable Housing Rental Guidelines. SPGL intends to work with the
Monroe County Sheriff's Office to devise a more detailed plan with respect to the
leasing guidelines that the property will follow to provide the housing to these W
critical community employees. Within the to-be-defined agreement, SPGL would like
to discuss property tax abatement and alternate affordable and workforce programs
to make this project viable long-term.

➢ Work with Local Officials to Agree Upon a Structure for the Trumbo Road

Discussions need to advance with local authorities to put in place an appropriate
structure to allow this plan to move forward. Trumbo Road is owned by the County
and deed restricted affordable based on the Interlocal Agreement between the City
and County. Therefore, SPGL is open to a Design, Build, Finance & Manage
structure. The details of this agreement will need to be further defined and
developed in partnership with Monroe County officials. SPGL will oversee the design,
construction and financing of the project to deliver 20 new workforce housing units.
SPGL is committed to finding a solution that enables this plan to be financed, built,
and maintained long term. With a true partnership of interests, the end result can
be a win-win.

➢ Complete Design & Construction of 250 Trumbo Road, Key West, Florida
The 1.1 acre property at 250 Trumbo Road has suffered through various real estate
markets and government challenges resulting in multiple plans over the years, The
Porches proposal among the first. The location of the property is highly attractive
sitting in Downtown Key West with the Key West Bight as its "'front yard." It sits
adjacent to the Key West Steamplant Property, which also serve as the residence
and investment properties of the managing members. As a neighbor who wants to
see this parcel serve its greater purpose for the community, the concept plan as
shown on the proposed site plan is to develop 20 new affordable units in a variety of
efficiency, one, and two bedroom units The final layout, unit count (not less than 20 y
units) and unit mix is subject to further discussions with the Sheriff's Office
regarding housing needs and completion of the design and construction bidding
process. A preliminary site plan has been prepared by Thomas E. Pope, PA. The plan
and elevation are purely conceptual and the site plan layout and details will be
refined when the design process kicks off.

SPGL will finance the design, planning and construction costs associated with the W
new housing. As a private entity, SPGL will oversee and manage the design,
development and financing of the project engaging quality design and construction
professionals to move the development process to completion and occupancy within
a timeline not generally available to public entities. The baseline assumption in the
market is that affordable housing projects in the Lower Keys cost at least $200-$225
psf to build. These numbers will be studied further. Furthermore, preliminary review
of federal tax credit programs reveals a timeline that would be extended and hinder
the goal to deliver the project quickly. Therefore, SPGL does not intend to seek
financing through these programs. Instead, as the financing arm of the project,

SPGL believes repayment of projects costs can be secured through the revenue

stream generated by the 34 housing units while under a long-term management
agreement with SPGL (or an entity wholly owned and controlled by SPGL). The
specific details of each component of the Design Build Finance & Manage plan would
be negotiated and determined during the development of the Comprehensive
Agreement as set out in the Florida Statutes governing Procurement and authorizing co
public entities to receive and accept unsolicited proposals for qualifying projects to

Unsolicited Proposal Q&A r_
SPGL, LLC hereby submits the following Unsolicited Proposal for the construction and
operation of critical housing at 5312 Third Avenue, Stock Island Florida and 250 Trumbo
Road, Key West, Florida. Pursuant to Section 287.05712(5) of the Florida Statutes, an
unsolicited proposal from a private entity, such as SPG, LLC must be accompanied by the
following material and information, unless waived by the responsible public entity:
1. A description of the qualifying project, including the conceptual design of the W
facilities or a conceptual plan for the provision of services, and a schedule for the
initiation and completion of the qualifying project
Description of the Qualifying Project - The Project proposes to build 20 critical
housing units and acquire an additional 14 for the exclusive use of the Monroe
County Sherriff's Office. SPG, LLC will design, build and manage 20 critical housing
units (one and two bedroom, subject to further vetting of the mix) at 250 Trumbo
Road in Key West and will manage 14 critical housing units (5 one-bedroom and
9 two-bedroom) at 5312 Third Avenue on Stock Island. 0
Conceptual Design of the Facilities - The Trumbo site development is depicted in
the conceptual site plan attached hereto. The Third Street development is depicted
in the approved development plan attached as well.
Schedule for the Initiation and Completion —The project would be phased between
the two sites. The 14 units at Third Avenue received its development approvals
from Monroe County in 2016 pursuant to Res. No. P06-16. It was built out in 2017
and received it Certificate of Occupancy on April 17, 2018. Third Avenue will be y
available for occupancy following Proposal acceptance based upon lease expiration 0.
of existing market-rate leases. Prior to receiving approval, SPGL has discussed
leasing the units that have come up for renewal for MCSO employees.

Trumbo Road is currently a vacant, scarified parcel. The Project requires Major y
Development Plan approval from the City of Key West, building permits and
construction. Occupancy by Sherriff's Office personnel is estimated to be 30co
months from the date of Proposal acceptance. The final timeline of design and
construction will be confirmed once the design team and contractors convene for
a kick off meeting.

2. A description of the method by which the private entity proposes to secure the
necessary property interests that are required for the qualifying project

as described.

250 Trumbo Road was transferred from the City of Key West to Monroe County on o
January 7, 2020 pursuant to Res. No. 20-008 for the specific purpose of serving
as housing for the Sherriff's Office personnel as part of a resolution to a settlement
agreement over the KOTS facility currently located on Sheriff's Office land.
Site control will likely be a Design Build Finance and Manage Agreement between y
the Sherriff's Office and/or Monroe County and SPGL, LLC. for the sole purpose of
development and management of the property as intended for residential use by
Sherriff's Office employees (and their families). MCSO has discussed leasing these
units to employees of sergeant rank and below. The specifics of this arrangement
will be worked out between the parties once authorized to proceed with the y
proposed plan.
3. A description of the ,private entity's general ,plans for financing the qualifying �
,project, including the sources of the,private entity's funds and the identity of any
dedicated revenue source or proposed debt or equity investment on behalf of the

The Third Avenue property has already been acquired by SPGL.
Construction financing for the Trumbo Road 20-unit development is intended to
be provided by traditional development funding sources, including local lending
institutions. However, details of this structure need to be worked out in concert
with finalization of a structure with the County.
SPGL would like to work with the City/County on waivers of impact fees and seek

guidance regarding programs that are in place that the project would qualify for
given its intended use.
Long-term operating costs would be met by the residential rents which will follow
the affordable rental rates established by Monroe County and the City of Key West.
Actual rental rates and tenant eligibility may vary according to the specific needs co
of the Monroe County Sherriff's Office personnel and will be regulated via an
operating agreement between SPGL, LLC and the Monroe County Sherriff's Office. '

About the Monroe County Sheriff's Office

The Sheriff's Office provides law enforcement service to all of the Florida Keys,which include
approximately 112 miles of islands branching off the southern tip of Florida.The main and only highway, W
U.S. 1 runs from Florida City to Key West, and in that span, there are 45 bridges connecting the islands.
In order to provide progressive service, the Sheriff's Office employs 544 people. 189 of those are road
patrol officers and detectives, 139 are Corrections Officers, 158 serve as support 58 people are
employed by the Sheriff's Office-managed HIDTA Group (High Intensity Drug Trafficking Area).

The Florida Keys is a popular vacation spot and over 2,000,000 tourists visit the Keys each year. In peak
season (January until April)the population of the county may reach as high as 150,000.

In order to serve the unique population of the Keys,the Sheriff's Office has state of the art detention W
facilities located in Stock Island, Marathon and Plantation Key.The Main Sheriff's Office Administration
building is also located on Stock Island, with patrol substations on Cudjoe Key, Marathon (Key Vaca),
Islamorada, and Plantation Key.
The Sheriff's Office has a fully equipped Special Weapons and Tactics Team (SWAT), as well as a Dive
Team, Bomb Squad, Marine Unit, Major Crime Investigations Unit and Special Investigations Unit
(specializing in drug investigations).

Keys Governments Start Looking At
Their Own Land For Housing

The Keys already had an affordable housing problem, before Hurricane Irma. Then that
storm destroyed thousands of homes and is already driving up rents. So some y
government agencies in the Keys are looking at going into the landlord business.
Graeme MacDonald works as a detention deputy at the Monroe County jail in Key
West. He lives in Miramar, in Broward County, 167 miles away.

So MacDonald stays in a bunkroom at the jail between shifts. It's a former storage area
fitted out with metal bunks. No windows. There's a small room with a TV and a
m icrowave.
He says of course he'd rather live in the Keys, closer to work.
But "even if you find a cheap place, that is not even a cheap place," he said.

Rent near the jail where MacDonald works can easily run more than $2,000 for a one-
bedroom apartment. He's been with the sheriff's office for seven years and he's
committed to the staying there.

"They almost always say the same thing," said Monroe County Sheriff Rick Ramsay. r_
"Cost of living, cost of living, cost of living."
Ramsay says since Hurricane Irma, some of his employees have seen their rents go
way up, because the supply is even more limited now. -
" e had a few of our officers who said, `That's it. I can't afford it. That's my entire
paycheck,"' Ramsay said. F
So now some government agencies in the Keys, including the sheriff's office, are
talking about a new approach — providing housing for at least some of their workforce.
Ramsay wants to build on county-owned land next to the jail. That land is currently
occupied by Key West's homeless shelter. The city had already agreed to move the
shelter and in late September, after Irma, the county set a one-year deadline for the
move so that the sheriff could move forward on building units there.
And the sheriff's office isn't the only agency looking at becoming a landlord for its
employees.
" e have the means to take care of our own problem," said Andy Griffiths, a 25-year

member of the Monroe County School Board. The means he's referring to is land the
school district already owns.
A couple weeks ago, Griffiths proposed the district build 20 homes on 2 acres it owns
next to Sugarloaf School. That's in the Lower Keys, the area hardest hit by Irma. CO
And he says if that project goes forward it could pave the way for more housing on

Trumbo Road in downtown Key West. That's where the school district has its
headquarters. In the city, you could build higher density — and people who live there >
might not even need a car.
"Half of our enrollment lives within 5 miles of the Trumbo property," Griffiths said.

Rebecca Keenum is the guidance counselor at Poinciana Elementary School in Key r-
West. She serves on the school's leadership team, which means she helps interview
job candidates.
This year they had 10 openings for teachers, out of a total of 65. And that was before -
Hurricane Irma.
Keenum said some excellent candidates turned down jobs after they learned how F
much it costs to live in or near Key West. y
"If you want to attract good people and you want to keep good people then that basic
need — housing is a basic, basic need — has got to be addressed," she said.
Compared to other school districts in Florida, Monroe County pays its teachers well. 0
The average teacher salary is $56,411.

But when housing costs are so high, that salary gets eaten up quickly.
Keenum points to the military locally as an example of a public agency providing
