At the September 20,2000, Board of County Commissioner's meeting the Board granted
approval and authorized execution of the following:
Interlocal Agreement between Monroe County and the City of Marathon which authorizes
the Department of Revenue to distribute Marathon's share of the gas tax revenues directly to
them. A fully executed duplicate original is attached for your handling.
/. Agreement between Monroe County and the City of Marathon transferring County traffic
signals and street lights located within the City to the City of Marathon.
Agreernent between Monroe County and the City of Marathon assigning the County
baybottorn lease adjacent to the Marathon Yacht Club to the City.
Enclosed are two fully executed duplicate originals executed on behalf of Monroe County.
Please be sure that the fully executed "Clerk's Original" is returned to our office as soon as

AGREEMENT TRANSFERRING TRAFFIC SIGNALS AND STREET LIGHTS
TO THE CITY OF MARATHON
THIS AGREEMENT is made by and between Monroe County, a political subdivision
of the State of Florida, whose address is Public Service Building, 5100 College Road, Key
West, FL 33040 (County), and the City of Marathon, a Florida municipal corporation
whose address is PO Box 500430, Marathon, FL 33050 (City).
WHEREAS, the City was incorporated in 1999 and became operational in February
of 2000;
WHEREAS, the City desires to take ownership of, and assume the responsibility
for, certain tangible property owned by the County and located within the City; and
WHEREAS, the County desires to transfer such ownership and responsibility to the
City; now, therefore
IN CONSIDERATION of the mutual promises and covenants set forth below, the
parties agree as follows:
Section 1. Effective October 1, 2000, the County, in consideration for the City's
assumption of all responsibility for the tangible property described in this agreement,
does hereby transfer to the City all the County's interest, title, and claim to the
following:
A. the traffic signals located within the City as set forth in Exhibit A which is
attached to this agreement and made a part of it;
B. the street lights located within the City as set forth in Exhibit B which is
attached to this agreement and made a part of it.
Section 2. The City acknowledges that the County presently has an agreement
with the Florida Keys Electric Co-op (the Co-op) to maintain the signals and lights listed
in Exhibits A and B and that the County intends to seek an amendment to the Co-op
agreement in order to delete all signals and lights located within the City. Therefore,
after the effective date of the amendment (which after the County will immediately
inform the City when known), it will be the City's obligation to maintain those signals and
lights, according to the standards required by FOOT.
Section 3. The City agrees to accept the signals and lights described in Exhibits
A and B in an as is condition on October 1, 2000 and will not require, seek to require,
claim or demand that the County make any repairs or improvements to the signals or
lights prior to, or subsequent to, October 1, 2000,
Section 4. The County intends to seek an amendment to its agreement with
FOOT to maintain the signal and lights within the City in order to delete those signals
and lights. Therefore, after the effective date of the amendment (which date the County
will immediately inform the City when known), it will be City's obligation to enter into an
agreement with FOOT, for the maintenance of the signals -and lights.
Section 5. This agreement is effective on the signature date of the last party to
