AGENDA ITEM WORDING: Approval of Second Amendment to a Task Order with Bender and
Associates to include asbestos, lead, and mold abatement testing oversight during the construction
phase of the project in the amount of$11,200.00. Funding provided by a TDC grant and DHR grant.
ITEM BACKGROUND: The County is in the process of converting the old Monroe County Jail
located in Jackson Square into a public museum. Monroe County has received a State of Florida,
Division of Historical Resources (DHR) grant in the amount of $247,275.00 with the County
matching that amount. The County match will come from a $1.2 million TDC grant. Phase I work
includes replacement of the roof, windows and doors along with asbestos, lead, and mold abatement
and selective demolition of the interior. The County requires the services of a qualified consultant to
provide asbestos, lead, and mold abatement testing oversight during this Phase I work. Bender and
Assoc. will contract with and manage the qualified consultant on behalf of the County.
PREVIOUS RELEVANT BOCC ACTION:
4/19/18 -BOCC approved submission of a grant application to DHR for the Historic Jail.
6/14/19 — County Administrator approved a Task Order with Bender & Associates Architects to
create Phase I construction documents for the Historic Jail museum project.
8/21/19 — BOCC approved a resolution affirming its support of developing the Historic Jail into a
museum.
10/16/19 — BOCC approved a First Amendment to the Task Order with Bender & Associates which
added an environmental assessment.
1/22/20 —BOCC approved a grant with DHR in the amount of$247,275.00.
4/15/20 —BOCC gave approval to reject all bids for Phase I Construction and readvertise the project
in a phased approach to hopefully cut down on costs.
7/15/20 — BOCC approved a contract with Sea Tech of the Florida Keys for the Roof Replacement
phase of the project.
9/16/20 — BOCC approved a contract with D. L. Porter for the Demolition and Asbestos, Lead, and
Mold Abatement phase of the project.

In accordance with the Agreement for Professional Architectural and Engineering Services, made
and entered into on December 19, 2018, (hereinafter referred to as "Agreement"), between
MONROE COUNTY, ("County") and BENDER & ASSOCIATESARCHITECTS,
("Consultant"), where professional services are allowed if construction costs do not exceed
2, 0,00.00, or for study activity if the fee for professional services for each individual study
under the contract does not exceed 2 , .00, the parties enter into this Second Amendment to
the Task Order dated June 14,219("Task Order"),and as amended in the First Amendment dated
October 16, 2019, for professional services on the Monroe County Historic Jail at Jackson Square 0

All terms and conditions of the referenced Agreement apply to this Second Amendment, unless
this Second Amendment amends, adds, or modifies a provision or an Article of the Agreement or
Task Order, as amended, of which will be specifically referenced in this Second Amendment and
the amendment, addition, or modification shall be precisely described.

WHEREAS, the County is inoving forward with the rehabilitation effort of the Historic Jail, to
make it into a MUSeU n; and
WHEREAS, on June 1 , 2019,the County approved a Task Order with the Consultant to provide
construction drawings, bidding and permitting assistance, and construction administration for the
Project; and

WHEREAS, on October 16, 2019, the County approved a First Amendment to the Task Order to CL
have the Consultant coordinate with a qualified Contractor to perform an EnvironmentalCU
Assessment for the Project; and

AS, the County requires the services of asbestos, lead, and mold abatement testing and

oversight during the roof replacement and selective demolition of the Project.
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the
parties agree as follows:
1. In accordance with Article II, Scope of Basic Services of the Agreement, the Consultant
will coordinate the services of a qualified Subconsultant to provide on-site consulting,

testing,and oversight during the asbestos, lead paint,and mold re mediation during the roof
replacement and the selective demolition of the Project.
2. In accordance with Article VII,paragraph 7.1.1 of the Agreement,the County shall pay the —°
Consultant a lump sum total of Eleven Thousand Two Hundred and 0l10 Dollars
($11,200. 0) paid on a percent complete basis upon review and approval by the Director 0
of Project Management.

The total amount of compensation to the Consultant under the Task Order, as amended,
shall be Sixty-Two Thousand and 1100 Dollars ($62,00 .00).
All other Terms and Conditions of the Agreement and Task Order, as amended, shall otherwise
remain in full force and effect.
IN WITNESS WHEREOF, each party caused this Second Amendment to Task Order to be CU

WHEREAS, the parties entered into the Task Order for Bender to prepare and provide design
documents, to include construction drawings, bidding and permitting assistance and construction
administration for the Project; and

WHEREAS, Bender's scope of work under the Task Order is modified by this Amendment to
include that Bender shall also employ, coordinate and pay costs for a qualified Contractor to
perform an Environmental Assessment on the Project. X

IN CONSIDERATION of the mutual promises contained herein, the parties hereby agree as
follows:
Section 2 - COMPENSATION of the Task Order and Agreement are'amended and revised to
include that the County will pay the Consultant a lump sum total of Six Thousand Five Hundred CL
and 00/100 dollars($6,500.00)for the Environmental Assessment Services scope of work. So that
the total amount of compensation to the Consultant under the Task Order shall be Fifty Thousand
Eight Hundred and 00/100 dollars($50,800.00).
All other terms and conditions of the Task Order and the Agreement as amended remain unchanged
and in full force and effect.

All terms and conditions of the Agreement apply to this Task Order, unless this Task Order 0
amends, adds, or modifies a provision or an Article of the Agreement of which will be specifically
referenced in this Task Order and the amendment, addition, or modification shall be precisely I
described. These additions apply only to the project referenced in this Task Order. 0
This Task Order is effective on the 14' of June, 2019.
WHEREAS,the Historic Jail at Jackson Square in Key West is an iconic structure and a significant
contributing resource in the Key West Historic District, and

WHEREAS, a Historic Structures Report was completed by Bender& Associates in January 2018
and the County is moving forward with the rehabilitation effort of the Historic Jail, to make it into

a museum.
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the
parties agree as follows:

1. In accordance with Article II, SCOPE OF BASIC SERVICES of the Agreement, the CLi
Consultant will complete construction drawings for a Phase I restoration project,
consisting of reroofing the building, installation of new doors and windows, and an m
environmental assessment.
Services provided shall include:
• Field measurement of the existing building 06
• A set of Construction Drawings and Technical Specifications, with as many signed
and sealed hard copies and PDFs as required for permitting.
• Permitting assistance, including the State of Florida Division of Historical Resources,
the Historic Architecture Review Commission and the City of Key West Building

• Bidding support services, including pre-bid meetings and Addendums.

Construction Administration services, including weekly jobsite meetings, Information
Bulletins, Payment Application approval, and closeout documents.
2. In accordance with Article VII paragraph 7.1.1 of the Agreement,the County shall pay _
the Consultant a lump sum total of Forty-Four Thousand Three Hundred and 00/100
dollars ($44,300.00) paid on a percent complete basis for the following phases:
a. Existing Conditions and Design Drawings- $15,505.00 upon completion of site Mn

b. Construction Documents- $15,505.00 upon document review and approval by the
Director of Project Management
c. Bidding Phase-$ 2,215.00 upon completion
