The Affiant is the sole member and director of SVMG KEYS ACQUISITION CO., LLC, a Florida limited liability company ("SVMG"), which is the sole member of LARGO SUN VISTA ACQUISITION CO., LLC (the "LLC"), and Affiant has personal knowledge of the facts stated herein. 2. SVMG and the LLC are currently in existence under valid operating agreements as limited liability companies under the laws of the State of Florida,they have not been dissolved, and have been in full force and effect during the entire time the LLC has held title to the real property hereinafter described. SVMG and the LLC are duly authorized to transact business in the State of Florida. 3. SVMG and the LLC are current, validly existing and in good standing as limited liability companies under the laws of the State of Florida and have not been dissolved. 4. No act or event has occurred which would require the dissolution of SVMG or the LLC or the winding up of their businesses. 5. Neither SVMG nor the LLC have declared bankruptcy, nor have any bankruptcy proceedings been filed against them during the existence of SVMG and the LLC. 6. The undersigned as the sole member of SVMG, which is the sole member of the LLC,and MARK A.PAPAK,as President of SVMG,have full power and authority under the SVMG and LLC operating agreements to execute and deliver on behalf of and to fully bind the LLC in the Statutory Warranty Deed and the Quit-Claim Deed necessary to effectuate the conveyance of the title in the real property and improvements thereon,more particularly described on Exhibit"A"attached hereto, to MONROE COUNTY,FLORIDA.
