Re: Agreement between Monroe County Board of County Commissioners and
RAS Building Commissioning and Restoration, LLC. d/b/a Solair House,
dated July 17, 2019, for Installation of a"Tiny Home"
Gentlemen:
As you know, RAS Building Commissioning and Restoration, LLC,d/b/a/Solair House("RAS"),
has an Agreement dated July 17, 2019, with Monroe County, to construct and install a 640 square foot
"Solair" model 640 Tiny Home" on a County owned lot located on W. Indies Drive in Ramrod Key,
Florida. There was a First Amendment to the Agreement presented to the Board of County
Commissioners("BOCC") and approved on February 19, 2020,to change the location from Ramrod Key
to a parcel located at 252 Sands Road in Big Pine Key. Subsequent to the approval of the First
Amendment, it was determined that the Worker's Compensation insurance for RAS had expired and RAS
was unable to provide a current policy. Due to the failure of RAS to provide its insurance in compliance
with its Agreement, the First Amendment was never executed by the Mayor of Monroe County and is
therefore being rescinded.

This letter is to provide its sixty (60) days' notice that pursuant to Article 8, Termination and
Suspension, Paragraph 8.I.D., Termination for Convenience, Monroe County hereby terminates its
contract with RAS. as amended. Upon expiration of the sixty days. i.e. March 21, 2021, neither party
will have any further obligations upon the termination date as to future services or requirements. While
it is the belief of Monroe County that RAS has been paid for all services rendered thus far under the
contract, you should immediately submit any Applications for Payment for services performed to date,
not yet submitted for payment, if any.
While the County may believe it has good reason to terminate your contract for cause even for
your failure to maintain the proper insurances, we are choosing to terminate it for convenience in the hope
that we may have another working relationship with your company in the future. During the duration of
the Agreement term prior to the expiration of the sixty days, we expect timely performance by your
company in accordance with the terms and conditions of your contract to submit any final payment
applications or other necessary documents to prevent further delays. However, you should not take any
additional steps towards construction or installation of the"Tiny Home"at this time. In the event Monroe
County proceeds with another Request for Proposals for the construction of a "Tiny Home" on the Big
Pine Key parcel, we would welcome any proposal from your company for consideration.
