OUR UNDERSTANDING
Monroe County (the County) is requesting support for airline agreement consulting services for the development
of new Airline Use and Lease Agreement (Airline Agreement) and Operating Agreements for the Key West
International Airport(the Airport).The County intends to execute the Airline Agreement to be effectiveonoraround
July 1' 2021.
OBJECTIVE
The objective of this task is for Ricondo &Assodates Inc., (Ricondo) to support the County with the development
of and the negotiation of the Airline Agreement and development of Operating Agreements for Non-Signatory
airlines at the Airport.
PROJECT SCOPE
Ricondo will provide assistance with the negotiation and development of the Airline Agreement, development of
Operating Agreement, and related financial planning support. This task will include drafting certain provisions of
the Airline Agreement; assistance with the development of the rate-making methodology; preparation of meeting
documentation for airline negotiations of the Airline Agreement;participation in the airline meetings; development
of Operating Agreement; and other services related to the negotiation and development of the Airline Agreement
and associated financial planning for the capital improvement program (CIP) resulting from the development of the
rate-making methodology.
TASK 1 - PREPARATIONS FOR AIRLINE NEGOTIATIONS
The County has monthly meetings scheduled with the Airlines operating at the Airport from September 2020
through approximately July 2O21 for negotiation of the rate-making methodology and the terms nf the Airline
Agreement. Ricondo will assist with the development of the agenda for the upcoming meetings, preparation of the
meeting materials and participation in strategy conference calls and meetings with the County. Ricondo will also
maintain the schedule to keep the process on track for the execution of the Airline Agreement as well as future
related financial tasks.This task assumes three in-person meetings.
TASK 2 - DEVELOP THE NEW AIRLINE AGREEMENT
Ricondo will assist the County with the development of the Airline Agreement drafts and will maintain the current
version of the Airline Agreement draft. During the Airline Meetings, Ricondo will keep track of edits and incorporate,
when appropriate, into the master document Ricondo will also assist in the development of the Exhibits to be
included in the Airline Agreement.
TASK 3 - PARTICIPATE IN MONTHLY AIRLINE MEETINGS
Ricondo will assist with the development of the agenda for the upcoming meetings, preparation of the meeting
materials and participation in monthly meetings with the County.This task assumes seven in-person meetings.

TASK 4 — DEVELOPMENT OF OPERATING AGREEMENT
The County anticipates entering into a new Airline Agreement in the Summer of 2021. For those existing and future
airlines, not anticipated to sign the new Airline Agreement,it is necessary for the County to develop a Non-Signatory
Operating Agreement. Ricondo will collect the County's current data to support development of the new Operating
Agreement.This task will be done concurrently with the development of the new Agreement.
TASK 5 - OTHER SERVICES
Ricondo will provide financial planning support to the County related to the development of the Airline Agreement
and preliminary planning for the implementation of the Count/s capital improvement program as well as related
tasks as requested by the County.
PROPOSED SCHEDULE
|tis anticipated that the scope of work and schedule would be undertaken within approximately 10 months and be
concluded by December 2O21.
