Amendment of Non-Exclusive Agreement between Eller Media Company and
Monroe County for selling and placing advertising at bus shelters/benches
located in State right-of-way, and authorization for Mayor to execute
same.
ITEM BACKGROUND: An agreement for school bus shelters in Monroe County
has been in place with Eller Media or its predecessor for ten years. The
School Board supports these shelters, although acknowledges that school
bus stops move from time to time and may not always coincide with the
shelters. A revenue analysis has been provided by Eller Media, which
indicates the revenue anticipated from advertising on the inside, and
outside panels. The inside panel is expected to yield $285,968 and the
outside panel $110,500 (total for 5 years). The County will receive $690
per shelter for the first year with the amount increasing by $20 each
year thereafter. Currently, there are 19 shelters within our
jurisdiction yielding $13,110 in revenue to the County the first year,
$13,490 the second year, $13,870 the third year, $14,250 the fourth year,
and $14,630 the fifth year.
PREVIOUS RELEVANT BOCC ACTION: On January 24,..1990, the BOCCapproved
the Non-Exclusive Agreement with Flutie Enterprises of the Florida Keys,
Inc., to install and maintain bus shelters and benches. On April 24,
1994, the BOCC approved an Addendum to Non-Exclusive Agreement to extend
the agreement for an additional five years. On June 30, 1994 the Boce
approved Patrick Media Group assuming the agreement with the County. On
June 9, 1999 the BOCC approved the extension of the agreement on a month-
to-month basis and asked that a revenue analysis be provided to eliminate
advertising on the outside of the shelters.

CONSENT TO ASSIGNMENT AND SECOND AMENDMENT
OF NON-EXCLUSIVE AGREEMENT
THIS CONSENT TO ASSIGNMENT AND AMENDMENT OF NON-EXCLUSIVE
AGREEMENT (the "Amended Agreement"), is made and entered into this day of
, , between Monroe County, a municipal corporation
organized under the laws of the State of Florida, hereinafter referred to as the "County",
and Eller Media Company, a Florida corporation, in order to amend that Non-Exclusive
Agreement between the parties dated January 24, 1990, as modified in the Addendum
to Non-Exclusive Agreement dated April 21, 1994, hereafter collectively referred to as
"Original Agreement".
WITNESSETH:
WHEREAS, Monroe County desires to consent to the assignment of the Original
Agreement to Eller Media Company;
WHEREAS, the Original Agreement has an option to extend the contract for
additional five (5) year terms if agreed to by both parties;
WHEREAS, the Original Agreement as modified in the Addendum, increased the
shelter fee amount to Five Hundred Dollars ($500.00) per shelter; and
WHEREAS, both parties have renegotiated the fee amount as reflected in of this
Amended Agreement,
NOW THEREFORE, in consideration of the foregoing it is stipulated and agreed
as follows:
1. Monroe County hereby consents to the assignment of the Original
Agreement to Eller Media Company. Except as modified in
Paragraphs 2-6 of this Amended Agreement, Eller Media Company
agrees to be bound by all the terms and conditions in the Original
Agreement.
2. Eller Media Company shall pay in advance to the County the sum
of Six Hundred-Ninety Dollars ($690.00) for the first year, per
shelter with advertising on both panels, for the second year the
Company shall pay in advance to the County the sum of Seven
Hundred-Ten Dollars ($710.00) , for the third year the Company
shall pay in advance to the County the sum of Seven Hundred-
Thirty Dollars ($730.00) , for the fourth year the Company shall pay
in advance to the County the sum of Seven Hundred-Fifty Dollars

($750.00) , for the fifth year the Company shall pay in advance to
the County the sum of Seven Hundred-Seventy Dollars ($770.00)
under this Amended Agreement. For any additional shelters
installed in excess of the 19 currently installed, the payment to the
County will be prorated.
3.
The term of this Amended Agreement shall be for five (5) years
from the date the County signs this Amended Agreement.
4.
The Amended Agreement may be further extended for additional
five (5) year terms if agreed to by both parties herein.
5.
If the Amended Agreement is further extended, then the fee for
each bus shelter and bus bench shall be renegotiated.

In all other aspects, the Original Agreement remains in full force
and effect.

The agreement between Monroe County and Eller Media providing school
bus shelters along U.S. 1 is scheduled to be on the agenda for your Key Largo
meetings on May 17 and 18. Connie Fahey ~ our Director of Transportation~ and
Bob Menendez~ our Executive Director for maintenance and facilities, have both
written letters to your Engineering Department in support of keeping the
shelters. I have enclosed copies of the letters for your review.
I would like to echo Connie Fahey's comments in her May 18~ 1999 letter.
She writes, "We do appreciate these shelters. They provide seating and shelter
for the students. Many parents have called and asked why don~t we have shelters
at all of our stops. We would like to see the shelters remain and would appreciate
new ones at any of ou.r designated stops."
Our staff is currently working with Eller Media~s representatives to
relocate a few at newly designated bus stops. I believe the shelters are a great
service to our students and would urge you to keep them.
You have my utmost appreciation for serving in each of your capacities.
As an elected official~ I understand your commitment to our community. Please
continue to help us in the village effort of raising our children.

In reference to your inquiry concerning the bus shelters maintained by Eller
Media we have made the following determination.
Bus stops often change from year to year depending on the population and
construction. If a shelter happens to be located at the stop we designate, it is a plus for
the students. We do in fact use most of the shelters identified on your list. We do
appreciate these shelters. They provide seating and shelter for the students. Many
parents have called and asked why we don't have shelters at all our stops. We would like
to see the shelters remain and would even appreciate new ones at any of our designated
bus stops. .

Re: Bus Shelters On State Road #S (U.S. Highway 1)
Dear Ms. Peacock:
I have been requested to follow up on correspondence between you and our Director of
Transportation relative to bus shelters located on State Road #5 (U.S. Highway I). It is my
understanding that these shelters are constructed and maintained by a private company in
accordance with an agreement with the county (which agreement has been approved by the
Florida Department of Transportation).
As previously reported to you, the school district has not been involved in the planning of
bus shelter locations. It has been related to me that what the district does do, through our
Transportation Department, is analyze available infonnation-such as.student population cluste~
safe vehicle exitlentranceltum-around locations, off-highway stop locations, and student walking
paths to and from bus stops-with a view towards selecting appropriate, safe locations for the on-
and off-loading of students. In regards to student transportation, the school district is controlled
and guided by Chapter 234, Florida Statutes. and Chapter 6A-3, Florida Administrative Code. A

In selecting the location of school bus stops, we are also mindful of Florida case law. The
Florida Supreme CoUrt has determined that the decision as to where to locate bus stops is a result
of government planning and discretion, and deciding on an actua1location of a school bus stop is
a policy or planning level decision. As such, the school board 'is immune from suit, under
sovereign immunity, for nelZliszently locating a bus stop. (See Harrison v. Escambia Countv
School Board. 434 So.2d 316 (Fla. 1983), copy attached.). However, once a school bus stop
location is approved. the school board may incur liabiliiy for failure to adequatelv. maintain the
location and for failure to control students while at the location. It is in these two situations that
the school district is an "incidental beneficiary'~ of some of the bus shelters located on U.S.
Highway I.
From obselVation. the bus shelters located at school bus stops provide relief to students
from inclement weather and from direct exposure to the sun. Additionally~ the shelters and

surrounding areas appear to be kept free from excessiv~ debris and trash and maintenance seems
to be a priority of the owner: thus, the bus shelter becomes a center for student congregation
with a corresponding decrease of student "spreadout" and wandering into adjacent locations
Finally, one would believe that regular travelers on U.S. I have come to associate the shelters at
bus stops as locations where students congregate, and thus drivers have a heightened awareness
of the need for increased vigilance and concern for safety.

As ever, the Director of Transportation will be happy to provide any assistance and
information required to insure that student safety is a major consideration in the location or re-
location of bus shelters at student bus stops.

Dear Mr. Pierce:
At its June 9, 1999 meeting, the Monroe Board of County Commissioners, discussed the
concept of placing limitations on advertising locations managed by. Eller Media
Company. The effect of the limitations, if approved, would be to prohibit.the placement
of advertising on half of our available locations and thus reduce out budgeted income by
almost fifty percent. We have created the enclosed Revenue Analysis which itemizes the
fiscal impact of the proposed fifty percent reduction of income on our company. The
bottom line is that Eller Media Company would loose a considerable amount of revenue,
over one hundred thousand dollars ($100,000.00) within a five-year period. It is not clear
to us exactly what the intent of the prohibition is or what public service it might be
intended to provide. Certainly the negative repercussions of such a prohibition will have
a detrimental effect on the current service provided to your public school students and
their families.
Monroe County has taken an opportunity and through well-intentioned leadership,
provided a valuable service to its school children, may it be protection from traffic,
inclement weather or intense sunshine. Eller Media Company absorbs all of the expense
for the installation and maintenance of each transit shelter including the expense of
applying for permits, pouring new concrete pads, designing building and installing the
shelters. All of our electrical installation is subcontracted to Edd Helms Electric, Inc. a
State Licensed and highly regarded electrical contractor. The electrical components used
in each transit shelter meet the National and South Florida electrical codes and are
inspected and final led by the electrical inspector of Monroe County. The shelters
themselves meet or exceed the South Florida Building Code.

NON-EXCLUSIVE AGREEMENT
THIS AGREEMENT, made and entered into this -IV"" day of

Enterprises of the Florida Keys, Inc., a Florida corporation,
hereinafter referred to as the "Company..
WITNESSE'1'B:
WHEREAS, the Company, is a corporation organized under the
laws of the State of Florida and licensed to do business in the
State of Florida; and
WHEREAS, the ~ompany is in the business of "erecting and
maintaining bus stop shelters/benches for use by the general
public for the purpose of selling and placing advertising within
certain of said bus stop shelters/benches: and
WHEREAS, Monroe County desires to supply residents with
shelter from inclement weather at bua stops and proposes to
supply said need at no cost to the County.
NOW THEREFORE, in consideration of the" foregoing it, is
stipulated and agreed as followSi
1. The-Company shall own and erect bus shelters/benches,
substantially as described and depicted on attached Exhibit .A",
sites located on the public right-of-way within the County. Said
sites shall be selected by both parties, and shall be located
only at official Bus stops. At all times during the term of this
Agreement, the bus shelter/bench structures shall remain the
property of the Company and the land upon which the-bus
shelters/benches are erected, shall remain as a public right of
way. This Agreement shall not be construed to impose any
obligation on the Company to maintain such land other than as
necessary in erecting and maintaining the ?US shelters/benches.
2. The Company may sell and place advertising in the bus
stop shelters/benc~es. All advertising revenues shall be payable
solely to the Company. If the Cou_nty reasonably obfects to any
advertisement, s~ch advertisement shall be removed on written
request of tne County.

3. The Company shall erect. install. liqht. clean.
maintain. repair or replace in compliance with all applicable
codes. these shelters/benches at no cost to the County. General
maintenance shall be performed bi-weekly and damaqe to the
shelter/bench shall be repaired within forty-eiqht (48) hours of
the time s~id damage is repor~ed to the Company.
4. Durinq the term hereof. the Company aqrees to indemn~y
and hold harmless Monroe County. its Officers. aqents. employees.
aqains t any and all clai ms. losses. liabili ties or expend i tures
of " any kind. includinq but not limited to court costs. expenses.
attorney's fees and sales tax. if any, accruinq or resultinq from
any and all suits, claims, de"ands, or damaqes of any character
or persons, or corporations, or property, by virture of the
desiqn, construction, "aintenance. of the bus stop
shelters/benches.
5. The Company shall provide, at its COSt, a One Million
1$1,000,000.00) Dollar liabil i ty POlicy of insurance wherein the
County is na..ed as CO-insured with licensed carriers acceptable
to the County. Sa id"policy shall state that it is not cancelable
by the insurer Or the Company without written notice to the
County thirty (30) days prior to the effective date of said
cancellation. Said insurance is a condition precedent to the
erection or placement of any buS stop shelters/benChes. If the
insurance protection ..entioned herein lapSes, th~s aqreement
shall i....ediately be void ~nd~ave n~ further force and effect
eXCept for the continuinq duty of the Company to comply with the
provisi~s of paraqraph 3 reqardinq indemnificatiOn. Company
shall also, in the event the insurance protection lap"ses,
immediately remove all shelter~benehes ~rom the public right of
way without notice from the ~unty or at any ~st to the County.
6. The Co..pany shall COordinate and integrate the bus stop
shel te rS/benChes with the School Boa rd, Coun ty and Flor ida
Department of Transportation.
7. The Company shall pay to the County the Sum of Three
Hundred Dollars 1$300.00) per year, per shelter and Thirty
Dollars 1$30.00) per year, per bench for every co..plete year and
prOrated for partial years. ShOuld this aqreement be extended as
provided in paragraph 9 herein, the Company shall pay to the
County the SU" of Five Hundred Dollars 1$500.00) per shelter and
Fifty Dollars ($50.00) per bench during the extended term.
8. The number of shel ters/benches may be inc"reased by
written agreement of the parties hereto.
9. The term of this Contract shall be for five 15) years
from the date the County Signs the Contract. The contract ..ay be
extended for an additional five (5) years if aqreed to by both
parties herein.

10. Upon a space available basis, the County shall allow
County-approved public service announcements to be advertised
within the shelters. Any such public service announcements shall
be removed by the Company, in the event the Company rents such
advertising space, Upon five (5) days notice by the Company to
the County.. The cost of preparation and installation of such
public service announcements shall be paid by the County.
11. All noticp.s and other communications under tnis
Agreement shall be in writing and shall be delivered either
personally, by telecopier or by certified mail, return receipt
requested, postage prepaid, to the parties at the following
addresses:

All notices shall be deemed.. delivered at the time of hand
delivery in the event of personal delivery, upon receipt of
telecopier copy, or upon receipt or rejection of certifi~d mail,
in the event delivery is made by certified mail. Either party
may change i"ts address for the purposes of receiving notices
pursuant to. this paragraph, providing such change is in-writing,
which shall not be effective until actually received by the
recipient party.
12. In the event that either party has recourse to court
action in order to enforce this Agreement, the prevailing party
shall recover court costs, including attorney's fees on the tr ial
or appellate level, from the non-prevailing party.
13. In the event either party shall fail to perform any of
its obligations under this Agreement, the performing party shall
give notice pursuant to paragraph el.even (11) to 'the non-
performing party, which notice shall state the nature of the
violation. The non-performing party shall have thirty (30) days
from the receipt of notice to cure such violation. . In the event
the non-performing party shall fall to cure its violation of this
Agreement within the thirty (30) day period, the performing party
shall have'the option of terminating this Agreement by giving
notice of termination to the non-gerforming party effective upon
delivery of the notice. In the event the County shall terminate
this Agreement pursuant to this paragraph, the County may order

the Company to remove its shelters/benches within thirty (30)
days of termination at no cost to the County. In the event the
Company shall terminate this Agreement, the Company may remove
its shelters/benches within sixty (60) days of termination, and
the cost of maintaining or removing any shelters/benches
remaining subsequent to the sixty (60) day period shall be the
sole respon~ibility of the County.
. 14. Flutie Enterpr ises .hereby acknowledges and agrees tftat .
this Agreement in no way is to be interpreted to mean that Flutie
Enterprises has an exclusive agreement with the County to provide
bus stop shelters/benches.
15. The bus stop Shelters/benches will be located only in
Florida Department of ~ransportation ~ights of way within Monroe
County, Florida. In addition, the Monroe County Department of
Public Works will coordinate each sit~ and sign each permit to be
