Upper Keys Community Pool, Inc. BOCC Agenda Item May 17-18,2000 2 oF- 3 \ f PROPOSAL OUTLINE The Monroe County BOCC grants conceptual agreement to establish a lease, with the Upper Keys Community Pool, Inc., for land at the Key Largo Community Park, for the construction, operation, and maintenance of a public aqautic education/recreation center. Upon conceptual approval by the BOCC, county legal and administrative staff shall undertake to explore, expand and define the details of the followng lease conditions: I) The lease shall be for One Dollar per year, for a period or twenty-five years, with a renewable option of twenty-five years, for a surveyed area of ground located within Key Largo Community Park. lfbids must be taken prior to awarding this lease, County staff shall proceed expeditiously to advertise for bids. 2) The UKCP shall select an architect/engineer/construction tirm to design and/or design-build the facility, using funds provided to them by a private donor. County staff shall be consulted regarding the selection process and choice, as well as design parameters and coordination with existing site utitilities. Selected contractors shall provide huilder's risk coverage, general contractor liability, workmen's compensation, and vehicle liability insurance throughout construction, as per county Risk Management requirements. 3) The UKCP shall create a management agreement with an established pool facility and program management firm (the YMCA) for the operation and maintenance of the facility. The management firm will enter into a contractual management agreement for a minimum eight years, with a minimum two renewable eight year options. The lJKCP shall require conditions including but not limited to the following: a) a hold-hannless/indemnification clause in the lease pertaining to the ROCC and UKCP, and $5 million in liability insurance naming the BOCC as additional insured on the policy, minimum vehicle May-03-00 08:48A P.03 Page Two Conceptual Lease Outline 6 of- 3 liability coverage, and pollution liability, b) workmen's compensation to meet state statute requirements, c) a maintenance and record-keeping program for equipment, d) certified instructors for all activities e) other requirements as dad tied by county Risk Management. 3) The management finn shall provide a viable business plan, as a condition of any contractual agreement with the UKCP, with an emphasis on income resources and operating and maintenance expenses, especially with projected budget shortfalls and funding solutions to address same. The UKCP shall coordinate activities of the management firm, UKCP, and the County to obtain and augment funding for the operations and maintenance of the facility. The County shall provide reasonable support and cooperation in efforts to obtain program funds from a variety of county, state, and federal sources. 4) The management firm, with U KCP oversight, wilJ guarantee a non-exclusive availability of the facility to the general publk, and manage the facility so as to provide reasonable access to all residents of Monroe County on an aflordable, non-discriminatory basis.
