The attached Agreement establishes the appropriate training, medical protocols, equipment maintenance and record keeping associated with the issuance and utilization of automated external defibrillators to a first responder agency. The Board of County Commissioners, Monroe County, Florida, hereinafter referred to as COUNTY, and City of Key West, Florida, hereinafter referred to as CITY, mutually agree as follows: 2. The COUNTY has acquired Automatic External Defibrillators (AED's) through a grant provided by the Florida Department of Health, Bureau of Emergency Medical Services. 3. It is to the benefit of the residents and visitors of the COUNTY and CITY that the Key West Fire and Police departments participate in a program of providing First Responder care in the event of a cardiac emergency- This includes the use of AED's to enhance the probability of survival from cardiac arrest. 4. The COUNTY shall assign and distribute six (6) AED's to the CITY for use by Key West Fire Department and Key West Police Department in their capacity as First Responders to cardiac emergencies. 5. Maintenance and quality assurance of the AED's will be the responsibility of the CITY. The CITY shall perionn property inventory and control functions for the AED's, provide for the periodic inspection and testing of the AED's, and provide preventative and general maintenance and repair of the AED's in accordance with industry standards, as a minimum. The CITY shall be responsible for all costs of functions and services associated with the AED's. 6. AED's assigned to and used by CITY remain the property of the COUNTY. AED's shall be available for inspection by the COUNTY during nonnal business hours. AED's shall not be transferred or loaned to any other agency or individual, and notification shall be made to the COUNTY if any unit(s) are taken out of service. 7. The assignment and distribution of the AED's to CITY is contingent upon CITY executing a Memorandum of Understanding (MOU) with American Medical Response d.b.a. Key West Rescue in accordance with Florida Statute 401.435(2), "Each first responder agency must take all reasonable efforts to enter into a MOU with the emergency medical services licensee within whose territory the agency operates in order to coordinate emergency services at an emergency scene." A copy of the fully executed MOU shall be submitted to the COUNTY. 1 8. CITY employees participating as First Responders shall at all times remain under the professional and administrative controls of CITY. CITY employees while engaged ;:. First Responder's training or performing those services do so within the course and scope of their duties as employees of CITY. 9. Every employee participating in the training and use of AED's in a prehospital emergency situation shall comply with appropriately established medical treatment protocols. 10. The Medical Director of Key West Rescue is responsible for establishing medical treatment protocols and reviewing and approving CITY employees training procedures for use of the AED. The training may be an add-on component with biennial certification in Cardio-Pulmonary Resuscitation (CPR) to the BLS-C or professional rescuer level under the American Heart Association (AHA) protocols. 11. The Medical Director shall provide for each CITY employee who will be a participant in the AED program a training format as follows: a) Provide training consistent with established BLS-C and established guidelines from the manufacturer for issued AED's. b) Coordinate with CITY supervising staff members, as determined by the CITY Fire and Police Chiefs or their designees, assignments that may be assumed by the CITY employees during their training. c) Provide materials and maintain personnel records and reports necessary for the performance and documentation of CITY employees' training. d) Coordinate enforcement of such training requirements and performance of CITY employees with the CITY Fire and Police Chiefs or their designees. e) Provide a methodology for data collection for Quality Assurance purposes. 12. The parties to this AGREEMENT stipulate that each is a state governmental agency as defined by Florida Statutes and represents to the other that it has purchased suitable Public Liability, Vehicle Liability, and Workers' Compensation insurance, or is self-insured, in amounts adequate to respond to any and all claims within the limitations of Florida Statute 768.28 and 440, arising out of the activities governed by this AGREEMENT. Each party shall be responsible for any acts of negligence on the part of its employees, agents, contractors, and subcontractors and shall defend, indemnify and hold the other party harmless from all claims arising out of such actions to the extent authorized by Sec. 768.28 F .S. 13. This AGREEMENT will commence on the date of full execution and will continue indefinitely or until terminated by either party. The COUNTY and CITY will review this AGREEMENT annually incorporating changes required by statutes, Executive Orders, or regulations. Such changes will be evidenced by a modification to this ,A.GREEME!'!T or by a superseding AGREEMENT if the parties fail to agree on any such changes, the AGREEMENT will be terminated.
