TERMS OF SALE
General Terms
Physio-Control acceptance of the Buyer's order is expressly conditioned on the Buyer's assent to the terms set forth in !hIs
document and its attachments. Physio-Control agrees to furnish the goods and services ordered by the Buyer only on these terms,
and the Buyer's acceptance of any portion 01 the goods and services covered by this document shall confirm their acceptance by
the Buyer. These terms constitute the complete agreement between the parties and they shall govern any conflicting or ambiguous
terms on the Buyer's purChase order or on other documents submitted to Physio-Control by the Buyer. These terms may not be
revised in any manner without the prior written consent of an officer of Physio-Control.
Pricing
Unless otherwIse indicated in this document. prices of goods and services covered by this document shall be Physlo-Control
standard prices in effect at the time 01 delivery. Prices do not include freight, insurance, freight forwarding fees, taxes, duties,
import or export permit fees, or any other similar charge of any Idnd applicable to the goods and Services covered by this
document Sales or use taxes on domestic (USA) deliveries will be invoiced in addition to the price ot the goods and services
covered by this document unless Physio-Control receives a copy of a valid state exemption certlncate prior to delivery. Please
forward your tax exemption certificate to the Physio-Control Tax Department, P.O. Box 97006, Redmond, Washington 98073-9706.
Payment
Unless otherwise indicated in this documenl or otherwise confirmed by Physio-Control in writing, payment for goods and
services supplied by Physio-Control shall be Subject to fOllowing terms;
Domestic (USA) Sales - Upon approval of credit by Physic-Control, 100% of invoice due thirty (30) days after Invoice date
International sales - Sight draft or acceptable (confirmed) Irrevocable lelter of credit.
Physio-Control may change the terms of payment at any lime prior 10 delivery by providing wriilen notice to the Suyer.
Physio-Control reserves the right to charge a 15% restocking fee for returns.
Delivery
Unless otherwise indicated in this document. delivery shall be FOe Physio-Control pOint of shipment and tiUe and risk of loss shall
pass to the Buyer at that point. Partial deliveries may be made and partial Invoices shall be permitted and shall become due in
accordance with the payment terms. In the absence of shipping instructions from the Buyer, Physio-Control will obtain Iransportation
on the Buyer's behalf and for the Buyer's account.
Delays
Delivery dates are apprOximate. Physio-Control will not be liable for any loss or damage of any kind due to delays in delivery or non-
delivery resulling from any cause beyond Its reasonable control. including but not limited to, acts of God, labor disputes, the
requirements ot any governmental authority, war, civil unrest, delays In manufacture, Obtaining any required license or permit, and
Physio-Controllnablllty 10 obtain goods from Its usual sources. Any such delay shall not be considered a breach of Physio-Control
and the Buyer's agreement and the delivery dates shall be extended for the length of such delay.
Inspections
Claims by the Buyer for damage to or shortage of goods delivered shall be made within thirty (30) days after shipment by providing
Physio-Conlrol with written notice of any deficiency. Payment Is not contingent upon immediate correction of any deficiencies and
Physio-Control prior approval Is required before the return of any goods to Physio-Conlrol.
Warranty
Physio-Control warrants its products in accordance with the terms of the slandard Physic-Control product warranty applicable to the
product to be supplied, and the remedies provided under such warranty shall be the Buyer's sole and exclusive remedies. Physio-
Control rnakes no other warranties, express or implied, including, without limitation,
NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND IN NO EVENT SHALL
PHYSIO-CONTROL BE UABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR OTHER DAMAGES.
Patent Indemnity
Upon receipt of prompt notice from the Buyer and with the Buyer's authority and assistance, Physic-Control agrees to defend,
indemnify and hold the Buyer harmless against any claim thaI the Physio-Control products covered by this document directly
infringe any United States of America patent.
Miscellaneous
a) The Buyer agrees that products purchased hereunder will not be reshipped or resold to any person or places prohibited
by the laws of the United States of America.
b) Throgh Its purchase of Physio-Conttol products, the Buyer does not acquire any Interest In any tooling, drawing, design
InformatJon, computer programming, patents or copyrighted or confidential Information related to said products, and the
Buyer expressly agrees nor to reverse engIneer or decompile suCh products or related software and Information.
c) The rights and obligations of Physic-Control and the Buyer related to the purchase and sale of products and services
described in this document shall be governed by the laws of the state of Washington, United States of America.. All costs and
expenses incurred by Physlo-Control relaled to enforcement of its rights under this document, Including reasonable attorney's
fees, shall be reimbursed by the Buyer.

Please consider the following justifications to upgrading our current cardiac
monitor / defibrillator units (LPII) with the newer version (LPI2).
I. The LP 12 now comes with an added feature, the pulse oximetry component.
This component allows monitoring of the fourth vital sign (I st -Pulse,
2nd-Blood Pressure, 3rd-Respirations) to the overall assessment of the patient.
This new component is considered to be a valuable tool in pre-hospital patient
management, by evaluating the amount of oxygen saturation in the blood.
This component on the unit itself allows the Paramedic to bring this fourth
vital sign monitor to the patient i.e.: inside a residence, inside a vehicle, etc.
The LPI2 automatically documents the Sp02 reading every 5 minutes or
anytime the printer is activated to run a strip. Also, a visible pulse strength bar
on the monitor screen helps verify accuracy of readings.
2. The pulse oximetry units we currently use are secured in the Med units, and
the Paramedic must bring the patient to it for use. The pulse oximetry units
that have been repaired in the past were replaced with hand held units,
because the repair cost is greater than the cost of replacement. The LP 12 has
this featured component already built in to the unit.
3. The LP12 includes a capnography-monitoring component, which provides the
highest level of assessment for both intubated and nonintubated patients. This
allows for a more accurate assessment of the qu~lity of ventilation on many
different types and ages of patients (especially when dealing with pediatrics,
when the underlying problem is usually respiratory in nature). Both the
respiratory rate and C02 value are visible on the screen along with a
waveform to assist in monitoring the patient's ventilation. It also provides
capabilities of both quantitative and qualitative end tidal C02 monitoring for
both adult and pediatric, intubated and nonintubated patients on a waveform
display. There is no calibration for patients receiving oxygen therapy since the
technology that is being used is specific to C02. This is extremely important
in measuring the patient's true respiratory drive and status.
4. The LPI2 is capable of providing escalating biphasic energy levels to 360
joules and is able to be programmed to accommodate various current and
future protocols. This new technology offers variable duration, automatic
voltage compensation and standard industry energy levels in order to reduce
the magnitude of the defibrillation shock and provide higher success levels.
This new technology has been recommended by the American Heart
Association's newly released 2000 ACLS Guidelines.
5. The LP12 includes both manual and automated external defibrillators (AED)
with ventricular fibrillation and ventricular tachycardia alarms for early
detection of these lethal arrhythmias.
6. The LP12 utilizes a dual battery system providing back up in the device with
voice prompts warning of device shut down. It also features F ASTP AK
NICAD batteries that indicate the status of the battery both on the screen and
on the battery itself. Battery maintenance is automatically performed by the
BATTERY SUPPORT SYSTEM.
7. The LPI2 utilizes the same electrodes as the LP 500 AED carried by the Fire
Department and Sheriff s Deputies, maintaining continuity of care and time
efficiency when responding to a call where an AED was utilized, as the
electrodes are already in place on patient when the crew arrives.
8. The LP12 provides three flexible waveforms for simultaneous viewing of2
ECG waveforms and capnographic data, allowing the Paramedic a detailed,
graphic representation of the patient's vital signs.
9. The LP12 has the unique capability of mounting to a stretcher with integral
stretcher hooks designed for easier transport. The weight of the existing LP 11
(291bs) vs. the LP12 (171bs) is dramatic. The LP12 is a one piece unit, as
opposed to the two separate units of the LPII, which has led to the injuries
already sustained by employees handling the unit.
10. The LP12 features a fax modem capability, which now allows the paramedic
to fax a copy of the patient's 12-lead to anywhere a fax is available, not just to
the emergency room as is the case with the LP 11. This feature will give
physicians an opportunity to discuss the patient's status with the patient while
viewing their 12-lead tracing.
These new features of the Lifepack 12 will enable our Paramedics to provide
enhanced pre-hospital management and care to the citizens and visitors to Monroe
County. It will give them access to the latest state-of-the-art diagnostic tools
available, so they may properly and more accurately identify heart attacks and
other life threatening conditions.
