ITEM BACKGROUND: During the budget process for Fiscal Year 2002, an increase of$50.00 per eligible volunteer was approved. PREVIOUS REVELANT BOCC ACTION: On September 17,1997, the Board approved a new basic service agreement with Key Largo Volunteer Ambulance Corps, Inc. On March 10, 1999, the Board approved extending the agreement on a month-to-month basis pending the execution of a new service agreement. Term of Agreement: The original term of the agreement was one year, commencing on October I, 1997, and expiring on September 30, 1998. On March 10, 1999, the board approved extending the term on a month-to-month basis pending execution of a new service agreement. This CONTRACT ADDENDUM shall become effective on October 1,2001, and shall expire on September 30,2002 unless terminated earlier under provisions specified in agreement. Upon expiration, if necessary the contract may continue on a month to month basis until re-negotiated. 4. V olunteer Personnel Reimbursement: A. For each eligible volunteer, a minimum of one hundred fifty dollars ($150.00) per month. B. For each eligible Ambulance Chief, a minimum of three hundred dollars ($300.00) per month. In all other respects, the agreement between the parties dated September 1 7, 1997 remains in full force and effect. The agreement provides them with the necessary mechanism to hire paid personnel to supplement the volunteers and to reimburse them for such costs, as well as other ambulance service related costs. In addition, it stipulates that the revenue from the collection of fees for service be used to supplant revenue from the collection of ad valorem taxes to the greatest extent possible. Key Largo Volunteer Ambulance Corp has some issues regarding reimbursement to volunteers that are currently under review by the County Attorney's Office. Until the tenns are renegotiated, they have requested that we continue the fonner agreement on a month-to month basis, which is provided for in Section 1. PREVIOUS RELEVANT BOCC ACTION: At their September 9, 1998 meeting the Board approved an agreement with Key Largo Volunteer Ambulance Corp for the period of October I, 1998 through September 30, 1999; however, upon subsequently presenting the agreement to the ambulance corp for signing, they chose to renegotiate the service agreement and extend the fonner agreement on a month-to month basis. AGREEMENT AGREEMENT~ made this 17th day of September , 1997, by and between the Board of County Commissioners of Monroe County, Florida on behalf of Municipal Service Taxing District NO.6, hereinafter "DISTRICT" and KEY LARGO VOLUNTEER AMBULANCE CORPS, INC., a not-for-profit Florida Corporation, hereinafter ,II AMBULANCE CORPS". WHEREAS, the DISTRICT and the AMBULANCE CORPS desire to provide advanced life support ambulance service from premises in Key Largo, to serve the area generally described as being from South Bay Harbor Drive and Lobster Lane (Approx. MM #95) North on US 1 to the Dade County Line and North on SR 90S to the intersection of SR 90S and Card Sound Road, Monroe County, Florida. WHEREAS, the Monroe County Board of County Commissioners has provided by ordinance for the reimbursement of expenses incurred by the various departments for said services from funds strictly within the budget for the District, and WHEREAS, the various Ambulance Corps volunteers within the District are available and on constant alert, and WHEREAS, the parties desire to enter into an AGREEMENT for the reimbursement of expenses relating to the services provided by the department and other related matters. NOW, THEREFORE, in consideration of the covenants contained herein and other good and valuable considerations the parties agree as follows: 1. The term of this AGREEMENT shall commence as of the 1st day of October 1997 and end on the 30th day of September 1998. Upon expiration, if necessary, the contract may continue on a month to month basis until renegotiated. 2. All operations of the advanced life support ambulance service by the AMBULANCE CORPS shall conform to the Florida Emergency Medical Services Act of 1973, as amended, and all applicable standards, rules and regulations, including but not limited to those standards set forth in Monroe County Code, Chapter 6.5, the Monroe County Emergency and Non-emergency Medical Services Ordinance of 1982, heretofore adopted by Monroe County on January 26, 1982, and any amendments thereto. 3. The AMBULANCE CORPS shall have on call all necessary personnel to provide the ambulance service on a twenty-four (24) hour basis. A combination of paid part-time or full-time employees and volunteer personnel of the AMBULANCE CORPS shall be untilized to ensure that sufficient staffing for at least one (1) advanced life support permitted ambulance is available at all times. Part-time or full-time employees of the AMBULANCE CORPS , . . ,. .,., . shall be compensated by the AMBULANCE CORPS at an hourly wage or salary level -commensurate with that of employees in similar positions of other fire and ambulance districts within Monroe County. The DISTRICT shall reimburse to the AMBULANCE CORPS all costs, charges or expenditures directly relating to the employment of the part-time or full-time personnel described in this section of this AGREEMENT on a monthly basis. 4. The DISTRICT shall provide personnel of the AMBULANCE CORPS provisions of Sec. 2.261 of the Monroe following amounts: reimbursement of volunteer in accordance with the County Code and in the the A. For each eligible Volunteer, one hundred dollars ($lOO.OO) per month. B. For Ambulance Chief, two hundred fifty dollars ($250.00) per month. The AMBULANCE CORPS shall have the right to establish its own elibibility requirements for disbursement of reimbursement based on participation in departmental activities. DISTRICT funding for the reimbursement of volunteers shall not exceed the budgeted allocation for such reimbursement. Said amounts may be changed or adjusted by written approval of the DISTRICT and the AMBULANCE CORPS, during the term of this AGREEMENT without cause to void, cancel or violate this AGREEMENT. 5. A position, that of Staff Assistant I, shall be maintained through the DISTRICT budget, in accordance with procedures provided by the Board of County Commissioners. The position shall be one of the Public Safety Division and assigned to the AMBULANCE CORPS. The Emergency Management Director-Trauma of the Upper Keys Health Care District shall serve as the immediate supervisor of the employee in said position. 6. The DISTRICT shall provide the existing vehicles and equipment owned by the DISTRICT or Monroe County, per Attachment A hereto, for use by the AMBULANCE CORPS to provide the ambulance service. The AMBULANCE CORPS shall be responsible .to provide for the general and preventive maintenance of the vehicles and equipment according to the manufacturer's recommended maintenance schedule and specifications as a minimum; periodic testing and certification of applicable medical equipment and devices shall be performed accordingly; repairs or corrective maintenance shall be performed as needed. The cost of all maintenance and repairs to the vehicles and equipment and the cost of all periodic testing and certification of applicable medical equipment and devices shall be a cost, charge or expenditure of the DISTRICT; contingent upon availability of budgeted funds and adherence to proper procurement policies and procedures. The AMBULANCE CORPS shall provide a general and preventive maintenance schedule for the vehicles and a periodic testing and certification schedule for applicable medical equipment and devices to the Emergency Medical Services Department for concurrency. The AMBULANCE CORPS 2 . ,~ shall maintain, at its place of business and in proper form, detailed records of all maintenance and repairs performed to the vehicles and "of- all testing and certifications performed to medical equipment and devices throughout the term of the AGREEMENT and any renewals thereto. All such records shall be rendered to the DISTRICT wi thin thirty (30) calendar days upon expiration or termination of the AGREEMENT. The Emergency Medical Services Department shall have the right to inspect the records, vehicles and equipment at any reasonable time. 7. The AMBULANCE CORPS shall procure goods and services, for which the DISTRICT shall be financially responsible, in accordance with current Procurement Policies for Monroe County. In accordance with Section IV, Level "A" requesting authority, less than $5,000.00, the AMBULANCE CORPS may directly transmit a "Request to Purchase" to the Purchasing Department for such supplies, equipment and/or services required for advanced life support ambulance service functions and for which the DISTRICT has allocated funds in the current budget. The Chief of the AMBULANCE CORPS or his/her designee, in writing, shall have requesting authority applicable to such Level "A" procurements. A "Request to Purchase" form shall be completed and forwarded to the Emergency Medical Services Department for purchases exceeding Level "A" dollar limits. The Emergency Medical Services Department shall review and then forward such requests through the Public Safety Division to the Purchasing Department for further processing. The Purchasing Department shall, in conjunction with the Public Safety Division, purchase or approve the purchase by the Public Safety Division of the equipment supplies and other support materials required by the AMBULANCE CORPS for advanced life support ambulance service functions and for which the DISTRICT has allocated funds in the current budget. The procurement of goods and services occurring after normal business hours or during weekends by the AMBULANCE CORPS shall be limited to only those emergency situations in which such procurement was necessary in order to avoid an interruption of services or to maintain current service levels during such period. For those procurements, the AMBULANCE CORPS shall obtain a purchase order from the Purchasing Department at the beginning of the next business day for paid or obligated procurements. 8. The AMBULANCE CORPS shall provide a system for property control of the vehicles and equipment owned by the DISTRICT or Monroe County, per Attachment A hereto and used by the AMBULANCE CORPS to provide the ambulance service. The AMBULANCE CORPS shall assist in the performance of the annual inventory of the vehicles and equipment. 3 \ 9. The PISTRICT and/or Monroe DISTRICT shall provide the following volunteers of the AMBULANCE CORPS: County on behalf of insurance coverages on the the A. Workers Compensation insurance as required by FS 440, including $500,000 Employer's Liability coverage. B. General Liability Insurance, with the minimum limits of $5,000,000, endorsed to provide Medical Attendants Malpractice coverage. C. Automobile Liability Insurance with minimum limits of $5,000,000 including Physical Damage Insurance on all vehicles owned by the DISTRICT or Monroe County and used by the AMBULANCE CORPS. The policy shall provide secondary coverage on private vehicles only during such time as they are operated in response to a call, beginning at the time a volunteer enters the vehicle to respond to a call and ending, either at such time as the volunteer returns to his/her home or to the first location at which a volunteer stops on the way home, after completion of participation in the emergency services that were subject to the call, whichever occurs first. All insurance policies shall name the AMBULANCE CORPS as an additional insured. 10. insurance Corps: (a) The AMBULANCE CORPS shall provide the following. on all paid part-time or full-time employees of the 1. Workers Compensation in compliance with Florida Statutes Chapter 440 and Employer's Liability with minimum limits of $500,000. 2. General Liability and Medical Attendants Malpractice with minimum limits of $300,000 Combined Single Limit. 3. Auto. liability insurance on all emergency vehicles owned by the AMBULANCE CORPS and used in providing emergency services within the District, with minimum limits of $300,000 Combined Single Limit. AMBULANCE volunteers 1. (b) If not provided by Workers Compensation, the CORPS may provide the following insurance on all of the Corps: Disability income insurance for a minimum of three hundred dollars ($300.00) weekly upon total disability for the first thirty (30) days and thereafter, in an amount up to six hundred dollars ($600.00) weekly, not to exceed the volunteer's regular salary. Said benefit shall continue until the volunteer can return to his regular work duties. 2. Death benefit insurance in the amount of twenty thousand dollars ($20,000.00) death/permanent disability benefit for the volunteer while engaged in the performance of his/her duties. 4 . ,- All policies are to name both the DISTRICT and Monroe County as additional .insureds and shall provide for no less than 30 days notice of cancellation, non-renewal or reduction in coverage. Proof of all insurance in a form acceptable to the DISTRICT shall be provided by the AMBULANCE CORPS upon request. 11. The cost of insurance policies required under the provisions of Section 10 of this AGREEMENT shall be a cost, charge or expenditure of the k~BULANCE CORPS for which the DISTRICT, upon receipt of proper invoices and applicable documentation, shall reimburse the AMBULANCE CORPS in a sum not to exceed the budgeted allocation for such cost, charges or expenditure. 12. Each of the volunteers of the AMBULANCE CORPS shall furnish and keep in' full force and effect a policy of liability insurance on his private vehicle (s) in such amounts of coverage as are required under Florida law. Proof of insurance in a form acceptable to the DISTRICT shall be provided by each volunteer and maintained on file in the business office of the AMBULANCE CORPS. The AMBULANCE CORPS shall provide complete copies of all insurance policies to the DISTRICT upon request. 13. The AMBULANCE CORPS, to the fullest extent permitted by law, shall indemnify and forever hold harmless the DISTRICT and Monroe County, their officers, agents and employees from all claims of any sort whatsoever that may arise from the negligence, acts or omissions of the paid part-time and full-time employees of the AMBULANCE CORPS, not related to the provision of emergency medical services. 14. The AMBULANCE CORPS shall contract with a Florida licensed physician who shall serve as the Medical Director of the AMBULANCE CORPS. The Medical Director shall secure and provide to the DISTRICT medical malpractice insurance, with minimum limits of $300,000.00 per occurrence, $1,000,000.00 annual aggregate, to cover the negligent acts, errors and/or omissions of the Medical Director of the AMBULANCE CORPS, when said Director is acting within the scope and in furtherance of the duties of the Medical Director as outlined in Florida Statute 401.265. The DISTRICT shall reimburse the AMBULANCE CORPS for the costs of the Medical Director's contractual services which may include a prorated portion of the cost of the required medical malpractice insurance, upon receipt of proper invoices and other supporting documentation and in a sum not to exceed the budgeted allocation. 15. The AMBULANCE CORPS shall be responsible for conducting regular training sessions to enhance personnel skill levels and keep records regarding personnel training, quality assurance and certifications. The DISTRICT shall provide reimbursement of such training related expenses for the volunteer personnel of the AMBULANCE CORPS as provided for in Section 2 -221, Monroe County Code. Travel expenses directly related to training activities 5 " shall be reimbursable by the DISTRICT in accordance with applicable laws, rules and regulations. The AMBULANCE CORPS shall submit requests for approval to travel to the Emergency Medical Services Department in proper form and at least two (2) weeks (minimum) in advance of the expected departure date. The AMBULANCE CORPS shall assist the Emergency Medical Services in making such travel arrangements, if and when necessary. The volunteer personnel and the paid employees of the AMBULANCE CORPS may, and are encouraged to, participate in emergency medical and other emergency services related training programs provided through the Public Safety Division. The cost of such participation by the AMBULANCE CORPS shall be calculated proportionally, per attendee and charged to the DISTRICT. 16. The AMBULANCE CORPS shall provide prehospital ambulance service within their designated service area and mutual aid and interhospital transfer services upon request and in accordance with existing departmental protocol, applicable laws, rules, regulations and standards; subject to resource availability. 17. The AMBULANCE CORPS may propose user fees to be established by the DISTRICT as provided for in Section 2-238(e), Monroe County Code and the AMBULANCE CORPS shall have the authority to render statements to patients for services rendered by the ambulance service. The AMBULANCE CORPS shall determine the procedures to be used in the collection of user fees for the ambulance service, as long as such collection procedures are lawful under the laws of Florida and the United States. Revenue from the collection of user fees shall be used to supplant revenue from the collection of ad valorem taxes to the greatest extent possible. 18. The AMBULANCE CORPS shall provide a Request for Expense Reimbursement form, by line item accounts and with applicable documentation attached, to the Emergency Medical Services Department monthly. The DISTRICT shall reimburse the AMBULANCE CORPS monthly for said expenses as provided for in this AGREEMENT. The AMBULANCE CORPS shall provide a monthly summary of accounts receivable which shall include the following: 1. Total active accounts receivable for fiscal year (beginning balance) 2. Charges this month 3. Collections this month 4. Adjustments this month 5. Total active accounts receivable for fiscal year (ending balance) 6. Average overall charge per account receivable for month being reported 19. The DISTRICT budget, as adopted, provides funding for utilities and other internal cost, charges or expenditures necessary or incidental to the operation of the Emergency Medical Services contemplated within this AGREEMENT, which have not been previously specified herein, i.e. County/DISTRICT provided 6 . " & Budget, providing funds. on behalf of the DISTRICT, shall be responsible for the_ necessary accountability and controls for these 20. The DISTRICT shall provide to the AMBULANCE CORPS a monthly trial balance of the DISTRICT funds so as to maintain concurrency and awareness of budgeted appropriation and expenditures; detailed expenditure reports shall be provided upon request. 21. The AMBULANCE CORPS shall submit to the Emergency Medical Services Department, on a monthly basis, for the purposes of statistical analysis and supporting documentation for grants, a detailed operational report, including, but not limited to, the total number of service responses and patients transported, by appropriate categories and average response times; such reports shall be submitted in a format approved by Monroe County and the AMBULANCE CORPS. 22. The parties shall be accountable to each other as required by this AGREEMENT. The Emergency Medical Services Department shall have the authority to coordinate and control all Emergency Medical Services resources during disasters, major emergencies and other maj or incidents requiring the response of multiple agencies and/or resources. The AMBULANCE CORPS shall have the duties and responsibilities in its respective service area which are applicable to prehospital emergency medical services and specified in the various plans and procedures adopted by Monroe County and/or the DISTRICT; dependent upon resource availability. Monroe County shall provide administrative and technical assistance, as requested, to the AMBULANCE CORPS in matters relating to the operation of the ambulance service. Representatives of both the DISTRICT and the AMBULANCE CORPS shall meet on a regular basis in Key Largo for discussions regarding the operation of the ambulance service contemplated within this AGREEMENT and other related matters; meeting dates to be jointly agreed upon. 23. Monroe County shall provide for an exclusive central communications system for the dispatching of all emergency and nonemergency calls within the service area. Said system shall consist of the ambulances used by the AMBULANCE CORPS, the hospitals within the County, the central dispatch centers of the County and the two-way radios installed in the ambulances used by the AMBULANCE CORPS. The central dispatchers of the County shall have the right to coordinate and dispatch all ambulances of the AMBULANCE CORPS and to receive immediate confirmation of the status and location of all inservice ambulances. It is hereby recognized and acknowledged that the right of the central dispatchers to dispatch and confirm status is paramount in order to effectively coordinate the provision of both emergency and nonemergency ambulance service within Monroe County. The Emergency Medical Services Department shall provide copies of current dispatching procedures for fire and ambulance services to 7 . ..,. Upon request of the DISTRICT, the AMBULANCE CORPS shall submit a proposed budget appropriations request, by line item ~ccount, for the forthcoming fiscal year. When deemed necessary by both parties, based on statistical analysis of usage, mileage and serviceability, the DISTRICT shall consider a budget appropriations request for remounting or replacement of ambulances provided to the AMBULANCE CORPS by. the DISTRICT. The AMBULANCE CORPS shall prepare and submit such ambulance specifications to the DISTRICT for review and concurrence. The DISTRICT shall then procure the ambulance in accordance with applicable policies 'and procedures. The AMBULANCE CORPS shall be involved in monitoring all phases of manufacturing and recommending acceptance of remounted or replacement ambulances to be used by the AMBULANCE CORPS. The Emergency Medical Services Department shall assist the AMBULANCE. CORPS in applying for grants for the ambulance operation. 25. In the event of unforeseen circumstances, such as illness, injury or other cause of absence of the regular paid part-time or full-time employees of the AMBULANCE CORPS, the AMBULANCE CORPS shall make every reasonable attempt to temporarily employ personnel to maintain sufficient staffing as to ensure the uninterrupted provision of advanced life support ambulance services within the DISTRICT. The cost of such temporary employees shall be a cost of the AMBULANCE CORPS as provided for in Section 3 of this AGREEMENT and shall be reimbursable by the DISTRICT as provided for in Section 4 of this AGREEMENT. The Emergency Medical Services Department shall assist the AMBULANCE CORPS in attempting to obtain such temporary employees " 26. In circumstances in which the AMBULANCE CORPS is unable to immediately provide or send an advanced life s~pport permitted ambulance to a request for ambulance service, regardless of reason, the central dispatchers of the County shall follow established procedure for such conditions. 27. The AMBULANCE CORPS has its administrative offices and training facilities, which are integral to the operation of the ambulance service, in a building located at 98600 Overseas Highway, Key Largo, Florida. The AMBULANCE CORPS is hereby authorized to provide insurance coverages and routine maintenance on said building and property as it deems necessary. The cost of same shall be a cost, charge or expenditure of the ANBULANCE CORPS for which the DISTRICT, upon receipt of proper invoices and other applicable documentation, shall reimburse the AMBULANCE CORPS in a sum not to exceed the budgeted allocation for such costs, charges or expenditures. 8 ,. .,' 28. The AMBULANCE CORPS may provide group heal th insurance for the members of the AMBULANCE CORPS consistent with the provisions of Section 112.08 (4) (a) Florida Statutes. The cost of such insurance shall be a cost, charge or expenditure for which the DISTRICT, upon receipt of proper invoice and applicable documentation, shall pay in a sum not to exceed the available funding. 29. The AMBULANCE CORPS shall present a copy of its annual audit report, prepared by a certified public accountant licensed to do business in the State of Florida, to the DISTRICT. The report shall be presented to the DISTRICT within thirty (30) days of its receipt by the AMBULANCE CORPS. The AMBULANCE CORPS shall comply with this requirement for each audit year concurrent in whole or in part with the term of this agreement. The cost of such audit shall be a cost, charge, or expenditure of the AMBULANCE CORPS for which the DISTRICT, upon receipt of proper invoices and other applicable documentation, shall reimburse the AMBULANCE CORPS in a sum not to exceed the budgeted allocation for same. 30. The DISTRICT may terminate this AGREEMENT at any time during its term if the AMBULANCE CORPS defaults under any of the provisions specified herein, or violates any standard specified in this AGREEMENT or violates any other law, regulations or standard applicable to furnishing of ambulance service in Monroe County. In such event, the Administrator of the County shall furnish the AMBULANCE CORPS written notice of any such default or violation and the AMBULANCE CORPS shall have thirty (30) days from receipt of said notice to correct or remedy such default or violation. If such violation is not corrected or such default is not remedied within said thirty (30) day period, or is of such nature that it cannot be corrected or remedied, this AGREEMENT may be terminated at the discretion of the County Administrator. The AMBULANCE CORPS may terminate this AGREEMENT without cause by giving sixty (60) days written notice indicating their desire to terminate same. 31. Notice under this AGREEMENT shall be given to the DISTRICT by sending written notice to the Office of the County Administrator, Public Service Building, Wing II, Key West, Florida 33040 and notice shall be given to the AMBULANCE CORPS by sending written notice to the President of the Key Largo Volunteer Ambulance Corps, Inc., 98600 Overseas Highway, Key' Largo, Florida 33037. All vehicles and equipment owned by the DISTRICT or Monroe County and used by the AMBULANCE CORPS to provide ambulance service shall be returned to the DISTRICT when requested upon expiration or termination of this AGREEMENT. During the interim period between expiration of this AGREEMENT and execution of a new AGREEMENT, the AMBULANCE CORPS shall be authorized to use the vehicles and equipment for continued provision of ambulance service. 9 " ( 32. Monroe County'S performance and obligation to pay under this contract. is. contingent upon an annual appropriation by the BOCC. 33. If any section, subsection, sentence, clause or provision of this AGREEMENT is held invalid, the remainder of this AGREEMENT shall not be affected by such invalidity.
