We have two new 5 Commissioners on the Commission. We wanted to 6 update you . Commissioner Forster, you asked to be 7 updated on this case and where we are . 8 I would like to say that if the Third 9 District Court of Appeals had ruled by now, we 10 would be able to say the case is over and done . 11 We still have an appeal pending that we are 12 expecting a ruling any way, any Wednesday because 13 those rulings come out every Wednesday around 14 10 : 30 , 11 : 00 o ' clock in the morning. We have an 15 appeal pending that if it goes our way, the case 16 is over in our favor . Jeff can tell you when but 17 the argument was probably about six, eight weeks 18 ago . We expect - - the time is right for it to 19 come out on appeal - - or, the decision to come 20 out, if not this week, next week . There ' s no 21 limit on when they can, but they usually start 22 publishing opinions a month or so after the 23 argument itself . 24 So, with that, I ' ll turn it over to Jeff to 25 explain where we are in the case, explain our U. S . Legal Support ( www.uslegalsupport . com 5 Closed Session (AshBritt, Inc . ) May 25, 2021 1 strategy for going forward if we ' re not successful 2 on that appeal , and answer any questions you might 3 have . 4 MR . HOCHMAN: Good afternoon . This is the 5 AshBritt versus Monroe County case . AshBritt 6 entered into an express written contract with 7 Monroe County to perform certain services . In 8 order to expand the scope of work, an amendment to 9 the contract we ' d entered into between AshBritt 10 and Monroe County. 11 In this case, no amendment was entered into . 12 Nonetheless, AshBritt claims they performed 13 services in addition to the services required in 14 the contract in connection with what they call 15 putrefied waste, meaning the items that are inside 16 the white goods, inside refrigerators and freezers 17 that are left by the side of the road. They claim 18 that Monroe County instructed them to take the 19 white goods and dispose of them. Monroe County 20 claims that all work and all removal associated 21 with white goods , including what ' s inside of the 22 refrigerators, was already contemplated by the 23 contract . 24 In addition, AshBritt claims that Monroe 25 County required AshBritt to bring debris to a U. S . Legal Support ( www.uslegalsupport . com 6 Closed Session (AshBritt, Inc . ) May 25, 2021 1 final disposal site that was more than 130 miles 2 away from Monroe County. The contract 3 contemplates that and pays them a very high rate 4 for that . They claim they wanted to take it to a 5 closer disposal site and they sued the County for 6 an approximate million dollars , is what they claim 7 is the extra cost they incurred performing what 8 Monroe County told them to do, even though it ' s 9 not explicitly written in the terms of the 10 contract . 11 The County moved for summary judgment on 12 those arguments, basically the idea that in order 13 to enforce a contract claim against a 14 municipality, you have to look at the contract , 15 and then you have to look inside the contract and 16 find the provision that obligates the County in 17 that way. 18 Judge Koenig reviewed that summary judgment 19 motion and determined that there were conflicting 20 issues of fact and that he was unable to grant 21 summary judgment in favor of Monroe County as a 22 pure matter of law. 23 Monroe County has since appealed that 24 decision to the Third DCA, asking it to review all 25 the facts and determine whether those arguments U. S . Legal Support ( www.uslegalsupport . com 7 Closed Session (AshBritt, Inc . ) May 25, 2021 1 are in fact the proper arguments , meaning no 2 contract provision obligated the Monroe County 3 folks to pay for an additional service that wasn ' t 4 in the contract, and that the obligation to 5 transport material to that outside site 130 miles 6 away was in fact a part of the contract and Monroe 7 County had paid the full contract price for their 8 services . 9 We were expecting to have a decision by now. 10 It was argued, fully briefed and argued in March. 11 There have been a number of sovereign immunity 12 cases that have been decided, one of them by the 13 Third DCA, which seems to help the County' s 14 position in this matter. The length of time 15 between the oral argument and the opinion can 16 vary, so we can ' t explain why there is maybe a 17 delay, or maybe just a work flow issue, or maybe 18 there ' s some special attention being paid to this . 19 There ' s another dispute involving sovereign 20 immunity that is now pending at the Third DCA. A 21 lot of municipalities are interested in these 22 kinds of decisions . And, where the Third District 23 Court of Appeal comes out on this particular claim 24 will have an impact on Florida law, and will have 25 an impact on Monroe County in the Disaster U. S . Legal Support ( www.uslegalsupport . com 8 Closed Session (AshBritt, Inc . ) May 25, 2021 1 Solutions case as well because it deals with the 2 same ideas of what is a contract , what is an 3 enforceable contract under Florida law. 4 At this point in time, the proper thing for 5 the County to do is to wait to see what the Third 6 District Court of Appeal does . If it comes out 7 favorably, it is possible that the case will go 8 away and that Monroe County will prevail . It is 9 possible that the County will decide one issue in 10 favor of the County and reduce the amount that ' s 11 at issue that remands the rest of the case to go 12 to trial , or it could come unfavorably for the 13 County and if that ' s the case, then at that point 14 would be the time to consider whether there needs 15 to be some sort of offer or reconsideration of the 16 County ' s position in defending the case . 17 MR . SHILLINGER : If you want to have a 18 discussion on the numbers, since we have new 19 members, I ' ll hand out a similar sheet like we did 20 in the other case . 21 So, we have a breakdown there . We 've already 22 paid them, unrelated to the case, 8 . 9 million 23 dollars . So please don ' t cry for AshBritt that 24 they walked away and they' re not getting paid at 25 all . They have plenty of our money, and we U. S . Legal Support ( www.uslegalsupport . com 9 Closed Session (AshBritt, Inc . ) May 25, 2021 1 actually didn ' t even get reimbursed for all of 2 that , as we well know from the Base Camp . So the 3 amount that ' s in dispute is a principal of 1 . 1 4 million. They ' re going to claim interest and then 5 estimated attorneys fees , so they' re going to 6 claim as much as 2 . 1 million . 7 At one point prior to - - in a prior session, 8 they had offered in the neighborhood of 500 , 000 , 9 and a prior Board had rejected that . I don ' t have 10 that exact figure . I wasn ' t able to go back and 11 pull up the transcript from that one . 12 MAYOR COLDIRON: Can you say that again? 13 MR . SHILLINGER : They had offered about - - 14 they expressed an interest in settling for about 15 half of the million dollars that we owed, that 16 they say we owe them. It was about 500 , 000 . 17 MAYOR COLDIRON: And we rejected that? 18 MR . SHILLINGER : We rejected that , as the 19 prior Board had taken the position that, no, we 20 didn ' t owe them that amount of money, and you did 21 not authorize us to make a counter offer; let ' s 22 see if we can get them to negotiate against 23 themselves . It hasn ' t happened yet . 24 As it stands now, as Jeff said, if the Third 25 District rules in our favor, we ' re done, we don ' t U. S . But if they don ' t, we look at 2 going to trial , and Jeff has given us an estimated 3 cost in this case of about a-hundred-and-twenty- 4 five left to go to trial . Our worst day, maybe we 5 owe them the whole two-million . Our best day, we 6 owe them nothing and we get an award of attorneys 7 fees up to a half-a-million dollars, estimated, in 8 our favor. And it ' s likely to be collectible 9 because that is, unlike the prior one we talked 10 about, this is a viable, ongoing concern . 11 So this is where we stand in this litigation 12 at this point . Do you have any questions? 13 COMMISSIONER MARTINEZ : Your feelings on it? 14 MR . SHILLINGER : I ' m sorry, what? 15 COMMISSIONER MARTINEZ : Your feelings on it? 16 MR . SHILLINGER : My feelings on it? I think 17 we have a very solid chance of prevailing at the 18 Third District Court of Appeals, in light of the 19 case law that Jeff mentioned has existed in the 20 past , is being developed now. The basic concept 21 is that with a government contract , the contract 22 - - there is no government liability unless there ' s 23 a waiver of sovereign immunity. The contract sets 24 the terms of the waiver of sovereign immunity. So 25 if it ' s not spelled out in the contract U. S . Legal Support ( www.uslegalsupport . com 11 Closed Session (AshBritt, Inc . ) May 25, 2021 1 explicitly, there ' s no implied terms that the 2 court can write into it to fill in the gaps . So 3 on that basis, that measure of law, assuming that 4 argument still holds when they come out with their 5 decision in this case, we prevail . 6 MS . HALL : On both issues . 7 MR . SHILLINGER : On both issues , the haul-out 8 issue and the putrefied waste . That ' s what we ' re 9 down to, those two issues . 10 COMMISSIONER FORSTER : I ' ll start . So, 11 obviously, this one ' s a little closer to home than 12 the last one . I don ' t know if it ' s the will of 13 the Commission to counter a proposal or not, but 14 I ' m struggling with this , really, to be honest 15 with you . The appetite may be offering a hundred- 16 and-twenty-five thousand, that would be what the 17 legal fees would be . 18 MAYOR COLDIRON: To do what? 19 COMMISSIONER FORSTER : To settle . 20 MAYOR COLDIRON: To offer them a hundred-and- 21 twenty-five thousand? 22 COMMISSIONER FORSTER : And close it out . 23 Just asking. 24 COMMISSIONER MARTINEZ : I say go with your 25 gut, Bob . SHILLINGER : There ' s nothing to say that 3 if the Third rules against us, we can ' t revisit it 4 and have - - make an offer, and I think that would 5 be the time to make an offer . The one thing I 6 would say in support of making an offer now is 7 there ' s that uncertainty. They don ' t know what 8 it ' s going to be . 9 COMMISSIONER FORSTER : Right . 10 MR . SHILLINGER : And they may be willing to 11 settle for less than they might if the ruling goes 12 in favor of them. 13 COMMISSIONER RICE : After step one, they 14 don ' t have any clue, they might be a little more 15 inclined to take a lower offer . Once we take a 16 beating, that offer is going to have to be much 17 higher to be considered. 18 COMMISSIONER CATES : No, I agree with that, 19 also . Because if we are even thinking about 20 making an offer, this is the time to do it . We ' re 21 ahead now. If it comes through, good; but if it 22 doesn ' t, then we ' re - - it ' s going to be much more 23 difficult . Wouldn ' t you say, in your opinion? 24 MR . HOCHMAN: So there ' s two things going on . 25 One is to stop litigation expenses , and right now U. S . Then there ' s the 2 issue of developing the law in Florida on 3 sovereign immunity. That opinion is likely very 4 close to being issued. The question is, will it 5 be a good opinion for Monroe County or not? 6 COMMISSIONER CATES : Absolutely. That ' s right . 7 MR . HOCHMAN: Scenario - - 8 COMMISSIONER RICE : I would - - I 'm sorry, go 9 ahead. 10 MR . HOCHMAN: Scenario number one, it ' s a 11 good opinion . It helps you in two cases, right . 12 It helps you in the Disaster Solutions case and it 13 helps you in the AshBritt case . So the question 14 then is, okay, that ' s one thing to consider. 15 The next thing is it ' s an unfavorable opinion 16 and it hurts you in two cases . What then? So, 17 the idea of just considering one matter versus the 18 long-term interests of Monroe County has to be 19 taken into consideration . 20 COMMISSIONER RICE : I see . 21 MR . SHILLINGER : And I don ' t think we could 22 pull it together to make a formal offer of 23 settlement in time to beat tomorrow' s release of 24 opinions , if in fact they' re ready to write . 25 There ' s no guarantee they' re going to be tomorrow. HOCHMAN: Just to understand, usually the 4 Third District Court of Appeal issues its opinions 5 every Wednesday. Given the time that has elapsed 6 since the oral argument, it ' s reasonable to assume 7 that there will be an opinion issued tomorrow. If 8 not, then it ' s reasonable to assume it will be the 9 next week, and reasonable the following week . But 10 as it gets farther away, it ' s more likely the 11 opinion is going to be issued. 12 The question would be issuing a proposal for 13 settlement or a settlement offer between now and 14 tomorrow morning may be difficult . 15 COMMISSIONER FORSTER : But you could be 16 prepared for after tomorrow. 17 MR . HOCHMAN: Yes . 18 COMMISSIONER FORSTER : Right . 19 MR . HOCHMAN: Right . So let ' s say no opinion 20 comes out tomorrow, one could be easily issued on 21 either tomorrow afternoon or Thursday. 22 MS . HALL : The parties could always agree to 23 a walk-away. Everybody just absorbs your own 24 costs and goes on your merry little way. 25 COMMISSIONER FORSTER : Well , I was going to U. S . In my opinion, I 've 20 been involved in this case since the first lie was 21 told right over there, and I don ' t have a very 22 charitable opinion here . But, the lawsuit should 23 have never happened. If we could make it a clean 24 walk-away, I could feel okay with that . 25 COMMISSIONER FORSTER : I ' m okay with that , U. S . And one of the things that I 6 thought would make it a good settlement would be 7 to give them the contract back . Now, I don ' t know 8 if that could be done or not , if the lawyers agree 9 or not , but I ' m kind of liking where Commissioner 10 Forster was, yes , let ' s recapture some of that , 11 and what would sweeten it for them, to answer your 12 question Commissioner Cates, would be if they get 13 the contract back. 14 COMMISSIONER CATES : And that ' s - - in Key 15 West , we worked with them. 16 COMMISSIONER FORSTER : So did we . 17 COMMISSIONER CATES : Yeah, and we didn ' t have 18 a problem, except they tried to have - - get more 19 in the beginning and I don ' t know, but they gave 20 up on it and just did their contract , you know, 21 and they did a great job . I don ' t know what 22 happened with the County, if they thought they 23 could take more advantage or whatever or things - - 24 your job was much longer than ours , you know, so 25 that - - they probably lost more money on that one U. So, that being said, that ' s probably 3 what happened. But we didn ' t have any problems 4 with them. SHILLINGER : They had some interference 9 from the Governor ' s level . 10 COMMISSIONER CATES : Yes 11 COMMISSIONER RICE : Absolutely. 12 MR . GASTESI : Yes . I was going to say, the 13 Governor took away the gravy which was Big Pine 14 and the area where it was really hit hard. It was 15 done by an outside - - another firm, if you 16 remember that . That ' s really what the problem 17 with that was . 18 MR . SHILLINGER : That was hiring away their 19 subs . 20 COMMISSIONER RICE : If he ' d have stayed in 21 Tallahassee, in my opinion, we wouldn ' t be 22 discussing this today. 23 MR . GASTESI : Right . 2 MR . SHILLINGER : But, in terms of being able 3 to award, give them the contract back, we have 4 already terminated them. We have already had 5 staff respond to FEMA audits and Inspector General 6 opinions and things like that, that that would be 7 undercutting all of that . And if we simply just 8 awarded the contract out of hand, it has not now 9 been competitively bid, so we would not - - we 10 stand the risk of not being reimbursed should we 11 get a storm in the next year when this contract - - 12 because this contract was a five-year contract . 13 It was let in 2017 . It ' s up next year. 14 The more forward-thinking thing is not 15 holding it against them if they should bid in a 16 future contract because, again, coming 2022 is 17 when it ' s going to come up again . It is a risk in 18 just handing them the contract back that we ' re not 19 going to get reimbursed because of all the 20 problems that we have pointed out to FEMA in this 21 contract where they tried to renegotiate terms , 22 and the testimony we 've already given to the 23 Inspector General , and the fact that just giving 24 them the contract, again, is not a competitively- 25 bid contract anymore . So your risk is you will U. S . SHILLINGER : So under the federal 16 procurement regulations, in order to get 17 reimbursed, it had to have been a competitively- 18 bid contract . And those were rules that were 19 going into effect in 2017 . Now they 've been in 20 effect for four years now. So FEMA is going to 21 look even more closely at that issue . That was an 22 issue we had to deal with that cost us money in 23 reimbursement in the Base Camp where we had tried 24 to point to some procured prices and it wasn ' t - - 25 you know, we weren ' t able to show that to the U. S . SHILLINGER : Sure . 15 MAYOR COLDIRON: If we gave them back the 16 contract and we have a storm this season - - we ' re 17 not going to have one but if we would - - you ' re 18 saying we ' re putting at risk all of our FEMA 19 reimbursement with AshBritt if FEMA decided that 20 that contract was null and void and we didn ' t go 21 out for the proper procurement? 22 MR . SHILLINGER : Right . 23 MAYOR COLDIRON: So you want us now to risk 24 that? 25 MR . SHILLINGER : That ' s Roman ' s proposal , U. S . SHILLINGER : Another option is to start 18 the process to rebid the contract early, right? 19 Because that - - I mean, Christine is the one who 20 has handled this kind of thing . 21 MS . LIMBERT-BARROWS : Well , we have, we do 22 have language in the contract that allows us to 23 terminate it for convenience, but we added 24 language specifically that that ' s not to be 25 allowed during hurricane season. But 6 we could terminate right now, we have the 7 agreement with DRC . 8 MR . SHILLINGER : But we wouldn ' t have a 9 replacement . What I 'm saying is , if the plan is 10 to bid the contract to take over for 2022 , 11 correct, that ' s when this contract , the current 12 contract expires? 13 MS . LIMBERT-BARROWS : Yeah. It has a renewal 14 period of five years . 15 MR . SHILLINGER : Right . 16 MS . LIMBERT-BARROWS : But if the Board 17 chooses not to renew that, then we could go out 18 for bid. 19 MR . SHILLINGER : And it would take 20 approximately how long to go through the 21 procurement process and select a new contractor? 22 MS . LIMBERT-BARROWS : Six months . 23 MR . SHILLINGER : Six months . So if you were 24 - - I mean, you have an option, if you ' re trying to 25 give AshBritt an opportunity to get back in the U. S . HALL : But in terms of sweetening the 14 pot, when we put things out to bid, one of the 15 questions we ask and in fact , one of the questions 16 we ' re required to ask is , are you currently in 17 litigation with the County. We tend not to like 18 to select people who are currently suing the 19 County. So, in terms of sweetening the pot , if 20 AshBritt wants to improve its position in terms of 21 turning in a bid on the next go around, the way to 22 do it is settle the case . 23 COMMISSIONER CATES : And all those lines, do 24 we have any ranking that we ' ve had problems with a 25 contractor in a past , you don ' t give any points or U. HALL : I think we could do that . 8 COMMISSIONER CATES : I ' m just curious . 9 MS . HALL : Look at her face . 10 MR . SHILLINGER : She ' s the queen of the 11 purchasing policy, so . 12 MS . HALL : Well , I think we could do that but 13 it would be more a case of right now, there ' s no 14 way that we would consider them. Under our 15 current ordinance, that ' s a question we ' re 16 required to ask. But if we settled the 17 litigation, I think we would all be willing to 18 consider them as a vendor. 19 MS . LIMBERT-BARROWS : It was a very difficult 20 working relationship with them during that time 21 period. So, from a staff perspective, I think 22 that would be a concern of those on the selection 23 committee because it was such a difficult 24 relationship . 25 COMMISSIONER CATES : You can ' t have that when U. Legal Support ( www.uslegalsupport . com 27 Closed Session (AshBritt, Inc . ) May 25, 2021 1 we ' re trying to settle this lawsuit and have 2 something in there, willing to go, walk away for 3 nothing and take their chances . And they may not 4 win. Nobody ' s guaranteeing they ' re going to win 5 this next time, you know. They 've got to have - - 6 I ' m sure they want to have something to walk away 7 from all the money they' ve spent , too . 8 MR . SHILLINGER : They want to look forward. 9 COMMISSIONER FORSTER : Right . And I think 10 with some of their, I ' ll say, restructuring of 11 staff maybe, that we could possibly have a better 12 relationship with them moving forward. 13 COMMISSIONER CATES : That ' s all I 've got to 14 say. 15 MR . SHILLINGER : What Christine was saying, 16 Commissioner Rice, you couldn ' t hear her, was that 17 it was a very difficult - - you lived through it . 18 It was a very difficult negotiation with them, 19 with the operational . It was constant fights 20 between staff and it was not a partnership . It 21 was a little bit of a - - 22 COMMISSIONER CATES : They ' re very arrogant . 23 MS . LIMBERT-BARROWS : Compared with the other 24 vendor we had, that we had in the past and then 25 that took over, I was less involved. Let ' s put it U. S . So staff was able to resolve issues and 2 they were able to come to compromises and not get 3 the lawyers involved. 4 COMMISSIONER RICE : Well , I remember that 5 AshBritt was not their own best friend. 6 MAYOR COLDIRON: And I would agree . I know 7 Marathon had our own issues with AshBritt and that 8 case was dropped. AshBritt dropped their lawsuit . 9 And I know that Marathon just went out to bid for 10 their contractor and they did not pick AshBritt . 11 MR . SHILLINGER : AshBritt has a history of 12 being very aggressive with its clients . I mean, 13 it ' s not just here in the Keys that they have had 14 litigation with. There was Volusia County had 15 similar issues . Was it North Miami Beach, I 16 believe . There were a couple of jurisdictions 17 that when this case first started, we were talking 18 with each other that we got the AshBritt 19 treatment, and Marathon was one of them. 20 MAYOR COLDIRON: Right, right . 21 MR . SHILLINGER : So that is their business 22 model is to bully their way through these things . 23 MAYOR COLDIRON: And if you think about it, 24 we ' re all in a state of shock during a hurricane 25 and staff is stressed, everyone ' s stressed. HALL : Commissioners, if that is 11 something you would be willing to accept , and I 12 think it would be good for the County, just 13 speaking for myself, I would recommend starting a 14 little - - where you started in order to try and 15 end up there, just bargaining tactics . 16 COMMISSIONER FORSTER : Right . 17 MS . HALL : I don ' t know whether they would 18 take it or what their response would be . What do 19 you guys think? 20 MR . SHILLINGER : They have no incentive to 21 take anything at zero . 22 COMMISSIONER FORSTER : Well , they get back in 23 line to - - 24 COMMISSIONER RICE : I ' m sorry, Bob? 25 MR . SHILLINGER : If the settlement included 21 some language that said that - - 22 MAYOR COLDIRON: This will not be held 23 against you in the next ranking of vendors . 24 COMMISSIONER CATES : That ' s their incentive . 25 COMMISSIONER FORSTER : Right, exactly. So we will still ask those question and, 12 you know, if - - 13 MR . SHILLINGER : But we don ' t necessarily 14 rank it based on points . 15 MS . LIMBERT-BARROWS : Exactly, right . But if 16 they have a long history of litigation or if 17 they ' re currently in litigation with us, then we 18 may say they may not be responsible because they 19 haven ' t successfully performed in the past , or 20 whatever the situation is with that particular 21 vendor . 22 MR . SHILLINGER : And the only time that it ' s 23 actually disqualifying is if they fail to disclose 24 it . So one time - - you ' ll get companies that 25 don ' t want to tell you that but we do a background U. S . If they disclose it, then you 5 take an evaluation judgment and you go, okay, say 6 it ' s a construction contract and the litigation 7 was a bid protest . I mean, that happens all the 8 time in the construction industry. You think, 9 okay, you came in number two, you thought you 10 should have been number one . We just saw a bid 11 protest the other day. It happens . 12 COMMISSIONER RICE : Right . 13 MR . SHILLINGER : You don ' t look at that and 14 go, wow, this is a very litigious firm, we ' re not 15 going to do business with them. So you kind of do 16 a value judgment on them, but it ' s not a 17 disqualification that they 've been in litigation . 18 MS . LIMBERT-BARROWS : They can say, yes, we 19 were in litigation with the County, we entered 20 into a settlement whereby the County agreed to not 21 exclude us from consideration of this bid process, 22 or whatever details they wanted to provide . 23 COMMISSIONER CATES : Right . 24 COMMISSIONER FORSTER : Right . 25 MS . HALL : So resolving the litigation would U. S .
