I now call this closed session to order. For the record, this meeting is being held upon the request of the
County Attorney Bob Shillinger who announced at a prior BOCC Special Meeting held on 3/17/2021 that he
needed advice in the matter of Disaster Solutions v. Monroe County, 16th Judicial Circuit Case No. 2019-
CA-32-K. At that meeting, the Board approved holding a closed session and public notice was given through
public announcement of the meeting at the 3/17/21 BOCC meeting and through publication of the 4/21/21
BOCC meeting agenda on the County's website. At the 4/21/21 meeting, this item was tabled until the 5/25/21 �:5
meeting. U)

2 for the County.
3 MR . SHILLINGER : Just as a reminder, we will
4 only be discussing settlement negotiations and the
5 strategy relating to litigation expenditures . We
6 can ' t take any decisive action at this meeting .
7 You can only provide information and direction to
8 the attorneys . Any decisions that the Board makes

11 This is one of our two big cases coming out
12 of Hurricane Irma that we still have pending .
13 This involves a company that did some services for
14 us for a short period of time . Mr . Hochman can
15 update us on where we are in the case .
16 This is a service provider who essentially
17 had a task order, a purchase order for $49 , 999 of
18 work, and submitted an invoice for about eight-
19 hundred-thousand-and-something, something over
20 that . We ' re obviously disputing that .
21 This case has been very vigorously litigated
22 on the other side . Because we have two new
23 Commissioners on the Board who weren ' t here when
24 we discussed this case prior, we wanted to update
25 you. We wanted to tell you where we were in the

1 case . And, there ' s been some recent developments
2 with a side case which will be the second Closed
3 Session. They 've sued us again on a public
4 records issue and we ' ll talk about that in the
5 public records case, the second closed session .
6 We wanted to bring you all up to speed on
7 where we are on this . This is going to be an
8 expensive case to litigate and the other side is
9 making it that way. So we wanted to brief you,
10 answer any questions you have and, if necessary,
11 get some direction . So, with that, I ' ll turn it
12 over to Jeff Hochman .
13 MR . HOCHMAN: Good afternoon . The Disaster
14 Solutions case has been quite challenging. The
15 plaintiff is on their third amended complaint .
16 Their theory is they had an express written
17 contract with Monroe County but they have not been
18 able to identify the documents very easily that
19 make up the express written contract .
20 What they do have is they have a document
21 that they submitted to the County called a
22 proposal for an open blanket purchase order not to
23 exceed $50 , 000 . That document was signed by
24 representatives of the County in the Emergency
25 Operations Center with that limit on it .

1 A second document, identical to the first one
2 in all material respects , adds two more people .
3 So the idea would be that the folks from the
4 Eagles Wings Foundation working under what they
5 call themselves, the Pathfinders Task Force, to
6 provide services to have volunteers show up and
7 help in response to a hurricane .
8 According to your Emergency Operations
9 Director Martin Senterfitt , he understood that the
10 Eagles Wings Foundation and the Pathfinders Task
11 Force to be an organization that gets the
12 volunteers in, but there would be a level of cost,
13 what he called a small overhead cost , to make sure
14 that the overhead reimbursements that they needed
15 to get those people in would be reimbursed. He
16 said, fine, and it would probably be a small
17 amount , and then we ' ll have those people come in
18 and serve as volunteers .
19 According to the plaintiff , that was not the
20 actual deal . According to the plaintiff , the
21 County engaged not the Eagles Wings Foundation,
22 but the - - I 'm sorry, another organization called
23 Disaster Solutions . Disaster Solutions also had
24 an organization called the Pathfinders Task Force
25 but they were not volunteers , they were to be paid

1 at rates .
2 So what happens is , according to the
3 plaintiff, that the cap of fifty-thousand got
4 expanded, and then they ended they ended up
5 submitting a bill for about $850 , 000 .
6 COMMISSIONER CATES : Can I ask a question?
7 MR . HOCHMAN: Yes .
8 COMMISSIONER CATES : You said it got
9 expanded. Did we expand it or they expand it?
10 MR . HOCHMAN: Well , they expanded it . They
11 claim that we, that Monroe County' s folks at the
12 Operations Center signed a document called a 213
13 Resource Request , which is a document, which is a
14 typical document in response to a hurricane, and
15 they relied upon that particular document which is
16 typically submitted to the State of Florida as the
17 recognition by Monroe County that the expenses
18 were expanded over the $50 , 000 limit . And the
19 court has to decide whether that document is part
20 of what they would call an express written
21 contract .
22 What we do know is the person who signed that
23 document on behalf of Disaster Solutions , during
24 his deposition, indicated that he did not intend
25 for that to be a contract and that he had no

1 signature authority to bind Disaster Solutions .
2 So there ' s lots of issues for the court to
3 determine in terms of whether a contract which
4 plaintiff claims was formed, was in fact formed.
5 COMMISSIONER RICE : Question . We 've had a
6 $49 , 000 or $50 , 000 purchase order. We 've got
7 another - - another questionable document . Is FEMA
8 willing to reimburse $800 , 000 based on that
9 documentation?
10 MR . HOCHMAN: As the documentation is right
11 now, no . The only way for FEMA or for the
12 Division of Emergency Management to extend money
13 for a grant would be for a reimbursement of money
14 that was spent by Monroe County, meaning you can
15 be reimbursed only through having paid, submitted
16 your paid - - your payment, evidence of payment to
17 FEMA or the State of Florida, and then it would be
18 considered eligible for reimbursement . But you
19 can ' t have the State of Florida pay Disaster
20 Solutions or any provider.
21 COMMISSIONER RICE : No, no . I understand,
22 and I wouldn ' t think you would. But if we paid
23 this $800 , 000 , do we get reimbursed by FEMA?
24 That ' s the question, really.
25 MR . HOCHMAN: I don ' t know the answer to that

1 question . You would have to go through the entire
2 FEMA reimbursement process through the State of
3 Florida .
4 COMMISSIONER FORSTER : So the scope of work
5 that this company did, was it ten times the amount
6 that they were paid for? I mean, was this ongoing
7 or they just kept working and we just overlooked
8 it and said, hey, this is free work or - -
9 MR . HOCHMAN: The County ' s position is that
10 this was an unfair and deceptive trade practice,
11 and that Mr. Lewis , who runs both Disaster
12 Solutions and the Eagles Wings Foundation, was
13 intending to find a way to seek reimbursement for
14 an amount that was not properly charged and that
15 he could use this opportunity to secure a windfall
16 for his company.
17 COMMISSIONER FORSTER : So he rolled the dice .
18 MR . HOCHMAN: The evidence suggests that he
19 did the same thing approximately a week later in
20 response to Hurricane Maria at the City of Santa
21 Isabel in Puerto Rico . The same kinds of
22 documents were submitted to that municipality.
23 The municipality had its folks basically sign the
24 proposal for an open blanket purchase order not to
25 exceed $50 , 000 . They subsequently signed another

1 document which is a 213 Resource Request , and then
2 they received a statement for charges that
3 exceeded $300 , 000 .
4 And so, the idea was we bring in or we tell
5 you we ' re going to bring in a certain small group
6 of people to help with this response, and then the
7 idea is that once you sign this other document
8 while you ' re in the middle of the emergency, we ' re
9 going to call that a contract and we ' re going to
10 bring in other people, and there ' s a large margin
11 between what they pay those other people and what
12 they ask the municipality to pay, and then they
13 use the FEMA reimbursement system or whatever
14 reimbursement system is available to then fund the
15 difference, to pay that marginal difference that
16 they charge the municipality.
17 COMMISSIONER FORSTER : So the deceptive
18 practice, that was done prior to us or after us?
19 MR . HOCHMAN: That one we have evidence of
20 happened after .
21 COMMISSIONER FORSTER : Okay. Is that
22 admissible in our court case?
23 MR . HOCHMAN: We ' ll see .
24 COMMISSIONER FORSTER : Okay.
25 MR . HOCHMAN: We ' ll see .

1 MAYOR COLDIRON: And so, did we think that
2 the work that was being conducted was being
3 conducted by volunteers and that ' s what they are
4 now charging us for is labor that wasn ' t a
5 volunteer-based labor?
6 MR . HOCHMAN: Yes . The idea was that the
7 Pathfinders Task Force was a volunteer
8 organization and it was created under a non-profit
9 company called Eagles Wings Foundation . It turns
10 out that that Pathfinders Task Force on some
11 occasions works on behalf of the non-profit ; and
12 on past occasions had worked for Mr. Lewis ; and in
13 fact the week before had been in Texas responding
14 to Hurricane Harvey. And the same group of people
15 called the Pathfinders Task Force, a smaller
16 group, same group of people, responded to a bunch
17 of churches there as the representatives of the
18 Eagles Wings Foundation and did not charge for
19 those services .
20 So, the week before, it ' s the Eagles Wings
21 Foundation . Allegedly, while in Monroe County,
22 they are now the Disaster Solutions Pathfinders
23 Task Force . And then, a week later they go back
24 to - - or, I ' m sorry, before they get to Santa
25 Isabel , they respond there as members of the
U. S . Legal Support ( www.uslegalsupport . com 12

1 Pathfinders Task Force operating for the Eagles
2 Wings Foundation as a charity. And then, a week
3 later they go back to Puerto Rico and by that
4 point, they are now Disaster Solutions again .
5 And our argument is that there is no real
6 distinction between how Mr . Lewis operated. What
7 he would tell people is if there is a funding
8 source, he would then use that if possible . And
9 if he couldn ' t find a funding source, he would
10 then say, oh, it was a charity. And, in fact , he
11 received an award for his response in Monroe
12 County from the Governor for his volunteerism.
13 So it ' s very hard to pin down Mr . Lewis as to
14 the capacity in which he operates in any specific
15 moment .
16 MAYOR COLDIRON: Wow.
17 MR . HOCHMAN: So the defense has been the
18 unfair and deceptive trade practice, the absence
19 of an express written contract as required, and
20 overcharging and other practices which establish
21 that there was no real meeting of the minds
22 between your Risk Operations Director and
23 Mr . Lewis the way he operated there .
24 The plaintiff has moved for summary judgment
25 a third time . They did twice before, and the next

1 hearing is scheduled on June 18th. Their argument
2 is very specific . They claim that they issued a
3 document to Monroe County which they call an
4 invoice . As a result of issuing that document ,
5 there ' s a Florida Statute called the Prompt
6 Payment Act that imposes certain time requirements
7 on a municipality or governmental agency to
8 respond to the invoice . They claim that there was
9 a delay, and that all of Monroe County ' s defenses
10 to the invoice have been waived. That is their
11 specific claim.
12 The County has many, many arguments in
13 response as to whether there is a contract in the
14 first instance, which the statute seems to
15 require, and there ' s other documents in the file
16 suggesting that they didn ' t follow the procedures
17 in the statute themselves .
18 The court will have to make a determination
19 coming up on June 18 , as to whether they can
20 establish as a pure matter of law, meaning there ' s
21 no factual dispute, that the plaintiff wins on
22 that issue, that one issue . And we are going to
23 be filing documents in response, but again, this
24 is their third motion for summary judgment . The
25 court has denied it twice before . We believe that

1 the evidence does not allow them to prevail . And,
2 in fact, the County will have a chance to move for
3 summary judgment , and the County will be arguing
4 that the documents themselves, as a pure matter of
5 law, do not constitute an express written
6 contract . And, that there are things that a
7 court ' s going to determine, that there is no
8 liability under the Prompt Payment Statute .
9 MR . SHILLINGER : I want to share some numbers
10 with you to kind of put it in perspective . We
11 have a sheet for each of you . I ' m going to
12 collect it when we ' re done . Again, we ' re in a
13 Closed Session so this is - -
14 COMMISSIONER CATES : While you ' re doing that,
15 can I ask a question?
16 MR . HOCHMAN: Sure .
17 COMMISSIONER RICE : Does this Lewis gentleman
18 own all these?
19 MR . HOCHMAN: Yes .
20 COMMISSIONER CATES : So he can speak for any
21 one and you never know which one he ' s speaking
22 for?
23 MR . HOCHMAN: Just so you understand that,
24 during this last deposition he appeared as the
25 representative of the Eagles Wings Foundation, as

1 the representative of Pathfinders Task Force, as
2 the representative of the Disaster Solutions
3 entity, and he has another entity he calls Scott
4 Lewis Gardening and Trimming . He ' s also the
5 individual who represents that entity because some
6 of those - - that entity' s equipment were then used
7 as , allegedly, as part of the response .
8 MAYOR COLDIRON: Two-million dollars?
9 COMMISSIONER CATES : It ' s actually a shell
10 game then.
11 MAYOR COLDIRON: Yeah, I was going to say,
12 that sounds like a shell game, especially in the
13 middle of us being in an emergency.
14 COMMISSIONER CATES : Yes .
15 MAYOR COLDIRON: How many days right after
16 the storm did all this take place?
17 MR . HOCHMAN: It started on September 5 ,
18 according to the e-mail trail , and then it ended
19 on September 20 , approximately. So it was five
20 days before the storm and then approximately
21 fifteen [sic] days after the storm.
22 MR . SHILLINGER : So these numbers show us
23 what we ' ve paid, what the disputed amount is .
24 They offered, and then they withdrew the offer but
25 we just wanted to put that out there to tell you

1 what it was, that if we would pay the entire claim
2 plus $150 , 000 , and then we would assign to them
3 the ability to go and seek reimbursement from FEMA
4 and go through that process, we would cooperate
5 with them and use their expert to pursue the claim
6 with FEMA.
7 Now, we ' ve been through that process in an
8 unrelated matter with Base Camps where we saw what
9 FEMA was willing to pay and what they refused to
10 pay, so it makes no sense . That - - it ' s a fake
11 offer.
12 MAYOR COLDIRON: Right .
13 MR . SHILLINGER : Basically, to goad us into
14 paying everything and wishing that we ' re going to
15 get reimbursed. That is basically what their
16 offer was . But then they withdrew it because we
17 didn ' t immediately jump on it and think they were
18 doing us a favor .
19 MAYOR COLDIRON: What services did they
20 provide for us?
21 MS . HALL : We know that they came in and they
22 showed up, they had their people show up at some
23 of the points of distribution to hand out water.
24 That , we know or we ' re reasonably sure that they
25 did.

1 Beyond that, they really didn ' t do what they
2 were supposed to do, which was collect members of
3 the community who wanted to help as volunteers and
4 organize them and get them to the right places .
5 That , they never did.
6 What they tried to do was, they tried to
7 start to insert themselves in the search and
8 rescue function. So they literally started to
9 propose ideas of places where they could go to do
10 search and rescue . But, as you may recall , we had
11 lot and lots of National Guard and other teams
12 from around the country, including firefighters
13 and law enforcement and people highly trained in
14 search and rescue . So we had those people . We
15 weren ' t asking these guys to do that .
16 So, at the end of the day, all we know, all
17 we believe is that they did in fact, they had a
18 couple people here in the Emergency Operations
19 Center with us , only a couple people with yellow
20 tee shirts or vests on, that ' s all , and we believe
21 that they had a few more that were out at the
22 pods .
23 Eventually, Marty Senterfitt became so
24 unhappy with what they were not doing, basically,
25 was so unhappy with their level of performance

1 that he called in more National Guard which took
2 over their function in terms of distributing food
3 and water at those pods .
4 COMMISSIONER FORSTER : So, to be clear, if we
5 prevail , we can get reimbursement for legal fees?
6 MR . SHILLINGER : They ' re a shell corporation.
7 They ' re going to have - - we can get a piece of
8 paper that says they owe us this , but then we ' re
9 going to spend a lot of time and effort and money
10 to probably get it done, because he will
11 successfully hide his assets in a way that will
12 make it virtually impossible . The juice won ' t be
13 worth the squeeze to try and pursue those fees .
14 We ' ll get a judgment against him.
15 COMMISSIONER FORSTER : So my problem is , you
16 know, of course, I would usually say settle and
17 let ' s move on with things, but I think we ' re
18 perpetuating this shell to keep going on and
19 affect so many other people, and I think it ' s
20 wrong. And I hate to just do it on how I feel and
21 cost the taxpayers money, but I think it ' s wrong
22 to let this perpetuate any further .
23 MR . SHILLINGER : I believe that was the sense
24 of the prior Commission when we met with them back
25 on May 8th of 2020 , was similar. And that ' s why

1 we find ourselves in a position where we made an
2 offer of settlement to improve our litigation
3 position because, as this offer of judgment
4 statute works, if they recover less than that, a
5 significant portion less than that , then we ' re the
6 prevailing party and they can ' t claim fees against
7 us . In fact, we can pursue them against them if
8 we ever wanted to collect any.
9 So far, we 've paid just under $300 , 000 in
10 legal fees in this case . We estimate it ' s going
11 to cost us another 185 to get to the motion to
12 summary judgment because that means we 've got to
13 do all the depositions that we have to take to
14 prepare for that , ready to argue it . And then, if
15 that ' s denied, then we go to trial and that ' s
16 another couple-hundred-thousand dollars to prepare
17 and get ready to go to trial .
18 So if there ' s an opportunity to save any
19 money to maybe take those funds and combine that
20 into a settlement offer but, as you just said,
21 you ' re just rewarding bad - - we ' re just rewarding
22 bad behavior if we do that .
23 COMMISSIONER FORSTER : Unless we can partner
24 with another party that ' s facing the similar
25 circumstances in the case that you brought up?

1 MR . HOCHMAN: So, in that case, on a motion
2 to dismiss , the federal court that saw the
3 documents found that they were facially
4 insufficient and the case was dismissed. It ' s now
5 on appeal in the federal appellate system.
6 Our state court judge, again, on a third
7 amended complaint, determined that by that point ,
8 the case should proceed with discovery. That ' s
9 where we are now.
10 MS . HALL : We have reached out to the lawyers
11 for the city in Puerto Rico that suffered the same
12 treatment that we have . We have not yet made
13 contact but we ' re going to do that . And, to the
14 extent they want to, we ' re going to share
15 information.
16 MAYOR COLDIRON: What judge is hearing this
17 and where is this being heard?
18 MR . HOCHMAN: It ' s Judge Koenig here in
19 Monroe County. His courtroom is in Key West .
20 MAYOR COLDIRON: Key West . How do we feel he
21 looks at contracts and the questionableness of
22 this contract?
23 MR . HOCHMAN: I think he will look at it and
24 he ' ll make a good decision about - - I think he
25 knows contracts . I think he ' s a real estate

1 lawyer by trade, and he knows that this kind of
2 contract needs to be like a real estate contract
3 to be enforceable .
4 We ' re hopeful that he will make a
5 determination and find, as a matter of law, that
6 there is no valid contract that gets around the
7 protection of sovereign immunity which protects
8 Monroe County. And if he does not make that
9 decision, the County gets the immediate right to
10 appeal his decision.
11 The County recently filed that procedure in
12 another case that we ' re going to talk about later
13 today and so, in fact, in this area of the law,
14 the application of sovereign immunity to documents
15 and whether they constitute a contract is an
16 emerging area of Florida law, and we are hopeful
17 that it will be emerging in the next couple of
18 weeks in favor of Monroe County, and that will
19 substantially improve the County ' s position.
20 COMMISSIONER CATES : I kind of agree with you
21 there about the judge being a real estate
22 attorney. I ' ve had closings at his place when he
23 was in business years ago . So, and I would see
24 him looking at this contract and seeing what it
25 really is, if he feels it ' s a scam. So I would

1 support moving forward and fighting this because
2 like Commissioner Forester said, it just makes you
3 so mad that they ' re taking advantage of the
4 citizens of Monroe County like this . It ' s very
5 upsetting.
6 MR . SHILLINGER : Judge Koenig has been - - his
7 results with the County have been mixed when he ' s
8 been on the bench. When we ' re in front of him on
9 a code enforcement issue, he leans in favor of the
10 property owner . That ' s not this case, so I 'm not
11 as concerned about it as I would were we defending
12 a code enforcement appeal in front of him. So,
13 we ' ll see, see how it comes down and what his
14 thought process is . He ' s a very cautious judge
15 and doesn ' t like to get overturned on appeal so
16 he ' s not going to go far out on a limb . Which
17 means we may have to take the case farther than we
18 might with a more risk-taking judge .
19 MR . HOCHMAN: And the plaintiff ' s attorneys
20 are very resourceful , they are very motivated,
21 they have lots of different arguments . And the
22 language of the Prompt Payment Statute that we 've
23 been talking about does seem to favor them in one
24 area, and it seems to favor the County in a
25 different area . So there ' s some interpretation

1 that the judge has to engage in to determine
2 whether the invoice that was submitted is what the
3 statute calls a proper invoice .
4 And so, in some ways , the case is going to be
5 a matter of first impression . There is very
6 little case law that interprets the Prompt Payment
7 Act, so Judge Koenig does not have a lot to draw
8 on . And so he ' s going to have to engage in both
9 contract interpretation and a decision as to
10 whether a contract exists, and separately how the
11 statute applies in this circumstance and whether
12 the documents at issue satisfy the statute .
13 And so, it ' s an interesting case from a legal
14 perspective, and the plaintiffs have been spending
15 lots of time and effort on trying to secure the
16 attention of the County and a large check from the
17 County.
18 COMMISSIONER CATES : Can I ask one more
19 question? Obviously, Judge Koenig has a specialty
20 in contracts , real estate contracts, but from all
21 the information that you 've given us and the way
22 we interpret it or some of us do, that this was
23 not a good contract . So what would make it that
24 be wrong? Why would the judge think that it was a
25 correct contract?

1 MR . HOCHMAN: Well , there are lots of
2 documents that the plaintiffs rely upon and many
3 of the documents contain the signatures of
4 representatives of Monroe County at different
5 points in time . The basic notion is this .
6 There was a point where an invoice came in
7 right after the storm and somebody from the
8 County, at that moment , should have immediately
9 objected to it , according to the Prompt Payment
10 Act . There was a delay beyond the deadline
11 imposed by the Prompt Payment Act . The Prompt
12 Payment Act has a provision that says if a proper
13 invoice is submitted, then if you don ' t handle it
14 in the exact way the statute says, you waive your
15 objections . That is what the plaintiff is relying
16 upon as the basis for their recovery.
17 COMMISSIONER FORSTER : Is that - -
18 MR . HOCHMAN: That ' s all they - -
19 COMMISSIONER FORSTER : Sorry. Is that time?
20 MR . HOCHMAN: It ' s more than that . There ' s
21 time, there ' s a process for dispute resolution,
22 and there ' s questions as to whether the plaintiff
23 actually pursued their remedies in a timely manner
24 as well . But, nonetheless , the statute is not the
25 picture of clarity and they are relying upon some

1 ambiguity in the statute to get the judge to lean
2 in their favor . Their basic argument is, we
3 submitted an invoice, they did not object in time,
4 they waive their objections .
5 MR . SHILLINGER : And then, our consultant
6 prepared some paperwork to seek reimbursement but
7 then later pulled back .
8 MR . HOCHMAN: So, again, so the first part is
9 the statute . And the second part is that Monroe
10 County engaged a third-party provider called
11 Adjusters International . Adjusters International
12 was assisting, providing consultation seeking FEMA
13 reimbursement for expenditures after Hurricane
14 Irma . Included in those documents that they
15 create to establish the basis for their
16 reimbursement are project worksheets and
17 applications for grant assistance .
18 Included within that was the Disaster
19 Solutions documents . And so the plaintiff is
20 saying that you can review what Monroe County' s
21 consultants submitted to FEMA in the FEMA portal
22 as evidence of contract formation, since they
23 reported to FEMA that there was this relationship,
24 and the words that were used in these submissions
25 are either it ' s your own workforce or it ' s a

1 contract obligation. Those are the two
2 opportunities that the FEMA system allows .
3 Because these are placed under the contract
4 obligation theory, therefore that is evidence of
5 formation of a contract .
6 And so, the plaintiff is relying upon that as
7 the way to rehabilitate the contract documents as
8 an actual enforceable contract . And Monroe
9 County ' s position is , number one, that ' s not how
10 you form a contract with a municipality. Number
11 two, there was no ratification by the Commission .
12 And, number three, Monroe County never actually
13 submitted it in final form to seek reimbursement
14 and never got paid reimbursement . What Monroe
15 County got was they got a $49 , 999 check to pay
16 what they had paid Disaster Solutions . As a way
17 to avoid a lawsuit , they simply paid the limit of
18 what the purchase order set-aside was designated
19 for, which was $49 , 999 .
20 MAYOR COLDIRON: That makes sense .
21 MR . HOCHMAN: Does that answer your question?
22 They have some arguments they want to raise .
23 We ' re saying that ' s not a contract . And the judge
24 has to look at the totality of the circumstances
25 to determine whether or not it reaches the legal

1 threshold to create an express written contract
2 that ' s enforceable under Florida law.
3 COMMISSIONER CATES : Yeah. In a way, their
4 argument is that we didn ' t object as we went
5 through the process, so they think that makes it a
6 legal contract ; but the bottom line is the judge
7 will decide whether that was a legal contract in
8 the beginning.
9 MR . HOCHMAN: The judge has to make a
10 decision based upon all the facts that are
11 submitted to the judge as to whether it satisfies
12 a legal standard. And he ' s going to make that
13 decision at the summary judgment stage when the
14 County moves for summary judgment, and if the
15 decision he renders is not what the County wants ,
16 the County then has the opportunity to seek review
17 of that decision by the Third District Court of
18 Appeal if it so chooses . Or, it can simply go to
19 trial at that point and decide, let the jury
20 decide the issues if there are disputed issues of
21 fact .
22 MS . HALL : Probably the part we ' re most
23 concerned about is the ten-day time limit for
24 objecting to a vendor invoice under the statute .
25 It ' s , in my opinion, just a horrendously short

1 time period.
2 Their argument is, as Mr . Hochman just said,
3 well , if you didn ' t object to the invoice when we
4 sent it to you in November 2017 , about two months
5 after the hurricane, you didn ' t tell us that you
6 objected to it for - - it was about a month and-a-
7 half before somebody kind of went, hey, wait a
8 minute, there ' s nothing here . We don ' t even
9 recognize the name of the vendor on the invoice .
10 And they ' re saying, ah-ha, more than ten days,
11 you ' ve waived all your objections, give us all
12 your money. And, oh, by the way, this statute
13 imposes one percent interest per month compounded.
14 So, needless to say, you can rack up a bill for
15 interest .
16 Our point of view is , wait a minute, you have
17 to first look to see whether it is a proper
18 invoice . And part of that is, is it tied to a
19 legitimate contract, is it tied to a legitimate
20 purchase . If that wasn ' t required, then five days
21 after our next hurricane, I could send an invoice
22 to the City of Miami for three-million bucks , and
23 if they don ' t object in ten days , well , then .
24 MR . SHILLINGER : I win the lottery.
25 MS . HALL : I win the lottery.

2 numbers .
3 COMMISSIONER CATES : Is there anything with
4 being a state of emergency, and the time, and the
5 government - - you know, I ' m not disagreeing with
6 you because there ' s a lot going on and you ' re not
7 normally running at the same oversight that you
8 would normally have .
9 MS . HALL : There ' s nothing in the statute
10 that creates an exception when counties or cities
11 are operating under a state of emergency. And, as
12 Mr . Hochman said, there ' s virtually no case law in
13 the State of Florida .
14 MR . SHILLINGER : Those are arguments to make,
15 but we don ' t have a case that we can point to that
16 says that ' s what the statute - -
17 MS . HALL : That ' s right .
18 COMMISSIONER RICE : So what ' s the question to
19 us?
20 MR . SHILLINGER : Well , again, we have new
21 members . We wanted to update you two on this
22 case . We are planning to vigorously defend it, as
23 we have been . We 've spent almost three-hundred
24 thousand already. If we continue, do we want to
25 continue to do that . That ' s our recommendation.

2 says , you know, we 've spent enough on this case,

7 estimates hold true, and they' re estimates , if we
8 spend $400 , 000 , if we throw $400 , 000 on the table,
9 which is what it would cost to get us through
10 trial at this point, they probably wouldn ' t take
11 it .
12 COMMISSIONER RICE : Well , I support your
13 recommendation .
14 MAYOR COLDIRON: I support it as well .
15 COMMISSIONER MARTINEZ : So do I .
16 COMMISSIONER CATES : I do, too .
17 COMMISSIONER FORSTER : Just one other
18 question, though. If there ' s nothing under the
19 state of emergency, is there anything under the
20 state of emergency that can apply to a specific
21 employee, maybe the one that was receiving the
22 invoice?
23 MR . SHILLINGER : It ' s silent . The state of
24 emergency declarations are silent on that . The
25 statute is silent on that .

7 the legislature could really clarify on this that
8 if this turns out bad, we would have a case and
9 example to go to the legislature and say, fix

11 get our worst day of four-million dollars so we
12 get that example .
13 COMMISSIONER FORSTER : Right .
14 MR . SHILLINGER : But that is the type of
15 thing that motivates people to fix a problem.
16 COMMISSIONER RICE : That needs to be
17 addressed.
18 MR . SHILLINGER : Yeah.
19 MAYOR COLDIRON: Yes . At that point, even if
20 we prevail in this .
21 COMMISSIONER RICE : Yes .
22 MR . SHILLINGER : So one outcome could be,
23 separate and apart from the litigation, in our
24 legislative package next June, we start including
25 some language - - you know, they just had an

2 substantially twenty-five - - Chapter 252 . It ' s
3 probably going to get tweaked a little bit later

8 MS . HALL : But in attorney-client Closed
9 Sessions , our conversations have to be limited to
10 potential settlements and strategies for the
11 litigation .
