CONDITlOHAL MEDIATED SE~MENT AGREEMEN't

Petitioner. Monroe County, and Defendants (collectively, -Defendants.), First
Union National Bank of Florida, as Sole Remaining Trustee of the ReSiduary
Trust for the Benefit of Ellen Swartz Beraha and Phyllis Swa~ WiM under the
Will of, Joseph Swartz, deceased, dated December, 1971 ("First Union"). Jon
Clanchette, Kenneth L Cianch~to, and Caribbean Land Managemen~ Inc.,
agree to settle the refer8l1C8d eminent domaIn lawsuit on the terms and
condUlona set forth below, to-wft
1. The County will pay .. total of .$1,620,000.00 for unencumbered fee sImple
absolute title to Parcel 13..10C end for any and all other clairT1$ for
compensaUon or damage of any nature whatsoever, ptGjudgment interest.
costs and attorneys' fees of all Oefendantt (including iotert~$t holders not
presenUy JoIned in the JaMuit In connedJOf"I with item 4, boJow), except
Monroe County.
2. Notwithstanding the fotegoing. the Count)' will take title subject to: i) utility
easements of record in favor of Florida Keys Electric Co-op; and, ii) oU,
gas and mlner.al rights in tM submerged lands in favor of the State of
J='lorida.
3. The settlement will take the form of a stipulated final judgment crediting
the County for the $750,000.00 deposited in connection with the Order of
TDkinQ and l'eqtJiring the further deposit of the sum of $870,000.00 into the
COurt registry within 30 days of entry of the judgment The Defendants
may coUectfvely allOcate the total setUement amongst themselves and
their attorneys as they desire; however, tho c9ttl'~nt and entry of the
stipulated fina' Juctgment is conditional upon the defendants first satisfying
the requirements of item 4, below.
4. The Defendants must obtain the joinder end consent to the Order of
Taking and to this setUement from all parties n~cessary to tranifer to the
County, without en<oumbrance or lien, the 99-year lease originally In favor
of Jon Cianehette. purportedly assigned to Nina Cianchette, deceased.
The County will acc:ept either of Ole fallowing In satfsflildlon of this item:
a. The written consent of the current co-truslees of the Nina Eve/ene
Cianehotte Revocable Trust, uJe dated November 1. 1997; and,
acknowfedgement of the validity of the assignment of the 99-year
