AGENDA ITEM WORDING: Approval to waive the adopted rates and charges for Marathon
Airport and approval of a lease amendment with Tango One Flight Academy for additional space in the
Terminal at the negotiated rate of$44l.75 per month.
ITEM BACKGROUND: Tango One Flight Academy currently leases space at the Marathon
Airport Terminal, on a month to month agreement, for their operations. They have requested to lease
300 square feet of additional space adjacent to their existing office. The cost for the additional space,
while in a publicly exposed area of the terminal, has been negotiated at the lower rate for non-public
space due to the small amount of pedestrian traffic in the Terminal presently.
PREVIOUS REVELANT BOCC ACTION: The BOCC approved a month to month agreement
with Tango One Flight Academy for 276 square feet of leased space in the Marathon Airport Terminal
on April 17, 2002.
CONTRACT/AGREEMENT CHANGES: This amendment increases the leased area by 300 square
feet and lease payments by $441.75 per month. Additionally, it corrects a scrivener's error in
Paragraph 4 A. of the original lease.

AMENDMENT TO LEASE AGREEMENT
TANGO ONE FLIGHT ACADEMY
THIS AMENDMENT is made and entered into this day of
2002, by and between Monroe County, hereafter County, and TANGO ONE FLIGHT ACADEMY,
Lessee or Tenant.
WHEREAS, on the 17th day of April, 2002, the parties entered into a month to month
agreement, to allow lessee to offer flight training, sightseeing tours, aircraft rental, and basic
flight materials for at the Marathon Airport, hereafter original lease. Copies of the original
lease are attached to this amendment and made a part of it; and
WHEREAS, the parties desire to amend original agreement; now, therefore,
IN CONSIDERATION of the mutual promises and covenants set forth below, the parties
agree as follows:
1. The original agreement is amended to add to paragraph 1, the following:
C. Public Exposed Area of 300 square feet at a negotiated rate of $17.67 per
square foot/annually, (Exhibit E)l> Exhibit E is attached hereto and made a part
hereof.
2. The original agreement is amended to add to paragraph 2, the following:
The term of the premises of Exhibit E are leased to the Lessee on a month-to -
month basis beginning October 1, 2002.
3. The original agreement is amended to add to paragraph 3, the following:
Area E - $441.75 per month or $5301.00 per year, plus applicable sales tax, for
the use of said premises during the term of this lease. Said rent to be payable in advance on the
first day of each month or the first day of each year, respectively during said term.
4. Paragraph 4 A. shall be amended to read:
The lessee shall have the right to occupy three tie downs spaces on the aircraft
apron located at the main terminal building.
5. The tenant has permission to improve the ceiling solely at their expense, in
accordance with the airport's design and within County, State and any applicable governing
building codes or regulations. If permissible fixed improvements are made to the ceiling, a rent
credit will be given. Rent credit will be given on a monthly basis upon submittal of acceptable
(Acceptable to Airport Management) receipts for said improvements. These improvements then
become County property.
6. Except as set forth in this amendment to the original lease agreement, in all other
respects, the terms and conditions of the original agreement remain in full force and effect.

LEASE AGREEMENT
THIS LEASE is made and entered into on the day of , 2002, by
.
and between the MONROE COUNTY, a political subdivision of the State of Florida,
hereinafter referred to as "Lessor," and TANGO ONE FLIGHT ACADEMY, hereinafter
referred to as "Lessee," whose address is 9400 Overseas Highway, Suite 1296, Marathon,
FL 33050.
IN CONSIDERATION of the mutual covenants, promises and premises herein
contained, the parties hereto agree as follows:
1. PREMISES. The Lessor leases unto the Lessee areas at the Florida Keys
Marathon Airport, Marathon, Monroe County, Florida, as follows:
A. Public Exposed Area of 120 square feet at $24.92 per square foot/annually
(Exhibit A); and
B. Non-Public Area of 156 square feet at $16.82 per square foot/annually (Exhibit
B). Exhibits A and B are attached hereto and made a part hereof.
2. TERM. The above-described premises are leased to the Lessee on a month-
to-month basis beginning May 1, 2002.

RENT. The Lessee hereby covenants and agrees to pay to the Lessor rent as
Area A - $249.20 per month or $2990.40 per year and
Area B - $218.66 per month or $2623.92 per year, plus applicable sales tax,
for the use of said premises during the term of this lease. Said rent to be payable in
advance on the first day of each month or the first day of each year, respectively
during said term.
4. LESSOR'S COVENANTS. The Lessor hereby covenants and agrees with the
Lessee as follows:
A. The Lessee shall have the right to occupy the aircraft hangar located on
the leased premises.
B. The Lessee shall have reasonable ingress, egress and access privileges
to the leased premises.
C. The Lessee, on keeping the covenants and agreements by him herein
contained, shall have quiet and peaceful enjoyment of the demised premises without
any interruptions by the Lessor, or by any person or persons claiming by, through or
under it.
D. Maintenance of the leased premises and any improvements are the
responsibility of Lessee.
5. LESSEE'S COVENANTS. The Lessee hereby covenants and agrees with the
Lessor as follows:
A. Lessee will utilize the leased areas for the following services:
Flight Training from Private Pilot to Airline Transport
Sightseeing Tours
Aircraft Rental
Pilot shop offering basic flight material
B. To pay the Lessor the rent at the times and in the manner provided for
by this lease.
C. Any commercial activity shall be conducted in strict compliance with the
Minimum Standards for Commercial Aeronautical Activities.
D. To pay all utilities, including gas, electricity, water and garbage disposal
charges, if any, as well as all installation charges that may be required for any such
utilities.
E. To make no improper or unlawful or offensive use of said premises, and
to permit the Lessor or its agents to inspect the leased premises at all reasonable
times for the purpose of viewing the condition thereof.
F. The Lessee agrees to indemnify and hold the Lessor harmless from any
and all claims for bodily injury (including death), personal injury, and property
damage (including property owned by Monroe County) and any other losses,
damages, and expenses (including attorney's fees) which arise out of, in connection
with, or by reason of services provided by the Lessee or any of its Contractors,
occasioned by the negligence, errors, or other wrongful act or omission of the Lessee
or its Contractor(s), their employees, or agents.
The extent of liability is in no way limited to, reduced, or lessened by the insurance
requirements contained elsewhere within this agreement.
G. Lessee shall obtain and maintain throughout the life of this agreement those
insurance coverages and amounts as shown in the Insurance Schedules marked
Exhibit C, attached hereto and made a part hereof. The Monroe County Board of
County Commissioners shall be named as Additional Insured on all policies issued to
satisfy the above requirements.
H. Lessee covenants that he shall maintain and operate and use the premises in
compliance with 49 CFR, Part 21, Nondiscrimination in Federally Assisted Programs of
the Department of Transportation, as said Regulations may be amended. More
particularly, Lessee covenants that:
a) no person on the grounds of race, color, national origin, or sex shall be
excluded from participation in, denied the benefits of, or be otherwise subjected to
discrimination in the use of the premises; and
b) in the construction of any improvements on the premises and the
furnishing of services thereon, no person on the grounds of race, color, national
origin, or sex shall be excluded from participation in, denied the benefits of, or
otherwise be subjected to discrimination.

6. MUTUAL COVENANTS. It is mutually covenanted and agreed by and
between the Lessor and the Lessee as follows:
A. Lessee shall, upon thirty (30) days written notice from Lessor, abandon
said premises.
B. This lease shall be binding upon the parties hereto, their successors,
executors, administrators and assigns. Any assignment of this lease shall not
become effective until approved in writing by Lessor. The premises shall not be sub-
let.
7. COMPLIANCE WITH LAWS. Both parties shall comply with all federal,
state and local laws governing the activities under this lease.
8. FAA REOUIREMENTS. The parties shall comply with FAA Required Lease
Clauses, which are listed in Exhibit D, attached hereto and made a part hereof.
