General BackErround Bryant, Miller and Olive, P.A. is organized as a professional association of attorneys under the laws of the State of Florida, established in 1970, with a nationally recognized statewide municipal bond practice since 1973. The firm is rated "av" by Martindale- Hubbell. Bryant, Miller and Olive, P.A first appeared in The Bond Buver's Municipal Marketplace (referred to in the industry as "The Red Book") as a nationally recognized bond counsel firm in 1973, the second Florida law firm to be so listed. Bryant, Miller and Olive, P.A is listed on pages 440, 452, 456, 459 and 467 of the Fall 2002 edition of The Bond Buver's Municipal Marketplace. Our experience serving as Disclosure Counsel to local governments in Florida is unrivaled. As increased pressure from regulatory agencies has heightened the importance of the disclosure obligations of local governments engaged in publicly offering bonds, Bryant, Miller and Olive, P.A. has been "pro-active" in establishing direct client relationship with local governments in Florida as disclosure counsel. Although the firm also has represented underwriting firms, Bryant, Miller and Olive, P.A. has been at the forefront of providing disclosure counsel services directly to local governments in Florida. We serve as Disclosure Counsel to the following local governments in Florida: Collier County, Alachua County, Osceola County, Polk County, Sarasota County and Hernando County, the Cities of Miami, Orlando, Naples, Melbourne, Ocala, Pinellas Park, Clermont and North Port. We also serve as Disclosure Counsel to the Marion County School District, the Volusia County School District, and the Orlando Utilities Commission. In the past five years, the firm has provided disclosure and underwriter counsel services, representing both local governments and investment banking firms on more than 150 financings approximating $5 billion of debt. As our Disclosure Counsel client list illustrates, we are very committed to serving Florida counties. We also serve as Bond Counsel to Hillsborough County, Pinellas County, Orange County, Miami-Dade County, Broward County, Palm Beach County, Flagler County, Leon County, DeSoto County, Highlands County and Indian River County. The firm has Florida public finance offices in Miami, Tampa, Orlando, Tallahassee and Atlanta. The professional staff of the firm consists of a total of 19 attorneys and five legal assistants. Bryant Miller and Olive, P.A currently has more than 47 employees, including the professional staff, secretarial staff, word processors and other employees. The firm is organized into three different specialty areas: (i) public finance law, (ii) administrative and governmental affairs, and (iii) governmental utilities law. Bryant, Miller and Olive, P.A. has more Florida municipal bond attorneys than any other firm. The public finance bond department of Bryant, Miller and Olive, P.A. is comprised of 13 attorneys whose practice is exclusively municipal bond law in Florida. Two of these attorneys provide special expertise, on a full-time basis, in federal taxation matters relating to the issuance of tax-exempt bonds. The firm also employs, in its bond department, five legal assistants to assist attorneys in the development of financings. The following is a listing ofthose attorneys in the firm who practice public finance law. Bond Attornev Profiles Bryant, Miller and Olive P.A utilizes a team concept to service our clients. Rather than assigning one individual to the account, it is our philosophy to assign a team of lawyers with complementary skills and expertise in order to provide the highest quality and most responsive service. Duane Draper, a Shareholder and member of the Firm's Management Committee, Grace Dunlap, the Managing Shareholder of the Tampa office, and Randy Hanna, the Managing Shareholder of the firm, would have primary responsibility for the County's account. The resumes of the attorneys set forth below include the qualifications, educational and professional background of each attorney, as well as information on our respective bond counsel and disclosure counsel representations. The firm also provides special training for lawyers in the governmental finance area through several means as discussed below. The attorneys of Bryant, Miller and Olive, P.A. feel that the quality of the work performed for issuers of tax-exempt debt is much more important than the volume of financings completed by the firm. To that extent, no new work over and above the firm's existing clients is undertaken without a thorough review of the schedules of all of the lawyers and professional support staff in the firm. The attorneys of Bryant, Miller and Olive, P.A are committed to quality representation of each of its clients and can assure the County of the availability and accessibility of its attorneys and professional staff to carry out your financing needs on a timely basis. Disclosure EXDertise Bryant, Miller and Olive, P.A. has amassed an enormous amount of experience relating to secondary market disclosure in a very short period of time because the Firm quickly realized that there was great need for this type of background and knowledge in the disclosure area. The federal securities laws are very complex and ever-changing. The SEe has taken an aggressive stance in enforcing these laws. Local governmental officials throughout the country are coming to the realization that in order to protect their interests relating to ever more complicated municipal financings, nationally recognized and 6 the official statements of such local governments for a period of five years following non- compliance. Municipal Bond Issue Experience In Florida, the firm has served as bond counsel in regard to the issuance of bonds, notes and certificates of participation in a principal amount in excess of $8.6 billion for the last five calendar years. We have attached as Exhibit B a list of recent financings in which Bryant, Miller and Olive, P.A. served in the role of bond counsel. Many of the bond issues were of a complex nature such as water and sewer utility financings, airport financings, electric power financings, transportation financings, master lease pools, resource recovery financings, advance refundings using advanced arbitrage techniques to maximize savings to issuers and many very successful "pools" providing financing for general governments.. The firm serves as bond counsel under continuing contract with the State of Florida Division of Bond Finance, Florida Housing Finance Agency, Hillsborough County, Miami- Dade County, Broward County, Orange County, Leon County, City of Tallahassee, City of Clearwater, City of St. Petersburg, Pinellas County, City of Orlando, Housing Finance Authority of Clay County, Housing Finance Authority of Miami-Dade County and Housing Finance Authority of Pinellas County. The firm has historically served as bond counsel to approximately 70 other cities, counties, local agencies, hospital districts and school districts although without express continuing contracts. The firm has represented clients in bond and municipal lease financings in several states, including Georgia, California, Delaware, Texas, Missouri, and Tennessee; however, its principal practice is in the State of Florida. Its opinions are nationally recognized throughout the municipal bond industry. Bryant, Miller and Olive, P.A. also serves as both bond counsel and special counsel to the Florida Keys Aqueduct Authority, collaborating with this unique special district to develop administrative rules, to implement the delivery of wastewater services and facilities throughout the Florida Keys as well as fashioning and implementing the use of the uniform collection method for special assessments through the Authority's complicated rule process. The Firm was particularly successful in clarifying and solidifying the ability of the Florida Keys Aqueduct Authority to require mandatory connection in its validation case. See Kevs Citizens for Responsible Government v. Florida Kevs Aqueduct Authoritv, 795 So.2d 940 (Fla. 2001). The Firm has also fashioned a cooperative approach between Monroe County, the Florida Keys Aqueduct Authority and for unincorporated and incorporated areas to use select ad valorem taxation through the imposition of municipal service taxing units to develop start-up funding for wastewater projects throughout the Keys. Competitive Sale Experience Bryant, Miller and Olive, P.A. is well versed in providing counsel for such transactions having assisted in structuring and documenting numerous competitive bond sales. The breadth of the firm's experience in advising on and preparing notices, bid forms, 8 and other documents relevant to competitively bid bonds should weigh In favor of our selection by the County. For example, in July 2001, the firm represented the Volusia County School District as bond counsel and disclosure counsel in issuing approximately $45,000,000 of general obligation refunding revenue bonds and the Orlando Utilities Commission Water and Electric Subordinated Revenue Refunding Bonds, Series 2001 sold through Parity/Bidcomp's electronic bidding system on the same day. Bryant, Miller and Olive, P.A. has also provided legal services to many other issuers undertaking competitive bond bids, including the State of Florida, Hillsborough County, the City of Fort Myers, the City of St. Petersburg, the City of Coral Springs, the City of Clearwater, the City of Plant City, and the Orlando Utilities Commission. The firm also provided bond counsel services to the State's Housing Finance Authority on its first ever competitively bid single-family and multi-family bond issues. The firm has also counseled its governmental clients in other types of competitive bids, such as escrow reinvestment agreements, defeasance securities and forward supply contracts. Tax Law Exnertise No Florida bond firm has made a greater commitment to federal tax law capability than we have. Bryant, Miller and Olive, P.A. is qualified to promptly respond to all matters of federal taxation relating to the issuance of state and local government debt and its tax expertise is frequently sought in connection with bond financings throughout the state. All of the attorneys in the public finance department have a working knowledge of the provisions of the federal tax law affecting tax-exempt bonds; additionally, two of Bryant, Miller and Olive, P.A.'s attorneys concentrate their practices in the tax area and are nationally recognized for their tax expertise with respect to municipal bonds. In addition, Ken Artin in the Orlando office has his L.L.M. in taxation. On each deal, the lead attorney will consult with one of Bryant, Miller and Olive, P.A.'s tax attorneys to determine the best way to achieve the client's desired results. Of the twelve attorneys at Bryant, Miller and Olive, P.A. concentrating in the tax-exempt and municipal bond financing area, two concentrate in the tax area. Len Marcinko has concentrated his law practice in the federal income tax aspects of municipal bond financing for more than nineteen years. During this time, Mr. Marcinko has served as an attorney in the Chief Counsel's Office of the Internal Revenue Service, practiced tax law in a major national bond counsel firm in addition to Bryant, Miller and Olive, P.A., and been employed as an in-house advisor to the public finance department of Shearson Lehman Hutton Inc., a major investment banking firm. Bob Reid, located in the firm's Tallahassee office, is a tax lawyer holding a masters of law in taxation from the University of Florida who has been practicing tax law for over fifteen years. During the last twelve years, Mr. Reid has concentrated in the area of tax-exempt, municipal and related financing. The firm and its tax practitioners have been regularly and continuously involved in seeking compliance with the Internal Revenue Code sections, regulations and rulings thereunder regarding tax-exempt financing in general and in particular the various arbitrage considerations created by these provisions. This involvement has included an 9 analysis of each bond issue as to compliance with the various tax and arbitrage provisions of the Code and regulations and, where appropriate, the obtaining of rulings from the Internal Revenue Service. The firm's tax lawyers have an ongoing working relationship with various members of the Internal Revenue Service's national office who concentrate in the area of tax-exempt financing. Ongoing discussions are regularly held in order to monitor the Internal Revenue Service's current position on various matters of interest to the tax-exempt bond community. The firm's tax lawyers are available to provide advice on federal and state tax matters in conjunction with any proposed financing, or otherwise. In addition, the tax specialists in the firm assist the bond attorneys assigned to particular financings and, thus, the firm has limited the tax attorneys' duties to rendering tax advice and providing information to other attorneys and, therefore, are available at all times for such purposes. Furthermore, they develop and provide tax memoranda and analyses to other attorneys on developing tax matters related to new regulations and rulings. The firm is qualified to respond to aU matters of federal taxation relating to the issuance of tax-exempt debt and is frequently asked to serve as special tax counsel on financings throughout the state. Members of the firm are qualified to and have in the past participated in the development of private letter ruling requests to the Internal Revenue Service in connection with innovative financings for governmental units. The firm has an up-to-date federal tax library providing instant access to all information which would be relevant to the issuance of tax-exempt debt by its clients. In any financing, the firm's bond lawyers will regularly interact with Mr. Marcinko and Mr. Reid prior to the development of the financing plan and the drafting of final documents, to discuss all tax aspects of your financing. The attorneys will continually consult in the development of the non-arbitrage certificate and letters of instruction regarding tax matters. Abilitv to Work with Government Bodies Familiarity with issues arising under state law and a thorough knowledge of the needs of our clients has enabled the firm to assist in many areas in addition to those considered to be within traditional bond counsel functions. The firm has assisted in obtaining administrative approvals required in connection with particular bond financings and has participated in drafting and helping to secure passage of both general and special legislation pertaining to local government finance and municipal bonds. Understandine: of Applicable Laws or Ree:ulations The concentration of the firm's municipal bond practice in the State of Florida has enabled the members of the firm to concentrate on and more fully participate in the development of applicable state law. The firm's commitment to and familiarity with state law relating to local government finance is evidenced by participation as lead counsel of record in such landmark decisions as State v. Miami Beach Redevelopment Ae:encv, 392 So.2d, 875 (establishing the constitutionality of "tax increment bonds" issued by redevelopment agencies), State v. Leon Countv, 400 So.2d 1346 (holding constitutional the use of industrial development bonds to finance commercial projects in blighted areas), and 10 Another example of the firm's involvement in structuring novel transactions occurred in March, 1997 when the firm provided disclosure counsel services to the City of Orlando for a waste water refunding issue underwritten by Goldman, Sachs & Co. A portion of the bonds were issued at a variable rate which increases or decreases based upon changes in the Consumer Price Index. This was the first such transaction by any issuer (there have now been four such issues) and the floating rate was structured to provide an inflation hedge to bondholders. Members of the firm have successfully negotiated several major interest rate swap or hedge agreements on behalf of clients. These individuals are familiar with the provisions of the ISDA standard documentation for swaps and other hedges, and are sensitive to the provisions of those standard documents that should be amended in order to protect the interests of municipal entities involved in hedging transactions. The Firm is also familiar with questions concerning the integration of hedge agreements with bond issues for federal tax purposes and the security status under bond documents of payments to the hedge counterparty, including termination payments. As Bond Counsel to the Orlando Utilities Commission ("OUC") in connection with a $100,000,000 issue of variable rate revenue bonds dated November 7,2002, members ofthe firm assisted OUC in the structuring and negotiation of two floating-to-fixed interest rate swaps to synthetically fix the interest rate on such bonds. As Bond Counsel to Hillsborough County, Bryant, Miller and Olive, P.A. recently represented the County in connection with four separate forward interest rate swap transactions to synthetically refund utility system debt ($104,955,000), solid waste system debt ($43,980,000), sports facilities debt ($15,100,000), and half-cent sales tax debt ($98,635,000). Upon completing negotiations with qualified counterparties, the swaps were competitively bid and resulted in significant present value debt service savings even though conventional advance refundings were not feasible under current federal tax law. We also recently represented the County in connection with the assignment and termination of a $98,635,000 forward interest rate swap entered into in 1998 to effect a synthetic advance refunding of certain of the County's outstanding utility revenue bonds. By terminating the swap and issuing fixed rate current refunding bonds, the County was able to achieve higher present value debt service savings than it could have realized through the original swap transaction. Bryant, Miller and Olive, P.A. was recently hired by the Tampa Port Authority, one of the Firm's bond counsel clients, to help the Port negotiate a fixed-to-floating interest rate swap/option agreement with a major investment banking firm. This agreement will enable the Port to float the interest rate on a portion of its outstanding debt without issuing variable rate refunding bonds. In January 2000, Bryant, Miller and Olive, P.A. was hired by Florida International University Foundation to negotiate documentation for an interest rate swap in connection with its $13,350,000 Miami-Dade County (Florida) Educational Facilities Authority Educational Facilities Revenue Bonds (Florida International University Foundation Project), Series 1999. Bryant, Miller and Olive, P.A. successfully validated general obligation bonds for the Leon County School District involving a "swap option." This financing technique presented several novel issues, including whether the issuance of the bonds violated various statutory 12 The firm also acted as bond counsel to the Orlando Utilities Commission on its $60,000,000 Water and Electric Revenue Bonds, Series 1996A (Multi-Modal) and its $39,995,000 Water and Electric Revenue Bonds, Series 1996B, issued in December to refund certain outstanding notes. The structure of this multi-modal bond issue was unusual in that the Commission did not supply outside liquidity support. Also, the Commission entered into swap agreements to convert their fixed interest rate into variable rate payments in a combined notional amount equal to the principal amount of the bond Issues. In the areas of multi-family housing and single-family mortgage revenue bonds, the firm has been innovative in utilizing various alternative structures incorporating derivative products to maximize the available dollars to provide low-income housing and low interest rate mortgages to first time homebuyers. These financings have included unique combinations of taxable and tax-exempt financing and secondary mortgage participation programs to increase the availability of low interest rate mortgage financing, as well as various forms of deferred interest certificates in conjunction with refundings of troubled multi-family housing projects incorporating various United States Department of Housing and Urban Development mortgage guarantees. In several financings, Bryant, Miller and Olive, P.A. participated in structuring interest rate swap transactions for both the Florida Housing Finance Agency and the Housing Finance Authority of Dade County, usually converting a fixed rate mortgage note into a notional variable rate investment vehicle, coupled with an inverse floating interest rate investment. As bond counsel for the Florida Housing Finance Agency, we utilized imbedded interest rate swaps and interest rate collars to make bond financings viable in high interest rate markets. One of the tax attorneys, Bob Reid, is the author of one of the leading articles on the tax implications of interest rate swap agreements, originally published by the University of Florida Law Review in 1985. Innovation in public finance law requires a fine balance between being willing to take advantage of legally permissible interpretations of the rules governing tax-exempt bonds for the benefit of a client, and knowing when to advise a client to forgo an attractive financing proposal which is based on a strained legal interpretation. The line between these two alternatives is not always clear, especially in the current environment of increased regulatory activity. We believe that a sophisticated issuer such as the County would benefit from the wealth of tax and derivative experience and expertise the firm brings to bear, and the entrepreneurial style with which we practice law. Bryant, Miller and Olive, P.A. has had extensive experience working with the major rating agencies of Standard & Poor's Rating Services, Moody's Investors Service, Inc., and Fitch Ratings. Additionally, the firm has structured numerous tax-exempt transactions with MBIA, AMBAC, FGIC and FSA, who are the top four bond insurers of municipal debt. In the past two years, the firm has acted as bond counsel on over 50 issues which have been credit enhanced with bond insurance, averaging one insured issue approximately every two weeks. On these transactions, the firm has worked closely with the issuer, the financial advisor, and the other members of the working group in negotiating with the insurers to get the best possible (least restrictive) covenants on behalf of the issuer. Similarly, the firm has worked with the rating agencies to structure the terms of bond financings to provide adequate security for the bondholders in order to achieve the highest possible ratings, while providing flexibility to the issuer in its operations. 14 Having been engaged in practice in the area of tax-exempt finance in Florida for 29 years and participated in over 1,000 bond issues, the firm's name and reputation is well known among the staff members with both rating agencies and bond insurers. As bond counsel for many municipal issuers, the firm's breadth of experience with both rating agencies and bond insurers has benefited issuers by helping them to obtain the highest ratings possible with the least covenant restrictions practicable. Validation Exnertise Perhaps the most important firm-wide expertise relating to Florida and local law relates to our vast experience with bond validation proceedings in the Florida Supreme Court and in the circuit courts throughout the State of Florida. Circuit courts in the State of Florida have jurisdiction to determine the validation of bonds and certificates of indebtedness and all related matters. While elective in nature, the validation procedure provided for in Chapter 75, Florida Statutes, may be used to ensure the legality of a proposed issue of securities in advance of its issuance when controversial legal or political issues exist. Section 75.02 provides that the plaintiff in the bond validation proceeding is the issuer of the bonds (e.g. county, municipality, taxing district or other political district of the State). The defendant is the state and the taxpayers, property owners, and citizens of the county, municipality or district, including nonresidents owning property or subject to taxation therein. The scope of the judicial inquiry in a validation proceeding is limited to whether the public body has authority to incur the debt, whether the purpose is legal, and whether the proceedings authorizing the obligations were proper. 15 Bryant, Miller and Olive is an established leader in the area of bond validations in Florida's Court System, validating some of the most innovative financings in the state, including "pooled loan programs" and mandatory utility connection cases. The Firm achieved five successful validations at the Florida Supreme Court in 2001: Pinellas County v. State. et al., 776 So.2d 262 (Fla. 2001) (affirming a County's right to charge an "availability fee" for reclaimed water), Boschen v. Citv of Clearwater, 777 So.2d 958 (Fla. 2001) (validating City's ability to construct a roadway entryway project), Roper v. Citv of Clearwater, 796 So.2d 1159 (Fla. 2001) (validating City's bonds for baseball spring training facility), and Turner v. Citv of Clearwater, 789 So.2d 273 (Fla. 2001) (validating City's bonds for bridge project). In October 2002, the Firm's appeal on behalf of a community redevelopment agency was granted by the Florida Supreme Court in Panama Citv Beach Redevelopment A!rencv v. State, Case No. SC02-145, October 17, 2002. In the Panama Citv Beach Redevelopment A!rencv case, bonds supporting a massive redevelopment project of the Panama City Beach "strip" and surrounding areas was validated at the Supreme Court level, overcoming an adverse judgment from the trial court. The Firm's recent success in validation (six successful appeals and no unsuccessful appeals in the last two years) is bolstered by a long-standing tradition in this area, such as the decision in State v. Miami Beach Redevelopment A!rencv, 392 So.2d 875 (Fla. 1980). Bryant, Miller and Olive, P.A. served as co-counsel of record to the Miami Beach Redevelopment A!rencv case on the very significant interpretation of the Florida Constitution validating bonds where the bonds were not payable from ad valorem taxation since, after the sale of the bonds, the bondholders would have no right to compel the levy of ad valorem taxes by judicial action in the event that the Agency did not have funds sufficient to meet its debt service obligations on the bonds. Again, our understanding of Florida law should be very helpful if it becomes necessary to seek validation. The Kevs Citizens for Responsible Government case, which became a key turning point regarding certain collateral issues in the utility industry, is an example of how the validation process may be artfully used to accelerate finality on unique issues of Florida law. Historically, bond validation proceedings were required in numerous types of governmental financing transactions. Under present law, bond validation proceedings are no longer routinely required, but are undertaken when a financing involves unique legal or political issues. Usually, any delay in a financing caused by a validation proceeding is overcome by the additional market benefit of having a judicial determination of the legal matters to be resolved for the bond issue. Furthermore, validations can be very useful procedural tools to overcome timing uncertainties which exist under a threat of traditional litigation. As part of this firm's municipal bond practice, our attorneys regularly appear as counsel of record in numerous bond validation proceedings, and have provided assistance in numerous other validation proceedings. In most bond validation proceedings in which we participate, the firm prepares all pleadings for the validation of the bonds, and, if requested by the issuer, assists in or conducts the validation hearing and any appeal process including preparation of legal briefs. 16 Research CaDabilitv Bryant, Miller and Olive, P.A. is well prepared to undertake the most complex and innovative of financings by virtue of its experience, expertise and resources. For more than a decade, the firm has employed a network computer system which interconnects each of its four offices. The firm's computers have all been upgraded within the last several months meaning that we have one of the most sophisticated state-of.the-art computer systems among Florida bond counsel firms. With this system, the firm's research and document production capabilities are outstanding. Each attorney and legal assistant has access to the Internet, CD-ROM and the WESTLAW research database at their fingertips. To assist in research, the firm also has electronic computer telecommunications facilities through Outlook for intra-office communications, and through the internet, for document transmission and messaging with instant transmission with other internet users, among its offices, and printinglbanknote companies. The Tampa, Orlando and Tallahassee offices each have a library fully stocked with up-to-date materials on tax-exempt finance and local government law along with CD-ROM subscriptions, and the Tallahassee office employs part-time law clerks from Florida State University to assist in research projects. The firm's bond attorneys also have internet access through their personal computers which provides for research through the various internet search browsers and search engines of local government matters. EXDerience With Structurin2' Revenue Financin2's The background of Bryant, Miller and Olive, P.A. in providing bond counsel services for 28 years to Florida counties and municipalities gives the firm a superior familiarity with the types and sources of revenues available to local governments. This level of understanding is beneficial because it allows us to exchange ideas with the staff and its other professionals in structuring future financings, especially relative to utility and covenant debt. The firm has particularly broad experience 10 both covenant to budget and appropriate issues and in utility financings. Bryant, Miller and Olive, P.A. is well acquainted with the composition and arrangement of this type of debt, and with drafting and interpreting the financial covenants which underpin this class of debt. The firm has been instrumental in structuring a multitude of types of covenant type bond issues ranging from liability insurance coverage contracts to dedicated pools. Bryant, Miller and Olive, P.A. has extensive experience in public utility matters, including water, wastewater, reclaimed water and storm water systems. Such experience includes serving as bond counsel on hundreds of public utility transactions, representing governmental units in territorial disputes with private utilities, serving as counsel to governmental units on special assessment matters and representing governmental units involved in administrative disputes with the Florida Department of Environmental Protection. The firm has been involved in the drafting of virtually every type of rate covenant used by cities and counties in the State of Florida, and has extensive experience in working 17 with local governments in connection with the restructuring of utility system debt and the drafting of extensive and modern utility system covenants. The firm takes great pride in its ability to work with clients to meet the policy and legal concerns of the particular situation. A perfect example is the firm's work on the complete restructuring of the consolidated wastewater utility system for Bay County and four municipalities within the County. The firm performed the disclosure work relating to this novel and complex financing of a system owned by a trust created by the local governments. The firm also had extensive involvement in the negotiation of revolving fund loans from the Florida Department of Environmental Protection. The firm has also faced tough legal questions in the area of primary and secondary market disclosure for utility systems including questions relating to rate covenant compliance, threatened litigation and adherence to long range capital improvement and operational plans. Bryant, Miller and Olive, P.A. has extensive experience working with S&P, Moody's and Fitch. Additionally, the firm has structured hundreds of transactions with the various municipal bond insurers. The firm has been involved in numerous transactions involving the levying and subsequent pledging of special assessments for bond issues. We have reviewed information relating to and are generally familiar with the utility systems and are familiar with the general local government debt structure. Our work with governmental units has included the drafting of assessment ordinances, the development of assessment methodologies and the financing of improvements secured by such assessments. Our work with utility systems has also included analyzing various mechanisms to reduce debt load through a variety of means, including the cash defeasance of such debt. As is more fully described in the section describing our tax capabilities, the firm is capable of dealing with all of the federal tax issues which may occur during the implementation of a utility system plan.
