ITEM BACKGROUND:
As the County proceeds with the issuance of a significant amount of bonds, it is necessary to have
Disclosure Counsel services to round out the team that will be working on the bonds. Bryant, Miller
and Olive, P.A. is a major provider of such services in the State of Florida and is acceptable to the
County's Bond Counsel, Nabors & Giblin.

AGREEMENT FOR DISCLOSURE COUNSEL SERVICES
BRYANT, MILLER AND OLIVE, P.A., a professional association organized under
the laws of the State of Florida, the address of which is 101 E. Kennedy Blvd., Suite 2100,
Tampa, Florida 33602 (the "Firm"), agrees to serve as Disclosure Counsel to MONROE
COUNTY, FLORIDA, a political subdivision of the State of Florida (the "County"), and as
Disclosure Counsel will, when requested by the County, perform the following services with
respect to the issuance of bonds (including conduit bonds issued by the County on behalf of
corporations) and matters relating thereto:
1. Prepare all disclosure documents at the request of the County, but only
insofar as such documents describe the bonds and summarize the underlying documents.
However, we assume no responsibility for the disclosure documents insofar as such
documents describe the financial circumstances of the offering or any other statistics,
projections or data.
2. Perform due diligence with regard to County financings to provide full
disclosure with respect to County financings.
3. Assist the County in the compliance with federal and state securities laws.
4. Render appropriate opinions to the County pertaining to disclosure as well as
a reliance letter to the underwriters.
5. Prepare the Continuing Disclosure Certificate in order to assist the
underwriters in complying with the continuing disclosure requirements of Rule 15c2.12.
6. Review of competitive sale documents prepared by Bond Counsel.
The County agrees that the Firm shall be compensated for the above services, at the
time the bonds are issued, at a fee equal to 80% the fee payable to the County's Bond
Counsel, or $15,000, whichever is greater. The payment of our fee is completely contingent
in all cases on the sale and delivery of the bonds; however, we will be reimbursed for our
expenses irrespective of the completion of the bond issue. Hourly rate services unrelated to
the specific issuance of a new debt shall be performed at the rate of $200.00 per hour upon
the request of the County.
This Agreement shall be governed by and construed in accordance with the laws of
the State of Florida. This Agreement may be amended only by a writing duly entered into
by the County and the Firm.
The County may cancel or terminate this Agreement upon sixty days advance
written notice to the Firm. In the event of cancellation, the Firm shall, unless otherwise
requested by the County, immediately cease work hereunder and shall be reimbursed for
eligible and documented reimbursable expenses incurred prior to the date of cancellation.
It is understood and agreed by the parties that the County will reimburse the Firm
for reasonable out.of-pocket expenses, whether or not bonds or debt is ultimately issued.
It is understood and agreed between the County and the Firm that Duane D.
Draper, Grace E. Dunlap, Randall W. Hanna, J. Carter Andersen and George A. Smith, Jr.
will be the attorneys of the Firm to provide the services enumerated above.

We appreciate the opportunity to present the qualifications of Bryant, Miller and Olive, P.A.
to serve as Disclosure Counsel to Monroe County. The firm stands ready, if selected, to provide these
services to the County in a responsive and timely manner and to immediately dedicate our resources
to Monroe County to accomplish the County's goals.
Bryant, Miller and Olive, P.A. has more Florida public finance attorneys than any other law
firm, we complete more Florida bond counsel transactions than any other law fIrm (ranked number
one on a per deal basis since 1996 by Securities Data Co. Inc.), and we have more Florida county
disclosure counsel clients than any other law firm (Collier, Sarasota, Polk, Osceola, Volusia,
Hernando and Alachua). We are a premier bond counsel and disclosure counsel firm in Florida with
public fInance offIces in Miami, Tampa, Orlando, Tallahassee and Atlanta.
We have assembled a 5-attorney team to serve to the County to ensure that all disclosure

Bryant, Miller and Olive, P.A. is organized as a professional association of attorneys
under the laws of the State of Florida, established in 1970, with a nationally recognized
statewide municipal bond practice since 1973. The firm is rated "av" by Martindale-
Hubbell. Bryant, Miller and Olive, P.A first appeared in The Bond Buver's Municipal
Marketplace (referred to in the industry as "The Red Book") as a nationally recognized bond
counsel firm in 1973, the second Florida law firm to be so listed. Bryant, Miller and Olive,

Our experience serving as Disclosure Counsel to local governments in Florida is
unrivaled. As increased pressure from regulatory agencies has heightened the importance
of the disclosure obligations of local governments engaged in publicly offering bonds,
Bryant, Miller and Olive, P.A. has been "pro-active" in establishing direct client
relationship with local governments in Florida as disclosure counsel. Although the firm
also has represented underwriting firms, Bryant, Miller and Olive, P.A. has been at the
forefront of providing disclosure counsel services directly to local governments in Florida.
We serve as Disclosure Counsel to the following local governments in Florida: Collier
County, Alachua County, Osceola County, Polk County, Sarasota County and Hernando
County, the Cities of Miami, Orlando, Naples, Melbourne, Ocala, Pinellas Park, Clermont
and North Port. We also serve as Disclosure Counsel to the Marion County School District,
the Volusia County School District, and the Orlando Utilities Commission. In the past five
years, the firm has provided disclosure and underwriter counsel services, representing both
local governments and investment banking firms on more than 150 financings
approximating $5 billion of debt.
As our Disclosure Counsel client list illustrates, we are very committed to serving
Florida counties. We also serve as Bond Counsel to Hillsborough County, Pinellas County,
Orange County, Miami-Dade County, Broward County, Palm Beach County, Flagler
County, Leon County, DeSoto County, Highlands County and Indian River County.
The firm has Florida public finance offices in Miami, Tampa, Orlando, Tallahassee
and Atlanta. The professional staff of the firm consists of a total of 19 attorneys and five
legal assistants. Bryant Miller and Olive, P.A currently has more than 47 employees,
including the professional staff, secretarial staff, word processors and other employees. The
firm is organized into three different specialty areas: (i) public finance law, (ii)
administrative and governmental affairs, and (iii) governmental utilities law.
Bryant, Miller and Olive, P.A. has more Florida municipal bond attorneys than any
other firm. The public finance bond department of Bryant, Miller and Olive, P.A. is
comprised of 13 attorneys whose practice is exclusively municipal bond law in Florida. Two
of these attorneys provide special expertise, on a full-time basis, in federal taxation matters
relating to the issuance of tax-exempt bonds. The firm also employs, in its bond
department, five legal assistants to assist attorneys in the development of financings. The

Bryant, Miller and Olive P.A utilizes a team concept to service our clients. Rather
than assigning one individual to the account, it is our philosophy to assign a team of
lawyers with complementary skills and expertise in order to provide the highest quality and
most responsive service. Duane Draper, a Shareholder and member of the Firm's
Management Committee, Grace Dunlap, the Managing Shareholder of the Tampa office,

Duane D. Draper
Tampa
Duane Draper has been in public finance as either an attorney or investment banker
beginning in 1989. He graduated from the Duke University School of Law with Honors
where he was a member of the Duke Law Journal. Since joining the firm, Mr. Draper has
focused particular emphasis on both bond counsel and disclosure counsel representations,
primary market and secondary market disclosure and the federal securities laws and has
taken a lead role in the firm in those areas. He has served as bond and/or disclosure
counsel on financings for such issuers as the Cities of Key West, Fort Myers, Sarasota, St.
Petersburg, Tampa, Plant City, Winter Haven, Lake Wales, Orlando, Oviedo, Melbourne,
and St. Augustine. He is listed in the Municipal Bond Attorneys section of The Bond
Buver's Municipal Marketplace (Fall 2002 Edition, page 459) and is a member of the
National Association of Bond Lawyers, the Local Government Section of The Florida Bar
and the Hillsborough County Bar Association. Prior to his law career and while an
investment banker with Salomon Smith Barney Inc., Mr. Draper had primary
responsibility for closing 24 financings for Florida issuers totaling in excess of $736 million.
During this time period, he specialized in Florida local government financings, complex

Grace E. Dunlap
Tampa
Grace Dunlap graduated magna cum laude from Stetson University College of Law
where she was Research Editor of the Stetson Law Review and a member of Phi Delta Phi.
Since 1986, Ms. Dunlap's practice has been primarily in the areas of municipal law and
governmental tax-exempt finance. Ms. Dunlap has served as bond counsel for the Cities of
Orlando, Winter Haven and Ocoee. She is listed in the Municipal Bond Attorneys section of
The Bond Buver's Municioal Marketolace (Fall 2002 Edition, page 459) and is a member of
the American Bar Association, the National Association of Bond Lawyers, the Local
Government Section of The Florida Bar and the Hillsborough County Bar Association. She
has been active in numerous civic and community activities, including the Guardian Ad
Litem Program, and is the past Chair of the Legal Needs of Children Committee of the
Hillsborough County Bar. Ms. Dunlap has been featured as a speaker at Florida Bar
seminars sponsored by various sections of The Florida Bar and at League of Cities
semInars.
Randall W. Hanna
Tallahassee
Randy Hanna graduated from Florida State University College of Law with high
honors in 1983. Since joining the firm, Mr. Hanna has practiced primarily in the municipal
finance area. Mr. Hanna has served as bond counsel on over 300 bond issues for many local
governmental issuers, including the Cities of Tallahassee, Orlando, Oviedo, Winter Haven,
Lake Wales, St. Petersburg, Vero Beach, Fort Myers, Pembroke Pines, Panama City Beach
and Coral Springs. In 1990, Mr. Hanna has also served as special counsel to U.S. Senator
Bob Graham, Washington, D.C. He is listed in the Municipal Bond Attorneys section of The
Bond Buver's Municioal Marketolace (Fall 2002 Edition, page 456) and is a member of The
Florida Bar, the Tallahassee Bar Association, the National Association of Bond Lawyers
and the Local Government Law Section of The Florida Bar. Mr. Hanna is also a member of
the United States Supreme Court bar and the United States Court of Appeals Eleventh
Circuit bar. Additionally, he was recently appointed by Governor Jeb Bush to the
inaugural Board of Trustees for the Florida A&M University, is currently enrolled in the
Emory University Executive MBA Program and is the winner of the Leadership
Tallahassee 2002 Distinguished Leadership Award.
J. Carter Andersen
Tampa
Carter Andersen graduated from the University of Florida College of Law with
honors in May 1998. Mr. Andersen was admitted to The Florida Bar in September 1998
and to The District of Columbia Bar Association in 1999. Mr. Andersen practiced law as an
Associate in the firm of Jones, Day, Reavis & Pogue in Washington, D.C. from August 1998
through June 2002. Mr. Andersen joined Bryant, Miller and Olive, P.A in July 2002 and
his practice is dedicated exclusively to serving as bond counsel, underwriter's counsel and
disclosure counsel in complex public financings within the State of Florida. Mr. Andersen
currently is working on financings for Hillsborough County and the City of Sarasota, as
well as other city, county, and local government municipal bond issues.

George A. Smith, Jr.
Tallahassee
George Smith was admitted to The Florida Bar in 1998. Mr. Smith graduated with
honors from the Florida State University College of Law. Prior to becoming a member of
The Florida Bar, he clerked with the Florida Department of Banking and Finance and was
a Legal Extern to Judge Lewis M. Killiam Jr., at the U.S. Bankruptcy Court, Northern
District of Florida. Upon admission to The Florida Bar, he joined the Tallahassee Law
Firm of McRae & Metcalk, P.A., where he had previously clerked. Mr. Smith joined Bryant,
Miller and Olive, P.A. in August, 1999, and practices primarily in the municipal finance
area. He has been active in numerous civic and community activities, including the
American Red Cross, Ronald McDonald House Charities of Tallahassee and acting as an
arbitrator for the Better Business Bureau. Mr. Smith is listed in the Municipal Bond
Attorneys section of The Bond Buver's Municipal Marketplace (Fall 2002 Edition, page 452)
and is a member of The Florida Bar, the National Association of Bond Lawyers and is a
volunteer at the Ronald McDonald House Charities of Tallahassee.
Leonard T. Marcinko
Atlanta
Len Marcinko graduated from Georgetown University's Law Center in 1976.
Mr. Marcinko specializes in the federal income tax aspects of municipal bond law as the
head of the firm's tax practice area. Since joining the firm, Mr. Marcinko has been the tax
attorney and advisor on over 80% of the bond counsel issues completed by the firm. He also
serves as the firm's principal tax attorney. Mr. Marcinko is also active at the national level
through his involvement with the National Association of Bond Lawyers. He is a regular
panelist, along with members of the Internal Revenue Service and the Securities Exchange
Commission staffs, at NABL's annual Bond Attorney's Workshop in Chicago. Mr. Marcinko
is listed in the Municipal Bond Attorneys section of The Bond Buver's Municipal
Marketplace (Fall 2002 Edition, page 467) and is a member of the Georgia Bar, The Florida
Bar, the District of Columbia Bar, the Pennsylvania Bar and the National Association of
Bond Lawyers.
Kenneth A. Guckenberger
Tampa
Ken Guckenberger graduated from the Duke University School of Law in 1991 and
was admitted to The Florida Bar later that year. His practice is focused primarily in the
areas of municipal law, governmental tax-exempt finance, and bank representation.
Mr. Guckenberger has served as bond counsel for counties, municipalities and special
districts, including issues involving water and sewer bonds, capital improvement bonds and
utility revenue bonds. Mr. Guckenberger's bond counsel representations have included the
Cities of Fort Myers, Winter Haven, Clearwater, St. Petersburg, and North Port.
Mr. Guckenberger also has trial and appellate experience in State and Federal courts, filing
appellate briefs before the United States Circuit Court of Appeals, Eleventh Circuit, the
Florida Supreme Court, and Florida District Courts of Appeals. He has responsibility for
the firm's appellate area, which includes bond validation appeals heard directly by the
Florida Supreme Court. Mr. Guckenberger is listed in the Municipal Bond Attorneys
section of The Bond Buver's Municipal Marketplace (Fall 2002 Edition, page 459) and is
member of The Florida Bar, the National Association of Bond Attorneys and the American
Bar Association, Business Law Section. In addition to serving clients of our Public Finance

J oLinda L. Herring

JoLinda Herring graduated from Florida State University College of Law.
Ms. Herring's practice has been in the area of municipal law and governmental tax-exempt
finance. Ms. Herring brings her extensive business experience and finance background to
the municipal bond practice. She has served as bond counsel on over 75 bond issues,
including water and sewer bonds, utility revenue bonds and capital improvement bonds for
counties and municipalities including the Cities of Coral Springs, Tallahassee, Lynn Haven,
Fort Myers, Parker, Defuniak Springs, Chipley, Bowling Green, Port St. Joe, Blountstown,
Freeport, and Vernon. She was instrumental in the creation of the Florida Municipal Loan
Council and the Florida Rural Utility Financing Commission and currently serves as bond
counsel to both programs. She also serves as bond counsel to the Sunshine State
Governmental Financing Commission. Ms. Herring has also served as disclosure counsel to
the City of Ocala. She is listed in the Municipal Bond Attorneys section of The Bond
Buver's Municioal Marketolace (Fall 2002 Edition, page 456) and is a member of The
Florida Bar and the American Bar Association, and is a board member of the Private
Industry Council of Palm Beach County and the Minority Business Development Center.
W. Robert Olive
Tallahassee
Bob Olive was admitted to The Florida Bar in 1969. He served as an Assistant
Attorney General of the State of Florida from 1970 to 1973 as Chief of Public Utilities
Litigation. Mr. Olive has trial and appellate experience in state and federal courts,
including the United States Supreme Court where he served as lead counsel to the State of
Florida in United States v. Florida litigating offshore territorial boundaries. He joined the
firm in 1974 and for the past twenty-four years has limited his practice exclusively to
municipal bond law and has served as primary bond counsel on more than 200 local
government bond issues. A member of the Local Government Section of The Florida Bar,
Mr. Olive has served as a panelist for seminars for bond attorneys conducted by the
National Association of Bond Lawyers and has spoken and served as a panelist for
seminars and workshops relating to various aspects of municipal bonds. Mr. Olive holds a
Bachelor of Business Administration degree from the University of Oklahoma and a Juris
Doctor degree from Florida State University. Mr. Olive is a member of the National
Association of Bond Lawyers and is listed in the Municipal Bond Attorneys section of The
Bond Buyer's Municipal Marketplace (Fall 2002 Edition, page 456).
Elise F. Judelle
Tallahassee
Elise Judelle graduated from the Florida State University College of Law with
honors in 1975. She has practiced exclusively in the municipal bond area, serving as
primary bond counsel on more than 300 bond issues, including transportation revenue
bonds, municipal utility revenue bonds, public improvement bonds for counties and
municipalities, general obligation bonds, health facilities financings, single and multi-
family housing bonds and industrial development bonds. She has served as bond counsel to
the Florida Housing Finance Corporation since its creation in 1980 as the Florida Housing
Finance Agency. Ms. Judelle's legal experience includes trial and appellate work in state

and federal courts, and administrative law practice, and also includes serving as a hearing
officer to the Professional Practices Council. She is listed in the Municipal Bond Attorneys
section of The Bond Buver's Municipal Marketplace (Fall 2002 Edition, page 456) and is a
member of the Local Government Section of The Florida Bar and the National Association
of Bond Lawyers.
Robert C. Reid
Tallahassee
Bob Reid graduated from Memphis State University School of Law in 1976. In 1985,
he received his Master of Laws in Taxation (L.L.M.) from the University of Florida College
of Law where he had the highest standing in his class. Bob Reid was admitted to the
Tennessee Bar in 1976 and The Florida Bar in 1989. Mr. Reid joined the firm in 1989 to
concentrate in the area of federal taxation, which has been his primary practice area for
over 13 years. Prior to joining the firm, Mr. Reid served as senior tax attorney with the law
firm of Baker, Worthington, Crossley, Stansberry & Woolf, being a resident of their
Nashville, Tennessee office. Mr. Reid has extensive experience in public finance, lease-
purchase financing and tax-exempt project financing. He has been a contributing author
with several publications for tax articles and has been a frequent lecturer on tax matters at
various seminars. Mr. Reid is also active at the national level through his involvement
with the National Association of Bond Lawyers (NABL). He is a regular panelist at NABL's

Mark Lawson graduated from the Stetson University College of Law in 1988. He
has extensive real estate, utility, public finance, and other local governmental experience.
He served as a former Assistant County Attorney for Collier County and General Counsel
for the Collier County Water-Sewer District. Prior to entering law school, he was engaged
in the development and management of one of the largest title agencies in southwest
Florida. Immediately prior to joining our firm, he served as the head of the public utilities
practice for Nabors, Giblin & Nickerson, P.A. for several years. Mr. Lawson's practice
focuses on matters of public finance and the development of special revenue programs to
deliver essential public services and capital infrastructure. He has significant experience in
negotiating and structuring the acquisition of water and sewer utilities on behalf of local
government as well as the development of home rule special assessment programs for
capital infrastructure, solid waste collection and disposal, storm water and fire rescue

Municipal Bond Issue Experience
In Florida, the firm has served as bond counsel in regard to the issuance of bonds,

were of a complex nature such as water and sewer utility financings, airport financings,

occurred in March, 1997 when the firm provided disclosure counsel services to the City of
Orlando for a waste water refunding issue underwritten by Goldman, Sachs & Co. A
portion of the bonds were issued at a variable rate which increases or decreases based upon
changes in the Consumer Price Index. This was the first such transaction by any issuer
(there have now been four such issues) and the floating rate was structured to provide an
inflation hedge to bondholders.
Members of the firm have successfully negotiated several major interest rate swap
or hedge agreements on behalf of clients. These individuals are familiar with the provisions
of the ISDA standard documentation for swaps and other hedges, and are sensitive to the
provisions of those standard documents that should be amended in order to protect the
interests of municipal entities involved in hedging transactions. The Firm is also familiar
with questions concerning the integration of hedge agreements with bond issues for federal
tax purposes and the security status under bond documents of payments to the hedge
counterparty, including termination payments.
As Bond Counsel to the Orlando Utilities Commission ("OUC") in connection with a
$100,000,000 issue of variable rate revenue bonds dated November 7,2002, members ofthe
firm assisted OUC in the structuring and negotiation of two floating-to-fixed interest rate
swaps to synthetically fix the interest rate on such bonds.
As Bond Counsel to Hillsborough County, Bryant, Miller and Olive, P.A. recently
represented the County in connection with four separate forward interest rate swap
transactions to synthetically refund utility system debt ($104,955,000), solid waste system
debt ($43,980,000), sports facilities debt ($15,100,000), and half-cent sales tax debt
($98,635,000). Upon completing negotiations with qualified counterparties, the swaps were
competitively bid and resulted in significant present value debt service savings even though
conventional advance refundings were not feasible under current federal tax law. We also
recently represented the County in connection with the assignment and termination of a
$98,635,000 forward interest rate swap entered into in 1998 to effect a synthetic advance
refunding of certain of the County's outstanding utility revenue bonds. By terminating the
swap and issuing fixed rate current refunding bonds, the County was able to achieve higher
present value debt service savings than it could have realized through the original swap
transaction.
Bryant, Miller and Olive, P.A. was recently hired by the Tampa Port Authority, one
of the Firm's bond counsel clients, to help the Port negotiate a fixed-to-floating interest rate
swap/option agreement with a major investment banking firm. This agreement will enable
the Port to float the interest rate on a portion of its outstanding debt without issuing
variable rate refunding bonds. In January 2000, Bryant, Miller and Olive, P.A. was hired
by Florida International University Foundation to negotiate documentation for an interest
rate swap in connection with its $13,350,000 Miami-Dade County (Florida) Educational
Facilities Authority Educational Facilities Revenue Bonds (Florida International
University Foundation Project), Series 1999.
Bryant, Miller and Olive, P.A. successfully validated general obligation bonds for the
Leon County School District involving a "swap option." This financing technique presented
several novel issues, including whether the issuance of the bonds violated various statutory

The firm also acted as bond counsel to the Orlando Utilities Commission on its
$60,000,000 Water and Electric Revenue Bonds, Series 1996A (Multi-Modal) and its
$39,995,000 Water and Electric Revenue Bonds, Series 1996B, issued in December to
refund certain outstanding notes. The structure of this multi-modal bond issue was
unusual in that the Commission did not supply outside liquidity support. Also, the
Commission entered into swap agreements to convert their fixed interest rate into variable
rate payments in a combined notional amount equal to the principal amount of the bond
Issues.
In the areas of multi-family housing and single-family mortgage revenue bonds, the
firm has been innovative in utilizing various alternative structures incorporating derivative
products to maximize the available dollars to provide low-income housing and low interest
rate mortgages to first time homebuyers. These financings have included unique
combinations of taxable and tax-exempt financing and secondary mortgage participation
programs to increase the availability of low interest rate mortgage financing, as well as
various forms of deferred interest certificates in conjunction with refundings of troubled
multi-family housing projects incorporating various United States Department of Housing
and Urban Development mortgage guarantees. In several financings, Bryant, Miller and
Olive, P.A. participated in structuring interest rate swap transactions for both the Florida
Housing Finance Agency and the Housing Finance Authority of Dade County, usually
converting a fixed rate mortgage note into a notional variable rate investment vehicle,
coupled with an inverse floating interest rate investment. As bond counsel for the Florida
Housing Finance Agency, we utilized imbedded interest rate swaps and interest rate collars
to make bond financings viable in high interest rate markets. One of the tax attorneys, Bob
Reid, is the author of one of the leading articles on the tax implications of interest rate
swap agreements, originally published by the University of Florida Law Review in 1985.
Innovation in public finance law requires a fine balance between being willing to
take advantage of legally permissible interpretations of the rules governing tax-exempt
bonds for the benefit of a client, and knowing when to advise a client to forgo an attractive
financing proposal which is based on a strained legal interpretation. The line between

Validation Exnertise
Perhaps the most important firm-wide expertise relating to Florida and local law
relates to our vast experience with bond validation proceedings in the Florida Supreme
Court and in the circuit courts throughout the State of Florida. Circuit courts in the State
of Florida have jurisdiction to determine the validation of bonds and certificates of
indebtedness and all related matters. While elective in nature, the validation procedure
provided for in Chapter 75, Florida Statutes, may be used to ensure the legality of a
proposed issue of securities in advance of its issuance when controversial legal or political
issues exist.
Section 75.02 provides that the plaintiff in the bond validation proceeding is the
issuer of the bonds (e.g. county, municipality, taxing district or other political district of the
State). The defendant is the state and the taxpayers, property owners, and citizens of the
county, municipality or district, including nonresidents owning property or subject to
taxation therein. The scope of the judicial inquiry in a validation proceeding is limited to
whether the public body has authority to incur the debt, whether the purpose is legal, and
whether the proceedings authorizing the obligations were proper.

Bryant, Miller and Olive is an established leader in the area of bond validations in
Florida's Court System, validating some of the most innovative financings in the state,
including "pooled loan programs" and mandatory utility connection cases. The Firm
achieved five successful validations at the Florida Supreme Court in 2001: Pinellas County
v. State. et al., 776 So.2d 262 (Fla. 2001) (affirming a County's right to charge an
"availability fee" for reclaimed water), Boschen v. Citv of Clearwater, 777 So.2d 958 (Fla.
2001) (validating City's ability to construct a roadway entryway project), Roper v. Citv of
Clearwater, 796 So.2d 1159 (Fla. 2001) (validating City's bonds for baseball spring training
facility), and Turner v. Citv of Clearwater, 789 So.2d 273 (Fla. 2001) (validating City's
bonds for bridge project).
In October 2002, the Firm's appeal on behalf of a community redevelopment agency
was granted by the Florida Supreme Court in Panama Citv Beach Redevelopment A!rencv
v. State, Case No. SC02-145, October 17, 2002. In the Panama Citv Beach Redevelopment
A!rencv case, bonds supporting a massive redevelopment project of the Panama City Beach
"strip" and surrounding areas was validated at the Supreme Court level, overcoming an
adverse judgment from the trial court.
The Firm's recent success in validation (six successful appeals and no unsuccessful
appeals in the last two years) is bolstered by a long-standing tradition in this area, such as
the decision in State v. Miami Beach Redevelopment A!rencv, 392 So.2d 875 (Fla. 1980).
Bryant, Miller and Olive, P.A. served as co-counsel of record to the Miami Beach
Redevelopment A!rencv case on the very significant interpretation of the Florida
Constitution validating bonds where the bonds were not payable from ad valorem taxation
since, after the sale of the bonds, the bondholders would have no right to compel the levy of
ad valorem taxes by judicial action in the event that the Agency did not have funds
sufficient to meet its debt service obligations on the bonds.
Again, our understanding of Florida law should be very helpful if it becomes
necessary to seek validation. The Kevs Citizens for Responsible Government case, which
became a key turning point regarding certain collateral issues in the utility industry, is an
example of how the validation process may be artfully used to accelerate finality on unique
issues of Florida law.
Historically, bond validation proceedings were required in numerous types of
governmental financing transactions. Under present law, bond validation proceedings are
no longer routinely required, but are undertaken when a financing involves unique legal or
political issues. Usually, any delay in a financing caused by a validation proceeding is
overcome by the additional market benefit of having a judicial determination of the legal
matters to be resolved for the bond issue. Furthermore, validations can be very useful
procedural tools to overcome timing uncertainties which exist under a threat of traditional
litigation.
As part of this firm's municipal bond practice, our attorneys regularly appear as
counsel of record in numerous bond validation proceedings, and have provided assistance in
numerous other validation proceedings. In most bond validation proceedings in which we
participate, the firm prepares all pleadings for the validation of the bonds, and, if requested
by the issuer, assists in or conducts the validation hearing and any appeal process
including preparation of legal briefs.
