THIS AMENDMENT made this ~ day of ~ , 2003, by and between the Florida Keys Electric Cooperative Association, Inc., (hereinafter called FKEC) and the County of Monroe, Florida (hereinafter called County), a political subdivision of the State of Florida. WHEREAS, the parties hereto did enter into an agreement dated December 20, 1995 for the operation and maintenance of street lights and traffic signals within FKEC's service area in Monroe County; and WHEREAS, the County will transfer to the municipality of Marathon, the rights and responsibilities pertaining to roads affected by the agreement between the above parties as bf October 1, 2000; and WHEREAS, the County will no longer have rights and responsibilities of said roads; and WHEREAS, it is desired to amend the existing agreement to delete the lighting and traffic signals affecting those roads for which the County transferred rights and responsibilities to Marathon; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows: 1. Paragraph 1 of the Agreement entered into December 20, 1995, as previously amended to delete the maintenance of traffic signals and street lights listed in Exhibit A, attached hereto and incorporated herein by reference, effective October 1, 2000. 2. All other provisions of the Agreement entered into December 20, 1995, as previously amended, not inconsistent herewith, shall remain in full force and effect.
