ITEM BACKGROUND February 19, 2003 Lessor Weisser entered into a lease with County for additional space for the library on Big Pine Key. On October 31, 2003 Lessor Weisser sold the Big Pine Shoppping to Lessor Big Pine Shopping Center LLC. In order for the payment to be redirected to and any other transactions occur with the new owner, an assignment document needs to be executed between the parties. AGENDA ITEM # Pef ASSIGNMENT AND ASSUMPTION OF LEASEHOLD BIG PINE KEY SHOPPING CENTER LIBRARY SPACE THIS AGREEMENT for the assignment and assumption ofleaseho1d is made this 21st day of January, 2004, by and among the following parties: 1. Michael H. Weisser d/b/a Big Pine Key Plaza (Lessor Weisser); 2. Monroe County (Lessee); and 3. Big Pine Shopping Center, LLC (Lessor BPSC). WHEREAS, on February 19,2003, Lessor Weisser and Lessee entered into a lease dated for the purpose of expanding the Monroe County Library, which was housed in an adjacent unit of the shopping center, which unit is owned by County; and WHEREAS, on October 31,2003, Lessor Weisser sold the Big Pine Shopping Center to Lessor BPSC; and WHEREAS, the existing lease requires an assignment document for the parties to assign the lease to the new owner, lessor BPSC; now therefore, The Lessor Weisser, Lessee, and Lessor BPSC mutually agree as follows: 1. Lessor Weisser assigns his rights and interest in the lease dated between Lessor Weisser and Lessee. A copy of said lease is attached hereto as Exhibit A. 2. Lessee consents to the Lease Assignment through the expiration of the Lease on , under the same terms and conditions. 3. All responsibilities, liabilities, privileges and immunities held by Lessor Weisser pursuant to the lease are hereby transferred to Lessor BPSC. 4. Rent payments shall be made, and all notices due to lessor shall be sent, to Big Pine Shopping Center, LLC, PO Box 431944, Big Pine Key, Fl. 33043.
