IN CONSIDERATION of the mutual covenants, promises and premises herein contained, the parties hereto agree as follows: 1. PREMISES. The Lessor leases unto the Lessee areas at the Florida Keys Marathon Airport, Marathon, Monroe County, Florida, as follows: A. Non-Public Area of 120 square feet at $18.38 per square foot/annually (Exhibit A); and B. Public Exposed Area of 130 square feet at a negotiated rate of $18.38 per square foot/annually (Exhibit B); Exhibits A and B are attached hereto and made a part hereof. 2. TERM. The above-described premises are leased to the Lessee on a month- to-month basis beginning March 1, 2004. 3. follows: RENT. The Lessee hereby covenants and agrees to pay to the Lessor rent as Area A - $183.80 per month or $2,205.60 per year; and Area B - $199.12 per month or $2,389.44 per year, plus applicable sales tax, for the use of said premises during the term of this lease. Said rent to be payable in advance on the first day of each month or the first day of each year, respectively during said term. Rental rates are subject to revision each year, effective March 1, in accordance with the percentage change in the Consumer Price Index for all urban consumers (CPI-U) for the most recent 12 months available. 4. LESSOR'S COVENANTS. The Lessor hereby covenants and agrees with the Lessee as follows: A. The Lessee shall have reasonable ingress, egress and access privileges to the leased premises. B. The Lessee, on keeping the covenants and agreements by him herein contained, shall have quiet and peaceful enjoyment of the demised premises without any interruptions by the Lessor, or by any person or persons claiming by, through or under it. C. Maintenance of the leased premises and any improvements are the responsibility of Lessee. 5. LESSEE'S COVENANTS. The Lessee hereby covenants and agrees with the Lessor as follows: A. Lessee will utilize the leased areas for the following services: Flight Training Pilot shop offering basic flight materials and supplies B. To pay the Lessor the rent at the times and in the manner provided for by this lease. C. Any commercial activity shall be conducted in strict compliance with the Minimum Standards for Commercial Aeronautical Activities. D. To pay all utilities, including gas, electricity, water and garbage disposal charges, if any, as well as all installation charges that may be required for any such utilities. E. To make no improper or unlawful or offensive use of said premises, and to permit the Lessor or its agents to inspect the leased premises at all reasonable times for the purpose of viewing the condition thereof. F. The Lessee agrees to indemn ify and hold the Lessor harmless from any and all claims for bodily injury (including death), personal injury, and property damage (including property owned by Monroe County) and any other losses, damages, and expenses (including attorney's fees) which arise out of, in connection with, or by reason of services provided by thie Lessee or any of its Contractors, occasioned by the negligence, errors, or other wrongful act or omission of the Lessee or its Contractor(s), their employees, or agents. The extent of liability is in no way limited to, reduced, or lessened by the insurance requirements contained elsewhere within this agreement. G. Lessee shall obtain and maintain throughout the life of this agreement those insurance coverages and amounts as shown in the Insurance Schedules marked Exhibit C, attached hereto and made a part hereof. The Monroe County Board of County Commissioners shall be named as Additiional Insured on all policies issued to satisfy the above requirements. H. Lessee covenants that he shall maintain and operate and use the premises in compliance with 49 CFR, Part 21, Nondiscrimination in Federally Assisted Programs of the Department of Transportation, as said Regulations may be amended. More particularly, Lessee covenants that: a) no person on the grounds of race, color, national origin, or sex shall be excluded from participation in, denied the benefits of, or be otherwise subjected to discrimination in the use of the premises; and b) in the construction of any improvements on the premises and the furnishing of services thereon, no person on the grounds of race, color, national 2 Origin, or sex shall be excluded from participation in, denied the benefits of, or otherwise be subjected to discrimination. 6. MUTUAL COVENANTS. It is mutually covenanted and agreed by and between the Lessor and the Lessee as follows: A. Lessee shall, upon thirty (30) days written notice from Lessor, abandon said premises. B. This lease shall be binding upon the parties hereto, their successors, executors, administrators and assigns. Any assignment of this lease shall not become effective until approved in writing by Lessor. The premises shall not be sub- let. 7. COMPLIANCE WITH LAWS. Both parties shall comply with all federal, state and local laws governing the activities under this lease. 8. FAA REQUIREMENTS. The parties shall comply with FAA Required Lease Clauses, which are listed in Exhibit D, attached hereto and made a part hereof. EXHIBIT B COVERED DROP-OFF EXHIBIT "C" INSURANCE REQUIREMENTS 1906 Edition VEHICLE LIABILITY INSURANCE REQUIREMENTS FOR CONTRACT BETWEEN MONROE COUNTY, FLORIDA AND Recognizing that the work governed by this contract requires the use ofvehicIes, the Contractor, prior to the commencement of work, shall obtain VehicIe Liability Insurance. Coverage shall be maintained throughout the life of the contract and include, as a minimum, liability coverage for: · Owned, Non-Owned, and Hired Vehicles The minimum limits acceptable shall be: $1,000,000 Combined Single Limit (CSL) If split limits are provided, the minimum limits acceptable shall be: $ 500,000 per Person $1,000,000 per Occurrence $ 100,000 Property Damage The Monroe County Board of County Commissioners shall be named as Additional Insured on all policies issued to satisfY the above requirements. VL3 Administration Instruction #4709.5 82 'QQ(i Edit;pn MONROE COUNTY, FLORIDA RISK MANAGEMENT POLICY AND PROCEDURES CONTRACT ADMINISTRATION MANUAL General Insurance Requirements for Airport/Aircraft Activities Prior to the commencement of work governed by this contract (including the pre-staging of personnel and material), the Vendor shall obta~ at hislher own expense, insurance as specified in the attached schedules, which are made part of this contra4t. The Vendor will ensure that the insurance obtained will extend protection to all Contractors engaged by the Vendor. The Vendor will not be pennitted to commence work governed by this contract (including pre- staging of personnel and material) until satisfactory evidence of the required insurance has been furnished to the County as specified below. The Vendor shall maintain the required insurance throughdut the entire term of this contract and any extensions specified in any attached schedules. Failure to comply with this provision may result in the immediate suspension of all activities conducted by the Vendor and its Contractors until the required insurance has been reinstated or replaced. The Vendor shall provide, to the County, as satisfactory evidence of the required insurance, either: · Certificate ofInsurance or · A Certified copy of the actual insurance policy. The County, at its sole option, has the right to request a certified copy of any or all insurance policies required by this contract. All insurance policies must specifY that they are not subject to cancellation, non-renewal, material change, or reduction in coverage unless a minimum of thirty (30) days prior notification is given to the County by the insurer. The acceptance and/or approval of the Vendor's insurance shall not be construed as relieving the Vendor from any liability or obligation assumed under this contract or imposed by law. The Monroe County Board of County Commissioners, its employees and officials will be included as "Additional Insured" on all policies, except for Workers' Compensation. Any deviations from these General Insurance Requirements must be requested in writing on the County prepared form entitled "Request for Waiver of Insurance Requirements" and approved by Monroe County Risk Management. Administration Instruction #4709.5 24 19<16 Edition GENERAL LIABILITY INSURANCE REQUIREMENTS FOR CONTRACT BETWEEN MONROE COUNTY, FLORIDA AND Prior to the commencement of work governed by this contract, the Contractor shall obtain General Liability Insurance. Coverage shall be maintained throughout the life of the contract and include, as a minimum: · Premises Operations · Products and Completed Operations · Blanket Contractual Liability · Personal Injury Liability · Expanded Definition of Property Damage The minimum limits acceptable shall be: $1,000,000 Combined Single Limit (CSL) If split limits are provided, the minimum limits acceptable shall be: $ 500,000 per Person $ 1,000,000 per Occurrence $ 100,000 Property Damage An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy, its provisions should include coverage for claims filed on or after the effective date of this contract. In additio~ the period for which claims may be reported should extend for a minimum of twelve (12) months following the acceptance of work by the County. The Monroe County Board of County Commissioners shall be named as Additional Insured on all policies issued to satisfy the above requirements. GL3 Administration Instruction #4709.5 55 1996 Edition WORKERS' COMPENSATION INSURANCE REQUIREMENTS FOR CONTRACT BETWEEN MONROE COUNTY, FLORIDA AND Prior to the commencement of work governed by this contract, the Contractor shall obtain Workers' Compensation Insurance with limits sufficient to respond to the applicable state statutes. In addition, the Contractor shall obtain Employers' Liability Insurance with limits of not less than: $1,000,000 Bodily Injury by Accident $1,000,000 Bodily Injury by Disease, policy limits $1,000,000 Bodily Injury by Disease, each employee Coverage shall be maintained throughout the entire term of the contract. Coverage shall be provided by a company or companies authorized to transact business in the state of Florida. If the Contractor has been approved by the Florida's Department of Labor, as an authorized self- insurer, the County shall recognize and honor the Contractor's status. The Contractor may be required to submit a Letter of Authorization issued by the Department of Labor and a Certificate ofInsurance, providing details on the Contractor's Excess lnsurance Program. If the Contractor participates in a self-insurance fund, a Cettificate ofInsurance will be required. In addition, the Contractor may be required to submit upd<lited financial statements from the fund upon request from the County. Date: Jan. 7, 2004 ~~~;y~~~ Dear Reggie, As previously discussed, I am interested in the terminal space formerly occupied by the Monroe County Sheriff's Department Aviation Division. I would also like to lease the small office formerly occupied by the Tango One flight school for use as a gift shop/pilot supply shop. The former Sheriff's Department space would be used for the operation of our Charter service. This is currently being operated from our FBO facility at the East end of the airport, but with the imminent operation of our 14 passenger Jetstream 31, we require additional space for baggage handling and processing of passengers. This is something the reception area at the FBO is too small to handle. Additionally, we are expanding our flight training department. Since becoming a Cessna Pilot Center in July of 2003 we have added aircraft and instructors. We have an FAA computerized testing center and will soon be adding a flight simulator. We are very excited about these changes and have also begun the application process to become an FAA certified (part 141) flight school. This would allow our students to qualify for financial aid and participate in an aviation degree program on site. We would like to combine our flight school and charter service to provide our students with a real career track program. The new space would help make this a reality. We are prepared to make his move immediately and are only waiting for your decision. I am also requesting that all fees for these spaces be waived for a period of six months to allow us to get established in the new location. The FBO will continue to operate as usual at the current address where we will still provide the most professional quality service to based and transient aircraft where 'Welcome to Paradise" is our motto and our lifestyle.
