AGENDA ITEM WORDING: Approval to renew Preventative Maintenance Agreement with York
International for one centrifugal chiller and cooling tower at Jackson Square, and approval to add the
second and newest centrifugal chiller and cooling tower to the agreement.
ITEM BACKGROUND: On April 30, 2004, the current agreement with York International will
expire. In accordance with the agreement, the price is subject to an annual escalation based on (1) cost
changes in overhead and union -based rates, and (2) the wholesale price index for metal and metal
products. In addition to the annual increase of $492, staff recommends including the newly installed
York Centrifugal Chiller, cooling tower, and water pumps to the existing Preventative Maintenance
Agreement for an additional $3,780 per year.
PREVIOUS RELEVANT BOCC ACTION: On March 20, 2002, the BOCC approved to enter into
a Preventative Maintenance Agreement with York International for the York Centrifugal Chiller and
associated cooling tower at Jackson Square, and on April 16, 2003, the BOCC approved a renewal of
the agreement with an increase in price based on the terms of the agreement.
CONTRACT/AGREEMENT CHANGES: Renewal Agreement to commence on May 1, 2004 and
expire April 30, 2005. Increase monthly cost by an additional $41 for the original equipment, and an
additional $315 per month for the new equipment.

PREVENTATIVE MAINTENANCE AGREEMENT RENEWAL
(York Centrifugal Chiller and Associated Cooling Tower at Jackson Square)
This Renewal of Preventative Maintenance Agreement is made and entered into this 17'h day of
March, 2004, between the BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, (Lessor), and YORK IN"IRNATIONAL, (Lessee), in order to renew
that certain Agreement dated March 20, 2002, and renewed on April 16, 2003 (copies which are
attached hereto by reference) as follows:
1. Include in the Preventative Maintenance Agreement an additional centrifugal chiller and
associated towers and pumps to the Preventative Maintenance Agreement dated March
20, 2002, and renewed on April 16, 2003.
2. Increase the price of the Maintenance Agreement by $41.00 per month ($492.00 per year)
in accordance to the annual escalation based on cost changes in overhead and union -
based rates, and wholesale price index for metal and metal products (as described in the
Term of this Agreement), and increase the price of the Maintenance Agreement by an
additional $315.00 per month (3,780.00 per year) for the additional centrifugal chiller and
associated towers and pumps. The price therefore shall increase from $14,432.00 per
year to $16,704.00 per year.
3. Amend the Preventative Maintenance Agreement `Term of this Agreement' to read that
this Agreement shall be for a period of one year with the option to renew the Agreement
for two additional one-year periods.
4. The term of this Agreement Renewal shall commence on May 1, 2004, and shall
terminate on April 30, 2005.
5. In all other respects, the original Maintenance Agreement between the parties dated
March 20, 2002, and as renewed on April 16, 2003, remains in full force and effect.

is subject to an annual escalation based on (1) cost changes in overhead and union -based
rates, and (2), the wholesale price index for metal and metal products. The cost of the
agreement therefore increases from $11,952.00 per year to $12,432.00 per year.
2. Include as part of Terms and Conditions of the original Maintenance Agreement for the
Contractor to be responsible for all necessary insurance coverage outlined on the attached
forms GL1, VL1, and WCL
3. The term of this Agreement Renewal shall commence on May 1, 2003, and shall
terminate on April 30, 2004.
4. In all other respects, the original Maintenance Agreement between the parties dated

AGENDA ITEM WORDING: Approval to renew Preventative Maintenance Agreement with York
International for one centrifugal chiller and cooling tower at Jackson Square, and approval to add the
second and newest centrifugal chiller and cooling tower to the agreement.
ITEM BACKGROUND: On April 30, 2004, the current agreement with York International will
expire. In accordance with the agreement, the price is subject to an annual escalation based on (1) cost
changes in overhead and union -based rates, and (2) the wholesale price index for metal and metal
products. In addition to the annual increase of $492, staff recommends including the newly installed
York Centrifugal Chiller, cooling tower, and water pumps to the existing Preventative Maintenance
Agreement for an additional $3,780 per year.
PREVIOUS RELEVANT BOCC ACTION: On March 20, 2002, the BOCC approved to enter into
a Preventative Maintenance Agreement with York International for the York Centrifugal Chiller and
associated cooling tower at Jackson Square, and on April 16, 2003, the BOCC approved a renewal of
the agreement with an increase in price based on the terms of the agreement.
CONTRACT/AGREEMENT CHANGES: Renewal Agreement to commence on May 1, 2004 and
expire April 30, 2005. Increase monthly cost by an additional $41 for the original equipment, and an
additional $315 per month for the new equipment.
STAFF RECOMMENDATIONS: Approval as stated above.
