Request direction (negotiate lease modification, deny request, etc.) as to processing the
request to annex area adjacent to the Bayvlew Inn and Marina on Conch Key, to the
existing leased area into tenant's leasehold.
ITEM BACKGROUND
When FDOT transferred to County to 100 foot wide strip of land on Conch Key, FDOT
assigned a lease to County for an area being used by Bayvlew Inn as parking lot. (See
attached lease documents, after letter requesting additional area.) Tenant has requested
additional area be added to the leasehold. (See attached November 9, 2004 letter from
attorney Robert Federspiel on behalf of the tenant.)
Jose Papa of Growth Management has indicated in the attached memo of October 18, 2004,
that the property is buildable and could be used for activities consistent with the land use
designation and zoning district. Upon receipt of the current request, Mr. Papa indicated
that Growth Management would recommend any lease modification to add the requested
area would include language to bar any permanent improvements that the lease be
relatively short-term until the Livable Communi Keys Plan for this area could be completed.
At that time, the Growth Management Division would be better able to make specific
recommendations as to use, further development, and extension of lease.

Leased Parking Area
Dear Ms. Hutton:
Pursuant to our conversations, I would request on behalf of my client that the existing Lease
relative to the parking area adjacent to the Bayview Inn and Marina be modified to include the
adjacent strip ofp~operty depicted on Exhibit "A" of the sketch oflega! description attached to this
letter. The subject additional property constitutes a wrap around parcel buffering the State Road
right-of-way and the waters adjacent thereto. The subject parcel consists of 4,682 square feet. My
client would like to utilize this property for additional landscaping buffers and parking attendant
to the motel operations. It does not appear that this property would have any independent use,
however, would logically tie into the existing leased area. Please proceed with the required steps
to present the proposed modification to the County Commission and let me know what I can do to
help move the matter along.

parking. The subject right-of-way is designated as Tier III, has a future land use
designation of Mixed Use/Commercial Fishing (MCF) and is zoned CFA (Commercial
Fishing Area). The CFA zoning district mainly permits a variety of commercial activities
related to or in support of commercial fishing activity.
The subject property is buildable and may be used for activities consistent with the future
land use designation and zoning district.

are specifically prohibited. The Lessee will not use or occupy said premises for any unlawful purpose and will. at
Lessee's sole cost and expense, conform to and obey any present or future ordinances and/or rules. regulations,
requirements and orders of governmental authorities or agencies respecting Ihe use and occupation of said premises.
3. Rent. Lessee shall pay to Lessor as rent, on or before the first day of each rent payment period, the sum of
$2,365.00 taxes included plus lax, for each one (1) year of the term. If this Agreement is
terminated prior to the eOO of any rent payment period. the unearned portion of any rent payment. less any other amounts
ll1at may be owed to LessOl'. shall be refunded to Lessee. Lesse~ shall pay any and all state, county. city and local taxeS
that may be due during the term hereof, Including an~i real properly taxes. Rent payments shall be made payable to the

4. Imorovements. No structures or Improvements of any kind shall be placed upon the h:~nd without prio~ QPproval in

constructed in a good and workmanlike manner at Lessee's sole cost and expen3e. Subject to any landlords hen.ar.y

5. Maintenance, Lessee shall keep 3nd m'aintain the land and any building or other structure, now O' "ereaftet
erecled thereon. In good and safe condition and repair at Lessee's own expense during the existence of this lease, and
shall keep the same free and clear of any and aU grass, Vieeds,brush and debrls of any kind, so as to prevent the same
~ecoming dangercus, inflammable or objectionable. Lessor shall have no dUly 10 Inspect or maintain 80,/ of the land,
buildings o~ other structures, If any. dUiing the term of this Lease; however, Lessor shalf have the right, upor, twenty-four
(24) hours notice to Lessee, to enter the property for purposes of Inspection, including cor.ducting an environmenfal
assessment. Such assessment may Include but would not be limited to: surveying, sampling of building materials, soil
and groundwater; monitoring well installations; soil excavation; groundwater remediation; emergency asbeslos
abatement; operation and maintenance inspections; and, any other actions which might be reasonable 2nd necessary.
Lessor's right of entry sha~ not obligate ir.spectlon of the property by Lessor, nor shall it relieve the Lessee of its duty to
maintain the property. In the event of emergency due to a release or suspee~ed release of hazardo~s waste or. the
premises, Lesser shall have the right of immediate inspe~tion, end the right, but no the obligation, to engage in remedial

8. Eminent Domain. lessee acknowledges and agrees that its relationship wIth lessor under this Lease is one of
Landlord and Tenant and no other relationship either expressed or Implied shaR be deemed to apply ~o the parties ur,der
this Lease. Termination of this Lease for any cause shall not be deemed a taking under any ~minent domain or other law
so as to entitle Lessee.to comper.sation for any interest ~uffered or lost as a result of termination of this Lease, induding
but not limited to (I) any residual interest in the Lease, or (i1) a~y other facts or circumstances arising out of or in
connection with this Lease.
Lessee hereby waives and relinquishes any legal rights and monetary claims which it might have for full
compensation, or damages of any sort, including but not limited to special damages, severance damages, removal costs
or loss of business profits reSUlting from its loss of occupancy of the leased property specified In the Agreement, OJ
adjacent properties owned Of leased by It, when any or ad such properties are taken by eminent domain proceedings o~
sold under the threat thereof. This waiver and relinquishment applies whether (I) this lease is still in existence on the
date of taking or sale: or (ii) has been terminated prior thereto.
9. Miscellaneous.
a. This Agreement may be tennin2ted by Lessor immediately, without prior notice, upon default by Lessee
hernunder. and may be terminated by either party upon thirty ( ~) days priOt wrItten notice to the other party.
b. In the case of litigation arising out of the enforcement of any terms. covenants or provisions of this Lease, the
prevailing party shall be entiUed to recover its reasonable attorneys' fees from me non-prevailing party.
c. Lessee acknowledges that it has reviewed this Lease, is familiar with its terms and has had adequate
opportunity to review this Lease with legal counsel of Lessee's choosing _ Lessee has entered into this Lease freely and
voluntarily. This Lease contains the complete understandln;) of the parties with respect 10 the subject matter hergof. Aq
pr:or unctemandings and agreements. oral 0:" written. heretofore made between the parties andlol' betWeen Lessee and
the pre'/lous owner of the leased property and landlord of Lessee are merged in this lease, whIch alone. ~uliy and

writing of the Lessor, this lease being executed by les~or upon the credit and reputation of Lessee. Acceptar.ce by
Lessor of rental from a third party shall not be considered as an assignment or sublease.
e. Lessee shall be solely responsible for all bills for electricity, lighting, power, gas, water, telephol"e and telegraph
services. or any other utUity or service used on tho land.
