ITEM BACKGROUND: The month-to-month renewal agreement with Cliffhanger was approved in February 2020 so the Airport could retain Cliffhanger with no break in janitorial services while a new bid proposal is issued, bids opened, and a new contract awarded. The bid proposal was not issued during the COVID-19 pandemic and is currently under review. The month-to-month agreement did not provide for CPI adjustments. In March of 2021 the new Departure Hold Room Expansion project was completed which added additional hold room space and seating, a pet relief area, and new, bigger restroom facilities. The increased square footage and the amount of passengers has impacted the contractor's ability to provide required services without an increase in the contract sum PREVIOUS RELEVANT BOCC ACTION: Awarded bid and contract to Cliffhanger Janitorial, Inc. on February 10, 2016. Approved lst amendment on March 15, 2017, 2ad amendment on February 21, 2018, final renewal agreement on February 20, 2019, and a month-to-month renewal agreement on February 19, 2020 CONTRACT/AGREEMENT CHANGES: Effective 10/1/2021, the annual contract sum is increased by $31,319.85, from $419,587.63 to $450,907.48. KEY WEST INTERNATIONAL AIRPORT THIS FOURTH AMENDMENT is made and entered into this 18th day of August,2021, by and between the Board of County Commissioners of MONROE COUNTY (County) and Cliffhanger Janitorial, Inc., (Contractor). WHEREAS, on February 10, 2016 the parties entered into an agreement (hereafter original agreement) for Contractor to provide janitorial services at the Key West International Airport,as amended and renewed on March 15, 2017, February 21,2018, and February 20, 2019, and °3 WHEREAS,on February 19,2020 the agreement was renewed on a month to month basis commencing March 1, 2020, while the County prepared and issued a new Request for Proposals (RFP), and i WHEREAS, the RFP was not issued during the COVID-19 pandemic and is currently under review, and WIIERAS, in March of 2021 the Departure Hall Holdroom construction project was completed which added 637 sq. ft. of new holdroom space and seating, an additional 471 sq. ft. of new men's and women's restrooms, an additional 83 sq. ft. for a new family restroom and a new 102 sq. ft. pet relief area, all of which increased the amount of cleaning hours and cost of janitorial supplies and materials needed for the contractor to provide services, and WIIEREAS, post pandemic passenger traffic at the Airport has also increased the amount of labor cleaning hours and the amount and cost of required janitorial supplies and materials; and WHEREAS, since the commence of the month to month agreement, the contract sum has not been adjusted by CPI; NOW, THE FORE, in consideration of the mutual covenants and promises hereinafter contained,the parties do hereby agree as follows: SECTION 1. Article 2.CONTRACT SUM of the original agreement is amended to read m as follows: 2. CONTRACT SUM. Effective October 1, 2021, the County shall pay to the Contractor for the faithful performance of said service on a per month in arrears basis for each of month. The Contractor shall invoice KWIA monthly for janitorial services performed under the Specifications contained herein. The Contract amount shall be $4+0,907.48 per year ($419,587.63 per year plus 2.3% CPI adjustment of$9,650.52 for the preceding 12 months ending December 2019 plus 1.4% CPI adjustment of $6,009.33 for the preceding 12 months ending Packet Pg. 1211 1.12.a December 2020, plus an additional $15,660.00 for increased cost of supplies and materials due to increased amount of passengers)." Except as set forth in Section one of this 4th Amendment,all other provisions of the February 10, 2016 original agreement, as amended and the February 19, 2020 Month to Month Renewal Agreement,not inconsistent herewith shall remain in full force and effect.
