FOR CATEGORY A CANAL MANAGEMENT PROGRAM AND MASTER
PLANNING SERVICES FOR CANAL RESTORATION SERVICES
BETWEEN
MONROE COUNTY AND
WOOD ENVIRONMENT & INFRASTRUCTURE SOLUTIONS, INC.
This Task Order No 13 is entered into on October 1, 2021, in accordance with
the Continuing Contract for Category A Canal Management Program and Master
Planning Services made and entered on the 14th day of December 2016, as
amended under Amendment No.1 dated December 13t", 2017, Amendment No.2
dated June 20t", 2018, and Amendment No.3 dated November 17, 2020,
between Monroe County, hereinafter referred to as the "County" and Wood
Environment & Infrastructure Solutions, Inc. hereinafter referred to as
"Consultant" where design services are allowed if construction costs do not
exceed $2,000,000.
All terms and conditions of the referenced Contract for On-Call Professional
Engineering Services apply to the Task Order unless the Task Order modifies an
Article of the Agreement of which will be specifically referenced in this Task
Order and the modification shall be precisely described.
WHEREAS, the County has contracted with Wood for continuing canal
management program and master planning services; and
WHEREAS, as an Area of Critical State Concern, the County has a Work
Program adopted by the Administration Commission, providing tasks the County
must complete; and
WHEREAS, Administration Commission Rule 28-20.140, F.A.C., became
effective on November 26, 2020, and includes a Canal Restoration
Implementation portion within the Work Program; and
WHEREAS, the County has evaluated and ranked 96 canal restoration projects
in unincorporated Monroe County for water quality improvement and restoration
options: and
WHEREAS, based on funding allocations the County is moving forward with the
top 11 canals for water quality improvement and restoration: and
WHEREAS, the restoration technology for 9 of the top 11 canals requires a weed
gate which has Operation and Maintenance (O&M) costs that will be captured
within a Municipal Service Benefit Unit (MSBU); and

WHEREAS, the County BOCC directed staff at the July 21, 2021 meeting to hold
public outreach meetings with each of these canal residents to determine if the
community had 51% favor of implementing the MSBU; and
WHEREAS, the task order will be effective as of October 1, 2021, and shall
expire December 13, 2021.
NOW, THEREFORE, in consideration of the mutual promises, covenants, and
agreements stated herein, and for other good and valuable consideration, the
sufficiency of which is hereby acknowledged, County and Consultant agree to
modify the Agreement as follows:
Article 1.1 Terms Of Agreement:
Article 2.2 Scope Of Services:
The Consultant shall perform the following tasks in accordance with the scope of
work below:
The Consultant shall assist the County with the public outreach to inform and
engage the homeowners on the Canals #255, #2957 #2977 #3007 #315 in Big
Pine Key, #402, #403 in Sugarloaf Key, #105 in Tavernier, and #474 in Geiger
Key regarding the Air Curtain Canal Restoration Projects MSBU costs and how
the program will operate.
The Consultant will prepare conceptual plans for the air curtain that show the
proposed alignment and location of the compressors and wind vane. A
conceptual level cost estimate will be prepared for each canal which will be used
to determine the MSBU cost for each resident along the canal.
The Consultant will hold community meeting(s) with homeowners of each canal
(nine meetings in total) to discuss the MSBU program and inform the
homeowners about the costs. The duration of each meeting is expected to be
approximately one hour including presentation and questions and answers.
Details of the scope of services are outlined below:
Task 1: Community Outreach Meetings
The Consultant will coordinate and provide presentations for one public
community meeting with each of the canal homeowners for a total of nine
meetings. The Consultant will prepare an agenda that discusses the O&M scope
of work and associated MSBU program and cost. The Consultant will prepare
and submit meeting minutes to the County for review and distribution to the
homeowners. The meetings will be held at locations within the communities.

The Consultant will send certified letters to each of the homeowners following the
meetings to gain preference on implementing the canal restoration projects and
associated MSBUs. The Consultant will provide the County with the results of
the respondents to determine whether to proceed with the projects.
Deliverable: Development of presentations, certified letters, meeting minutes for
the MSBU program associated with the nine air curtain projects
Article 7.1 Payment Sum: The amount of the task order is a Lump Sum of
Twenty-Five Thousand and Sixty-Seven Dollars and Zero Cents ($25,067.00)
7.1.1 For its assumption and performances of the duties, obligations, and
responsibilities set forth herein, the CONSULTANT shall be paid according to the
Deliverable Schedule and according to the Florida Local Government Prompt
Payment Act, Section 218.70, Florida Statutes. Payments will be lump sum, as
indicated above. The Provider shall submit to the COUNTY an invoice with
supporting documentation in a form acceptable to the Clerk. Acceptability to the
Clerk is based on generally accepted accounting principles and such laws, rules,
and regulations as may govern the Clerk's disbursal of funds. The Sustainability
Director will review the request, note her approval on the request and forward it
to the Clerk for payment.
7.2.4 As a condition precedent for any payment due under this Agreement, the
CONSULTANT shall submit monthly, unless otherwise agreed in writing by the
COUNTY, a proper invoice to COUNTY requesting payment for services properly
rendered and reimbursable expenses due hereunder. The CONSULTANT'S
invoice shall describe with reasonable particularity the service rendered. The
CONSULTANT'S invoice shall be accompanied by such documentation or data
in support of expenses for which payment is sought as the COUNTY may
require.
