(hereinafter "Auditor"), a Certified Public Accountant limited liability partnership licensed to do business within the State of Florida (collectively, the "Parties"). WHEREAS, on January 17, 2018, the Parties entered into contract with the Auditor("Audit Contract")to serve as the County's external auditor for fiscal years ending September 30, 2017 and September 30, 2018, subsequently amended by the First Amendment and Second Amendment to include audit services for the fiscal years up to and including September 30, 2021 ("FY 2021"); and WHEREAS, in anticipation of Key West International Airport ("KWIA") issuing bonds in 2022 as part of the funding for the upcoming Concourse A Terminal and Improvements project ("Project"), the Monroe County Airports department("Airports") has requested to expand the FY 2021 services to include a separate, more-detailed standalone audit of the financial report for the Key West International Airport ("Airport Audit")that is in compliance with generally accepted accounting principles; and WHEREAS, the Clerk of the Court wishes to engage the Auditor for the purpose of conducting the Airport Audit in addition to those duties already outlined in the Audit Contract; and WHEREAS, the Auditor will accept the additional responsibilities; NOW THEREFORE, IN CONSIDERATION of the mutual promises, benefits and covenants set forth herein, the Parties agree as follows: 1. Under Section 1, SCOPE OF SERVICES, anew paragraph 1.12 is added, as follows: 1.12The Auditor shall perform a financial audit of the County's financial report for the Key West International Airport("KWIA") for FY 2021 prepared by the Monroe County Clerk's Office and shall provide an auditor's report on the financial accounts and records as set forth in the financial report. The audit report shall cover all assets and liabilities specific to KWIA. The audit report will be structured for use as an Airports presentation but the monetary totals within the report will tie to the amounts included as a major fund in Monroe County's annual comprehensive financial report 1 for FY 2021. All internal controls related to financial reporting will be performed by the Monroe County Clerk's Office. 2 Under Section 4, COMPENSATION AND TERMS OF PAYMENT, a new paragraph is added,as follows: The fee for the Airport Audit referenced in paragraph 1.12 shall be a flat fee of twelve thousand dollars ($12,000.00), inclusive of all fees and costs. This contractual fee will be paid in accordance with the Florida Local Government Prompt Payment Act. 3 All other terms and conditions of the Audit Contract dated January 17, 2018 as amended remain in full force and effect.
