WITNESSETH WHEREAS, on April 15, 2015, the County and Littlejohn Engineering Associates, Inc. entered into an Agreement for the design and permitting of a scenic overlook at the swimming hole on Big Pine Key; and WHEREAS,on October 21, 2015,a First Amendment to the Agreement was entered into for the purpose of developing a Management Plan required by and to be approved by the Florida Department of Environmental Protection;and WHEREAS,on December 14,2016,a Second Amendment to the Agreement was entered into for the purpose of increasing the scope of work to add design elements in order to meet the requirements of the Florida Department of Transportation(FDOT)grant; and WHEREAS,on March 15,2017,the parties executed an Assignment and Assumption Agreement of Contract whereby Littlejohn Engineering Associates,Inc. assigned all of its rights, obligations and responsibilities and interest in, to and under the Agreement entered into with the County to Consultant;and WHEREAS,due to setbacks caused by Hurricane Irma, subconsultant turnover, and County staff turnover resulting in delays to the project,the parties wish to amend the Agreement; and NOW THEREFORE, in consideration of the mutual promises contained herein,the County and Consultant agree to amend the Agreement,as set forth below: 1. In accordance with the Agreement, Article III, Paragraph 3.2, Consultant shall provide design services by new subconsultants for architecture, structural engineering and mechanical,electrical,and plumbing(MEP)engineering to replace the subconsultants who have gone out of business since the start of the project. 2. In accordance with the Agreement Article VII,Paragraph 7.1.1,the County shall pay the Consultant a lump sum fee of Twenty Thousand Five Hundred and 00/100 Dollars ($20,500.00). Page 1 of 2 .• 3.
