AGENDA ITEM WORDING: Approval of Task Order Amendment 1 of $12,115 with Bender &
Associates Architects, P.A. for design services for air conditioning and window improvements at the
East Martello Fort within the Stanley Papio Gallery. This Task Order Amendment is funded by a
TDC grant.
ITEM BACKGROUND: The Stanley Papio Gallery at the East Martello Fort is currently air-
conditioned space. Due to the historic nature of this structure, there are ongoing air quality issues in
the gallery. A Task Order was created to analyze and determine best approaches to correct the air
quality issues and provide design documents through construction administration services. This
Task Order Amendment adds additional architectural and engineering services to relocate two

FIRST AMENDMENT TO TASK ORDER
FOR PROFESSIONAL ARCHITECTURAL AND ENGINEERING SERVICES
BETWEEN MONROE COUNTY AND BENDER & ASSOCIATES, ARCHITECTS, P.A.
FOR EAST MARTELLO FORT A/C AND WINDOW UPGRADES
In accordance with the Agreement for Professional Architectural and Engineering Services, made
and entered into on December 19, 2018 between MONROE COUNTY, (“County”) and
BENDER & ASSOCIATES, ARCHITECTS, P.A. ,(“Consultant”), where professional services
are allowed if construction costs do not exceed $4,000,000.00, or for study activity if the fee for
professional services for each individual study under the contract does not exceed $500,000.00
(“Agreement”), as provided in Subsection 287.055(2)(g), Florida Statutes, as amended by Section
2, Chapter 2020-127, Laws of Florida, pursuant to which Attachment A, Subsection 1.01 of the
Agreement is hereby modified, the parties enter into this First Amendment to the Task Order.
All terms and conditions of the Agreement apply to this First Amendment, unless this First
Amendment amends, adds, or modifies a provision or an Article of the Agreement of which will
be specifically referenced in this First Amendment and the amendment, addition, or modification
shall be precisely described. These additions apply only to the project referenced in this First
Amendment to the Task Order.

This First Amendment to the Task Order is effective on the 16 dayof March, 2022.
WHEREAS, the East Martello Fort in the City of Key West isa County owned and maintained
building that is currently experiencing active construction made possible by a TDC grant, and
WHEREAS, the parties entered into a Task Order on May 20, 2020 to assist with creating
construction documents, plans and specifications for the East Martello Windows & A/C Upgrade
project, and
WHEREAS, the East Martello Fort Windows & A/C Upgrades project requires additional
construction documents, plans and specifications to complete the project’s intended purpose and
for which the grant funds were provided.
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the
parties agree as follows:
1. In accordance with Article II, SCOPE OF BASIC SERVICES of the Agreement, the
Consultant will create additional documents to expand the air treatment and conditioning,
to wit:

Design (Coordinated with Monroe County and Key West Art and Historical
Society)

2.In accordance with Article VII paragraph 7.1.1 of the Agreement, the County shall pay the
Consultant a lump sum total of Twelve Thousand, One Hundred Fifteen and 00/100 dollars
($12,115.00) paid upon receipt and approval of the additional construction documents,
plans and specifications.
The total project cost including the original Task Order and this First Amendment shall be
a lump sum total of Sixty-Nine Thousand, Two Hundred Fifteen and 00/100 Dollars
($69,215.00).
All other Terms and Conditions of the Agreement remain unchanged and in full force and effect.
IN WITNESS WHEREOF, each party caused this Task Order to be executed by its duly authorized
representative.
