AGENDA ITEM WORDING: A public hearing for the road dedication of Calle Tres on Rockland
Key to Monroe County, as required by the Development Agreement with Quarry Partners. LLC for
the development of workforce housing on Big Coppitt Key.
ITEM BACKGROUND: Quarry Partners, LLC received approval to construct workforce housing
on Big Coppitt; it was necessary for them to construct an access road from the development to the
intersection with county-maintained road Calle Uno on Rockland Key. Monroe County provided
funding for the construction of the road through a Roadway Improvements and Wastewater System
Development Fee Funding Agreement that stated that the road would be conveyed to the County
upon completion.
Acceptance of the dedication is contingent upon Quarry Partners, LLC executing a maintenance
agreement for the rip rap bridge abutments, sheet pile wall and street lighting that are within the
portion of the roadway that will be dedicated to Monroe County. A copy of the maintenance
agreement is attached.
PREVIOUS RELEVANT BOCC ACTION: BOCC approved Resolution No. 025A-2018 for the
development agreement between Monroe County and Quarry Partners, LLC for the development of
208 attached residential Dwelling Units on January 17, 2018.
BOCC approved the Roadway Improvements and Wastewater System Development Fee Funding
Agreement between Quarry Big Coppitt, LTD. And Quarry Big Coppitt II, LTD., and Monroe
County on April 17, 2019
BOCC approved advertising for a public hearing to accept dedication of the road at the February 16,
2022 BOCC meeting.

NOTICE IS HEREBY GIVEN that the Board of County Commissioners of Monroe County, Florida,
will hold a public hearing on March16, 2022, at 3:00 P.M., at the Murray Nelson Government Center
BOCC Room, 102050 Overseas Hwy., Key Largo, Florida, for the purpose of determining whether or
not the following streets, alley-ways, roads or highways shall be dedicated to the County:
“A portion of the constructed access road of Calle Tres on Rockland Key, a portion of
land in Section 21, Township 67 South, Range 26, East on Rockland Key and Big Coppitt
Key, Plat Book 4, Page 133, Monroe County Records Florida”
The public can participate in the March 16, 2022, meeting of the Board of County Commissioners

COMMISSIONERS OF MONROE COUNTY,
FLORIDA, ACCEPTING DEDICATION OF A
PORTION OF CALLE TRES IN ROCKLAND
KEY, AS SHOWN ON THE LEGAL
DESCRIPTION SKETCH AND LEGALLY
DESCRIBED HEREIN, TO MONROE COUNTY
BY PROPERTY OWNERS.
WHEREAS, Quarry Partners, LLC received approval of the development
agreement by Resolution No. 025A-2018, from the Board of County Commissioners
(BOCC) on January 17, 2018 to construct 208 units of affordable workforce housing; and
WHEREAS, an access road, Calle Tres, was constructed from the workforce
housing development to the intersection of Calle Uno, a county-maintained road on
Rockland Key; and
WHEREAS, Monroe County provided funding for the construction of the road
through a Roadway Improvement and Wastewater System Development Fee Funding
Agreement, which provides that a portion of the road would be conveyed to the County
upon completion; and
WHEREAS, a road dedication petition has been submitted requesting for Calle
Tres to be dedicated to Monroe County; and
WHEREAS, an inspection of the Calle Tres has been performed by the County
Engineer and Calle Tres meets county standards; and
WHEREAS, a right-of-way maintenance agreement will be required to provide
for continued maintenance by Quarry Partners, LLC of the rip rap abutments and sheet
pile wall that form a part of the bridge but extend to within the portion of Calle Tres
dedicated to the County, and the street lighting that was installed by the developer south
of the bridge along the dedicated portion of Calle Tres; and
WHEREAS, the owners of property adjacent to Calle Tres desire to dedicate a
portion of Calle Tres to Monroe County for the purpose of it becoming a County
maintained right of way; and

WHEREAS, due notice has been published and a public hearing has been held;

present wishing to speak on the matter, and considered accepting the dedication
of Calle Tres, as legally described herein; and
WHEREAS, the Board has determined that the dedication conforms to the
County procedure; and
WHEREAS, the Board desires to accept a portion of Calle Tres and the owners
of property adjacent to Calle Tres desire to deed the said right-of-way to Monroe County
and the transfer is subject to all recording costs to be paid or reimbursement to the
County by the property owners;

Commissioners of Monroe County, Florida, that it accepts the transfer by deeds from the

RIGHT-OF-WAY MAINTENANCE AGREEMENT
This Right-Of-Way Maintenance Agreement entered into this day of ___ ,
2022 by Quarry Partners, LLC, a Florida Limited Liability Company, Quarry Partners whose
address is 3030 Hartley Road, Suite 310, Jacksonville, FL 32257.
WHEREAS, Monroe County upon acceptance of the dedication of Calle Tres per
Resolution No. -2022, requires for Quarry Partners LLC to continue to be responsible for
maintenance of the rip rap abutments and sheet pile wall that form a part of the bridge but extend
to within the portion of Calle Tres dedicated to the County, and the street lighting that was
installed by the developer south of the bridge; and
WHEREAS, the BOCC granted approval of the acceptance of the dedication with the condition
that Quarry Partners, LLC provide a written agreement recorded in Monroe County Official
Records that promises for maintenance of the rip rap abutments, sheet pile wall and street lights
along the portion of Calle Tres dedicated and to be solely responsible for those improvements;
NOW THEREFORE, for and in consideration of the understanding hereinafter set forth Quarry
Partners, LLC agrees and covenants as follows:
1. The QUARRY PARTNERS, LLC has constructed improvements within Calle Tres,
which has been accepted for dedication to the County as per Resolution No.:_____-2022.
2. DUTIES OF QUARRY PARTNERS, LLC.
The following constructed improvements shall be continuously maintained by QUARRY
PARTNERS LLC:
The rip rap abutments adjacent to the south end of the bridge;
Sheet pile walls that extend south of the bridge approach; and
Street lights along Calle Tres installed by the developer.
3. PAYMENT. The QUARRY PARTNERS, LLC is solely responsible for all costs
incurred in carrying out the maintenance as described herein. It is understood by the
parties that the County is to incur no cost for the maintenance as specified herein. There
are no third-party beneficiaries to this Agreement, and no contractor or sub-contractor or
any other person or entity that shall look to County for payment.
4. TERM. This Agreement shall continue in perpetuity unless terminated by the County.
5. INDEMNIFICATION AND HOLDHARMLESS. THE QUARRY PARTNERS, LLC
does hereby covenant and agree to protect and hold harmless, indemnify and defend
Monroe County and its commissioners, officers, employees, and agents from (i) any and
all claims, actions or causes of action (ii) any litigation, administrative proceedings,

appellate proceedings, or other proceedings relating to any type of injury (including

party by reason of, or in connection with (A) any maintenance activity specified herein of
QUARRY PARTNERS, LLC or any of employees,
agents, or contractors, (B) the negligence or willful misconduct of QUARRY

PARTNERS, LLC or any of its employees, agents, or contractors, (C)
QUARRYdefault in respect of any of the obligations that it
undertakes under the terms of this Agreement, except to the extent the claims, actions,
causes of action, litigation, proceeding, cost or expenses arise from the intentional or sole
negligent acts or omission of the County or any of its employees, agents, or contractors
(other than QUARRY PARTNERS, LLC) arising out of or in connection with the
maintenance of the County Right-of-way as described herein.
6. COMPLIANCE WITH LAWS. QUARRY PARTNERS, LLC will comply with all laws,
ordinances, and governmental rules and regulations which apply to its maintenance
activities on the property. QUARRY PARTNERS, LLC will obtain any necessary
permits and authorization as may be required. The failure of the COUNTY or QUARRY
PARTNERS, LLC to object to or to take affirmative action with respect to any conduct of
the other which is in violation of the terms of this Agreement shall not be construed as a
waiver of the violation or breach, or of any future violation, breach or wrongful conduct.
7. JURISDICTION AND VENUE. This Agreement shall be governed by and construed in
accordance with the Laws of the State of Florida applicable to contract made and to be
performed entirely in the State. In the event that any cause of action or administration
proceeding is instituted for the enforcement or interpretation of this Agreement, the
parties agree that venue will lie in the appropriate court or before the appropriate
administrative body in Monroe County, Florida. Venue for any suits or actions ofany
th
kind and any mediation shall be in and governed by the rules of the 16Judicial Circuit
Court in Monroe County, Florida. This Agreement shall not be subject to arbitration.
8. BINDING EFFECT. The terms, covenants, conditions, and provisions of this Agreement
shall bind and inure to the benefit of the County and QUARRY PARTNERS, LLC and
their respective legal representatives, successors, and assigns. In the event Quarry
Partners shall transfer, assign, convey or otherwise dispose of their interest in the
property adjoining that property which is the subject of this Agreement without retaining
any interest therein, then Quarry Partners shall cease to be a party to this Agreement and
shall be relieved and have no further duty or liability arising hereunder for events
occurring from and after the date of such transfer, assignment, conveyance, or
disposition. Quarry Partners shall require that the persons or entity that is transferred,
assigned, or conveyed their interest in the property is assigned and assumes all
responsibility for all duties imposed on Quarry Partners under this agreement.
9. RECORDING; EFFECTIVE DATE. This Agreement shall be recorded in the public
records of Monroe County, Florida, within seven (7) days after the date of acceptance of
Calle Tres by the County.
