ITEM BACKGROUND: Quarry Partners, LLC received approval to construct workforce housing on Big Coppitt; it was necessary for them to construct an access road from the development to the intersection with county-maintained road Calle Uno on Rockland Key. Monroe County provided funding for the construction of the road through a Roadway Improvements and Wastewater System Development Fee Funding Agreement that stated that the road would be conveyed to the County upon completion. Acceptance of the dedication is contingent upon Quarry Partners, LLC executing a maintenance agreement for the rip rap bridge abutments, sheet pile wall and street lighting that are within the portion of the roadway that will be dedicated to Monroe County. A copy of the maintenance agreement is attached. PREVIOUS RELEVANT BOCC ACTION: BOCC approved Resolution No. 025A-2018 for the development agreement between Monroe County and Quarry Partners, LLC for the development of 208 attached residential Dwelling Units on January 17, 2018. The QUARRY PARTNERS, LLC has constructed improvements within Calle Tres, which has been accepted for dedication to the County as per Resolution No.:_____-2022. 2. DUTIES OF QUARRY PARTNERS, LLC. The following constructed improvements shall be continuously maintained by QUARRY PARTNERS LLC: The rip rap abutments adjacent to the south end of the bridge; Sheet pile walls that extend south of the bridge approach; and Street lights along Calle Tres installed by the developer. 3. PAYMENT. The QUARRY PARTNERS, LLC is solely responsible for all costs incurred in carrying out the maintenance as described herein. It is understood by the parties that the County is to incur no cost for the maintenance as specified herein. There are no third-party beneficiaries to this Agreement, and no contractor or sub-contractor or any other person or entity that shall look to County for payment. 4. TERM. This Agreement shall continue in perpetuity unless terminated by the County. 5. INDEMNIFICATION AND HOLDHARMLESS. COMPLIANCE WITH LAWS. QUARRY PARTNERS, LLC will comply with all laws, ordinances, and governmental rules and regulations which apply to its maintenance activities on the property. QUARRY PARTNERS, LLC will obtain any necessary permits and authorization as may be required. The failure of the COUNTY or QUARRY PARTNERS, LLC to object to or to take affirmative action with respect to any conduct of the other which is in violation of the terms of this Agreement shall not be construed as a waiver of the violation or breach, or of any future violation, breach or wrongful conduct. 7. JURISDICTION AND VENUE. This Agreement shall be governed by and construed in accordance with the Laws of the State of Florida applicable to contract made and to be performed entirely in the State. In the event that any cause of action or administration proceeding is instituted for the enforcement or interpretation of this Agreement, the parties agree that venue will lie in the appropriate court or before the appropriate administrative body in Monroe County, Florida. This Agreement shall not be subject to arbitration. 8. BINDING EFFECT. The terms, covenants, conditions, and provisions of this Agreement shall bind and inure to the benefit of the County and QUARRY PARTNERS, LLC and their respective legal representatives, successors, and assigns. In the event Quarry Partners shall transfer, assign, convey or otherwise dispose of their interest in the property adjoining that property which is the subject of this Agreement without retaining any interest therein, then Quarry Partners shall cease to be a party to this Agreement and shall be relieved and have no further duty or liability arising hereunder for events occurring from and after the date of such transfer, assignment, conveyance, or disposition. Quarry Partners shall require that the persons or entity that is transferred, assigned, or conveyed their interest in the property is assigned and assumes all responsibility for all duties imposed on Quarry Partners under this agreement. 9.
