AGENDA ITEM WORDING: Approval of 8th amendment to the lease agreement and associated
lease extension with the Conch Flyer Concessions LLC (Conch Flyer), the parent company of which
is Master Concessions LLC and Concessions Development Group, LLC, at the Key West
International Airport for purposes of building out the concessionaires new lease spaces, funded
entirely by Master Concessions LLC, in Concourse A.
ITEM BACKGROUND: The Concourse A and Terminal Improvements Program will require
relocation of Conch Flyer's lease spaces currently located in the main terminal, the arrivals terminal
and the secure passenger departure area. Conch Flyer has agreed to complete the build out of their
new spaces in the new Concourse A at their sole cost in exchange for a lease extension provided they
complete the build out by October 2024. The amendment maintains the current 10% concession fee
but adds a minimum concession fee of$20,000/month.
PREVIOUS RELEVANT BOCC ACTION: Original lease with Lessee's predecessors approved
on April 18, 1983; lease assignment was approved on January 23, 1985, and amendments to lease
were approved May 4, 1984, October 7, 1992, April 8, 1998, December 17, 2003, May 19, 2004,
April 19, 2006. Consent to Lease assignment with current Lessee was approved on April 14, 2014,
and the lease was amended on April 16, 2014, September 16, 2015 and October 20, 2021.

CONCH FLYER CONCESSIONS, LLC.
THIS AMENDMENT (hereafter Amendment) is made and entered into this 17th day of
August, 2022, by and between Monroe County, a political subdivision of the State of Florida, whose 00
address is Gato Building, 1100 Simonton Street, Key West, FL 33040 (hereinafter "County", 21
"Lessor" or "Owner"), and Conch Flyer Concessions, LLC., a Florida limited liability company,

WHEREAS, on the 181h day of April 1983, the County entered into a lease (hereinafter LO
Original Lease) with the Lessee's predecessors in interest;. and
WHEREAS, the County and the Lessee's predecessors in interest entered into lease N
addendums dated, May 4, 1984, January 23, 1985 and October 7, 1992; and
WHEREAS, the County and the Lessee's predecessors in interest entered into a lease
assignment dated January 23, 1985 and lease amendments dated April 8, 1998, December 17, 2003,
May 19, 2004 and April 19, 2006; and

WHEREAS, Lessee's predecessor in interest transferred all rights, title, interest and Q
obligations to the leasehold by means of a Consent To Assignment Of Lease to Lessee dated April,

IN CONSIDERATION of the premises and of the mutual covenants and agreements herein
contained, and other valuable considerations, the parties agree as follows:
SECTION 1. Lessee will perform a "build-out" of the leased premises, consisting of
making, at its sole cost and expense, all improvements necessary to create and complete a finished 00

physical restaurant/retail facility, including, but not necessarily limited to, all design, permitting, 0
and construction necessary to transform the space from the shell condition into a finished retail U_

storefronts, partitions, fixtures, equipment, electrical and computer/data terminations, floor U

Lessee shall submit design plans as follows; thirty percent (30%) plan sets to the Airport LO
Director for approval by November 2022; Sixty percent (60%) plan sets to the Airport Director for
approval by March 2023; and One Hundred percent (100%) full plan set to the Airport Director for
approval by September 2023. Nine (9) years into the new lease term, MCA must renovate or N
refurbish the new leasehold spaces
Concessionaire's design and construction of the build-out must be in accordance with all
applicable laws, including the Americans with Disabilities Act(ADA).
All materials, furniture, equipment, and fixtures shall be new and will be in compliance
with all applicable laws, including the Americans with Disabilities Act(ADA).
Lessee agrees, upon receipt of Monroe County permit approvals, to build out and complete >
the new leasehold spaces in the new Terminal Concourse A at Tenant's sole expense pursuant to
design specifications submitted and approved by the Director of Airports. Lessee shall start the new

leasehold build out project in March 2024 and be completed by October 2024.
Lessee agrees to renovate and or refurbish the new leasehold spaces beginning July 1, 2031
with all work to be completed no later than September 30, 2031. E
SECTION 2. ARTICLE I -PREMISES, subparagraph A.1 of the original lease is amended
to read as follows: 00
A. 1. Lessor hereby leases to Lessee, retail spaces 216, 219, 221, 221A and 221B located I
within the passenger ticketing terminal as shown on Exhibit A dated June 25, 2015, retail spaces
124, 125,126, 127, 143, 144 and 144A located within the secure passenger departure area at Key a
West International Airport as shown in Exhibit B dated June 25, 2015 and retail spaces 100-B and U)
105 within the baggage claim area at Key West International Airport as shown in Exhibit C dated
June 25, 2015 (collectively the "July 2022 Retail Spaces"). 0

Upon the opening of Concourse A, Lessee's retail spaces shall be as shown in Exhibit D 0

■ Concession E consisting of approximately 1,735 square feet will replace MCA's current

■ Concession F consisting of approximately 4,518 square feet will replace MCA's current
Conch Flyer Restaurant in the EYW Main Terminal;

All fixtures, installations, additions, alterations, and improvements made by Concessionaire Q
will become the property of the Airport on termination or expiration of this agreement without 21
compensation to Concessionaire, except:
(1) Concessionaire may, within ten days of termination (but prior to expiration of this
agreement) remove trade fixtures and equipment that it had installed, provided Concessionaire
repairs any damage caused by the removal; and
(2) if the Airport gives written notice to Concessionaire before the expiration or termination
of the term to remove some or all of them, then, Concessionaire must remove such items as Airport00
directs, and restore the premises to the condition they were in at the beginning of the term, U
reasonable wear excepted. Concessionaire shall not remove or demolish, in whole or in part, any U)
improvements upon the licensed premises, without the prior written consent of the Airport, which

SECTION 3. ARTICLE II - TERM, Article I1 of the original lease is amended to read as

day of August 2022 and shall terminate on January 21, 2040. Lessee may submit a request in
writing to renew the term of this lease for one (1) additional period of five (5) years. Approval of
such renewal shall be conditioned upon Lessee completing the build-out of its leased premises by
October 2024.
