THIS AMENDMENT (hereafter Amendment) is made and entered into this 17th day of August, 2022, by and between Monroe County, a political subdivision of the State of Florida, whose address is Gato Building, 1100 Simonton Street, Key West, FL 33040 (hereinafter "County", "Lessor" or "Owner"), and Conch Flyer Concessions, LLC., a Florida limited liability company, whose address is 201 Alhambra Circle, Ste. 702, Coral Gables, FL 33134 (hereinafter "Tenant" or "Lessee"). WHEREAS, on the 18'h day of April 1983, the County entered into a lease (hereinafter Original Lease) with the Lessee's predecessors in interest; and WHEREAS, the County and the Lessee's predecessors in interest entered into lease addendums dated, May 4, 1984, January 23, 1985 and October 7, 1992; and WHEREAS, the County and the Lessee's predecessors in interest entered into a lease assignment dated January 23, 1985 and lease amendments dated April 8, 1998, December 17, 2003, May 19, 2004 and April 19, 2006; and WHEREAS, Lessee's predecessor in interest transferred all rights, title, interest and obligations to the leasehold by means of a Consent To Assignment Of Lease to Lessee dated April, 16, 2014; and WHEREAS, Lessee and Lessor entered into lease amendments dated April 16, 2014, September 16, 2015 and October 21, 2020 (the original lease, lease addendums and all amendments thereto referred herein collectively as the "Lease"); and WHEREAS, Lessor is designing and will be constructing a new departure/arrivals terminal (hereafter "Concourse A") as a part of the Key West International Airport Concourse A and Terminal Improvements Program; and WHEREAS, the Concourse A and Terminal Improvements Program will require relocation of Lessee's retail spaces currently located in the main terminal and the secure passenger departure area; and WHEREAS, Lessee has agreed to complete the "build-out" of the Lessee's retail spaces in the new Concourse A at Lessee's sole cost; and WHEREAS, Lessor has agreed to extend the term of the lease provided Lessee completes the "build-out" of Lessee's retail spaces by October 2024; now, therefore, IN CONSIDERATION of the premises and of the mutual covenants and agreements herein contained, and other valuable considerations, the parties agree as follows: SECTION 1. Lessee will perform a "build-out" of the leased premises, consisting of making, at its sole cost and expense, all improvements necessary to create and complete a finished physical restaurant/retail facility, including, but not necessarily limited to, all design, permitting, and construction necessary to transform the space from the shell condition into a finished retail restaurant/retail facility, including, but not necessarily limited to, exterior and interior walls, doors, storefronts, partitions, fixtures, equipment, electrical and computer/data terminations, floor coverings, wall coverings, ceilings, shelving, displays, and interior and exterior decor. Lessee shall submit design plans as follows; thirty percent (30%) plan sets to the Airport Director for approval by November 2022; Sixty percent (60%) plan sets to the Airport Director for approval by March 2023; and One Hundred percent (100%) full plan set to the Airport Director for approval by September 2023. Nine (9) years into the new lease term, MCA must renovate or refurbish the new leasehold spaces Concessionaire's design and construction of the build-out must be in accordance with all applicable laws, including the Americans with Disabilities Act(ADA). All materials, furniture, equipment, and fixtures shall be new and will be in compliance with all applicable laws, including the Americans with Disabilities Act(ADA). Lessee agrees, upon receipt of Monroe County permit approvals, to build out and complete the new leasehold spaces in the new Terminal Concourse A at Tenant's sole expense pursuant to design specifications submitted and approved by the Director of Airports. Lessee shall start the new leasehold build out project in March 2024 and be completed by October 2024. Lessee agrees to renovate and or refurbish the new leasehold spaces beginning July 1, 2031 with all work to be completed no later than September 30, 2031. SECTION 2. ARTICLE I - PREMISES, subparagraph A.1 of the original lease is amended to read as follows: A. 1. Lessor hereby leases to Lessee, retail spaces 216, 219, 221, 221A and 221B located within the passenger ticketing terminal as shown on Exhibit A dated June 25, 2015, retail spaces 124, 125,126, 127, 143, 144 and 144A located within the secure passenger departure area at Key West International Airport as shown in Exhibit B dated June 25, 2015 and retail spaces 100-B and 105 within the baggage claim area at Key West International Airport as shown in Exhibit C dated June 25, 2015 (collectively the "July 2022 Retail Spaces"). Upon the opening of Concourse A, Lessee's retail spaces shall be as shown in Exhibit D dated May 05, 2022 and consisting of the following; First Floor: ■ Concession A Bar consisting of approximately 441 square feet in baggage claim will replace the current bag claim bar; Second Floor: ■ Concession E consisting of approximately 1,735 square feet will replace MCA's current marketplace space located in the EYW Departure Lounge; ■ Concession F consisting of approximately 4,518 square feet will replace MCA's current Conch Flyer Restaurant in the EYW Main Terminal; 2 ■ Concession G-1-G3 and Support Space Concession G-4 consisting of approximately 2,305 square feet will be supported by the main kitchen and along with Concession J consisting of 653 square feet are all to enable MCA to gain a return on the overall investment in the new leasehold spaces and provide additional concession options for passengers; ■ Concession H consisting of approximately 2,200 square feet will replace MCA's current restaurant space in the EYW Departure Lounge; (collectively the"October 2024 Retail Spaces"). A.2. Unless otherwise noted, the summary of finishes and utilities to be provided by Lessor are as follows: 308 Market Place Architecture: 1,727 SF Concrete floor, without 2" topping slab. Metal stud demising walls to structural deck. Exposed structure at 12'-l" AFF Front painted soffit of 1'-6" tall, with gypsum board Soffit 9'-7-1/2" deep, and 12'-0" high at front. HVAC- A RTU with Dx and electric heat will provide comfort conditioning for the space. Final equipment sizing shall be provided to the contractor by MCA. FP- Sprinkler coverage will be provided to the shell space. An isolation valve for the sprinkler branch pipe will be provided. Final layout and design shall be by MCA. Plumbing- Gas—2" Gas riser in wall between marketplace and storage room to the south. Pressure regulator below floor sized for 875 CFH (2200 BTU/HR) of propane. Water— 1" Cold water riser in wall between marketplace and storage room to the south. Sanitary—None provided, but 4" SAN is available directly below the Marketplace. Power- 75kVA transformer, 225A, 225A MCB, 208V, 3Ph Panel LCK1 (submeter @ 480V feeder). RTU-13 is currently circuited. Lighting- n/a IT-No Life Safety-Fire detection and alarm coverage is provided. All fixtures, installations, additions, alterations, and improvements made by Concessionaire will become the property of the Airport on termination or expiration of this agreement without compensation to Concessionaire, except: (1) Concessionaire may, within ten days of termination (but prior to expiration of this agreement) remove trade fixtures and equipment that it had installed, provided Concessionaire repairs any damage caused by the removal; and (2) if the Airport gives written notice to Concessionaire before the expiration or termination of the term to remove some or all of them, then, Concessionaire must remove such items as Airport directs, and restore the premises to the condition they were in at the beginning of the term, reasonable wear excepted. Concessionaire shall not remove or demolish, in whole or in part, any improvements upon the licensed premises, without the prior written consent of the Airport, which may be conditioned upon the obligation of Concessionaire to replace the same by a specified improvement. Lessor agrees to demolish, at Lessor's sole expense, Lessee's July 2022 Retail Spaces. SECTION 3. ARTICLE II - TERM, Article II of the original lease is amended to read as follows: This lease and all the rights herein granted shall become operative and effective on the 17th day of August 2022 and shall terminate on January 21, 2040. Lessee may submit a request in writing to renew the term of this lease for one (1) additional period of five (5) years. Approval of such renewal shall be conditioned upon Lessee completing the build-out of its leased premises by October 2024. 10 SECTION 4. Article III ®RENTAL CHARGES, subsection A.I(a) of the original lease is amended to read as follows: (a) That Lessee agrees to pay 10%of gross proceeds or receipts each month but no less than a guaranteed $6,000 per month. Beginning with the August 2022 monthly rental payment, Lessee agrees to pay 10%of gross proceeds or receipts each month but no less than a guaranteed$20,000 per month. SECTION 5. Except as set forth in Sections 1, 2, 3, and 4 oft is 81, Amendment To Lease Agreement, in all other respects, the original agreement dated April 18, 1983, the lease addendums dated, May 4, 1984, January 23, 1985 and October 7, 1992, the lease amendments dated April 8, 1998, December 17, 2003, May 19, 2004 and April 19, 2006, April 16, 2014, September 16, 2015 and October 21, 2020 and the lease assigm-nents dated January 23, 1985 and April 16, 2014 not inconsistent herewith, shall remain in full force and effect.
