AMENDMENT TO THE ROCKLAND KEY MODULAR UNIT LEASE AGREEMENT
BETWEEN
ADVANCED MODULAR SPACE, INCORPORATED
AND MONROE COUNTY
This Amendment to the Lease Agreement (hereinafter, "Amendment"), between ADVANCED
MODULAR SPACE, INCORPORATED, hereinafter referred to as "ADVANCED MODULAR
SPACE"; and MONROE COUNTY BOARD OF COUNTY COMMISSIONERS (BOCC),
hereinafter referred to as "COUNTY",a political subdivision of the State of Florida,whose address
is 1100 Simonton Street, Key West, Florida 33040, is made and entered into this 42-1' day of
Septemb 2022, in order to amend the Contract Agreement as follows: 19th

Witnesseth
WHEREAS, on April 27, 2021, the COUNTY, through the BOCC, approved a Lease Agreement
with ADVANCED MODULAR SPACE for the lease by ADVANCED MODULAR SPACE to
the COUNTY of a building consisting of two modular units to be located at 143 Toppino Industrial
Drive; Key West, Florida 33040 (Property ID No. 00122070-000700); and
WHEREAS, Paragraph 2 of the Lease Agreement provided for an Initial Lease Term for a period
of Five (5) years commencing on August 1, 2021, and terminating on July 31, 2026; and
WHEREAS, Paragraph 3 of the Lease Agreement provided for an Optional Lease Term for an
additional Five (5) years exercisable by the COUNTY in accordance with the terms contained
therein with respect to the Initial Lease Term; and
WHEREAS,Paragraph 4 of the Lease Agreement provided that the COUNTY was thereby granted
the option to purchase the modular units upon the expiration of the Initial Term or at any time
during the Optional Lease Term for an amount mutually agreed by the parties; and
WHEREAS, the parties desire hereby to amend Paragraph 4 of the Lease Agreement to provide
that the COUNTY may exercise its option to purchase the modular units at any time during the
Initial Lease Term.
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the
parties agree as follows:
1. Paragraph 4 of the Lease Agreement is hereby amended to provide:
COUNTY is hereby granted the option to purchase the modular units at any time during
the Initial Lease Term.
2. COUNTY hereby exercises its option to purchase the modular units identified in the Lease
Agreement pursuant to Paragraph 4 thereof,as amended by this Amendment.
3. COUNTY shall pay ADVANCED MODULAR SPACE the sum of One Hundred, Fifty-
Eight'rhousand,Four Hundred and 00/100($158,400.00)Dollars pursuant to Paragraph 4
of the Lease Agreement, as amended by this Amendment.
4. Upon payment by the COUNTY pursuant to Paragraph 3 hereof, any obligations incurred
by the COUNTY under the Lease Agreement relative to the payment of rent on the modular
units or otherwise are deemed discharged hereby and title to the modular units shall transfer
to the COUNTY, free and clear of all encumbrances arising by or through ADVANCED
MODULAR SPACE.
