THIS SECOND AMENDMENT TO LEASE AGREEMENT (the "Amendment" or "Agreement") is made and entered into this 19th day of October , 2022 by and between MONROE COUNTY, a political subdivision of the State of Florida, whose address is 1100 Simonton Street, Key West, Florida 33040, hereinafter referred to as "County" or "Lessor" and MARATHON HANGAR DEVELOPMENT, Inc. (MHD), a Florida Corporation, whose address is 11100 Overseas Highway, Marathon, FL 33050, hereinafter referred to as "Lessee". WHEREAS, on the 13th day of December 2000 the parties entered into a lease agreement (hereafter"Original Lease")for purposes of making available hangar space to operators of private aircraft; and WHEREAS, on the 17'h day of April 2002 the parties amended the agreement to provide for funding of up to one-half of the construction funding by the County as funding became available through FAA/FDOT grants; and WHEREAS, Lessee has successfully constructed, and sub leased, (4) four T-hangar buildings, each containing(8)eight hangar units for a total of(32)thirty-two hangar units, and all associated infrastructure and adjacent pavement needed to service the four buildings; and WHEREAS, Lessee has now exercised its option for an additional ten year term; and WHEREAS, Lessor has, in accordance with the Original Lease, conducted an appraisal to determine a fair market value and subsequent rate calculation pursuant to current rates and charges; and WHEREAS,Lessee has agreed to reset the base level of the rent and renew the agreement for an additional ten (1.0)years; and WHEREAS, any existing credit of funds on the current lease balance will be carried forward and applied to this second amendment; and WHEREAS, the parties have found the Original. Agreement to be mutually beneficial; now therefore IN CONSIDERATION of the mutual covenants and agreements set forth below, the parties agree to amend the Original Lease as follows: Section 6. of the Original Lease shall be deleted and replaced by the following: 6. a) This lease renewal term shall be for (10) ten years, beginning on the effective 1 date of this Second Amendment. Upon termination of this lease, either under this paragraph or as provided elsewhere in this lease, MHD must peacefully surrender and abandon the premises and all structures to the County.
